CONTRACT AGREEMENT

THIS AGREEMENT , made this ____ day of _______________, 2020 between


the PARAS CORPORATION, with office address at Macabebe, City of San Fernando,
Pampanga, represented by REYNALDO H. PARAS JR. (hereinafter called the
“Procuring Entity”) and POWER FACTOR GENERAL CONTRACTOR CORPORATION
with office address at Lot 7 Blk. 6 Currency St. Vista Rica Subd., Dolores, City of San
Fernando, Pampanga by GINO G. GARCIA, General Manager (hereinafter called the
“Contractor”).
WHEREAS, the Owner is desirous that the Contractor execute 19CG0165:
Construction / Completion of Bridge at Maliwalu, Bacolor, Pampanga (R.A. 9506-
Bacolor Rehabilitation Act) and has accepted the bid for TWENTY THREE
MILLION TWO HUNDRED SEVENTY FIVE THOUSAND PESOS (₱23,275,000.00) by
the Contractor for the execution and completion of such Works, within the contract
duration of ONE HUNDRED EIGHTY (180) days, and the remedying of any defects
therein. The calculated unit bid prices shown in the attached Bill of Quantities are
tabulated hereunder:

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:
1. In this Agreement, words and expressions shall have the same meanings as
are respectively assigned to them in the Conditions of Contract
hereinafter referred to.
2. The following documents shall be deemed to form and be read and construed
as part of this Agreement, to wit:
a) General Conditions of Contract;
b) Special Conditions of Contract;
c) Drawings/Plans/Specifications;
d) Plans/Drawings (Volume IV of Bid Documents);
e) Invitation to Bid;
f) Instruction to Bidders;
g) Bid Data Sheet;
h) Bid form, including all the documents/statements contained in the Bidders
bidding envelopes, as annexes;
i) Performance Security
j) Net Financial Contracting Capacity (NFCC)
k) Notice of Award of Contract and the Bidder’s conforme thereto;
l) Other contract documents that may be required by existing laws and/or the
Owner.
3. In consideration of the payment to be made by the OWNER to the
CONTRACTOR herein before mentioned, the CONTRACTOR hereby
covenants with the OWNER to execute and complete the Works
and remedy any defects therein in conformity with provisions of this Contract
in all respects.
4. The OWNER hereby covenants to pay the CONTRACTOR in consideration of
the execution and completion of the Works and the remedying of
defects wherein, the Contract Price or such other sum as may become
payable under the provisions of this Contract at the time and in the
manner prescribed by this Contract.
5. The Contractor shall pay taxes in full and on time and that failure to do so will
entitle the government to suspend payment for any services delivered
by the Contractor.
6. The Contractor shall likewise regularly present within the duration of the
Contract, a tax clearance from the BIR as well as a copy of its income
and business tax returns duly stamped and received by the BIR and duly
validated with Tax payments made thereon.
