COMMERCIAL TERMS & CONDITIONS


1. Weight
Gross delivery weight mentioned above has been derived from theoretical software calculation and is indicative.
This tonnage is subject to variation of +/- 3%. In case the delivered weight (including, packing, and accessories)
reduces by more than 3% as compared to theoretical weight given above, then buyer shall have the right to
deduct the proportionate supply amount only against the weight reduced by more than 3%. However, in case
you make any changes in specifications or scope of work after order finalization, weight shall revise and price
shall be renegotiated. Any change in weightment scale reading between our scale and buyer’s scale up to 100kg
shall be neglected per trailer and our reading shall be considered valid for billing. If buyer wishes to do
weightment at/near project site, the weightment scale has to be within 5 km from project site. In case of
additional travel for this, Rs 100 per km shall be charged extra.

2. Payment terms (on inclusive of GST amount):


 Supply ● 70% advance
● 30% before dispatch on pro-rate basis

 Erection ● 60% advance before start of unloading materials at project site


● 20% on 50% main frame structure erection
● 10% on 100% main frame structure erection
● 10% on All sheet fixing

We do not agree for any kind of BG or retention. Irrespective of any delay in building completion by any cause
beyond our control, the final erection payment of 10% will be due to us within 30 days from the date of delivery of
materials. supply and erection payment from your end.

3. Taxes and Duties


Current rate of GST is 18%. Any increase in the present taxation structure by the State / Central / Local Authorities
will be borne by you. Any levy, taxes, duties, octroi applicable at the time of accepting this order is revised,
reviewed, renamed, modified in any manner whatsoever till the time of execution and completion of work order, the
increase will be exclusively borne by you.

4. Validity
Balvi Steel And Infrastructure Pvt. Ltd.
This proposal is not subject to any variation and is firm and valid for your acceptance within 7 days of this offer
date. On acceptance of this proposal by you, the contract is valid up to 31-Mar-2020. After this date, price and
delivery terms must be renegotiated; if no agreement is reached in 90 days, termination clause is applicable. The
portion of this order that is not shipped within three months from the date of Agreement/Contract/Order, will be
subject to a price increase in accordance with new current prices posted by us.

7. Penalty for Delayed Payment


We will be charging Interest @ 18% per annum on all outstanding amounts unpaid for greater than 15 Days, from
the date of demand/invoice.

8. Warehousing of Produced Material


If the buyer wishes to hold the ready material at our works then the warehousing charges would be applicable at 2%
of gross contract value per month. However in case the payment is not received within 30 days from the date of
intimation that the material is ready for dispatch, we reserve the right to forfeit all advance payments and buyer will
have no right to claim.

9. Ownership Of Excess Material At Site


All material supplied to site in excess of Toll Plaza requirements shall be our property and we reserve the right to
ship the same back to our works.

10. Statutory permissions


All statutory permissions for starting / executing, completing and handing over the works from various authorities
will be obtained by you at your own cost.

11. Preparatory Work


All civil and preparatory work will remain in buyer scope mainly as follows:
 Space for hutment accommodation for erection workers within site premises
 Power and lighting(halogen) within Toll Plaza buyer scope
 Drinking Water and tap water to be given free of cost at site by client
 Proper approach to construction site to be provided by client
 Proper compacted ground to be provided for free movement of hydra/crane around the Toll Plaza
 Adequate weather-proof storage space in the proximity of the proposed erection.
Any damage, pilferage or theft at site, once the material is unloaded at your site will be to buyer account. Any
such replacement will be supplied on chargeable basis irrespective of its weight falling under agreed weight
tolerance.

12. Remobilization & Reconditioning Charges


Cleaning and/or repainting of steel due to prolonged open storage at your site for the reasons not attributable to us
shall be borne by buyer. In the event of stoppage of work by customer, customer will bear all the expenses of
demobilization and remobilization. This would need to be paid to us before we restart any site activity. We would
need 3-4 weeks time to remobilize and restart the work. If material not in workable condition or pilferage,
reconditioning or replacement cost will be to your account. Delays in execution beyond our control which will
result in idle of resources which will be charged extra.

13. Withholding Tax


Any deductions made from the payment on account of tax deduction at source (TDS) should be intimated at the time
of payment. In case of non-receipt of the deduction certificates during the financial year, we have the right to debit
the deducted amount back to your account. We will not accept the deduction certificate once the financial year has
elapsed.

14. Termination of Contract


Order cannot be cancelled or modified you under any circumstances without our written acceptance. In case of
cancellation, we will be charging from you as follows:
10% of the total contract Value plus all applicable taxes before approval of drawings,
20% of the total contract Value plus all applicable taxes after approval of drawings,

50% of the total contract Value plus all applicable taxes after start of fabrication at our works
80% of the total contract Value plus all applicable taxes after our intimation of material ready at our works
100% of the total contract Value plus all applicable taxes after the material dispatch is started

15. Force Majeure


Balvi Steel And Infrastructure Pvt Ltd. will not be liable to the customer if it fails to perform or observe any or all of
the terms of this Agreement/order resulting directly or indirectly from causes beyond its reasonable control, such as,
but not limited to, acts of God, war, act of terrorism, biological & chemical contamination, nuclear risks, electronic
data loss, riots, earthquakes, torrential rain, acts of government, its agencies or officers, labours shortage, civil
commotion, revolution, delays due to transporters’ strike or any other legitimate cause beyond the reasonable control
of our organization.

16. Arbitration
If any dispute, controversy or claim between the parties arises out of or in connection with this Agreement,
including the existence, breach, termination or validity thereof (Dispute), the parties shall use all reasonable
endeavours to negotiate with a view to resolving the Dispute amicably. If a party gives the other party notice that a
Dispute has arisen (a Dispute Notice) and the parties are unable to resolve the Dispute amicably within 15 days of
service of the Dispute Notice (or such longer period as the parties may mutually agree), then the Dispute shall be
referred to arbitration. Any Dispute shall be referred to and finally resolved by arbitration under the Arbitration and
Conciliation Act, 1996. The number of arbitrators shall be one, mutually accepted by the parties. Any arbitral award
shall be final and binding on the parties. The seat of the arbitration shall be Rajkot. The language of the arbitration
shall be English. Jurisdiction for purposes of the Arbitration and Conciliation Act, 1996 shall be Rajkot.

17. Agreement
This contract constitutes the entire agreement and understanding between the parties to this Agreement and
supersedes all prior and contemporaneous negotiations and understandings between the parties whether oral or
written, expressed or implie.

18. Authorised Signatory


Authorised Signatory is the designated representative of your organisation who is authorised to make this
commitment. Only an officer authorised to sign on behalf of your organisation must sign this contract with date and
seal on each page and also wherever correction / alterations are made.
