 Amendment No. 1 to Consultant Agreement dated ……

This Amendment No. 1 (“Amendment”) made on ______________ with an effective

date of _____________ (“Effective Date”) hereby amends the Consultant Agreement
dated ………. (“Agreement”) entered into between VEE Technologies Private
Limited with its principal place of business at______________________ (hereinafter
referred to as "Vee"), and _______________________ residing
at____________________________ (hereinafter referred to as the “Consultant”).

All defined terms used in this Amendment shall have the same definitions as given
to them in the Agreement.

Vee and the Consultant shall individually be referred to as the ‘Party’ and
collectively as the ‘Parties’.

WHEREAS:

 The Parties had entered into an Agreement dated of

___________________(DOJ)where Vee had engaged the Consultant to perform
the Services as per the Agreement.
 Now, the Parties are desirous to reflect certain changed conditions and the
new understanding between the Parties as set forth below.

NOW, THEREFORE,

The Parties mutually agree to the following terms and conditions-

1. Clause 2 (Compensation) of the Agreement shall be amended by deleting and

replacing with the following with effect from the effective date:

“The Consultant shall receive a retainer fee of INR

___________(Mention Retainer Fees)- per month inclusive of all applicable
taxes and levies”. Vee shall deduct all applicable taxes from the invoice
before making such payment.

2. Except as expressly stated herein, all other terms and conditions of the
Agreement or attachments thereto shall remain unchanged and in full force
and effect.
