Chef Consultant Agreement

THIS AGREEMENT (the “Agreement”) is made and entered into effective

March 2, 2020, by Izzat Hussain  (hereinafter referred to as “Consultant ”), and MSR is
Agreement is made and entered into under the following circumstances:

A. WHEREAS, the Company is a private company;

and

B.  WHEREAS, the Company is engaged in the business of owning and

operating restaurants, utilizing a restaurant operating system and trademarks owned by or
licensed to the Company ; and

C.  WHEREAS, the Company desires, on the terms and conditions stated herein,
to appoint Consultant as Corporate Consulting Chef of the Company; and

D.  WHEREAS, the Consultant desires, on the terms and conditions stated herein,
to be employed by the Company as Corporate Consulting Chef.

NOW, THEREFORE, in consideration of the mutual covenants and agreements

set forth below, it is hereby covenanted and agreed by the Company and the Consultant
as follows:

1. Consultant Period

The Company hereby appoint Consultant as its freelancer Corporate Consulting

Chef, and the Consultant hereby agrees to serve in such capacity, for the period beginning
1st April 2020, and ending on an indefinite date as decided by the both the parties. The
consultant shall directly report to Mr. x

The services may terminate with mutual exchange for the benefit and interest of
both the parties and a draft will singed by both parties mentioning with causes and further
terms and conditions.

2. Duties of consultant
 2.1 The consultant will be responsible for set up of kitchen according to
requirement of kitchen equipment, kitchen tools and staff training etc. on every outlet or
branch by him or by his representative.

2.2 He will help to select and suggest for hiring staff, training and supervision of
the staff in the food production department.

2.2.1 He shall be liable to training new staff that may join Company in future.

2.3 He will plan menus, developed recipes, provide training to relevant staff for
and in base kitchen and sales outlets considering guests, market conditions, popularity of
various dishes, costs and a wide variety of other factors related to food development and
sales within the company through its base kitchen and other sales outlets.

2.3.1 He shall share menu (recipe) preparation and ingredients details in all and
not liable to any specific format.

2.3.2 He shall provide all of his special masala (spices) items required for the
preparation of dishes under this agreement.

2.3.3 He shall appoint himself or an representative with extensive knowledge of

know-how on menu items preparation who shall be available at company restaurant
location for any food quality, timely preparation or staff training issues arising.

2.4 He will plan the work of all kitchen staff, their respective duty hours and their
regular training to assure that food preparation is economically and technically correct.

2.5 He will approve the requisition of products and other necessary food supplies.

2.6 He will certify that high standards of sanitation and cleanliness are maintained
throughout the kitchen.

2.7 He will establish controls to minimize food as well as supply waste.

2.8 He will safeguard all food preparation consultant s and accident prevention
principles.

2.9 He will develop recipes as well as techniques for food preparation which help
to assure consistent high quality to minimize food costs; exercise portion control over all
items served.

2.10 He will allow to company to use his name and pictures to use for promotions
and marketing as Brand Ambassador for the company.
 2.11 Should the company in time to come decides to open other outlets or develop
a franchise model a fixed sales royalty shall be paid to “Izzat Husain” by depositing or
transferring funds in his bank account on every month accordingly.

3. Payment

3.1 7.5% revenue sharing as royalty on the all sale of food before taxes, for life
time association. This will comprise association and full corporation to develop seasonal
menu and or entirely new menu subject to market requirement for all locations
operations.

3.2 The Company will pay a one-time amount of INR 200,000 (Nonrefundable) to
x for Consulting, recipes development and staff training. This will be a one-time fee
payment that will compromise all outlet development for the brand x.

4. Non rivalry

During the Consultant’s consultancy with the Company, the Consultant shall not,
individually or jointly with others, directly or indirectly, whether for the Consultant’s
own account or for that of any other person or entity, engage in or own or hold any
ownership interest in any person or entity engaged in the Company business.

5. Nondisclosure; Nonsolicitation; Nonpiracy

Except in the performance of Consultant’s duties hereunder, at no time during the

Term of Consultant, or at any time thereafter, shall Consultant, individually or jointly
with others, for the benefit of Consultant or any third party, publish, disclose, use, or
authorize anyone else to publish, disclose, or use, any secret or confidential material or
information relating to any aspect of the business or operations of

Company , including, without limitation will not share or publish any recipe or any
secret or confidential information relating to the consultant business, customers, trade or
industrial practices, trade secrets, technology, recipes or know-how with any individual
or any Company .

6. Parties

This Agreement shall be binding upon, and shall inure to the benefit of, the parties
hereto and their legal representatives, and proper successors or assigns, as the case may
be.

7. Governing Law
 The validity, interpretation, and performance of this Agreement shall be governed
by the laws of the xx jurisdcition without giving effect to the principles of comity or
conflicts of laws thereof.

8. Amendments.
No change, modification, or termination of any of the terms, provisions, or
conditions of this Agreement shall be effective unless made in writing and signed or
initialed by all signatories to this Agreement.
 
IN WITNESS WHEREOF, the undersigned have executed this Agreement as of
