PURCHASE AGREEMENT

 
KNOW ALL MEN BY THESE PRESENTS:

This PURCHASE AGREEMENT, made and executed this ____ day of _________, 20__ by and
between:
 
        PURATORS DIPOLOG CITY represented by___________________, of legal age,
married, Filipino, and with place of business at Bagarinao Bldg., Quezon Ave., Brgy. Barra,
Dipolog City, Philippines, hereinafter referred to as the "SELLER ";
 
-AND-
 
        (BUYER)___________________, Filipino and with residence and postal address at
_________________________________ hereinafter referred to as the "BUYER".
 
WITNESSETH;
 
        WHEREAS, the SELLER is the absolute owner of the subject goods as follows:

        WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the above
mentioned property under the terms and conditions herein below set forth;
 
        NOW THEREFORE,  for and in consideration  of the total sum of _______________________
(Php: ______________) Philippine Currency, and of the covenants herein after set forth
the SELLER  agrees to sell and the BUYER agrees to buy the aforesaid property subject to the
following terms and conditions: 
 
1. The total consideration shall be _____________  (Php:_______________) PESOS, Philippine
Currency, payable as follows:

a) The amount of __________________ (Php: ____________) PESOS, representing


DOWNPAYMENT shall be payable by the BUYER to the SELLER upon signing of this
Purchase Agreement;
 
b) The remaining balance in the amount of _________________ (Php: ____________) PESOS,
shall be paid in Cash on or five days from the execution of this purchase agreement. A penalty
of five percent (5%) of the remaining balance for every day after the expiration of the period to
pay shall accrue to the BUYER for late payment.
 
c) In case the check representing the payment for the balance provided in paragraph b hereof, is
dishonored by the drawee bank, the DOWNPAYMENT, shall be forfeited in favor of
the SELLER; notwithstanding any Criminal or Civil Action against the drawer of the check.
 
d) Forfeiture of the DOWNPAYMENT and cancellation of this agreement shall automatically be
effected without need of prior demand or notice, after fifteen days from the expiration of the
period to pay the balance, unless otherwise the penalty and the balance is fully paid to the
satisfaction of the BUYER.

2. Possession to the subject property shall be delivered by the SELLER to the BUYER upon full
payment of the total consideration;
