I. Course Description : This course deals with dynamics of Partnerships as a


medium of doing business in the Philippines. It aims to equip students with the
knowledge on the nature of partnerships as an artificial being and its complex
relationship with different stakeholders such as the Public, the stockholders, the state
and the other entities having an interest in it.

II. Course Objectives:

In general, the students is expected to understand the fundamental concepts and


principles affecting the creation, continuity, management, control, rights and liabilities
affecting a partnership.

In particular, the student is expected to:

1. Understand and explain the definition, nature and significance of corporate form
and other juridical persons;
2. Describe the rights and obligations of partners in a partnership;

3. Identify the appropriate legal article in given cases and give solutions to
problem-situations by applying the appropriate legal principles
4. Have a working knowledge of the law of partnerships and apply such know-
how in the conduct of business;
5. Exhibit the values of integrity, propriety and social responsibility whenever a
partnership is used as a format for business operations; and
6. Make sound investment decisions in accordance with the law on partnerships.

IV. Course Requirements

A qualifying final grade of 60% is required for all students who pass this course.
