Compliance Responsibilities
Independently review and evaluate compliance issues and concerns within the organization.
Provide advice and counsel regarding Roche's commercial organization, recommend company
policies and positions on legal issues and assume the role as compliance officer.
Develop, maintain and revise policies and procedures for operation of the compliance program to
prevent illegal, unethical or improper conduct.
Update Roche’s Code of Conduct to ensure currency and relevance in providing guidance to
management and employees.
2) Training
Assess at least once a year the need for compliance awareness or training programs and make
appropriate proposals to the General Manager.
Develop compliance-training programs, including introductory training for new employees as well
as ongoing training for all employees and managers.
Monitor and coordinate compliance activities of other departments to remain abreast of the
status of compliance activities and to identify trends.
Establish and manage the compliance hotline and a standard procedure for handling alleged
violations.
Respond to alleged violations of rules, regulations, policies, procedures and Roche’s Code of
Conduct by recommending and carrying out investigative procedures.
Act as an independent review and evaluation body to ensure that compliance issues and concerns
within the organization are appropriately investigated, evaluated and solved.
Document all compliance cases with status and steps taken to address the issue and have this
information available at the request of the Roche Group Compliance Officer and any corporate
function concerned.
4) Risk mitigation
Conduct a compliance risk assessment at least once a year, identifying potential areas of
compliance vulnerability and risk.
Develop and implement corrective action plans for resolution of problematic issues.
Monitor performance of the compliance program and implement changes to improve its
effectiveness.
Maintain a compliance communication program for the organization, including promoting (a) use
of the Compliance Hotline, (b) heightened awareness of Roche’s Code of Conduct and the IFPMA
Code of Pharmaceutical Marketing Practices and (c) understanding of new and existing compliance
issues and related policies and procedures.
Provide reports on a regular basis to keep management informed of the operation and progress of
compliance efforts.
Ensure proper reporting of violations or potential violations. Timely inform the group compliance
officer on all compliance issues, which represent a material compliance or reputation risk.
Ensure the quality of the data required for the Business Ethics Incident Reporting and Legal
Reporting.
Provide legal direction, education and training on promotional matters, healthcare fraud and
abuse laws, product liability, antitrust, privacy and other laws and regulations impacting the
commercialization of pharmaceutical products.
Work with external legal counsel when necessary and assesses their performance and billing
practices.
Recommend company policy and position on legal issues and anticipate legal risks facing the
company.
Draft, negotiate and review all legal documents for legality and clarity and advise management on
the legal consequences. Legal documents include vendors and, clients, as well as licensing and
outsourcing agreements.
Provide analysis, counsel and support for routine commercial contracts in compliance with
applicable law.
Provide legal counsel on issues arising from actual or anticipated litigation, working with outside
counsel as necessary.

Specific Knowledge
Desirable experience in pharmaceutical industry and/or corporate compliance for at least 2 years.
