project work on “ role and impact of merchant banker and underwriter on financial
institutions in India” and providing me all support and guidance which made me complete the

guidance though she had busy schedule managing for completion of my project.

LITERATURE REVIEW

Sanjeev Kumar ,merchant banking India: recent development in merchant banking (2016):
Merchant banking is financial institutions which provide capital to the company in the form
of share ownership. it also providing advice to the corporate sector in which they invest
money. Merchant banking is in not only advisor but also principle. Merchant banking has a
long-term approach than investment. It provides right advice to each client. Merchant
banking is a traditional term it also describes the private equity. Merchant banking helps in
the corporate sector which reflects into economic development of the country.
Merchant banking provide various function like portfolio management, underwriting,
counselling, loan syndication. Merchant banking is combination of banking and consultancy
services

Shreyas V.S ,Merchant banking past and present: Indian scenario (2014) : Merchant
banking consist of wide range of financial activities. Merchant bank is called “Accepting and
issuing house” Merchant banking is rapidly growing in Indian economy. The SEBI which
gives overall view of present and past. Merchant banking is oldest in the primary market and
it has bright future in coming years

Cs Gowtham ,merchant banking (2017): Merchant banking is nothing but issuing shares,
bank loans, debentures etc to its clients. The issued finance is used to start a new business or
expansion of the business or modernizing it. This merchant banking service not only provides
us finance it also guides us to move in right path with all the norms given by SEBI.

Ajitesh Mohan ,underwriter in Indian capital market (2010): The article studies the concept
of ‘Underwriting’ in the Indian Capital market. Starting with the meaning of ‘underwriting,’
it briefly refers to their working in US and UK. The history of underwriting, that dates back
to the seventeenth century, has also been referred to. Then an elaborate study of various
provisions of SEBI (Underwriters) Regulations, 1993 has been done. Subsequently, some
important issues relating to the working of underwriters in India have been discussed, and
changes in the law have been suggested.
Dr S. Gurusamy ,financial services (2009): The book has comprehensively described various
aspects of financial services including that of merchant banker and underwriter .

STATEMENT OF PROBLEM

 What impact does the role played by the merchant banker have on financial
institutions in India.
 What impact does the role played by underwriter have on financial institutions in
India

OBJECTIVE OF STUDY

 To study about merchant bankers and underwriters and their role in financial
institution .
 To understand the nature of their services provided under financial institution.
 To understand the impact their role have on financial institutions in india.

HYPOTHESIS

The role played by both the merchant banker and underwriter under financial
institution in India has a negative or positive impact over the financial institution in
India.

RESEARCH QUESTION

 What is the importance of the role played by merchant banker and underwriter in the
financial institution?
 Does their role have an impact on the financial institutions if yes than how do they
impact in negative way or in positive?
