TERMS OF REFERENCE

4217 C.O. ON U.D. 800 OTHER EXPENDITURE CONSULTANCY FOR PROVIDING

AND LAYING INTERNAL STORM WATER DRAIN IN VARIOUS SECTOR OF

GANDHINAGAR TOWNSHIP.

1 INTRDUCTION AND BACKGROUND

1.0 Gandhinagar is a capital of Gujarat State. It is planed city divided into

1 30 Sectors. Gandhiangar Township is located on the western bank of

Sabarmati river about 30 km. away from Ahmedabad. At present the

township has a population of about more than 2.0 lacs souls.

1.0 Five main storm water drains run from west to east i.e. toward

2 Sabarmati river are provided on N.H. 8C, Road No.2, Road No.4, Road

No.5 and Road No.6 with sub main run from North to South in

Ganahdinagar township. The mains and sub mains are laid under

ground within road boundaries of roads separating Sectors of G.T.S.

The project storm water drains in G.T.S. parallel to major roads was

prepared by the consultant name G.S.C.C. limited. The work of storm

water drain of this project in G.T.S. is completed as per consultant

report. There is no internal storm water drain in various sectors of

G.T.S. In the monsoon storm water is not deposed off from low level

portion of various sectors in G.T.S. at the time of higher intensities of

rain and the roads get flooded. The residents of the sectors get

disturbed due to blockage of internal roads during rainy days of higher

intensities necessitate and efficient system of disposal of storm in

various sectors of G.T.S.

1.0 In order to ensure the highest Standards of designs and timely execution

of the project consultancy services are required by R & B Deptt. for

providing and laying internal storm water drain in of Gandhinagar

Township.

2 OBJECTIVE

2.0 The consultancy services in invited from the reputed and experienced

consultants/firms for project to prepare feasibility report designs,

drawings, Estimates, Tenders and working drawings etc.

3. SCOPE OF SERVICES

3.01 Topographical survey

3.02 Alignment survey for pipe line with total station equipment

3.03 Soil investigation & submitting soil report

3.04 To submit feasibility report, with Conceptual Drawing.

3.05 Design consultancy

3.06 Submission of draft Project Report

3.07 Submission of final project Report in five sets in hand and soft copy.

3.08 To submit drawings in soft copy and hard copy in five sets with detailed

Estimate base on R & B Departments Schedule of Rates, and for Non S.O.R.

Items shall prepare detail Rate Analysis based on Current Market Rates.

3.09 To submit tender documents (D.T.P ) in soft & hard copy in five sets.

3.10 To submit working drawings in five sets with soft & hard copy.

(Note: The consultant shall use the relevant I.S. Code to prepare the

Project)

4. PROJECT TIME SCHEDULE AND DELIVERIES

4.1 Consultant has to submit the required documents within following time

limit. (From the date of work order) in five sets in hard and soft copy in

compact disc (C.D.)

4.01 Survey, soil investigation and Feasibility report with 30 Days

conceptual drawings

4.02 Draft Project Report 45 Days

4.03 Final Project Report 15 Days

4.04 Details Estimate & drawing with structural design 15 Days

4.05 Draft Tender Papers 15 Days

(Note: After award of tender consultant shall have to give revise drawings

/ details if required/ to be changed during execution as per site

conditions.)

6 DATE AND ASSISTANTS TO PROVIDE BY THE CLIENT

6.01 The client shall provide the lay out plan for Gandhinagar Township and

map of existing storm water drain. Also the client shall provide

necessary available data on request of consultant for consultancy.

7 CONSULTANT'S RESPONSIBILITY

7.01 To provide adequate staff with required tools & equipments needed

and convenience to field staff performs their duties efficiently.

7.02 Offices/staff accommodation to be arranged & all related cost will be

borne by the Consultant.

7.03 Office supplies communication / utilities and other supporting

requirement.

8 PAYMENT SCHEDULE

8.01 The break up of the consultancy fees and stages for payment is as

under mentioned of approved tender.

8.02 The consultant shall submit there dully filled and signed time sheet to

the Executive Engineer, Capital Project Division No.3, Gandhinagar

along with the monthly progress report.

8.03 Income Tax/ Servide tax and any other taxes shall be decuted from the

consultants bid.

8.04 Payment will be made in Indian Rupees only.

8.05 Final payment shall be made only after the completion of Consultancy

project work satisfactory as approved by the client.

8.06 5% amount from each bill shall be deducted as security deposit.

9 OFFICE ACCOMODATION

9.1 The consultant shall made own arrangement for office accommodation

at Gandhinagar Township. The R & B department shall not provide

office accommodation

10 TIME FRAME

Consultancy services are required for the period of four months from

the date of work order or may be extended if required.

11 SECURITY DEPOSITS

Five percent of the amount of each bill for the constancy services shall

be deducted as security deposit. The same shall be paid after six

months from the satisfactory completion of consultancy on the written

demand and on the bases of recommendation by the concern

executing authority .

STANDARD FORM OF CONTRACT.

CONTRACT FOR CONSULTANCY SERVICES

FOR PROVIDING AND LAYING INTERNAL STORM WATER DRAIN IN

VARIOUS SECTORS OF GANDHINAGAR TOWNSHIP.

THIS CONTRACT, (hereinafter the contract) is made on the

day of___________2014 between the ________________ on the part

(hereinafter called the Client) and__________________ (in association with

_________ ) hereinafter (jointly) called the Consultant) on the other hand

(Not withstanding such association, the Consultant will be represented

hereunder at all times by. which will retain full and undivided

responsibility for the performance of obligations hereunder and for the

satisfactory completion of the consultancy services to be performed

hereunder).

(a) The Client has requested the consultant to provide consulting

services (hereinafter called the services) necessary for the effective

implementation of the Project.

(b) The consultant has agreed to provide the service on the terms and

conditions set forth in this contract.

NOW THEREFORE the parties hereto hereby agree as follow.

ARTICLE - 1

1.1Services

1.01 The consultant shall perform the service under this contract in

accordance with the terms of reference .

1.02 Commencement Date.

The consultant will commence the services as soon as possible but not

latter than 8 days after the client has given notice to the Consultant to

proceed with the service.

ARTICLE - II

PERSONNEL

2.01 Personnel

(a) The Service shall be carried out by the personnel specified in T.O.R.

hereof (hereinafter called the personnel) for the respective periods of

time indicated therein. The consultant may with the prior approval of

the Client, make minor adjustments in such periods as may be

appropriate to ensure the efficient performance of the services,

provided that such adjustments will not cause payments made under

the contract to exceed the cost estimates.

(b) Except as the client may otherwise agreed, no changes shall be made

in the personnel. If for any reason beyond the reasonable control of

the consultant it becomes necessary to replace any of the personnel,

the consultant shall forthwith provide as a replacement, a person of

equivalent or better qualification.

(c) In the event that any person specified in T.O.R. is found by the client

to be incompetent in discharging his assigned duties, the Client may

request the Consultant to forthwith provide as a replacement a person

with qualifications and experience acceptable to the client.

2.02 Team Leader :

The Consultant shall ensure that at all times during the field work a

resident Team leader, acceptable to the Client shall take charge of

the operations of the personnel in the field. The Teams leader shall

be responsible for liaison in the field between the Consultant and

the Client.

ARTICLE - III

Payment to the Consultant.

3.01 Cost Estimates : Ceiling Amount.

(a) An estimate of the cost of the Services payable in local

currency is set forth as Rs. __________________

(b) Except as may be otherwise agreed under section 6.06 and

notwithstanding any other provisions of this contract, payment's

under this contract shall not exceed Rs. _______ ( in local currency)

3.02 Payment to the consultant in local currency :

The client shall pay off reimburse to the consultant in Indian Rupees

in respect of the services.

(a) Cost of such items as may be required for the purpose of the Service

and for which the Client may subsequently agree are eligible for

reimbursement hereunder.

3.03 Additional work:

If, in the opinion of the Client, it is necessary to carry out any work

outside of the Terms, of Reference for the purposes of the project in

addition to the services, such additional work, may be carried out with the

prior concurrence of client. The consultant, with the prior authorization of

the Client, shall carry out such additional work and charge shall be

decided by mutual under standing.

ARTICLE - IV

4.01 Access to Land

The Client warrants that the Consultant shall have, free of charge,

unimpeded access to all land in respect of which access is required for the

performance of the services. The Consultant will be responsible for any

damages to such land or any property thereon resulting from such access

(unless such damage is caused by the willful default, or negligence of the

consultant or the personnel) and will indemnity the consultant and each of

the personnel in respect of liability for any such damage.

ARTICLE - V

Undertakings of the consultant

5.01 General Standard of performance by the Consultant.

(a) The consultant shall carry out the services with due diligence

and efficiency, and shall exercise such skill and care in the

performance of the services as is consistent with recognized

professional standards.

(b) The consultant shall act at all times so as to protect the

interest of the Client and will take all reasonable steps to keep

all expenses to a minimum consistent with sound (engineering)

practices,

5.02 Records.

(a) The consultant shall keep accurate and systematic records in

respect of the services in such form and detail as is customary

in the profession.

5.03 Information:

The consultant shall furnish the Client such information

relating to the service and the project as the Client may from time

to time reasonably request

5.04 Assignments Sub Contractors.

(a) Except with the prior written approval of the Client the Consultant shall

not assign or transfer the Contract of any part thereof nor engage any

independent consultant or sub contractor to perform any part of the

Service.

(b) The approval by the Client to the assignment of any part of the contract

of to the engagement by the Consultant or independent consultants or

sub-contractors to perform any part of the services shall not relieve the

Consultant of any of its obligations under the contract.

(c) In the event that any such independent consultant or sub contractor is

found by the Client to be incompetent in discharging his assigned

duties, the Client may request the Consultant forthwith either to provide

as a replacement, as consultant or sub-contractor with qualifications

and experience acceptable to the Client to resume the performance of

the Service itself.

5.05 Confidentiality :

Except with the prior written consent of the client the consultant and

the personal shall not at any time communicate to any person or entity

any confidential information disclosed to them for the purpose of the

Service, or discovered by them in the course of the Services nor shall

the consultant or the personnel make public any information as to the

recommendation formulated in the course of or as a result of the

services.

5.06 Prohibition on Association.

The Consultant agrees that during and after the conclusion of

termination of this contract, the consultant limits its role under the

Projects to the provision of the Services and hereby disqualifies itself and

any other contractor, consulting engineer of manufacturers with which

the Consultant is associated or affiliated from the provision of goods or

services in any capacity for the project including bidding for any part of

the Project except as the Client.

5.07 Prohibition on conflicting Activities.

No number of the personnel assigned to the Contract shall engage

directly or indirectly, either in his name or through the consultant in any

other business or professional activities other than the performance of

his assignment under this contract.

5.08 Independent Contractor.

Nothing contained herein shall be construed as establishing or creating

between the Client and the Consultant the relationship of master and

servant of principal and agent, it being understood. That the position of

the Consultant and of anyone else performing the Services is that of an

independent contractor.

5.09 Indemnification's

(a) Consultant shall indemnify, protect and defend at Consultant's own expense,

Client and its agents and employees, from and against any and all actions,

claims, losses or damages arising out of any violation by the Consultant or

in the course of the services of any legal provisions, or any rights of third

parties, in respect of literary property rights, copy rights, or patents.

(b) Consultant shall indemnify, protect and defend at Consultant's own expense,

Client and its agents and employees, from and against any and all actions,

claims, losses or damages arising out of Consultant's failure to exercise the

skill and care required under Section 5.01 (a) provided however.

That the ceiling on Consultant's liability under this section shall be limited

to rupees 10% of total fee. Except that such ceiling shall not apply to actions,

claims losses or damages caused by consultant's gross negligence or

reckless conduct.

(c) In addition to any liability consultant may have under section

5.09 (b) consultant shall at its own cost and expense, upon

request of Client re-perform the Services in the event of

consultant's failure to exercise the skill and care required under

section 5.01 (a)

(d) Anything in section 5.09(b) or 5.09(c) to the contrary notwithstanding, the

consultant shall have no liability whatsoever for actions, claims, losses or

damages occasioned by (I) Client's overriding a decision or recommendation

of consultant of requiring Consultant to implement a decision of

recommendation with which consultant does not agree, or (ii) the improper

execution of consultant's Instructions by agents, employees or independent

contractors of Client.

5.10 Laws and regulations of India.

The consultant shall respect and abide by all applicable laws and

regulations in Gujarat and shall use its best efforts to ensure that the

personnel and their dependents shall respect and abide by all laws and

regulations in Gujarat.

5.11 Proprietary Rights of the Client in Reports and Records All eports

and relevant data such as maps, diagrams plans statistics and

supporting records of materials complied or prepared in the

course of the service shall be confidential and shall be the

absolute property of the Client. The Consultant agrees to deliver

all these materials to the Client upon completion of this contract,

the consultant may retain a copy of such data but shall not use

the same for purpose unrelated to this contract without prior

written approval of the Client.

5.12 Reports

All reports and recommendations and general correspondence from the

consultant to the Client and all documents prepared by the consultant

under this contract shall be in the English language.

5.13 Notice of delay.

In the even that the Consultant encounters delay in obtaining the required

services of facilities set forth in T.O.R. for the conduct of the Service, the

Consultant shall promptly notify the Client of such delay, and may

request an appropriate extension of time for completion of the services.

5.14 Contractual Ethics. No fees, gratuities, rebates, gifts, commissions or

other payments, other than those shown in the bid of the contract, have been

given or received in connection with the selection process or in the contract

execution.

ARTICLE - VI

General Provisions

6.01 Suspension.

If any of the following events shall have happened and be continuing, the

Client may by 15 days prior written notice to the Consultant suspend in

whole or in part payment due thereafter to the Consultant under the

contract and forfeit the 5% Security deposits

(a) A default shall have occurred on the part of the consultant in the

execution of the contract.

or

(b) any other condition which has arisen which is in the reasonable

opinion of the Client, interferes, or threatens to interfere, with the

successful carrying out of the project or the accomplishment of the

purpose of the Contract.

6.02 Termination of the Contract by the Client

(a) If any of the following events shall have happened and be continuing,

the Client may be written notice to the Consultant terminate the

Contract.

(b) Any of the conditions referred to in article 6.01 shall continue for a

period of fourteen (14) days after the client shall have given written

notice to the Consultant of suspension of payment to the Consultant

under the contract.

6.03 Termination procedure.

Upon termination of the contract under section 6.02 (a) receipt of

notice of termination the consultant shall take immediate steps to

terminate the services in a prompt and orderly manner and reduce

losses and to keep further expenditures to a minimum.

6.04 Settlement of dispute

Any dispute of difference arising out of the contract which cannot be

amicably settled between the parties shall be referred to the arbitration

tribunal Gujarat State. The decision given by tribunal shall be binding

to both the parties. Incase of dispute leading to The contractor /

consultant or Govt. of Gujarat approaching the court of law , it shall be

within the jurisdiction of Gujarat.

6.05 Force Majeaure

(a) If either party is temporarily unable by reason of "force majeaure" to

meet any if its obligations under the contract, and if such party gives

to the other party written Notice of the even within Fourteen (14) days

after its occurrence, such obligations of the party as it is unable to

Perform by reason of the vent shall be suspended for as long as the

liability continuous.

(b) Neither party shall be liable to the other party for loss of damage

sustained by such other party arising from any event referred to in

section 6.05(a) or delays arising from such even.

(c) The term 'force Majeaure' as employed herein shall means acts of God,

wars, landslides, earthquakes, storms, floods, and any other similar

events not within the control of either party and which by the exercise

of due diligence neither party is able to overcome.

6.06 Variation of contract.

The contract may be varied by agreement between the parties. All such

variations, including variations in the cost estimates and in the amount

specified in Section 3.01 (b) shall be in writing signed by the duly

authorized representatives of the parties.

ARTICLE - VII

Effective Date. Miscellaneous.

7.01 Effectiveness

The Contract shall become effective upon the date notice is given to

proceed with the services under section 1.02 and shall be in full

force until the service and all payments therefore have been

completed and at such time the parties hereto shall be mutually

released from all obligations hereunder.

7.02 Authorized Representative:

Any action required or permitted to be taken, and document

required or permitted to be executed, under this contract, may be

taken or executed on behalf of the consultant by the Team leader or

his designated representative and on behalf of the Client by the

Executive Engineer, Capital Project Division No.III, G'nagar.

7.03 Notice or Requests:

Any Notice or request required permitted to be given or made under

this contract shall be in writing in the English language such notice

or requested shall be deemed to be duly given of made when it shall

have been delivered by hand, mail or cable to the party to which it is

required to be given or made at such party's address specified

below or at such other address as either party may specify in

writing.

INSTRUCTION FOR PRICE BID

1. PRICE BID :

1.01 In preparing the Price Bid, consultants are expected to take into

account the requirements and conditions of the pre-qualification

and priced bid documents. The Price Bid should follow Standard

Form given in priced bid. The total amount of Consultancy work for

project cost amounting Rs. 3 crore (Approx) quoted by the

consultants shall include all costs associated with the assignment,

including (a) remuneration for staff (local in the field and at

headquarters) and (b) reimbursable such as subsistence (per diem,

housing), transportation (for mobilization and demobilization),

services and equipment (vehicles, office equipment, furniture, and

supplies), office rent, insurance, printing of documents, surveys;

and training, if it is a major component of the assignment and any

other cost which may require to complete the assignment.

1.02 The price Bid should include all taxes, duties, fees levies and other

changes imposed under the applicable law, on the consultants the

sub consultant and their personnel.

1.03 Consultants may express the price of their services in the currently

of Indian Rupees.

1.04 The Data sheet indicated how long the bids must remain valid after

submission date. During this period, the consultant is expected to

keep available the key professional staff proposed for the

assignment. The client will make its best effort to compete

negotiations within this period. If the client wishes to extend the

validity period of the bids, the consultant who do not agree have

the right not to extend the validity of their bids.

2.0 Price Bid shall include followings:

(a) This is a lumpsum contract. You have to quote your total fee for the

whole consultancy work with all expenditure and taxes born by the

contractor.

(b) Price Bid shall include remuneration and per - diem of Key personals

as well as supporting staff, stationary, vehicles, travailing etc.

(c) Price Bid shall include expenses for accommodation for office /

staff etc.

(d) Price Bid shall include Transportation cost perform the service as

per T.O.R.

(e) Price Bid shall include all taxes/service charges etc. as per Govt.

rules time to time

(f) Price Bid shall include over head/ out of pocket expenses.

(g) Price Bid shall include the cost of tools & requirement to perform

the services as per TOR.
