Background

✓ Titan Financial Services Limited (“Titan”) is incorporated in Hong Kong since April 2015. We are
the Licensed Corporation and obtained the Type 1 license (Dealing with securities), Type 6 license
(Advising on corporate finance) under the Securities and Futures Ordinance and we also gained the
qualification of being a Sponsor role of listing shares on Hong Kong Stock Exchange

International and China-based investment banks. Each of us is an expert in market regulations and
industry practices in China and Hong Kong. We are able to provide qualified “cross-border”

Management Team
Mr. Eric Koo (古栢堅)
Managing Director

Mr. Eric Koo obtained a bachelor from HKUST and MBA from the University of Southern California. He has got over
18 years of experience in corporate banking and corporate finance industry. He is responsible for business development
for difference kinds of corporate finance projects, including IPO and financial adviser.

Before joining Titan，Mr. Koo was the Associate director (Investment banking division) of Oriental Patron Asia Limited,
Director of SBI E2-Capital Limited, Executive director of Kingston Corporate Finance Limited, Managing director
(Investment banking division) of Guoxin Securities (HK) Capital Limited and Managing director of Fortune Financial
Capital Limited. Mr. Koo assisted Sumpo Food Holdings Ltd (1089.HK) and A8 Digital Music (0800.HK) to be
successfully listed on the HKEx Main board in January 2011 and June 2008, respectively. He also successfully
completed 5 IPOs in Oriental Patron Asia Limited , including China Infrastructure Port (8233.HK), Hainan Meilan
International Airport (0357.HK), Prosperity International Holdings (8139.HK), Jilin Huinan Changlong Bio-
Pharmaceutical (8049.HK) and Mastery Group (0698.HK). Mr. Koo also participated in different kinds of corporate
finance projects including fund raising of unlisted company, issue of new shares of listed company, merger & acquisition,
reverse acquisition and corporate restructuring.

Mr. Loke Wai Ming (陸偉明)
Managing Director

Mr. Loke is an experienced all-rounded banker, with more than 20 years financial industry experience, having exposure
in commercial and investment banking, securities and capital markets, insurance, export financing, leasing and credit
guarantee companies etc.

Since 2002, Mr Loke, based in Hong Kong, has served Asian investment banking clients in the offices of JP Morgan,
Merrill Lynch, Macquarie Capital, Daiwa Capital, China Everbright Securities HK and RHB HK. He has participated in
many Jumbo (greater than US$1 billion fund raising) IPO transactions, including the three largest Asian IPOs
(Agricultural Bank of China, AIA Insurance and Industrial Commercial Bank of China) and has successfully advised
Asian SME companies from Hong Kong, Malaysia and Singapore in Hong Kong public offerings. Mr Loke has also
advised clients in global mergers and acquisitions transaction worth over US$15 billion. In addition, he also works
closely with respective institutional investors, private equity funds, hedge funds and family investment funds etc.

Mr. Loke holds a Bachelor of Accountancy from Nanyang Technological University and an MBA from Goizueta
Business School, Emory University. He is fluent in Chinese (Putonghua and Cantonese) and English.

Mr. Jerry Chan (陳龍銘)

Senior Director
Mr. Chan obtained a Master of Science in Professional Accounting and Corporate Governance from City University of Hong
Kong in 2014, a Master of Laws from Renmin University of China in 2007, a Master of Laws in International Economic Law
from City University of Hong Kong in 2006, a Bachelor of Laws degree (Hons) from University of London in 2004 and a
Bachelor of Business Administration degree from The Open University of Hong Kong in 2000. He became an associate
member of Hong Kong Institute of Chartered Secretaries and an associate member of Institute of Chartered Secretaries and
Administrators in 2014, and a certified fraud examiner of Association of Certified Fraud Examiners in 2013.

From 2013 to 2016, Mr. Chan was appointed as an Independent Non-Executive Director, Non-executive Director and
Executive Director of China Oil Gangran Energy Group Holdings Limited (stock code: 8132). Mr. Chan was appointed as a
Chief Strategy Officer of EFT Solutions Holdings Limited (stock code: 8062) in June 2017, as appointed the Vice-chairman
of the Company and Executive Director in September 2017 and re-designated to Non-executive Director in February 2019.
Mr. Chan is currently a Chairman and Executive Director of On Real International Holdings Limited (Stock code: 8245).

Ms. Cecilia Tam (譚燕明)

Executive Director

Ms. Cecilia Tam obtained a bachelor of commerce from the University of Melbourne, Australia and was
qualified as a member of CPA Australia.

Ms. Tam has over 12 years of experience in corporate finance industry. Prior to joining Titan Financial
Services Limited, she was the Senior Director of RHB Capital Hong Kong Limited from 2018 to 2019. Ms.
Tam worked in China Tonghai Capital Limited (formerly known as Quam Capital Limited) from 2010 to
2018, with the last position as Director. Prior to that, she also worked at corporate finance department of
UOB Asia (Hong Kong) Limited, investment banking team of Piper Jaffray Asia Limited and reorganisation
services group of Deloitte Touche Tohmatsu.

Mr. Duncan Cheung (章偉鴻)

Director

Mr. Duncan Cheung obtained a Bachelor of Business Administration from CUHK. He has got 10 years of
experience in corporate finance industry. He is responsible for business development for difference kinds of
corporate finance projects, including IPO and financial adviser.

Before joining Titan, Mr. Cheung was the Director of CLC International Limited. During the period from
2010 to 2018, Mr. Cheung assisted Wealth Glory Holdings Ltd (8269.HK), Guru Online (Holdings) Limited
(8121.HK), REF Holdings Limited (8177.HK), Hing Ming Holdings Limited (8425.HK), Goal Rise Logistics
(China) Holdings Limited (8457.HK) and Lumina Group Limited (8470.HK) to be successfully listed on the
GEM of the Stock Exchange in Hong Kong. Mr. Cheung also participated in different kinds of corporate
finance projects including fund raising of unlisted company, issue of new shares of listed company, merger &
acquisition, reverse acquisition and corporate restructuring.
