MINISTERIO DE PLANIFICACION FEDERAL, INVERSION PUBLICA Y SERVICIOS, a través de su titular Ing. Juan Pablo SCHIAVI (en adelante la "ST"), por una parte, CHINA NORTHERN LOCOMOTIVE & ROLLING STOCK INDUSTRY (GROUP) CORPORATION LIMITED, una sociedad constituida bajo las leyes de la Republica Popular de China, con domicilio legal en 15 Quarter One, Fangchengyuan, Fengai Distric, Beijing, Repiblica Popular de China (en adelante, “CNR"), representada en este acto por el Sr. Cui Dianguo, en su caracter de Presidente de la Junta de. Y CONSIDERANDO Que la REPUBLICA ARGENTINA y la REPUBLICA POPULAR CHINA han celebrado una serie de acuerdos que tienen por objetivo la mutua cooperacién en asuntos de infraestructura, Que en el marco del Memorando de Entendimiento sobre la Cooperacién en Actividades Ferroviarias suscripto el 16 noviembre del afio 2004 entre el Estado Argentino y el Estado MPFIGRB®, la SECRETARIA envio a CNR la Nota Nro, 432 de fecha 14/08/2008 por medio de la ce | se lo invitaba a realizar una propuesta vinculada con Ia provision de VEINTE (20) i loGomotoras, SESENTA (60) coches de primera clase, OCHENTA (80) coches de segunda clas@, VEINTE (20) coches restaurant, VEINTE (20) coches de segunda clase con furgén, ven (20) coches dormitorio y VEINTE (20) coches vagones automovileros para lay confirmando que se encontraba en condiciones de proveer las locomotoras y indicados, asi como el financiamiento para dicha operacién. Que CNR envid a la SECRETARIA la carta de intencién de préstamo enviada ‘por el Departamento de Negocios del Banco China Munsheng Banking Corp. Ltd., que se adjunta al expediente administrativo. Que los técnicos de la SECRETARIA y de CNR han realizado y se encuentren realizando reuniones con el objeto de definir los aspectos técnicos de las locomotoras y coches requeridos por la SECRETARIA. Que en tal sentido, las PARTES acuerdan la celebracion del presente Memorandum de Entendimiento (en adelante, e! ‘Memorandum") sujeto a los siguientes términos y condiciones: PRIMERO: CNR se compromete a presentar una propuesta para la provision de VEINTE (20) locomotoras, SESENTA (60) coches de primera clase, OCHENTA (80) coches de segunda clase, VEINTE (20) coches restaurant, VEINTE (20) coches de segunda clase con furgén, VEINTE (20) coches dormitorio y VEINTE (20) coches vagones automovileros para la prestacién de servicios interurbanos de pasajeros, por parte de CNR. SEGUNDO: La SECRETARIA, considera de interés para el sector la declaracién del punto SMIPFIPY: plicable. | 40 oe j ; —“TERCERO: A los fines indicados en el apartado PRIMERO, una vez conformados los | quiitos de viabilidad formal para la aceptacion de la PROPUESTA por parte de la ret SECRETARIA, las PARTES acordaran los términos particulares para la provision del material Todante y de las locomotoras, segtin las necesidades de la SECRETARIA, quedando establecido que en cada caso se acordara también el esquema de financiamiento. A tales AMER. por lo cual promovera su concrecién de conformidad al ordenamiento juridico a | | z i £ z efectos, seré necesaria la previa nominacién de CNR como empresa publica elegible por parte del Gobiemo de la REPUBLICA DE CHINA, en el marco del Memorando de Entendimiento sobre la Cooperacién en Actividades Ferroviarias suscripto el 16 noviembre foundel afio 2004 entre el Estado Argentino y el Estado Chino. CUARTO: Las Partes acuerdan que a los fines de la instrumentacion de la propuesta, se fealizaran reuniones técnicas entre los equipos especializados en la materia de cada una de las Partes. A dichos fines, cada PARTE se hard cargo de todos los gastos ordinarios que demanden los viajes (traslados, estadia, etc.) de sus funcionarios y/u empleados. QUINTO: Las PARTES adoptaran las medidas necesarios para el aprovechamiento del crédito en los términos de la Carta Intencién emitida por ei Banco China Munsheng Banking Corp. Ltd. En prueba de conformidad, en la Beijing, el dia 9 de Diciembre de 2009, se firman 2 (dos) ejemplares de un mismo tenor y a un solo efecto. MPF 3, (MPP SEREAS i109 -——Fhe} Argentine Government and the Chinese Government have entered into a series of agreements intended for mutual cooperation in infrastructure matters. uant to the Memorandum of Understanding on Cooperation in Railway Activities executed on November 16, 2004 between the Argentine Government and the Chinese Government, the SECRETARIAT sent CNR Note No. 432 dated August 14, 2009 whereby it invited CNR to make a proposal in connection with the provision of TWENTY (20) locomotives, SIXTY (60) first-class cars; EIGHTY (80) second-class cars, TWENTY (20) dining cars, TWENTY (20) second-class cars with freight/lluggage car, TWENTY (20) sleeping cars and TWENTY (20) automobile-carrying freight cars for the rendering of intercity passenger transportation services. oy / +Through letter dated October 12, 2009, CNR answered the NOTE accepting the propos’ confirming that it had the capacity to provide the referred locomotives and cars as well as financing for such operation, CNR sent the SECRETARIAT the letter of intent for a loan sent by the Business Department of China Munsheng Banking Corp. Lid. appended to the administrative proceedings. Technicians of the SECRETARIAT and CNR have held and are holding meetings intended to define the technical aspects of the locomotives and cars required by the SECRETARIAT. In this sense, the PARTIES agree to execute this Memorandum of Understanding (hereinafter, the “Memorandum’) subject to the following terms and conditions: ONE: CNR undertakes to present a proposal for the provision of TWENTY (20) locomotives, SIXTY (60) first-class cars; EIGHTY (80) second-class cars, TWENTY (20) dining cars, TWENTY (20) second-class cars with freight/luggage car, TWENTY (20) sleeping cars and TWENTY (20) automobile-carrying freight cars for the rendering of intercity passenger transportation services by CNR MPFIPyS} 4 Q QIWO: The SECRETARIAT considers the statement made in ONE above of interest for the _..sector and therefore, it shall promote the implementation thereof in accordance with applicable legal regulations. REE: For the purposes established in ONE above, once formal feasibility requirements for the PROPOSAL to be accepted by the SECRETARIAT are met, the PARTIES shall agree upon the specific terms for the provision of rolling stock and locomotives, in accordance with the needs of the SECRETARIAT, it being established that the financing mechanism shall also be agreed upon in each case. To this end, it shall be necessary that CNR be previously nominated as eligible public corporation by the Chinese Government pursuant to the Memorandum of Understanding on Cooperation in Railway Activities executed on November 16, 2004 between the Argentine Government and the Chinese Government. poe ;FOUR:,The Parties agree that, for the purpose of implementing the proposal, teci meetings shall be held between the specialized work teams of each Party. For these purposes, each PARTY shall bear all common expenses entailed by the trips of its officers and/or employees (travelling, accommodation expenses, etc). FIVE: The PARTIES shall take the necessary measures to make use of the loan pursuant to the terms of the Letter of Intent issued by China Munsheng Banking Corp. Ltd.
