ARTICLE 1 - SCOPE OF APPLICATION

These Terms and Conditions of Sale “DOC-COM-004”, referred to as “TCS”, define the rights and
obligations of the Société Internationale des Moteurs Baudouin, referred to as “our Company” and of the
Buyer. They are applicable to all contracts between the parties for the sale of products and/or services
undertaken by our Company. They therefore cannot be modified by provisions to the contrary provided in
any documents of the Buyer irrespective of their wording. Thereby, any contrary condition established by the
Buyer shall be against our Company at whatever time this may be brought to its knowledge. Any placement
of an order implies unconditional acceptance of our TCS by the Buyer. Our Company reserves the right to
make changes to these TCS at any time without notice.

ARTICLE 2 - VALIDITY OF THE OFFERS

So that our Company may finalize a tender, the Buyer should send us certain information beforehand in
order for us to draw up an estimate. No estimate can be given without the Buyer having sent the required
information beforehand. Only those tenders of our Company specifically with a period of validity are regarded
as binding. They are not valid except for the period specified in their text. Our offers are established
according to the specific conditions of supply and manufacture and cannot be subject to any contention by
the Buyer, whatever the special economic circumstances that may arise later.

ARTICLE 3 - ACCEPTANCE OF THE ORDER

All orders should be placed via email, mail or fax. Our Company can be retained only if the following
information is included in the order: client contact information (legal stipulations), our quotation number, the
products concerned, price, delivery period, payment terms, specifications defined in the last revision. In any
case, an order sent by the Buyer is considered accepted or accounted only when our Company has sent its
acknowledgement of order. Our Company reserves the right to refuse all orders whose commercial
conditions of price or deadlines do not comply with the tender price issued, whose scope does not
correspond to the products offered by our Company, and which would prove to be technically unfeasible. The
deadlines given for completion, shipment or delivery of equipment start from the date of this
acknowledgement of receipt. Once the order is accepted, any change requested by the Buyer shall be sent
in writing (by mail or fax) and shall be subject to an express and written acceptance on our part. No verbal or
tacit agreement can be invoked. Any change could lead to revision in the delivery time.

ARTICLE 4 - CATALOGUES, PLANS AND OTHER DOCUMENTS

All documents accompanying our offers, such as plans, details of weights and dimensions are indicative.
Additionally, the descriptions and prints on our catalogues, price lists or other descriptive and advertising
documents are only meant for providing general information about our equipment. Unless otherwise
expressly mentioned in writing by our Company, none of these documents constitute a part of the contract.

ARTICLE 5 - PACKAGING
The choice of the type of packaging is the responsibility of the Buyer and the corresponding costs shall be
borne by him/her. Our equipment is packaged by us.

ARTICLE 6 - DELIVERY, TRANSFER OF CUSTODY AND RESPONSIBILITY OF EQUIPMENT

Unless indicated otherwise and agreed upon by the Buyer, all our sales are ex-factory. Delivery is made
upon sending to the buyer by the SiMB sales administration of the notice of availability of the product (s) in
the factory.
Risk transfer is made on the date and time (French) sending the notice. Product (s) are placed under the
responsibility of the buyer that supports so all risks of loss, damages and takes the necessary measures.
After a period of 10 working days after the notice of availability, products (s) are stored upon storage costs at
the rate of 0.5% of the total order value per week begun.

ARTICLE 7 – DELIVERY TIME

- Our delivery times are always indicative times based on an estimated average time. Noted on our offers
and accepted by contract, they are meant for ex-factory equipment. They are counted starting from the date
of our acknowledgement of an order. The deliveries and delivery times can be suspended if the Buyer does
not execute his/her obligations, and especially in the case of non-payment of the price on agreed payment
dates or if he/she does not send us the documents necessary for execution of his/her order.

- The contractual periods may be prolonged for any reason that makes it impossible for our Company to fulfill
its obligations, especially in the case of force majeure. The case of force majeure designates an event over
which we cannot reasonably have any control: strike of our Company staff, lock-out of our premises, delay by
our sub-contractors, suppliers or a strike of their staff, natural disasters, etc. that would prevent us from
executing the order. The obligations of the Buyer, especially for the purpose of settlements, are not
suspended in any case by the non-executions of its obligations by our Company, caused by the events
described above.

Eventual delays can in no case justify the cancellation of the order by the Buyer. If the payment of penalties
for delays is provided for by the contract, their amount can in no case exceed 3% of the ex-works value of
delayed supplies. There cannot be any penalties for delay in case of prolonging of the time in cases referred
to above.

ARTICLE 8 - RECEIPT OF PRODUCTS

The recipient should verify the state of the equipment upon arrival so that within a period of 48 hours, he/she
can take action against the companies to whom the transport was entrusted or delegate one of his/her
representatives to do the same. Any reservation on the delivery and any refusal to take delivery of products
by the Buyer on account of damages shall be expressed in writing and in a precise manner, on the delivery
note as well as on the transport note. It is the responsibility of the Buyer to provide justification regarding the
reality of the discrepancies observed. In the absence of reservations expressly sent in writing by the Buyer
within a period of 5 days starting from the receipt of products, notwithstanding the provisions to be
implemented regarding the carrier, the products shall be deemed to be in conformity with the quantity and
quality in the order.

ARTICLE 9 - FACTORY PERFORMANCE TESTING

- Test - If the Buyer wishes to be present or be represented during these tests, this should be mentioned in
the order. The Buyer should comply with the planning proposed by our Company in order to be present
during the tests. The test certificate delivered will be considered as the sole proof of performances achieved
without which the Buyer may contest the same in any way. We reserve the right to invoice to the Buyer the
additional immobilization costs of the test bed due to a delay. If during the tests, the Buyer, or his/her
representative, requests a change in these, this should be sent to us in writing so that it can be accepted.
This will entail extra billing.

- Performance - All the elements of performance that we provide are founded on our experience and are
those that we expect to obtain from the test benches in our workshops under precise conditions of use,
following the CIMAC (Congrès International des Machines à Combustion/International Congress of
Combustion Engines) recommendations. Our responsibility as regards performance is limited to the power
mentioned on our acknowledged order receipt. Our hardware should be used solely for its intended purpose
and according to the service class specified in the contract.

ARTICLE 10 - PRICE

The rates applicable to the Buyer are based on the price list in force at the time the order is received.
Generally speaking, our contracts are treated as firm quotations, taking into account the foreseeable change
in prices between the order placement and the delivery.

Our prices are: ex-factory, unpackaged, net, discount deducted, in force as of the date of placement of order,
to the name and address of the Buyer, in Euros, the currency of accounts and payment. There can be no
discount applicable to services and provisions such as: protection for long-term storage, packaging,
transport and insurance, acceptance testing by a classification society or power control, torsional vibration
calculations or any other calculations, the IMO certification, coverage extension, etc.

ARTICLE 11 - CONDITIONS OF PAYMENT

The payment conditions are as follows, except in the event that a special clause to the contrary is mentioned
in the order confirmation: 20% down payment on an order by transfer and the balance shall be paid starting
from the date of the invoice. No consideration can be granted in case of advance payment. All the costs
related to payment (banking charges, linked to payment by bill of exchange or other) are to be borne by the
Buyer. The above-mentioned conditions of payment are valid for the limit of amounts and conditions of
coverage accepted by credit insurance. Beyond this limit, the Buyer agrees to pay for the products in full as
per the order. If for reasons beyond its control, our Company can deliver within the time period only a part of
the equipment covered by the contract, we reserve the right, in accordance with the order confirmation, to bill
the Buyer for this equipment once it is available. Additionally, we reserve the right to demand a payment
guarantee (bank guarantee) at any time. Any sum paid late will result in payment of penalties fixed at
minimum three time the legal interest rate. The interest will be calculated on the basis of outstanding sums
and will commence from the due date. The payment will be made in France in the invoice currency. In case
of non-payment after formal notice, the suspension of current orders and deliveries and the return of goods
may be undertaken as mentioned in article 15.

Payment due date - delay in payment - Fixed compensation - decree n. 2012-1115 of October 2nd,
2012:
As from January 1st, 2013, every professional in situation of delay in payment will be debtor by rights,
towards the creditor, of a fixed compensation for collection charges for an amount of 40 € (article L441-6 l al.
12 modified of Commercial Code)

ARTICLE 12 - GUARANTEE

Warranty Coverage
Société Internationale des Moteurs Baudouin (hereinafter referred to as ‘SIMB’) guarantees the absence of
manufacturing defects or defects detectable in current technology of the ordered products (hereinafter
referred to as ‘Product’). The Warranty covers failures and defects due to poor quality of raw materials, poor
manufacturing, or a design fault (hereinafter referred to as a ‘Warrantable Failure’) other than that which is
imposed by the Buyer. The components: cylinder blocks, crankshafts, connecting rods (with the exception of
all wearing parts) are covered by a 36 months guarantee for parts. This Warranty shall not be applicable if
the Product is sold, assigned or transferred in any manner to a new Owner.

Warranty Duration
Our Products are warranted for Warrantable Failure in respect of parts and labour for 12 months from the
date the Products are commissioned by an SIMB Authorized Distributor, Dealer, Agent or SIMB Employees
(hereinafter collectively referred to as ‘SIMB Authorized Representative’) who are empowered to act on
behalf of SIMB. The Warranty cannot extend beyond 18 months after delivery from the factory. The
commissioning must occur within a maximum of 6 months after the date of delivery from the factory. The
commissioning may be deferred within a maximum period of 36 months, thus permitting the continuation of
the contractual Warranty of 12 months, if the equipment is stocked before delivery in accordance with the
conditions of long term storage as per the published guidelines (DT22G01).

SIMB Responsibilities and Obligations


In the event of a Warrantable Failure, SIMB will be responsible for the following:
• Handling, parts and labour required to repair the Product.

• Reasonable travel expenses to and from the Product site location, paid in accordance to SIMB
policy.

Owner Responsibilities and Obligations


The Owner will be responsible for the following:
• The commissioning must be completed by an SIMB Authorized Representative.
• Commissioning documentation must be sent to SIMB within one month of commissioning. If no
evidence is provided, no Warranty claims will be processed, and the Warranty shall not apply.
• The installation must be completed in accordance with SIMB published guidelines.
• Products must be stored in accordance with SIMB published guidelines.
• Products must be used in accordance with the definition of the service class of the engine as sold.
• Products must be maintained in accordance with SIMB’s Operating and Maintenance Manual, and
using only Genuine SIMB components.
• The consumables used must be in accordance with SIMB published guidelines.
• The SIMB Authorized Distributor must be notified in writing within one month from identification of
the defect, within the Warranty period.
In addition, the Owner will be responsible for the following costs:
• Costs associated with rental of equipment used to replace the Product being repaired.
• Costs associated with labour overtime and premium shipping requested by the Owner.
• All downtime expenses, towing or mooring charges, fines, all applicable taxes, and other losses
resulting from a Warrantable Failure.
• Costs associated with the replacement, removal and installation of Products sold by SIMB.

Warranty Limitations
The Warranty does not cover Product failures or defects resulting from:
• Inappropriate use relative to the Duty Class Definition in the Operating and Maintenance Manual
• Failures due to normal wear and tear, and corrosion
• Failures due to inadequate maintenance per the Operating and Maintenance Manual
• Improper storage
• Improper fuel, lube oil or coolant and/or contaminants in fuel, lube oil or coolant
• Assembly not in accordance with the instructions of SIMB
• Modification in products manufactured without the consent of SIMB
• Owner’s or Operator’s negligence, accidents, misuse or neglect
• Replacement parts not authorized by SIMB
• Damage as a result of climate or natural disasters, social conflicts, and all other cases of force
majeure

Warranty of Spare Parts


The Warranty for spare parts is 12 months from the date of delivery. The Warranty Limitations referred to
under the above-mentioned paragraph shall apply to spare parts. The Warranty covers the replacement or
repair of spare parts recognized as defective. The shipping costs of the replacement spare parts are covered
by the Warranty. The labour required for replacement of spare parts recognized as defective is not included
under the spare parts Warranty.

Warranty of Services
The Warranty for work carried out by an SIMB Authorized Representative is 6 months from the date of
completion of the works.

U.S.A. EPA Emissions Control Warranty Statement


The U.S.A. Environmental Protection Agency (EPA), and SIMB warrant to the ultimate Purchaser and each
subsequent Purchaser that the emission control system on your 2016 model year marine engine was
designed, built, and equipped to conform at the time of sale to applicable U.S.A. EPA regulations, and is free
from defects in materials and workmanship which would cause the engine to fail to conform with applicable
regulations for the periods of time listed below (hereinafter referred to as ‘Emissions Warranty”). The
Emissions Warranty period shall begin on the date the equipment is placed into service. SIMB is liable for
damages to other engine components caused by a failure under warranty of any warranted part.
• Recreational Engines: five (5) years or 500 hours of operation, whichever occurs first
• Commercial Engines: five (5) years or 5,000 hours of operation, whichever occurs first

Owner’s Warranty Responsibilities under the Emissions Warranty:


• This engine is designed to operate on marine diesel fuel only. Use of any other fuel may result in the
engine no longer operating in compliance with EPA’s applicable emissions requirements.
• The Purchaser is responsible for initiating the warranty process. You must present the engine to a
SIMB Authorized Representative as soon as a problem exists.
• The use of any non-exempted add-on or modified parts shall be grounds for disallowing a warranty
claim. SIMB is not liable for failures of warranted parts caused by the use of a non-exempted add-on
or modified part.
• The Purchaser is responsible for the performance of all scheduled maintenance or repairs on this
new SIMB engine. SIMB may deny a warranty claim if failure to perform maintenance results in the
failure of a warranted part. Receipts covering the performance of regular maintenance should be
retained in the event questions arise concerning maintenance. The receipts should be transferred to
each subsequent Owner of the equipment with the emission warranted engines.

U.S.A. EPA Emissions Control Warranty Statement Continued


Emissions Warranty Exclusions:
• Malfunctions in any part caused by misuse, abuse, improper adjustments, modifications, alteration,
tampering, disconnection, improper or inadequate maintenance, or use of fuels not recommended
for the engine as described in the Maintenance Manual.
• Damage resulting from accident, acts of nature or other events beyond the control of SIMB.
• Loss of time, inconvenience, loss of use of equipment, engine or commercial loss.

Emission Parts Covered Under Emissions Warranty:


The following is a list of emission control parts that are covered by the Emissions Warranty. This may not
include expendable maintenance items such as nozzle assemblies and rubber flanges. Emission related parts
requiring scheduled maintenance are warranted until their first scheduled replacement point only.

• Fuel system
• Turbocharger
• Electronic control unit
• Sensors and wiring harnesses
• Intercooler
• Miscellaneous items used in the above systems, including: Hoses, connectors, assemblies, clamps,
fittings, tubing, sealing gaskets or devices, and mounting hardware

Emission-related components also include any other part whose only purpose is to reduce emissions
or whose failure will increase emissions without significantly degrading engine/equipment performance.

Parties have agreed all matters arising from or in connection with the Warranty and the Emissions
Warranty, including conclusion, performance, interpretation, will be governed by the laws and
regulations of France.
Any disputes arising from or in connection with the Warranty and the Emissions Warranty shall be
under the jurisdiction of the Commercial court of MARSEILLE (France).

ARTICLE 13 - CLIENT ASSISTANCE

Works carried out outside the premises of our Company or by our authorized representative shall only start
and can only be executed provided the Buyer executes the preparatory services necessary for the proper
execution of works by our Company at his/her cost, risks and perils and whatever the duration of intervention
of our Company.
Generally speaking, the Buyer should provide all the services necessary for the preparation and completion
of works by our Company that will be requested from him/her by our staff. If the Buyer is not able to deliver
the tools or engines necessary, be it directly or through an intermediary third party, our Company can at its
sole discretion, lease him/her the necessary equipment and bill him/her for the same at the current rate of
our Company. Failing this, the services of our Company will not be provided. The delivery, use and return of
this equipment will be at the risk, peril and cost of the Buyer. If the equipment provided by our Company is
returned in a poor condition or is not returned, the Buyer should reimburse the purchase price of this
equipment to us.

ARTICLE 14 - INSTALLATION AND ASSEMBLY

The involvement of our Company is limited to the provision of equipment for sale. The Buyer is responsible:
for the choice, installation, surveys and implementation of all the equipment provided after having carried out
at his/her expense, all works of survey and completion of attachment structures such as sternpost, stiffener
tube, supports, frames.

Equipment compatibility study: all equipment related to products sold by our Company should be subject to a
compatibility study on behalf of the Buyer, Engineering and Design Department or installer. These parties
will be responsible for carrying out surveys and analyses to enable the estimation of the aforementioned
compatibility of the sold equipment with all the minor equipment which could be fixed onto this minor
equipment or to the boat’s underwater hull.

Definition of the installation manager: it is the responsibility of the Buyer to get the installation and assembly
operations done by a master fitter, adhering to the standards of professional practice and to the
requirements of control bodies, in accordance with our instructions. In this capacity, the fitter assumes
responsibility related to his/her duties. Our Company will not assume any responsibility for the same under
these installation and assembly operations. The Buyer should ensure the proper storage of delivered
equipment until its final operation and ensure, at his/her own expense, the provision of necessary resources
for the preparation and execution of acceptance tests of the said equipment. Our Company or its
representatives, along with the installer, should be present during the commissioning tests of all their
equipment. The supervision of external parties, easily accessible, of assembly and participation in
acceptance tests of an installation by our Company or their representatives can in no manner hold them
liable for the installation of the equipment surveyed and executed by a third party. The fitter, under the
responsibility of the Buyer, assumes as the prime contractor, his/her guarantee obligations with respect to
the installation and assembly of the equipment supplied by our Company.

Obligations of the Buyer: in the case of fitting new engines, it is the responsibility of the Buyer to have
verified which current structures of the boat, especially the engine frame/sternpost are likely to suit the new
power required by him/her for the operation of his/her boat. When it comes to a boat with a wooden hull, it is
imperative to hand over the stern tube for checking at least every 10 years.

Reservations: as manufacturer, our Company can issue reservations to the Buyer in case of apparent non-
conformity in the installation of the engine. However, our Company cannot be held responsible for damages
suffered by the Buyer in case of poor installation of the sold product.

ARTICLE 15 - RESERVATION OF OWNERSHIP

The products sold remain the property of our Company until full payment of the price.
- The Buyer is prohibited from selling, pledging or ceding the sold products as a guarantee.
- Furthermore, he/she cannot modify, transform or change them. He/she is required to carefully
maintain the sold products for our Company, and to immediately make the necessary repairs.
- Except in case of force majeure and with the agreement of our Company, the products shall be
repaired in our workshops or in workshops authorized by us.
- He/she should subscribe to an insurance policy guaranteeing the inherent risks from the time of
the notice of availability of products for the amount specified by our Company, while indicating that
our Company is subrogated to the rights and actions arising from the aforementioned insurance.
- He/she shall inform our Company without delay in case of seizure or of any other harm to the
interests of the owner.
- In case of failure to pay the price or installments within the contractual periods, our Company can
repossess the equipment delivered when the contractually agreed due date occurs and after a formal
notice sent by registered post with an acknowledgement of receipt remains unanswered.
- All costs incurred in the recovery of products will be borne by the Buyer. In case of annulment of
the contract, the Buyer will bear the responsibility for all restitution operations.

ARTICLE 16 - CONFIDENTIALITY

Our Company and the Buyer agree to keep confidential all information, technical, commercial or otherwise,
obtained during negotiation and/ or execution of any order.

ARTICLE 17 - INDUSTRIAL AND INTELLECTUAL PROPERTY

The results, data, surveys, patentable or non-patentable information, software developed by our Company
during the execution of any order and sent to the Buyer are the exclusive property of our Company.

ARTICLE 18 - PENALTY CLAUSE

In case of cancellation of an order by the Buyer after the date of acknowledgement of the order or of the
reclaiming of equipment in the context of article 16, the Buyer will be indebted to our Company for damages
and interests agreed to by the penalty clause and fixed as follows: 20% of the tax-free amount of the
standard equipment ordered and the entirety of the sales price of the non-standard equipment.

ARTICLE 19 - RESPONSIBILITY

Our Company, our staff, can only be held responsible, on any basis whatsoever (contractual and tortious
liability, etc.) within the conditions and within the limit where the damages and interests possibly due cannot
exceed an amount of 200,000 € by sale or by provision of services. Our Company shall not be liable for any
damage or interest when the Buyer receives compensation from his/her insurance company.

Any litigation related to our sales is subject to French Law. The parties attribute exclusive jurisdiction to the
