able to develop and refined our proprietary methodology to optimize websites. This is the reason why we are one
of the very few providers who are committed to put our fees partially at risk and offer you a very attractive and
cost competitive, however at the same time highly effective proposal to optimize your domain and internet
presence. It is widely recognized that India and Indian software and web developers have developed leading
expertise in search engine optimization. All our activities are considered “whitehead” in line with google and
other search engine provider guidelines. In summary, MAVERICK offers you both: superior SEO knowledge
combined with a highly attractive, risk-reward based commercial offer.

Our proprietary SEO methodology ensures a continuous set of activities which will ensure that your
webpresence gets optimized over time. While most of our clients see significant improvement in terms of search
engine ratings and positionings after 2 to 3 months, it is important to maintain and expand the efforts over time
to secure the positionings in the long term. In order to secure a sufficient enough flow of traffic to your site, we
offer you to optimize your site for 100 search terms relevant to your business and domain.

We will make recommendations which search terms fit your domain and at the same time are likely to result
in a significant share of relevant traffic to your site.

Terms and Conditions for Search Engine Optimization for USA

∞ The search engine optimization efforts will start upon the date of signing our agreement. The minimum
contract period is 12 months. After the initial 12 months you can cancel our contract at any time with a
notice period of 1 month via email or in writing.

∞ After signing our contract, we will start to optimize your site for 100 search terms which we will research
and agree upon with you. Of course you can also suggest relevant search terms for your site which we
will consider. For each search term one of our experienced native speakers will write a short article which
is optimized in terms under search engine considerations (e.g., keyword density, formatting, etc.). Upon
your approval of each text, we will convert the text into a html document which will look like a sub-site of
your domain and will use your webtemplate (landing page). Again, this programming will be done in a
search engine optimal way so that google and other search engines recognize your new content and

 boost your site on top of the search results for each search term. The attached Excel Table details the
monthly upload schedule of documents – it is most critical that we upload new keywords constantly over
time so that the search engines recognize there is constant activity on your site (On site optimization ).

∞ Furthermore, we will register your domain with prominent web directories and link your page to other
webpresence s with similar content to increase the popularity of your site (offsite optimization) . There is no
additional cost for the directory submissions – all cost is covered by our basic fee.

∞ Our team of search engine experts will continuously work on your search engine documents and
programs and enhance your positioning – this monthly service includes:

1. Re-adjusting and fine-tuning the existing html documents in order to maintain a good positioning
within the search engines (the algorithms by which google and other search engines evaluate and rate
content of sites changes on a monthly basis – if the documents were not adjusted, your positioning s
would fall over time).
2. A continuous expansion of links from other websites and directories in order to boost the popularity of
your webpresence and the number of incoming links from relevant pages.
3. A monthly SEO report which details your positionings within google and at the same time serves as the
basis for our fee bonus which is dependent on the number of Top-10 positionings at google.
4. A dedicated project manager who is available by phone and email for all your questions regarding the
search engine optimization of your domain.

∞ We would charge you a fixed amount of US-$ 300 per month for our efforts which is fixed and not
dependent on achieved search engine rankings.
∞ The first payment is due upon signature of the contract.
∞ The contract runs for a minimum period of 12 months and continues to exist if it is not cancelled in writing
(1 month notice period after completion of initial 12 months).
∞ Payments can be made by international bank wire (all charges need to be born by the customer) or via
credit card (e.g. using www .paypa l.com).
∞ Our invoices are due upon receipt – delay of payment for more than 15 days will result in interest charges
of 8% p.a. Also we will stop our efforts in case the payment is delayed for more than 15 days. This,
however, does not impact the client’s obligation to pay the due amount during the agreed-upon contract
period.

∞ Our monthly fee increases depending on the number of Top-10 positionings for the agreed upon search
terms with google.com:

o Minimum of 6 keywords receiving Top-10 placements with google.com: our monthly fee
increases to US-$ 350 per month
o Minimum of 10 keywords receiving Top-10 placements with google.com: our monthly fee
increases to US-$ 400 per month
o Minimum of 15 keywords receiving Top-10 placements with google.com: our monthly fee
increases to US-$ 450 per month
o Minimum of 20 keywords receiving Top-10 placements with google.com: our monthly fee
increases to US-$ 500 per month
o Minimum of 25 keywords receiving Top-10 placements with google.com: our monthly fee
increases to US-$ 550 per month
o Minimum of 30 keywords receiving Top-10 placements with google.com: our monthly fee
increases to US-$ 600 per month

Note: Although we only check placements of your webpresence with google,

our search engine optimization efforts impact the positioning of your page
among all search engines including but not limited to aol, msn, bing, yahoo and
others. The reason we only check your positionings with google is that
in most countries 70 to 90% of traffic is generated by google searches.
• The maximum monthly payment due provided you have received more than 30 Top placements is hence
US-$ 600 per month.
• Our search engine placement report will list all your placements which you can then check by entering
the relevant search terms in google. The report is considered by both parties as a proof of placements
unless the customer indicates no later than 2 days after receipt of the report any inconsistencies found.
Our project manager will discuss the search engine report with you over the phone and ensure it is well
understood.
• Should you decide to cancel the contract, you agree to delete all developed programs, html and text
documents delivered to you by MAVERICK from your website. These documents are proprietary
intellectual property of MAVERICK and are only assigned to the customer during the term of the contract.
Failure to respect the deletion of these documents will result in a penalty payment from the customer to
MAVERICK of US-$ 3,000. Should the customer continue to use the html documents, programs and text
documents a monthly penalty of US-$ 600 is due and needs to be paid by the customer to MAVERICK.

• This clause sets out the entire financial liability of MAVERICK (including any liability for the acts or
omissions of its employees, agents and sub-contractors) to the client in respect of:-

• any breach of this Agreement;

• any use made by the Client of the Services, the Deliverables or any part of them; and
• any representation, statement or tortious act or omission (including negligence) arising under or in
connection with this Agreement.

• All warranties, conditions and other terms implied by statute of common law are, to the fullest extent
permitted by law, excluded from this Agreement. MAVERICK makes no representation or warranty,
express or implied, regarding suitability, originality, fitness for a particular use or purpose, or results to be
derived from the use of any materials, deliverables or services provided under this Agreement.
MAVERICK does not guarantee that any work, product or deliverable will be error free.

• MAVERICK shall not be liable, whether in tort (including fraud, negligence or breach of statutory duty),
contract, misrepresentation or otherwise for:

• loss of profit; or
• loss of business; or
• depletion of goodwill and/or similar losses; or
• loss of anticipated savings; or
• loss of use or interruption of business; or
• loss or corruption of data or information;
• any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses.
• MAVERICK total liability in contract tort (including negligence or breach of statutory duty),
misrepresentation, restitution or otherwise arising in connection with the performance or contemplated
performance of this Agreement shall be limited to US-$ 1,000.

• This Agreement and any dispute or claim arising out of or in connection with it or its subject matter, shall
be governed by, and construed in accordance with, the law of the United States of America. The parties
irrevocably agree that the courts of the United States shall have non-exclusive jurisdiction to settle any
dispute or claim that arises out of or in connection with this Agreement or its subject matter.
