This preliminary proposal does not include estimates for items outlined in the ‘Next
Steps’ section of this proposal. Although they are all integral to the overall scope of
what DESIGNER understands its mission to be, items in ‘Next Steps’ require either
further information or are later steps that we foresee in the near future.

Identify and/or obtain, unless otherwise agreed, all elements to be included as
content for this project on an ‘as needed’ basis.

D. Responsibilities of DESIGNER
Handle all aspects of development, production and delivery with client review at
various milestones throughout the project, limited to:

• Build a website that handles all aspects of the scoped project.


• Consult with THE CLIENT on content and advanced system architecture.
• Work with THE CLIENT to identify functionality and design all
navigation necessary for “Ease of Use.”
• Beta test the Internet application and debug.

E. Assumptions

I. Content
Content refers to all of the pertinent information that is readily available to Internet
users at the website. THE CLIENT will provide all content in various web and print-
ready formats and will own the rights to all material supplied on the website.

Additional images may be necessary to complete the ‘look and feel’ of certain
sections of the site. THE CLIENT will provide these images. If required, DESIGNER
will search Internet resources and photo archives for images that match the need and
present them to the client for review and payment to the appropriate image provider
upon approval. The cost of use of each image on the Web ranges from $25 and up.

J. Web Hosting
TBD . Hosting can be provided by DESIGNER and is addressed in the ‘Website
Pricing’ section.

K. Web Statistics
Statistic tracking is provided by Urchin and is included with all web hosting options
provided by DESIGNER.

L. Flowchart Overview
The preliminary flowchart included in this proposal defines navigational elements and
scope of work for the project. Each element in the flowchart represents either a page
in the site or a description of the section.

M. Copywriting Services

Design Process

P hase I : S ite D efinition / I nformation A rchitecture


A. Discovery Meeting/Client Survey
A round table composed of the project manager, designers and THE CLIENT is

scheduled. Prior to the round table, all available content and planning materials
will be shared among team members. Once the date and venue have been set, CLIENT
a forum will be conducted wherein specific questions will be asked that lead to a
‘website profile’ of the new site. At this point, our understanding of roles played
by each team will be formalized. Website

B. Creative Brief Produced
Proposal
The ‘creative brief’ is a structured summary of the design issues addressed
during the client survey. This will be distributed to all team members. Technical
needs, logistical procedures and back-end integration will be reviewed at this
stage.

D. Milestones/Schedule Finalized
Milestones will be mutually scheduled to insure timely submission of deliverables
for each phase by DESIGNER. Deadlines will also be set for THE CLIENT to
deliver content, branded collateral and marketing materials. Technical needs,
logistical procedures and back-end integration will also be reviewed at this stage.

E. Content/Assets Overview
At this stage, we begin reviewing, finalizing and setting dates to deliver the
content necessary to begin art production. Textual content, logos and images
required will be provided digitally to Jessica in any of the following PC file formats:

Graphics - .eps, .psd, .tif, .jpg (maximum compression), .ai, .gif (256 colors),
.wmf, .swf

F. Web Flowchart Finalized


The flowchart representing site navigation will be reviewed. At this stage,
DESIGNER will also analyze and streamline the site to minimize the amount of
mouse clicks for a typical user to arrive at relevant content.

G. Creation of Staging Area


DESIGNER will create a staging area for the purpose of viewing work in progress,
tests, concept designs, etc. The area will be accessible on the Web through a
private URL, knowledge of which should be limited strictly to the parties involved.

A. Submission of Mood Palette


This stage involves the production of a ‘mood palette’ that is an actual graphical
representation of the creative brief. The mood palette depicts images, colors, THE
keywords and phrases representing the overall ‘look and feel’ of the new site.

B. Concept Designs
Based on thorough understanding of the project goals and the target audience, Website
DESIGNER will develop three (3) design concepts. They will serve as

inspiration for subsequent identity and web site design directions. The visual
components addressed will include identity, mood, color palette, graphic design, Proposal
typographical treatments and navigation.

C. Final Design Presentation


Based on feedback from the design concepts, DESIGNER will create one
distinctive art direction for the site. The final design presentation will include
sample primary (home page), secondary (main sections) and tertiary page
(typical information page) designs in a flattened image format. Colors and fonts
are also finalized at this stage.

D. Creation of HTML Templates


At this stage, the final content should have been delivered to DESIGNER to
begin HTML template creation. HTML and Javascript coding begins at this
stage. Graphics will also be optimized as .gif and .jpg files. HTML templates will
be created to serve as the basis for layouts for primary, secondary and tertiary
pages.

E. Art Production/Collection of Images


Design of accent images, header graphics, navigational buttons, and icons for
main sections of the site begins in earnest at this stage. Art direction will follow
the site structure and guidelines determined by the creative brief and final design
presentation.

Additional images may be necessary to complete the ‘look and feel’ of certain
sections of the site. THE CLIENT will provide these images. If required, Jessica
will search Internet resources and photo archives for images that match the need
and present them to THE CLIENT for review and payment to the appropriate

A. Keyword Generation
If applicable, page titles, page descriptions and one set of keywords are
generated at this time. This process helps Internet search engines and directories THE
(i.e. Yahoo!, MSN, Google, etc.) index the site.

B. Browser/Type/Links Proofing
DESIGNER will test the prototype under different browsers including the latest Website
versions of Internet Explorer and Firefox on a PC platform. Any errors with browser

formats will be addressed at this time. Other issues such as broken links and type

C. Testing & Acceptance/Final Edits


At this stage, a copy of the site files will be uploaded for testing, edits and
acceptance on the website platform. It is the final responsibility of THE CLIENT
to proof the site for any other errors for which edits will then be performed by
DESIGNER. Final sign-off on the site is performed at this stage.

D. Launch Site
Upon approval, files are uploaded and site is launched.

Website Pricing
1. Website Design

The main website design includes the creation of design concepts, final design
presentation, HTML coding/templates, primary and secondary page designs.

In addition to secure hosting, this monthly charge accounts for two (2) hours of
client and technical support, addition/deletion of photos, textual changes and minor

maintenance shall be one year from the date contract is signed. Additional hours (if Design
needed) will be billed at a rate of $50.00/hour.

Changes
Changes to the agreed upon project specifications can result in a revision to
costs and timeline of the project and will constitute a signed change order.
Estimates assume the use of existing materials and media. Creation of any video or
photography will constitute a possible revision to this proposal.

ever, based upon our understanding of the scope of the requirements, we have out-

Terms and Conditions

1. Time for Payment


Payment is due at each milestone upon acceptance of the Deliverables by THE CLIENT. All invoices are
payable within ten (15) days of receipt. A 1% monthly service charge is payable on all overdue balances af-
ter a grace period of fifteen (15) days. The grant of any license or right of copyright is conditioned on receipt
of full payment.

THE CLIENT shall assume responsibility for all collection of legal fees necessitated by default in payment. CLIENT

THE CLIENT shall reimburse DESIGNER for all expenses arising from this assignment, including the pay-

ment of any sales taxes due on this assignment.

4. Internet Access
Access to Internet will be provided by a separate Internet Service Provider (ISP) to be contracted by THE Proposal
CLIENT and who will not be party to this agreement.

5. Progress Reports
DESIGNER shall contact or meet with THE CLIENT on a mutually acceptable schedule to report all tasks
completed, problems encountered, and recommended changes relating to the development and testing of
the website. DESIGNER shall inform THE CLIENT promptly by telephone or e-mail upon discovery of any
event or problem that may delay the development of the work significantly.

6. Changes/Revisions
DESIGNER shall deliver to THE CLIENT the web program and other materials developed by DESIGNER in
accordance with the terms specified in this Sales Order. THE CLIENT shall be provided two (2) opportuni-
ties to alter the proposed web design after the delivery of the concept designs to THE CLIENT for review;
two (2) opportunities to alter the proposed web program after all user requirements and functional require-
ment have been completed.

7. Testing and Acceptance Procedures


DESIGNER will make every good faith effort to test all deliverables thoroughly and make all necessary cor-
rections as a result of such testing prior to handing over the deliverables to THE CLIENT. Upon receipt of
the deliverables, THE CLIENT shall either accept the deliverable and make the milestone payment set forth
herein or provide DESIGNER with written or e-mail notice of any corrections to be made and a suggested
date for completion which should be mutually acceptable to both DESIGNER and THE CLIENT. DESIGNER
and THE CLIENT shall each designate one representative as the only designated persons who will send
and accept all deliverables and receive and make all communications between DESIGNER and THE CLI-
ENT. Neither party shall have any obligation to consider for approval or respond to materials submitted other
than through the designated persons. Each party has the right to change its designated person upon 2 days
notice to the other.

8. Warranty Period
DESIGNER agrees to provide THE CLIENT with reasonable technical support and assistance to maintain
and update the web site on the Internet during the warranty period of fifteen (15) days after publishing
the website to its final domain name at no cost to THE CLIENT. Such assistance shall not exceed a total
of ten (5) hours. The warranty period shall not include the development of enhancements to the originally
contracted project.

9. Website Maintenance
After the expiration of the Warranty Period THE CLIENT may opt to enter into a new agreement for website
maintenance wherein DESIGNER agrees to provide a reasonable technical support and assistance to
maintain and update the website on the Internet for an agreed upon annual fee after the last day of the
Warranty Period payable thirty (30) days prior to the commencement date of each year of the Maintenance
Period. Such maintenance shall include correcting any errors or any failure of the website to conform to the
specifications. Maintenance shall not include the development of enhancements to the originally contracted
project.

10. Enhancements
Under the maintenance agreement, if THE CLIENT wishes to modify the website, DESIGNER shall be given
first option to provide a bid to perform such enhancements.

11. Confidential Information


DESIGNER acknowledges and agrees that the source materials and technical and marketing plans or
other sensitive business information, as specified by THE CLIENT, including all materials containing said
information, which are supplied by THE CLIENT to DESIGNER or developed by DESIGNER in the course

of developing the Website are to be considered confidential information. Information shall not be considered
confidential if it is already publicly known through no act of DESIGNER.

12. Cancellation
In the event of cancellation of this assignment, ownership of all copyrights and any original artwork shall be
retained by DESIGNER, and a cancellation fee for work completed, based on the prorated portion of the
next payment and expenses already incurred, shall be paid by THE CLIENT.

13. Copy-Protection
THE CLIENT must copy-protect all final art which is the subject of this agreement against duplication or CLIENT
alteration.

14. Unauthorized Use and Program Licenses


THE CLIENT will indemnify DESIGNER against all claims and expenses arising from uses for which THE Website
CLIENT does not have rights to or authority to use. THE CLIENT will be responsible for pay­ment of any

special licensing or roy­alty fees resulting from the use of graphics programs that require such payments.

15. Warranty of Originality
DESIGNER warrants and repre­sents that, to the best of his/her knowledge, the work assigned here­under is
original, or that con­sent to use has been obtained on an unlimited basis; that all work or portions thereof ob-
tained through the undersigned from third parties is original or, if previously published, that consent to use
has been obtained on an unlimited basis; that DESIGNER has full authority to make this agreement; and
that the work prepared by DESIGNER does not contain any scandalous, libelous, or unlawful matter. This
warranty does not extend to any uses that THE CLIENT or others may make of DESIGNER’s product which
may infringe on the rights of others. THE CLIENT EXPRESSLY AGREES THAT IT WILL HOLD DESIGNER
HARMLESS FOR ALL LIABILITY CAUSED BY THE CLIENT’S USE OF DESIGNER’S PRODUCT TO THE
EXTENT SUCH USE INFRINGES ON THE RIGHTS OF OTHERS.

16. Limitation of Liability


THE CLIENT agrees that it shall not hold DESIGNER or his/her agents or employees liable for any inciden-
tal or consequential damages which arise from DESIGNER’s failure to perform any aspect of the Project in
a timely manner, regardless of whether such failure was caused by intentional or negligent acts or omis-
sions of DESIGNER or a third party. Furthermore, DESIGNER disclaims all implied warranties, including the
warranty of merchantability and fitness for a particular use.

17. Dispute Resolution


Any disputes in excess of $2,500 (maximum limit for small claims court) arising out of this Agreement shall
be submitted to binding arbitration before the Joint Ethics Committee or a mutual­ly agreed upon arbitrator
pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judg-
ment may be entered in any court having jurisdiction there­of. THE CLIENT shall pay all arbitra­tion and court
costs, reasonable attorney’s fees, and legal interest on any award of judgment in favor of DESIGNER.

18. Confidential Proposal


Pricing, design process and other data contained in this proposal should be deemed as proprietary and
confidential. THE CLIENT will not use, share, publish or sell data for marketing or any other purpose without
the express written consent of DESIGNER.

19. Acceptance of Terms


The signature of both parties shall evidence acceptance of these terms.
