Memorandum of Association of
Maddhobharat Probasi Bangiya Parishad, Bhopal (M.P.)

1. Name of the society shall be "MADDHOBHARAT PROBASI BANGIYA PARISHAD".


2. Head office of the society will be situated at E-7/803, Arera Colony, Bhopal.
3. Objects of the society shall be as under:
(i) Develop testament of the significant contributions of the Bengali residents of M.P. to
various sectors of society.
(ii) Promote Bengali culture and traditions in the State and expand their scope at the
national & global level.
(iii) Develop future road map and action plan for institutionalizing Bengali culture and
traditions in the State and the Country.
(iv) Create directory of the Bengali communities of the State.
(v) Under take all such lawful activity as may be incidental to the objects of the MPBP.
4. The objects of the Maddhobharat Probasi Bangiya Parishad shall be confined to whole
Madhya Pradesh and India.
5. (i) The income and property of the Maddhobharat Probasi Bangiya Parishad whenever
derived shall be applied solely for the promotion of its objects as set forth in this
memorandum.
(ii) No portion of the income or property aforesaid, shall be paid or transferred directly
or indirectly by way of dividends, bonus, or otherwise by way of profit to persons
who, at any time are, or have been members of the corporation or to any one or
more of them.
Provided that:
(a) No remuneration or other benefit in money or money's worth shall be given by the
Maddhobharat Probasi Bangiya Parishad to any of its members, whether officers or
servants of the Maddhobharat Probasi Bangiya Parishad or not, except payment of
out of pocket expenses, reasonable and proper interest on money lent.
(b) No member shall be appointed to any office under the Maddhobharat Probasi
Bangiya Parishad which is remunerated by the salary, fees or in any other manner
not excepted by Clause (a);
(c) Nothing in this clause shall prevent the payment by the Maddhobharat Probasi
Bangiya Parishad in good faith, of reasonable remuneration to any of its officers or
servants (not being members) or to any other person (not being member) in return
for any service actually rendered to the Maddhobharat Probasi Bangiya Parishad.
6. No alteration shall be made in the memorandum of association or in the articles of
association of the Maddhobharat Probasi Bangiya Parishad which are for the time being in
force, except in accordance with the provisions of the Society Registration Act and Rules
made thereunder.
7. The liabilities of the members are limited.
8. True accounts shall be kept of all the sums of money received and expended by the
Maddhobharat Probasi Bangiya Parishad and the matters, in respect of which such receipts
and expenditure take place and of the property credits and liabilities of the Maddhobharat
Probasi Bangiya Parishad and subject to the reasonable restrictions as to the time and
manner of inspecting the same that may be imposed in accordance with the regulations of
the Maddhobharat Probasi Bangiya Parishad for the time being in force, the account shall
be open to the inspection of the members. Once at least in every year the accounts of the
Maddhobharat Probasi Bangiya Parishad shall be examined and the correctness of the
Balance Sheet, Receipts and Payments accounts for the period under review and the
income and expenditure account ascertained by one or more properly qualified auditor or
auditors.
9. If upon a winding up or dissolution, there remains after the satisfaction of all the debts and
liabilities, any property, what-so-ever, the same shall not be distributed amongst the
members of the Maddhobharat Probasi Bangiya Parishad but shall be given or transferred
to such other organisation having objects similar to the objects of the Maddhobharat
Probasi Bangiya Parishad to be determined by the Registrar, appointed under the Society
Registration Act.

10. We, the several persons whose names, addresses, descriptions and occupations are herein
to be subscribed are desirous of being formed in to an association not for profit, in
pursuance of this memorandum of associations.
Names, occupation, addresses and designations along with their signature of the
subscribers to the Memorandum of Association of Prabhashi Bengali’s Maddhobharat
Probasi Bangiya Parishad, Bhopal.

Article of Association of
Maddhobharat Probasi Bangiya Parishad, Bhopal (M.P.)

1. Membership
Any Bengali Association (through its President / General Secretary) of the State thro an
affiliation fee as decided by the Executive committee.
(a) The Executive committee may admit any one not less than 18 years of age and of
sound mind, to membership of the Maddhobharat Probasi Bangiya Parishad.
(b) The Executive committee can decided Life Member and minimum fee as and when
required.
2. Ceasing of Membership
A person shall automatically cease to be a member of the Maddhobharat Probasi Bangiya
Parishad:-
(a) On acceptance of his resignation by the President or the Executive committee.
(b) On conviction in a Court of Law for an offence involving moral turpitude, or
(c) On expulsion from membership by the MPBP.
3. Patrons
Any person may be made a patron of the Maddhobharat Probasi Bangiya Parishad by a
unanimous resolution of the Executive committee or by a resolution passed by a simple
majority of the General body of Maddhobharat Probasi Bangiya Parishad, thro certain
condition of donate and contribution.
4. Register of Members
(a) A register of members shall be maintained at the registered office of the
Maddhobharat Probasi Bangiya Parishad Names of all subscribers to the
memorandum of Association and every other person who agrees to become a
member of the Maddhobharat Probasi Bangiya Parishad shall be entered in the
register.
(b) The following particulars should be entered;
(i) The name and address of each members.
(ii) The date on which each member was registered in the register as a member;
and
(iii) The date on which any member ceased to be a member.
(c) The register shall be prima facie evidence of any matter directed to be inserted or
authorized to be inserted therein.
5. Executive committee (Co-ordination Committee) (Co-ordination Committee)
(a) The Executive committee (Co-ordination Committee) shall consist of Eleven (11)
members including the President, Three Vice Presidents, the Secretary, the
Treasurer, One (01) Joint Secretary and Four (04) other members. Each of them
shall be elected by the General Body of the MPBP on the basis of simple majority and

shall be in office for a period of three years till the successor member or office
bearers is inducted in to office.
(b) A register of members of Executive committee (Co-ordination Committee) shall be
kept at the registered office containing the name and usual residential address, in
full, of each of them.
(c) The Secretary shall, within 30 days of the appointment of the Executive committee
(Co-ordination Committee) or within 30 days of any change among its members,
send to the Registrar a return in the prescribed form containing;
(i) The name and surname in full of each member of the Executive committee
(Co-ordination Committee);
(ii) His usual residential address;
(iii) His nationality; and
(iv) His business or occupation, if any.
6. Functions of the Executive committee (Co-ordination Committee)
(a) The Executive committee (Co-ordination Committee) shall be responsible for
conducting all activities of the Maddhobharat Probasi Bangiya Parishad and is
empowered to take any action that may be necessary for carrying out the objects of
the Maddhobharat Probasi Bangiya Parishad as stated in the Memorandum of
Association of the Maddhobharat Probasi Bangiya Parishad.
(b) Without prejudice to the generality of the foregoing clause, the Executive committee
(Co-ordination Committee) is empowered,
(i) to frame procedure for conduct of its business
(ii) to appoint sub-committee of its members for specific purposes and to define
the powers of each sub-committee
(iii) to assign any duties in connection with the work of the Maddhobharat Probasi
Bangiya Parishad to a member of the Executive committee (Co-ordination
Committee) who is not an office bearer
(iv) to collaborate with organisations working for any of the objects of the
Maddhobharat Probasi Bangiya Parishad
(v) to fill up vacancies in the Executive committee (Co-ordination Committee) by
co-opting members.
(vi) to accept resignation of members of the Executive Body and of members of the
Maddhobharat Probasi Bangiya Parishad
(vii) to approach the Government of India, the Government of Madhya Pradesh or
any other body or individual for grant of land, loan, cash subsidy and any other
help and to accept the same on behalf of the Maddhobharat Probasi Bangiya
Parishad.
(viii) to convene General Body meetings of the Maddhobharat Probasi Bangiya
Parishad and to decide the agenda for such meetings.
(ix) to do all such lawful acts as may be incidental to the objects of the
Maddhobharat Probasi Bangiya Parishad as enumerated in the Memorandum of
Association.
(c) The Executive committee (Co-ordination Committee) shall not, except with the
consent of the Maddhobharat Probasi Bangiya Parishad in General Meeting.
(i) Sell, Lease or otherwise dispose of the whole or substantially the whole, of the
undertaking of the Maddhobharat Probasi Bangiya Parishad or where the
Maddhobharat Probasi Bangiya Parishad owns more than one under taking the
whole or substantially the whole of any such undertaking.
(ii) Remit or give time for the repayment of any debt due by a member of the
Executive Committee (Co-ordination Committee).
(iii) Invest, otherwise than in trust Securities, the sale proceeds resulting from the
disposal, without the consent of the Maddhobharat Probasi Bangiya Parishad of
any such undertaking as is referred to in clause (a), or of any premises or
properties used for any such undertaking and, without which it, can not be
carried on or can be carried on only with difficulty, or only after a considerable
time.
(iv) Borrow moneys where the moneys to be borrowed.

(v) Contribute to charitable and other funds not directly relating to the objects of
the Maddhobharat Probasi Bangiya Parishad or the welfare of its employees.
7. Meeting of the Executive Committee (Co-ordination Committee)
(a) The Executive committee (Co-ordination Committee) shall hold, as far as practicable
one meeting in every month subject to a minimum of six meetings per year.
(b) The Secretary shall convene the meetings with the prior approval of the president,
giving at least 24 hours notice. The notice shall specify the date, time, place and
agenda for the meeting. The notice shall be preferably in writing and it may be sent
be post or through a messenger or conveyed on phone.
(c) Quorum for the meeting shall be 2/3rd members.
(d) In the absence of the president and the Vice President, one of the members of the
Executive Committee (Co-ordination Committee), other than an office bearer shall be
appointed by the members present as Chairman of the meeting.
(e) Except where specified otherwise, all decisions shall be taken by a majority of votes,
of the members present and voting. In the event of equality of votes, the Chairman
of the meeting shall have a casting vote.
8. Dissolution of the Executive Committee (Co-ordination Committee)
If at any time the Executive Committee (Co-ordination Committee) becomes defunct or
indulges in activities prejudicial to the objects of the Maddhobharat Probasi Bangiya
Parishad five or more members of the Maddhobharat Probasi Bangiya Parishad may
convene a meeting of all the members to review the working of the Executive committee
(Co-ordination Committee). All the members of the Executive Committee (Co-ordination
Committee) shall be invited to such a meeting. At least, a week's notice in writing should
be given for holding such a meeting. Notice should specify in detail the points to be
discussed in the meeting. The Executive Committee (Co-ordination Committee) may be
dissolved and ad-hoc Committee may be appointed to perform the functions of the
Executive Committee (Co-ordination Committee), by a resolution passed by two thirds
majority of the members present at the meeting. The ad-hoc Committee's life shall not
exceed three months within which period a meeting of all members of the Maddhobharat
Probasi Bangiya Parishad should be held to elect a new Executive Committee (Co-
ordination Committee).
9. General Body Meeting
(a) The first general body meeting, after these articles of association are adopted, shall
constitute the first annual General meeting.
(b) The next annual general meeting of the Maddhobharat Probasi Bangiya Parishad
shall be held within 9 months after the expiry of financial year, in which the first
annual general meeting was held and thereafter an annual general meeting shall be
held by the Maddhobharat Probasi Bangiya Parishad within nine months after the
expiry of each financial year.
(c) Except with the permission of the Registrar of Societies, Madhya Pradesh
(hereinafter refereed to as Registrar) not more than 18 months shall elapse between
the date of one annual general meeting and that of the next.
(d) The Maddhobharat Probasi Bangiya Parishad shall within 30 days from the date on
which every annual general meeting is held, submit to the Registrar a return in the
prescribed form stating.
(i) The date of such meeting
(ii) The particulars about the place of such meeting, and
(iii) Names of members and officers of the MPBP at the time of such meeting
10. Convening of General body Meeting
(a) The Secretary shall convene General Body meetings of the Maddhobharat Probasi
Bangiya Parishad with prior approval of the President or the Executive committee
(Co-ordination Committee).
(b) One week's clear notice shall be given for holding a meeting. The notice shall specify
the date, time, place and agenda for the meeting. The place may be either the office
of the Maddhobharat Probasi Bangiya Parishad or some other place in Bhopal and the
notice calling the meeting shall specify it as the annual general body meeting. The
notice which may be preferably in writing may be sent to members by post or
through a messenger.

(c) If or 2/3rd members of the Maddhobharat Probasi Bangiya Parishad request the
president in writing to hold a meeting for discussing the subject(s) specified by
them, the President shall ensure that a meeting is held within three weeks of receipt
of the request, after giving due notice to members.
(d) Quorum for the meeting shall be one fourth the total number of members on the
rolls of the General Body which ever is less.
(e) Except where specified otherwise, all decisions shall be made by majority of votes of
members present and voting. In the event of equality of votes, Chairman of the
meeting shall have a casting vote.
(f) General body meeting may be called for special purposes.
11. Conduct of meetings
(a) Proceeding at the meetings of the general body of the Maddhobharat Probasi
Bangiya Parishad the Executive Committee (Co-ordination Committee) and the Sub-
Committee shall be conducted by the Chairman of the meeting at his discretion.
(b) If, within 30 minutes from the time announced for holding the meeting, there is no
quorum, the meeting if convened on the requisition of members, shall stand
dissolved. In any other case, it shall adjourn and meets again, soon after, on the
same day at a time to be announced by the Chairman of the meeting or shall stand
adjourned to the same day in the next week at the same time and place. No quorum
shall be necessary for such an adjourned meeting and it shall be competent to
dispose of all business which would have been brought before the earlier meeting
which was adjourned.
12. Minutes of the proceedings of meeting
(a) (i) The Secretary shall write minutes of all proceedings of general body meetings
and at meetings of the Executive Committee (Co-ordination Committee) to be
entered in books kept for that purpose.
(ii) The minutes of each meeting shall contain a fair and correct summary of the
proceeding.
(iii) All appointments of officials made at any of the meetings aforesaid shall be
included in the minutes of the meeting.
(iv) In the case of meetings of the Executive Committee (Co-ordination Committee)
the minutes shall also contain the names of the members of the Executive
committee (Co-ordination Committee) present at the meeting.
(b) Nothing contained in Clause (a) shall be deemed to require the inclusion in any such
minutes of any matter which, in the opinion of the Chairman of the meeting.
(i) is or could reasonably be regarded as defamatory of any person,
(ii) is irrelevant or immaterial to the proceedings,
(iii) is detrimental to the interest of the Maddhobharat Probasi Bangiya Parishad.
Explanation: These minutes shall be signed by the Chairman of the
meeting at which the proceedings take place or by the
Chairman of the next succeeding meeting.
(c) The books containing the minutes of the proceedings of any general body meeting of
the Maddhobharat Probasi Bangiya Parishad shall be made available for inspection to
any member of the Maddhobharat Probasi Bangiya Parishad without charges. Any
member shall be entitled to be furnished with 7 days, after he had made a request in
that behalf to the Secretary, a copy of any minutes on payment of Rs. 50/- . The
copy is to be certified by the Secretary.
13. Validity of Proceedings
Anything done or any proceedings of the Executive Committee (Co-ordination Committee)
or the Maddhobharat Probasi Bangiya Parishad shall not be invalid on account of any
vacancy there in, or in any defect in constitution.
14. Elections
Procedure for election of office bearers and members of the Executive committee (Co-
ordination Committee) and to various bodies of the Maddhobharat Probasi Bangiya
Parishad shall be determined by the President.
15. President

(a) The President shall exercise all powers of the Executive Committee (Co-ordination
Committee) in respect of day to day working of the Maddhobharat Probasi Bangiya
Parishad subject to directives of the Maddhobharat Probasi Bangiya Parishad and the
Executive Committee (Co-ordination Committee).
(b) Without prejudice to the generality of the foregoing clause, the President shall have
the following powers and functions:
(i) to approve expenditure upto Rs.50,000/- and / or as decided by Executive
committee.
(ii) to appoint to remove from service, or to punish employees of the
Maddhobharat Probasi Bangiya Parishad
(iii) to suspend any office bearer, subject to approval by the Executive committee
(Co-ordination Committee) within two weeks.
(iv) to suspend the Executive Committee (Co-ordination Committee), subject to
approval of the members of the Maddhobharat Probasi Bangiya Parishad within
one month.
(v) to suspend any resolution of the Executive committee (Co-ordination
Committee) which in his opinion is illegal or ultravires to the Memorandum of
Association of the Maddhobharat Probasi Bangiya Parishad or calculated to
harm the interests of the Maddhobharat Probasi Bangiya Parishad.
(vi) to delegate any of his powers to any Vice president or in his absence any
member of the Executive committee (Co-ordination Committee) by an order in
writing, to the extent and subject to limits specified therein.
(vii) to execute agreements and contracts and to sign legal documents on behalf of
the Maddhobharat Probasi Bangiya Parishad, and
(viii) to preside over meetings of the Maddhobharat Probasi Bangiya Parishad and
the Executive committee (Co-ordination Committee).
16. Vice Presidents
The Vice Presidents shall generally assist the President in his duties and shall have
functions and powers as may by delegated by the President. In the absence of the
President one of the Vice Presidents shall perform the duties and exercise the powers of
the President.
17. Secretary
(a) The Secretary shall be the Executive Officer of the Maddhobharat Probasi Bangiya
Parishad. He shall be responsible for the day-to-day conduct of all activities,
subject to directives of the General Body of the Maddhobharat Probasi Bangiya
Parishad of Executive Committee and the President.
(b) Without prejudice to the generality of the foregoing clause, the Secretary shall
have the following powers and function.
(i) to approve expenditure upto Rs. 10,000/- with the approval of President.
(ii) to supervice activities of the various departments of the Maddhobharat Probasi
Bangiya Parishad and the institutions run by it
(iii) to permit use of the buildings and assets of the Maddhobharat Probasi Bangiya
Parishad in accordance with the policy approved by the Executive committee
(Co-ordination Committee);
(iv) to supervise work of employees of the Maddhobharat Probasi Bangiya Parishad
and to recommend punishment of employees to the president;
(v) to delegate any of his powers to the any of the Joint Secretaries and in the
absence of the Joint Secretary to any member of the Executive committee (Co-
ordination Committee);
(vi) to execute agreements and contracts and to sign legal documents on behalf of
the Maddhobharat Probasi Bangiya Parishad in accordance with the decisions of
the Executive committee (Co-ordination Committee);
(vii) to maintain the following:
1) Register of members;
2) Register of members of Executive committee (Co-ordination Committee);

3) Minutes book of the proceedings of the General Body meetings of the
Maddhobharat Probasi Bangiya Parishad.
4) Minutes book of the proceedings of the Executive committee (Co-
ordination Committee) meetings of the Maddhobharat Probasi Bangiya
Parishad.

18. Joint Secretaries


(a) The Joint Secretaries shall generally assist the Secretary in his duties and shall have
functions and powers as may be delegated by the Secretary;
(b) During the absence of the Secretary the Joint Secretaries shall exercise powers and
functions of the Secretary.
19. Treasurer
(a) The Treasurer shall have the custody of the funds of the Maddhobharat Probasi
Bangiya Parishad.
(b) The Treasurer shall make payments out of the funds of the Maddhobharat Probasi
Bangiya Parishad for expenditure authorised by an office bearer or member of the
Maddhobharat Probasi Bangiya Parishad within limits of the powers conferred on him
by or in accordance with these articles.
(c) Temporary advance to a member for meeting expenditure may be made by the
Treasurer with the prior approval of the Executive committee (Co-ordination
Committee) or the President or Secretary, within their respective powers;
(d) Funds of the Maddhobharat Probasi Bangiya Parishad shall be kept in an account
with a scheduled or Nationalized Bank or as may be decided by the Executive
committee (Co-ordination Committee). Withdrawals from the accounts shall be made
under joint signature of (1) The Treasurer and (2) the President and (3) the
Secretary, and / or ad decided by Executive committee.
(e) Ordinarily the Treasurer shall not keep with him in cash an amount exceeding Rs.
10,000/-.
(f) The Executive committee can appoint the sub-disburses for particular purpose/
event.
(f) The Treasurer shall keep proper books of Accounts with respect to;
(i) all sums of money received and expended by the Maddhobharat Probasi
Bangiya Parishad and the matters, in respect of which the receipt and
expenditure takes place; and
(ii) The assets and liabilities of the Samiti,
(g) The above books of accounts shall be open to inspection by any member of the
Executive or Registrar.
20. Annual Accounts and Balance Sheet
(a) Official year of the Maddhobharat Probasi Bangiya Parishad will be from 1st April to
31st March of the succeeding year.
(b) At every annual general body meeting of the Maddhobharat Probasi Bangiya Parishad
held as per rules, the Executive committee (Co-ordination Committee) shall lay
before the Maddhobharat Probasi Bangiya Parishad.
(i) A Balance sheet as at the end of the period specified herein above;
(ii) Receipts and payments accounts for that period under review; and
(iii) The income and expenditure accounts for the period.
(c) The Income and Expenditure accounts shall relate;
(i) in the case of the first annual general meeting of the Maddhobharat Probasi
Bangiya Parishad to the period beginning with the incorporation of the
Maddhobharat Probasi Bangiya Parishad and ending with a date which shall not
precede the day of meeting by more than nine months.
(ii) in the case of any subsequent annual general meeting of the Maddhobharat
Probasi Bangiya Parishad to the period beginning with the day immediately
after the period from which the account was last submitted and ending with

the day which shall not precede the day of the meeting by more than nine
months or in case where an extension of time last been granted for holding the
meeting by the Registrar, by more than nine months and the extension so
granted.
(iii) Every such balance sheet, receipt and payments accounts and income and
expenditure account shall give a true and fair view of the state of the affairs of
the Maddhobharat Probasi Bangiya Parishad at the end of the period specified
above and shall be approved by the Executive committee (Co-ordination
Committee) and signed by at least not less than two members of the Executive
committee (Co-ordination Committee).
(iv) The income and expenditure account shall be annexed to the Balance Sheet
and the auditors Report shall be attached thereto.
(v) There shall be attached to every balance sheet laid before the Maddhobharat
Probasi Bangiya Parishad a report of its Executive committee (Co-ordination
Committee) with respect to the state of affairs of the Maddhobharat Probasi
Bangiya Parishad giving the fullest information and explanation on and duly
approved by the Executive committee (Co-ordination Committee) and signed
by at least two members of the Executive committee (Co-ordination
Committee).
(vi) A copy of every balance sheet (including the income and expenditure account,
the Auditors report and every other document required to be annexed or
attached to the balance sheet) to be sent to the Registrar, in triplicate with 40
days from the date of meeting.
21. Rate of Depreciation
The following rate of depreciation of the assets will be effective:-
(i)
(ii) AS PER SORT RULES IN FORCE.

22. Auditors
The Maddhobharat Probasi Bangiya Parishad shall at each annual general meeting, appoint
an external reputed registered Auditor or Auditors qualified for appointment as such to
hold office from the conclusion of that meeting until the conclusion of the next annual
general body meeting and report the address and fee fixed to the Registrar.
23. Dissolution
(a) The Maddhobharat Probasi Bangiya Parishad shall be dissolved if a resolution to that
effect is passed in meeting of members of the Maddhobharat Probasi Bangiya
Parishad held for the purpose, with the support of at least three fourths of the
members present and voting.
(b) The manner of dissolution and disposal of assets and liquidation of liabilities shall be
prescribed in the resolution referred in clause (a) and it should be in accordance with
Clause 10 of the memorandum.
24. Power to frame Regulations
Subject to the memorandum and the articles of association of the Maddhobharat Probasi
Bangiya Parishad regulations for carrying out the objects and functions of the
Maddhobharat Probasi Bangiya Parishad may be framed with the approval of members of
the Maddhobharat Probasi Bangiya Parishad in a meeting in accordance with Article 10. A
copy of the special resolution passed in special General Body Meeting will be sent to the
Registrar within 15 days.
25. Names, occupation, address and designation along with their signatures of the subscribers
to the Memorandum and Articles of Association of Kali Prabashi Bengali Maddhobharat
Probasi Bangiya Parishad, Bhopal.
