I have substantial and successful loan negotiation, modification and restructuri
ng experience with both lenders and developers in workouts for three stalled res
idential projects with over 3,500 entitled units. I personally managed the proj
ect re-start, the on-site sales center, sales personnel staffing, and the master
marketing programs for all three projects. In the largest of the projects near
New Orleans, I was able to gain time and funding concessions from a loan consor
tium of 4 banks, a reduction in the loan rate, and a favorable compromise to sal
es release payments.
During various career assignments, have managed the development and leasing of a
portfolio of 11 retail centers totaling over 540,000 s.f., over 700 apartment u
nits, 7 fast food restaurants, and 2 multi-tenant office buildings. Personally
directed and managed the construction of three of the shopping centers totaling
over 236,000 s.f.. all on time and on budget. Home builder in Wellington, FL in
late 1980s.
Taught required education courses for broker and salesman in Florida, and was in
structor for Realtor's Land Institute teaching Discounted Cash Flow Analysis, on
e of the required courses for ALM designation.
I very recently secured a commitment from Integra Water, a Birmingham, AL privat
e wastewater treatment facility developer to construct a regional wastewater tre
atment plant for an ultimate residential population of 18,000+ homes and commerc
ial and civic uses in Hampstead, NC.

PROFESSIONAL EXPERIENCE
TOG Properties LLC., Palm Beach, FL and Wilmington, NC * 2005 - Present * Presi
dent, Founder
Located and spearheaded the due diligence examination of a 1,500 acre tract in H
ampstead, NC. Prepared investment analysis and developed the business plan for
the acquisition and entitlement of the property, and raised over $5.8 Million in
equity for the investment.
* Negotiated highly favorable debt structure at below-market interest rate with
roll-up interest only for 3 years, with 17% down payment.
* Engaged and managed environmental engineers to conduct USACE 404 Wetland Juris
dictional Determination and Phase I Environmental Assessment.
* Secured additional $1.5 Million junior debt funding and negotiated 3 year ext
ension of the first mortgage maturity date.
* Secured commitment from Integra Water of Birmingham AL to develop private regi

Served as key member of 4 principals focused on the acquisition of key multi-fam
ily and single family development parcels at the Golden Ocala Golf and Equestria
n Club in Ocala, Florida. Conducted due diligence of all available properties i
s this ultra-high end golf community and as a group, focused on two multi-family
development tracts and three single family lots.

Day Family Business, West Palm Beach, FL * 1994 - 2005 * Sole Proprietor of Real
Property Management Business where I managed a real estate portfolio of a Palm
Beach investor that included: 316 rental units in 3 properties, 17 single-family
rental homes, various vacant single and multi-family lots in Central Palm Beach
County, until divested by the owner in 2003 to 2005.
* Managed staff of 4 - leasing and full time maintenance personnel.
* Handled all leasing functions, collected rental fees and deposits.
* Performed all accounting functions for the various properties, including devis
ing a proprietary accounting program that produced cash-flow, income and expense

Consultant to Washington D.C. attorney in real estate limited partnership fraud
investigation. Performed due diligence of local and Federal public records on a
West Virginia Panhandle business park housing multiple U.S. Government agency le
ased buildings and performed appraisals on each of the affected parcels.
* Compiled lease abstracts and produced cash flow models for the various leased
properties, and performed NPV and IRR analyses of all the projects in aid of lit
igation.
* Aided attorney in the drafting and preparation of the $240 Million fraud litig
ation regarding U.S. Government build-to-suit leases.

Syncom, Incorporated, Campaigne & Associates, St. James Real Estate Company, Boc
a Raton, FL * 1981 - 1988 * Vice President of all entitles
With 3 other principals at Syncom, specialized in new business development locat
ing development opportunities for office and retail projects. Identified and pur
sued potential investors to secure land financing, and negotiated with local len
der to secure A&D and Construction financing for projects. With 2 others princi
pals at Campaign & Associates, performed the same functions and developed 2 town
home properties in South Florida and designed and permitted a 103,000 medical of
fice condominium. For St. James Real Estate Company, performed various work-out
services for lenders on 3 South Florida properties and one major residential de
velopment in the New Orleans area.
* Orchestrated the successful re-plat and revised master plan of the 2,500 acre
Pt. Louis Sailing Village.
* Negotiated a highly successful loan modification with the New Orleans and Fren
ch Lenders for Pt. Louis, recasting the agreements to provide additional funding
without additional developer equity, a reduction in the loan rate, and a more f
avorable release schedule for unit closings.
* Established and directed the profitable retail sales and land sales operations
for Woodmont Golf and Country Club (Tamarac, FL), and for Grand Harbor Club (Ve
ro Beach, FL). Both projects were lender takebacks, for whom we successfully re
started the failed projects, attracting new builders and new investors.
Royal's, Inc., Belle Glade, Florida * 1976 - 1981
Profitably managed all construction management activities for this family-owned
developer of shopping centers. Managed 11 existing centers and handled the cons
truction management and leasing of 4 food-drug anchored centers with fast food a
nd financial outparcels. Solely responsible for leasing the non-major square fo
otage at all centers.
* Maintained a 98%+ occupancy for all 11 shopping centers during my term of empl
oyment.
* Supervised construction of multiple Burger King and Popeye's Restaurants.
* Brought in construction of the 4 centers all on time and within budget.
