ANNEXURE – I

Terms and Conditions for Reverse Auction

BIDDING METHODOLOGY

As given in the Request For Quotation, the Bidders shall be required to submit only the
techno-commercial offer (without prices) on or before the due date and time. Once the
techno-commercial evaluation is complete, the techno commercially acceptable bidders
shall be informed of the scheduled date and time of the reverse auction. The price bid
shall only be submitted through reverse auction mode. The order shall be placed on the
lowest evaluated techno commercially acceptable bidder based on the Reverse Auction.

For participating in the auction, Bidders are required to study the Terms and Conditions
for Reverse Auction thoroughly.

Internet based Reverse Auction shall be conducted by EIL and the bidders shall quote
from their own offices/ place of their choice. Internet connectivity shall have to be
ensured by each agency on its own. In extreme case of failure of internet connectivity,
(due to unforeseen circumstances other than power failure), communication shall have
to be sent by fax immediately. Purchaser may decide to extend the bidding time, at their
discretion, but not as bidder’s right.

The entire event shall be at no cost to the Bidders.

ONLINE TRAINING

C1 India shall arrange to demonstrate/ train bidder’s nominated person(s), without any
cost to the bidder. They shall also explain the Business Rules related to the Reverse
Auction along with Bidder Manual. Bidders are required to give their compliance on the
same before start of bid process as per Annexure -II.

TERMS & CONDITIONS FOR REVERSE AUCTION

1. SCHEDULE FOR REVERSE AUCTION: The Reverse Auction shall be for a

duration of two hours as under :

2. AUCTION EXTENSION TIME: If a bidder places a Bid in the last 5 minutes

of closing of the Auction, the Auction shall get extended automatically for
another 5 minutes from the time of the last Bid placed. In case, there is no

 Bid in the last 5 minutes of closing of the Auction, the Auction shall be closed
automatically without any extension.

The above provision shall apply to the bids in extended time also.

3. AUCTION PROCESS:

- Each Bidder shall be assigned a Unique User Name & Password. The Bidders
are requested to change the Password and edit the information in the
Registration Page after the receipt of initial Password. All bids using the
Login ID given to the bidder will be deemed to have been submitted by the
bidders. During the auction, bidders will be referred by proxy names as B1,
B2, B3, etc. and identity will not be disclosed.
- The Bidding shall start with an opening price to be declared by the
Purchaser. The Bidders shall be able to bid lower than the opening price but
in multiples of the decrement only.
- Only one bidder shall be at a particular position / rank, which means one L1,
one L2 and so on.
- The Bidder shall be able to view the following on his screen along with the
necessary fields:
i) Opening Price
ii) Leading Bid in the Auction.
iii) Bid Placed by him.
- A bidder can continue to revise his bid till the auction ends. However, the
Bidder cannot quote / Bid equal to the Leading / Lowest Bid. He must always
quote lower than the Leading / Lowest Bid.
- The evaluation criteria is based on Price alone. The Bidder who quotes the
lowest Price is declared as the winner of the Auction.

4. BID PRICE: The price shall be based on the technical specifications and
commercial terms & conditions agreed up to the date of reverse auction.

The Opening Price and the Bid Decrement shall be displayed on the auction
site at the start of the auction. However, the bidders shall be able to view
the auction details 10 minutes before the start of the auction.

5. BIDDING CURRENCY: Bidding will be conducted in Indian Rupees (INR)

for Indian Bidders and equivalent Indian Rupees for foreign bidders. The
equivalent Indian Rupees for foreign bidders shall be worked out using the
multiplication factor as given in the Evaluation Criteria below.

 6. VALIDTY OF BIDS: The Bid Price submitted in the reverse auction shall be
firm and fixed and valid for acceptance for a period of 30 days from the date
of reverse auction and shall not be subject to any change whatsoever.

7. BIDS ONCE PLACED BINDING ON THE BIDDER: The bid of the bidder
will be taken to be an offer to sell. Bids once submitted by the bidder cannot
be cancelled. The bidder is bound to sell the material at the price that they
bid. Should any bidder back out and not make the supplies as per the rates
quoted, Purchaser reserves the right to take action as appropriate.

8. LOWEST BID OF A BIDDER: In case the bidder submits more than one
bid, the lowest bid will be considered as the bidder’s final offer to sell.

9. EVALUATION CRITERIA: The process of evaluation may result in different

multiplication factors for different bidders, due to the loading criteria for
techno-commercial deviations, foreign exchange rates and purchase
preference for Indian Central Public Sector Undertakings etc. These factors
will be forwarded to the bidders one day before the auction.

The prices that shall be bid during the auction shall be the multiple of basic
prices and the multiplication factor and the same shall be used for ranking of
the bidders. The bidder shall work out his basic prices accordingly.

10. Successful bidder shall be required to submit the final prices, quoted during
the Reverse Auction in Annexure III Format after the completion of Auction
to EIL, duly signed and stamped as token of acceptance without any new
condition other than those already agreed to before start of auction.
However, in case the reverse auction is for a package, within 2 working days
after completion of the online event of Reverse Auction, the successful bidder
would submit their cost break down as per the price format for the final price
arrived at after reverse auction.

11. OTHER TERMS & CONDITIONS:

- The Bidder shall not involve himself or any of his representatives in Price
manipulation of any kind directly or indirectly by communicating with other
bidder.

- The Bidder shall not divulge either his Bids or any other exclusive details of
Purchaser to any other party.

- Purchaser’s decision on award of Contract shall be final and binding on all the
Bidders.

 - Purchaser can decide to extend, reschedule or cancel any Auction. Any
changes made by Purchaser after the first posting will have to be accepted if
the Bidder continues to access the site after that time.

- Purchaser shall not have any liability to Bidders for any interruption or delay
in access to the site irrespective of the cause.

- Purchaser shall not be responsible for any indirect / consequential losses /

damages, including but not limited to systems problems, inability to use the
system, loss of electronic information etc.

- Purchaser shall be at liberty to cancel the reverse auction process / tender at

any time, before ordering, without assigning any reason.

- In extreme case of failure of internet connectivity, (due to unforeseen

circumstances other than power failure), communication shall have to be
sent by fax immediately. Purchaser may decide to extend the bidding time, at
their discretion, but not as bidder’s right.

12. POST AUCTION PROCEDURE: Purchaser will award the order to the
Lowest Bidder for the material in the Reverse Auction.
