MODEL LOAN ASSIGNMENT AGREEMENT

XXXXXXXXXXXXXXXXXXXXXXXX, hereinafter referred to as the

CEDENT, on the one hand, and on the other hand,

this city, identified with citizenship card No

referred to as the ASSIGNEE, have agreed to enter into this CREDIT

ASSIGNMENT AGREEMENT, which shall be governed by the provisions

set forth in the Colombian Civil and Commercial Codes and especially

by the following clauses listed below:

FIRST: OBJECT.

By means of the present contract, the rights of the credit related

to the accounts held in favor of the CEDITOR in the TREASURY OF

XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX

are hereby assigned. Limitase la cesión del crédito a la suma de

SECOND: ACQUISITION OF RIGHTS.

The rights and obligations acquired by the ASSIGNEE are

transferred for valuable consideration and the ASSIGNOR declares

to accept the assignment and renounces to argue about its receipt

at any time and as a consequence the payments corresponding to

the credit object of the present assignment are made in the name
of the ASSIGNEE with respect to the obligations contained herein

described in clause FIRST.

THIRD: PRICE.

El precio de la presente cesión es por la suma

FOURTH: TERM.

The agreed term to comply with the purpose of this assignment is

subject to the first disbursement made by

DÍAS HÁBILES SIGUIENTES AL PRIMER DESEMBOLSO.

FIFTH: SANCTIONS.

Failure by the ASSIGNOR to comply with any of the obligations set forth

in the clauses of this credit assignment agreement shall give rise to the

payment of a monetary penalty established in the amount of

($XXXXXXXXXXX M/L), without prejudice to the legal actions derived from the breach of the
