CONTRACT FOR THE PURCHASE AND SALE OF LAND

DENOMINATED AS "THE CONTRACT" ENTERED INTO ON THE ONE HAND BY


MR. PINARGOTE ZAMBRANO CIRO MIGUEL, with C.C.: 130683019-9 I GIVE IN
MY NAME AUTHORIZING MRS. JARAMILLO ZAMBRANO TANIA ANDREA, with
C.C.: 172051440-3 in her capacity as POSSESSOR HEREINAFTER NAMED AS
"THE SELLER", AND ON THE OTHER PART _________________,
HEREINAFTER NAMED "THE PURCHASER"; UNDER THE FOLLOWING
DECLARATIONS AND CLAUSES:

STATEMENTS

l. Declares C. ____________________, that he is the owner of the land located at


________________________, being that he is accredited as owner of said property
by the Public Deed with number ______________, dated
on_______________________, and established under the faith of the Notary Public
with number ____________ of the city _________________.

II.- THE PURCHASER, the C. _________________________, declares that he


agrees to acquire the land located at ___________________, in the State of
_________________ , and that he does so with full knowledge of the above
statement.

CLAUSES

FIRST. THE SELLER undertakes to sell the land lot mentioned in the above
statements.

SECOND. The land subject of this sale and purchase has an area of
________________ square meters, whose measurements and boundaries are as
follows:

To the north ______________ meters adjoins with _____________________.

To the south ______________ meters adjoins with _____________________.

To the east ______________ meters adjoins with __________________.

To the west ____________ meters adjoins with __________________.


THIRD. The price of the land for sale is $____________
(____________________________), which amount shall be paid by THE BUYER,
under the terms set forth in the following clauses.

FOURTH. In order for THE PURCHASER to be entitled to the transfer of the


property in its favor, it is necessary to comply with each and every one of the
following stipulations:

1. To deliver at the signing of this contract the amount of $__________

2. To be made _____________ payments with a value each of $__________
(________________________), with monthly frequencies and a final payment
of $_______ (__________________) to complement the final price of the
land.
3. To deliver punctually at the address of the SELLER, located at
__________________________, the amount of the agreed payments on the

full.
FIFTH. Failure to pay _________ consecutive monthly payments will render this
contract non-existent, for which the parties agree to terminate it. In such case, THE
BUYER shall not be entitled to demand a refund of the amounts it has paid so far,
accepting that such amount shall remain for the benefit of the SELLER as rent. In
this case, the BUYER undertakes to deliver the land within ______________ days at
the latest.

SIXTH. In the event that there are constructions on the referenced land and that the
contract is annulled under the terms described in the previous clause, THE BUYER
accepts that such constructions be subject to appraisal by a Banking Institution, in
order to fix the commercial price thereof, expressly accepting that such appraisal be
reduced by oneThe PURCHASER expressly accepts that said value be reduced by
one -------- part of its appraisal, and that the payment of the remaining amount be
made precisely in the term established in the present contract for the total payment
of the property, dividing the total cost of the constructions in the appropriate monthly
payments.

SEVENTH. If the extension of the aforementioned property is greater or less than


that established in the previous clauses, this will only give rise to the correction of the
total value of the land, in proportion and in accordance with the price previously
established for each square meter.

Having read the present contract in its entirety, and having been informed of its
contents and scope, the parties sign it at _________, on the ___ day of the month of
