AM EN D M EN T No.

1 To PERSO NAL SERVICES AG REEMENT ( SPECIAL ASSISTANT AT T O RNEY G ENERAL)

This Amendment No. 1 ("Amendment"), effective March 28, 2011, to the Personal Services Agreement ("Agreement") originally effective March 7, 2011, is entered into between the State of Oi acting by and through its Department of Justice ( " D a r ) and the law rm of Bond, Schoeneck & Kb PLLC ("Firm"). I. T h e Agreement is hereby amended by deleting Section 3.1, "Compensation" and replacing it i entirety with the following:

"3.1 Compensation. Subject to the terms and conditions of this Agreement, the Agency shal Firm in accordance with the fee schedule in Section 3.2 below for Services rendered, plus exi reimbursement as set forth in Article IV, up to $150,000.00 (the "Maximum Compensation") Firm acknowledges and agrees that the Agency is the primary source of funds for all paymen this Agreement, but DOJ may make payments on behalf of the State in its sole discretion. STATE OF OREGON PERSO NAL SERVICES AG REEMENT ( SPECIAL ASSISTANT ATTO RNEYS G ENERAL) This Agreement is between the State of Oregon ("State"), acting by and through its Department of Justice ("DOJ") and the law rm of Bond, Schoeneck & King, PLLC (the "Film"). RECIT ALS

Pursuant to ORS Chapter 180 DOJ provides legal services required by the State and its variol agencies, departments, boards, bureaus, commissions, and ofcers; and

DOJ has authority under ORS Chapter 180 to contract with counsel outside of Dal to provid State with certain legal services on behalf of DOJ; and

DOJ desires to contract for legal services with outside counsel to provide advice and represet to Oregon State Board of Higher Education, University of Oregon ("Agency"); and The Firm desires to provide the legal services required under this Agreement; and

The parties desire to set forth the terms and conditions governing their relationship in connec with such legal services, consistent with the rules of professional conduct applicable to all attorneys. NO W THEREFORE, the parties agree as follows: AG REEMENT Artic le I Effective Date and Duration

1.1 E f f e c t i v e Date. This Agreement is effective on March 7, 2011, (the "Effective Date" terminates on September 30, 2011 (the "Term"), unless earlier terminated, or extended by amendmei accordance with this Agreement.

1.2 S p e c i a l Assistant Attorneys General Appointment. B y signing as identied in Exhib the attorney[s] set forth in Ex hibit A agree to accept appointment as Special Assistant Attorneys Gel for the purpose of and subject to this Agreement, and to take an Oath of Ofce or an Afrmation of in a form substantially similar to one of the samples set forth as Ex hibit B-1 and B-2. By signatur either the Attorney General or Deputy Attorney General to this Agreement, the attorney[s] set forth i Ex hibit A are appointed as Special Assistant Attorneys General (each a "SAAG"). Either the Paton General or Deputy Attorney General may withdraw appointment of a SAAG at any time and for any reason. The Firm shall deliver to the Supervising Attorney (as dened in Article XI of the Agreemei properly dated, executed and notarized Oath of Ofce or Afrmation of Ofce for each attorney idei in Ex hibit A.

Article I I Statement of Work 2.1 L e g a l Services. Upon request by a Contact Attorney as listed in Section 11.2 ("Contact Attorney"), the Firm shall provide the following legal services (the "Services"):

Advise Agency regarding investigations by the National Collegiate Athletic Association ("NCAA") and the Pacic-12 Conference ("Pae-12"), and regarding compliance, enforcerm and other issues that arise from the foregoing.

2.2 Su p e r v is io n . The Firm shall cause all Services performed, and work product delivere under this Agreement by the Firm's attorneys and staff to be either performed or supervised and appt by a SAAG. 2.3 Q u a l i t y . T he Firm represents and warrants that the Services will be performed in a and professional manner in accordance with the standards of the legal profession. Article I I I Compensation; Payment

3.1 C o m p e n s a t io n . Subject to the terms and conditions of this Agreement, the Agency sl pay the Firm in accordance with the fee schedule in Section 3.2 below for Services rendered, plus ex reimbursement as set forth in Article IV, up to $25,000.00 (the "Maximum Compensation"). The Fi acknowledges and agrees that the Agency is the primary source of funds for all payments under this Agreement, but DOJ may make payments on behalf of the State in its sole discretion. T he Agency i liable to the Firm for payment for those Services performed before the Effective Date or after 1 expiration date of this Agreement or before an amendment to this Agreement is effective and a requisite approvals have been obtained.

To reduce legal fees, the Film agrees to assign tasks among its attorneys commensurate with level of expertise required and to use paralegals, legal assistants, law clerks or support staff where appropriate. The Firm shall not bill separately for secretarial, clerical, or other support staff services

3.3 S u b m i s s i o n of Invoice. The Firm shall deliver invoices to the Supervising Attorney ( monthly basis for Services performed. Invoices may be delivered via email as an attachment and thc date of receipt will be presumed to be the date sent. The Firm shall in any case always deliver a hardcopy original of all invoices. Invoices must describe all Services performed and work product delivered, with particularity, including by whom it was performed, and must itemize and explain all expenses for which reimbursement is claimed. The Firm's invoices also must include the total amou billed to date under the Agreement prior to the current invoice. The Firm shall specically note in invoice when one-third and two-thirds of the Maximum Compensation amount set forth in Section 3 above has been expended, including Article IV expense reimbursements. DOJ Administrative Servi will forward the invoice to the Agency for payment after the Supervising Attorney reviews the invoi a , nd approves any undisputed amounts for payment. Artic le IV Expenses 4.1 follows: Reimbursement. The Agency shall reimburse the Firm for reasonable expenses only

4.1.1 Photoc opy ing. For normal photocopying at a maximum of 10 cents per page the Firm's actual costs for expedited or oversized document photocopying authorized in advance by the Contact Attorney. 4.1.2 Pos tage/c ourier. F or postage and courier services at the Firm's actual costs. 4.1.3 Telephone/fac s imile. For long-distance telephone service and long-distance facsimile at the Firm's actual cost. 4.1.4 C ons ultant. For rules compliance consultant services at $215.00 per hour. 4.1.5 T r a v e l.

4.1.5 (a) For travel expenses in accordance with the State's travel policy established in the Oregon Accounting Manual, available from the 1 Department of Administrative Services State Controller's Divisior http://www.das.state.orms/DAS/SCD/SARS/policies/oam/40. 4.2 O t h e r Expenses. The Firm shall obtain the separate prior written approval of the Coil Attorney before incurring any other expenses for which the Firm will seek reimbursement from the Agency. 4.3 E x p e n s e s Included in Maximum Compensation. A l l expenses referenced in this Article IV are included in the Maximum Compensation amount. Artic le V Conicts; Procedure for Consent 5.1 C o n i c t s .

5.1.1 S i n g l e Agency. Although the Attorney General provides advice to the State whole, under the appointment in this Agreement and for purposes of the lam rules of the jurisdiction under which attorneys of the Firm practice law undc Agreement, the Firm represents as a client only the Oregon State Board of IEducation, University of Oregon and no other State institution. Nevertheles Firm shall not use information relating to the representation of a client whic Finn acquires under the appointment under this Agreement to the disadvant any State ofcer, agency, board or commission. The SAAG is directed not share such information with any lawyer in the SAAG's Firm who does not E agree to comply with this restriction.

5.1.2 I n f o r me d Consent. As of the Effective Date, the Firm represents that it has provided adequate information to DOJ related to any conicts of interest wi the meaning of the laws or rules of the jurisdiction under which attorneys of Firm practice law under this Agreement for purposes of obtaining the Agen( informed consent.

5.2 R e q u e s t for Consent. After the Effective Date, if the Firm determines that a contlic interest exists within the meaning of the laws or rules of the jurisdiction under which the Firm pra( law under this Agreement, between the interests of the Agency and the interests of another client represents or proposes to represent, and the Agency has not consented to the conict of interest, th Firm shall deliver a written request for consent to the Supervising Attorney, with a copy to the DO Conict Consent Coordinator, Department of Justice, General Counsel Division, 1162 Court St. N Salem, OR 97301-1096. Consent is not effective until the Deputy Attorney General, the Attorney General, or the Attorney General's designee has delivered written consent to the conict of interes the Firm. Deliveries under this Section may be by e-mail.

5.3 A d d i t i o n a l Restrictions. Nothing under this Article V waives or diminishes the restrictions on SAAGs set forth in Section 7.2. I n addition, nothing in this Agreement limits the F obligations to comply with its ethical obligations in all respects in delivering Services, including tl

Agency's informed consent under Section 5.2 if the Firm's representation of a client adverse to an State entity in a particular matter will be adverse to the Agency within the meaning of the laws or I of the jurisdiction under which the Firm practices law under this Agreement. Article VI Termination

6.1 P a r t i e s ' Right to Terminate. D O I may terminate this Agreement immediately upon delivery of written notice to the Firm. The Finn may terminate this Agreement effective upon deliv( of thirty (30) days written notice to DOI, provided termination is consistent with the Firm's ethical obligations.

6.2 R e m e d i e s . The rights and remedies provided in this Article VI are not exclusive, and in addition to any other rights and remedies provided by law or under this Agreement. Termination this Agreement pursuant to Sections 6.1 is without prejudice to any obligations or liabilities of either party already accrued prior to such termination. However, upon receiving a notice of termination un this Article VI, the Firm shall immediately cease all activities under this Agreement, unless expressl: directed otherwise by DOI in the notice of termination.

6.3 R e v o c a t i o n of Appointment. Termination of this Agreement revokes any appointmet SAAG pursuant to this Agreement. The appointment of an individual SAAG is revoked upon the da the individual is no longer associated with the Firm. Article VI I Compliance with Applicable Law 7.1 C o m p l i a n c e . The Firm shall comply with all federal, state and local laws, regulation executive orders and ordinances applicable to this Agreement. 7.2 P r o h i b i t e d Acts. Each attorney identied in Ex hibit A is appointed as SAAG under this Agreement. A SAAG is a state ofcer for the purpose of, and shall not act in contravention of, Article XV, 7 of the Oregon Constitution. Article V I I I Work Product

8.1 O w n e r s h i p . The Firm's work product that results from this Agreement is the propert the State, although the Firm reserves the right to retain copies of such work product and to use the sa consistent with its ethical obligations.

8.2 D e l i v e r y . The Firm shall cause all work product it produces under this Agreement to delivered to the Contact Attorney as it is produced.

8.3 S u r r e n d e r of Work Product. Upon request by the Supervising Attorney, the Firm sha surrender to DOJ or anyone the Supervising Attorney designates all copies of nal versions of any v work nroduct_ documents. research or objects or other tangible things needed to comnlete the Servic

8.4 R e p o r t s . Upon request by the Supervising Attorney, the Firm shall provide reports summarizing signicant Services performed under this Agreement and developments in any deliverE proceedings or negotiations. Artic le IX Indemnity

THE FIRM SHALL DEFEND, SAVE, HOLD HARMLESS, AND INDEMNIFY THE ST OF OREGON, DOJ AND THE AGENCY, THEIR RESPECTIVE OFFICERS, EMPLOYEES, AGENTS AND MEMBERS AS APPLICABLE, FROM AND AG AINST ALL CLAIMS, SUITS. ACTIONS, LOSSES, DAMAG ES AND LIABILITIES RESULTING FROM, ARISING OUT Of RELATING TO THE INTENTIONAL OR NEGLIGENT TORTIOUS ACTS OR OMISSIONS C THE FIRM OR ITS OFFICERS, EMPLOYEES, SUBCONTRACTORS, OR AGENTS AS APPLICABLE UNDER THIS AGREEMENT. Artic le X Insurance

10.1 Pr ofes s ional Liability. The Firm shall maintain professional liability insurance in a and in an amount not less than is required by the jurisdiction where attorneys of the Firm practice la under this Agreement.

10.2 Wo r k e r s ' Compensation. A l l employers, including the Firm, that employ subject wo who perform work under this Agreement in the State of Oregon shall comply with ORS 656.017 anc provide the required Workers' Compensation coverage, unless such employers are exempt under ORS 656.126. The Firm shall ensure that each of its subcontractors complies with these requiremen Artic le XI Supervising Attorney: Contact Attorney

11.1 Super v is ing Attorney. The Supervising Attorney for this Agreement is Robert Conn( any other DOJ attorney designated by the Attorney in Charge of the Governments Services Section, General Counsel Division, Department of Justice. The Attorney in Charge of the Business Transacti Section, General Counsel Division, Department of Justice (the "AIC") may designate a successor Supervising Attorney upon written notice to the Firm. O nly the Supervising Attorney or another per designated by the AIC upon notice to the Firm is authorized to act on behalf of DOJ under this Agre T , he Supervising Attorney's authority may be temporarily delegated to another attorney at DOJ by to the Firm from the Supervising Attorney or the AIC. 11.2 C o n t a c t Attorney. The Contact Attorney for this Agreement is Randolph Geller.

11.3 D ir e c t io n . The Firm shall obtain clarication about the type of Services included in Section 2.1 from a Supervising Attorney to determine the Services to be performed under this Agree The Firm shall submit all interpretations of Oregon law to the Supervising Attorney for review prior issuance of advice based on such interpretation. 11.4 S A A G Judgment. The Firm shall exercise independent judgment and control with re to the means and manner of performance under this Agreement. Artic le XI I Independent Contractor Status; Taxes; Certicates

12.1 Independent Contractor. The Firm is an independent contractor under this Agreemen Firm represents and warrants that the Firm and each SAAG (i) are not employees of the State of Ore (ii) are not employees of the federal government, and (iii) notwithstanding their standing as state of pursuant to the Oregon Constitution as set forth in Section 7.2 above, are not ofcers, employees, or of the State, as those terms are used or dened in ORS 30.260 and 30.265.

12.2 T a x e s . The Firm is responsible for all federal and state taxes applicable to any compensation or payments paid to the Firm under this Agreement. I n the event the Firm is subject t( withholding, DOJ and the Agency may withhold from such compensation or payments any amount( cover the Firm's federal or state tax obligations.

12.3 N o Benets. Neither the Firm nor any SAAG is eligible for any federal social secur unemployment insurance, or workers' compensation benets from compensation or payments paid t Firm under this Agreement, except as a self-employed individual.

13.1 N o t ic e s . Except as otherwise provided in this Agreement, all notices, requests, dema other communications required by or otherwise concerning this Agreement must be in writing and a] effective when delivered personally (by courier service or otherwise), when delivered by facsimile m receipt conrmed by the recipient by telephone, or seven days after being mailed by rst-class mail, postage prepaid and return receipt requested in each case to the applicable addresses set forth below. e-mail addresses provided below are not given for purposes of providing notice under this Section. 13.2 E x h i b i t s and Attachments. The exhibits and attachments to this Agreement are incorporated by this reference, Terms dened in this Agreement have the same meaning in the exhil and attachments.

13.3 Subc ontrac ts and Assignment; Successors in Interest. The Firm shall not enter into a] subcontracts for any of the Services, or assign or transfer any of its interest in this Agreement, withol DM's prior written consent. DOJ may, as a condition to giving its prior written consent, require tha subcontract contain such provisions as DOJ deems reasonably appropriate. Consent to any subcontr, does not relieve the Firm of any of its duties and obligations under this Agreement. Nor does it relie Firm, a SAAG and supervised attorneys of their respective ethical obligations and professional liabil The provisions of this Agreement are binding upon and inure to the benet of the parties hereto, and respective successors and permitted assigns, if any.

13.4 Enfor c eable Rights; Amendments. O nly the State and the Firm have enforceable ri, and remedies under this Agreement. This Agreement may be amended only by a written agreemei signed by DOJ and Firm. DO J and Firm may amend or terminate this Agreement without the cons Agency, provided however that any amendment to Articles III, IV or Sections 1.1, 13.4 or 13.5 req the written consent of Agency.

13.5 F u n d s Available and Authorized. The Agency represents to the Firm that it has suf( funds currently available and authorized for expenditure to nance the costs of this Agreement withi biennial appropriation or limitation. The Agency's payment of amounts under this Agreement attrib to Services performed after the last day of the current biennium is contingent upon the Agency recei f ,rom the Oregon Legislative Assembly appropriations, limitations, or other expenditure authority sufcient to allow the Agency, in the exercise of its reasonable administrative discretion, to continue make payments under this Agreement. I n the event the Oregon Legislative Assembly fails to approN sufcient appropriations, limitations or other expenditure authority to the Agency, DOJ may termina Agreement without penalty or liability to the State.

13.6 R ec or ds Maintenance; Access. The Firm shall maintain all nancial records relating Agreement in accordance with generally accepted accounting principles. I n addition, the Firm shall maintain any other records pertinent to this Agreement in such a manner as to clearly document the I performance hereunder. The Firm shall permit DOJ, the Oregon Secretary of State's Ofce, the fed( government, and their duly authorized representatives, to have access to such nancial records and o books, documents, papers, plans and writings of the Firm pertinent to this Agreement to enable them perform examinations and audits, and make excerpts and transcripts. The Firm shall retain and keep such nancial records, books, documents, papers, plans, and writings for a minimum of six (6) years such longer period as may be required by applicable law, following nal payment and termination Agreement, or until the conclusion of any audit, controversy, or litigation arising out of or related to Agreement, whichever date is later.

13.7 G o v e r n in g Law; Venue; Consent to Jurisdiction.

13.7.1 Choic e of Law. The laws of the State of Oregon (without giving effect to its conicts of law principles) govern all matters arising out of or relating to this Agreement, including, without limitation, its validity, interpretation, construction, performance, and enforcement.

13.7.2 Designation of Forum. An y party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement shall bring the legal action or proceeding in the Circuit Court of the State of Oregon for Marion County. Each party hereby consents to the exclusive jurisdiction of such court, waives any objection to venue, and waives any claim that such forum is an inconvenient forum.

13.7.3 Feder al Forum. Notwithstanding Section 13.7.2, if a claim must be brought federal forum, then it must be brought and adjudicated solely and exclusively within the United States District Court for the District of Oregon. This sectio applies to a claim brought against the State of Oregon only to the extent ConE has appropriately abrogated the State of Oregon's sovereign immunity and is consent by the State of Oregon to be sued in federal court. This section is als a waiver by the State of Oregon of any form of immunity, including but not limited to sovereign immunity and immunity based on the Eleventh Amendm to the Constitution of the United States.

13.8 F o r c e Majeure. Neither the State nor the Firm are responsible for delay or default ca by re, riot, acts of God, or war, where such cause was beyond the State's or the Firm's respective reasonable control. The Firm shall, however, make all reasonable efforts to remove or eliminate sue cause of delay or default, and shall, upon the cessation of the cause, diligently pursue performance o obligations under this Agreement.

13.9 Sev er ability . The parties agree that if any term or provision of this Agreement is dec by a court of competent jurisdiction to be illegal or in conict with any law, the validity of the remai terms and provisions are not affected, and the rights and obligations of the parties are to be construe( enforced as if the Agreement did not contain the particular term or provision held to be invalid.

13.10 Waiv er . N o provision in this Agreement may be waived, except pursuant to a writini executed by the party against whom the waiver is sought to be enforced. A waiver made on one occ is effective only in that instance and only for the purpose that it is given and is not to be construed as waiver on any future occasion.

13.11 Ex ec ution and Counterparts. This Agreement may be executed in several counterpar all of which when taken together constitute one Agreement binding on all parties, notwithstanding all If parties are not signatories to the same counterpart. Each copy of the Agreement so executed constitutes an original.

13.12 Disclosure of Tax ID Number. The Firm must provide the Firm's federal tax ID num This number is requested pursuant to the requirements of OAR 150-305.100. Numbers disclosed pu: to this authority will be used for the administration of state, federal and local tax laws.

13.13 Surv iv al. The covenants, warranties, representations, rights, and obligations set forth Article V, Article VIII, Article IX, Sections 13.6, 13.7, 13.9 and this Section 13.13 survive tenninati( this Agreement.
