DEED OF SALE

KNOWN ALL MEN BY THESE PRESENT: That I, MARTIN PADRONES, Filipino, of legal age, married to BERNADITA DEMAISIP, and a resident of Balasan, Iloilo, am the absolute owner of a parcel of land herein described-mentioned. TRANSFER CERTIFICATE OF TITLE NO. 145660 A parcel of land Lot. No. 3, PSU-145608, LRC No. N-211, L.R.R., Record No. N9765, situated in the Barrio of de Lapaz, Banate, Iloilo, Philippines. Bounded on N.E. by the property of the Municipality of Banate, Iloilo, Lapaz School Site; On the S.E., by Lot No. 4, on the N.W., by Lot No. 2. Containing an area of Sixteen Thousand Three Hundred Fourty (16,340) square meters more or less. That I am the TRUE and LAWFUL owner of the above-mentioned parcel of land it being evidenced by TRANSFER CERTIFICATE OF TITLE NO. 145660 issued by the Registry of Deeds, Province of Iloilo. That for and in consideration of the SUM of ONE HUNDRED TWENTY (Php 100,000.00) Philippine Currency, to me in hand paid by LAURA DUMLAO married to SEBASTIAN DUMLAO of R.M.C., De la Rama St., City of Iloilo, RECIEPT of which by these present sum is hereby acknowledged to my full satisfaction, I do hereby by these presents, SELL, CEDE, TRANSFER, by way of Deed of Sale the above-mentioned parcel of land unto the said LAURA DUMLAO, her heirs, successors and assigns, married to SEBASTIAN DUMLAO. That the above-mentioned Parcel of Land is not tenanted nor leased, hence it does not fall within the purview of R.A. 3344. CONTRACT TO SELL
KNOWN ALL MEN BY THESE PRESENT: This Contract to Sell made and executed this 20th day of September in the City of Iloilo, by and between: FELIPE DIOSO, Filipino, of legal age, married to MELISSA HORTILLOSA, Filipino citizen, and a resident of No. 98., Brgy. Malipayon, Delgado St. Iloilo City hereinafter referred to as the VENDOR, -andRICARDO SEPADA, of legal age, Filipino citizen, and a resident of Brgy. Sumapok, Guimbal, Iloilo, hereinafter referred to as VENDEE. WITNESSETH That the vendor is the sole and absolute owner of a parcel of land situated at Barrio Trapiche, Oton, Iloilo, consisting of 340 Square Meters, more or less, covered by Transfer Certificate of Title No. 534631, which property is more particularly described, as follows: TRANSFER CERTIFICATE OF TITLE NO. 534631 A parcel of rice land (Lot No. 345) of the Cadastral Survey of Oton, Province of Iloilo, situated in Barrio Trapiche, Municipality of Oton, Province of Iloilo. Bounded on the N., by Lots No. 546-A and 223; on the E., by Lot No. 445; on the S., by Lot No. 231; and on the W., by Lots No. 238, 745 and 448 x x x containing an area of TEN THOUSAND FOUR HUNDRED THIRTY-EIGHT (10,438) square meters, more or less without any improvements and free from any liens and encumbrances. That for and in consideration of the sum of ONE MILLION FOUR HUNDRED THOUSAND (P1,400,000.00), Philippine Currency, payable in the manner hereunder expressed, the vendor has agreed to sell unto the vendees, and the vendees have agreed to buy from the vendor; The further conditions of this Contract are as follows: The vendees agree to pay the vendor upon the execution of this Contract the sum of NINE HUNDRED FIFTY THOUSAND (P950,00.00) as down payment on account of the purchase price and agree to pay the balance of FOUR HUNDRED FIFTY THOUSAND (P450,000.00) within Ten (10) months from the date of this contract and upon delivery of the Title in the name of the vendees.

2. That the vendor shall at his sole expense be responsible for the transfer of the title over the said portion in the name of the vendees, the same to be completed within Six (6) months from the date of this contract.

It is agreed and understood, however, that the full balance of P 450,000.00 shall only become due and demandable upon and simultaneous with the delivery of the owners copy of Title over the subject 10,000 square meter portion in the name of the vendees, as provided in the preceding paragraph.

It is likewise agreed and understood that notwithstanding the issuance of title over the 10,000 square meter portion in the name of the vendees, ownership over the said portion shall remain with the vendor until after full payment of the agreed purchase price. 5. All capital gains and documentary stamps, transfer tax, registration fees and other expenses of sale shall be for the sole account of the vendor. The vendees shall bear the expenses of the preparation and notarization of this contract as well as the deed of absolute sale to be executed by the vendor under the paragraph 3 above.

That upon the signing and execution this Contract to Sell, the vendor agrees to deliver unto the vendees the possession of the 438 square meter portion subject to this contract.

7. This contract shall be binding and obligatory upon the heirs, successors, administrators, and assigns of the respective parties.
