Transport aerian de m`rfuri |ntre subscrisele: Societatea ___________ [forma juridic`], cu un capital de __________ euro, avnd sediul social la ________________, \nregistrat` la Registrul Comer]ului cu num`rul ________, reprezentat` de _________ [nume [i calitate], numit` \n continuare Transportatorul, pe de o parte, [i Societatea ___________ [forma juridic`], cu un capital de __________ euro, avnd sediul social la ____________, \nregistrat` la Registrul Comer]ului cu num`rul ____________, reprezentat` de _________ [nume [i calitate], numit` \n continuare Expeditorul, pe de alt` parte, se convine asupra urm`toarelor: Articolul 1 Contract de transport Prezentul contract este un contract de transport aerian de m`rfuri care se supune dispozi]iilor Conven]iei de la Var[ovia din 12 octombrie 1929, cu modific`rile ulterioare, [i dispozi]iilor Codului avia]iei civile franceze. Articolul 2 Modificarea circumstan]elor p`r]ilor |n \ncheierea prezentului contract, fiecare parte a luat \n considerare persoana, expertiza [i specifica]iile opera]ionale ale celeilalte p`r]i. |n consecin]`, nici o parte nu va putea cesiona drepturile [i obliga]iile care \i revin \n prezentul contract, f`r` a avea \n prealabil acordul scris al celeilalte p`r]i; acordul va trebui solicitat cu un preaviz rezonabil, cel trziu cu minimum 60 ([aizeci) de zile \naintea urm`torului transport prev`zut \n calendarul de transport. Transportatorul va putea rezilia prezentul contract f`r` daune-interese \n beneficiul Expeditorului, dac` Expeditorul face obiectul unei reorganiz`ri, fuziuni, diviz`ri, cesiuni judiciare, loca]ii de gestiune sau oric`rei alte m`suri care modific` substan]ial reparti]ia capitalului sau a organelor de conducere sau organizarea activit`]ilor sau, mai general, dac` \n vreun fel, [i indiferent de forma juridic`, activit`]ile Expeditorului avnd leg`tur` cu obiectul prezentului contract devin concurente cu activit`]ile sale.

Articolul 3 Obliga]iile Transportatorului

3.1 Obliga]iile preliminare


Transportatorul a predat Expeditorului un dosar tehnic cu informa]iile de baz` despre \nc`rcarea [i desc`rcarea m`rfurilor [i caracteristicile cerute de interfa]`, ]innd cont de particularit`]ile aeronavei. |n m`sura informa]iilor comunicate de Expeditor \nainte de semnarea prezentului contract, Transportatorul va ]ine cont [i de particularit`]ile m`rfurilor [i ale locurilor [i infrastructurilor de \nc`rcare [i desc`rcare.

3.2 |nc`rcarea [i desc`rcarea


(Cf. Caietului de sarcini din Anexa 1: Responsabilitatea p`r]ilor) Transportatorul nu va putea fi \nvinuit de stric`ciuni aduse m`rfurilor \nainte de luarea \n sarcin` din timpul \nc`rc`rii, desc`rc`rii sau chiar \n timpul opera]iilor de transport, [i nici pentru vreo \ntrziere, dac` motivul stric`ciunii sau al \ntrzierii este imputabil Expeditorului, fie c` se datoreaz` unei informa]ii incomplete sau inexacte transmise de Expeditor despre particularit`]ile m`rfurilor sau particularit`]ile opera]iilor sau infrastructurilor de \nc`rcare sau desc`rcare, fie c` acestea provin din incapacitatea Expeditorului de a defini, concepe sau realiza interfa]a sau mijloacele de \nc`rcare [i desc`rcare care i-au revenit, sau dintr-o alt` modalitate de executare a obliga]iilor prezentului contract.

3.3 Transportul
Transportatorul va asigura ambalarea (stivuirea) [i desfacerea (destivuirea) m`rfurilor [i va efectua transportul/urile prev`zute \n contract la datele [i termenele convenite la articolul 8 [i \n conformitate cu celelalte condi]ii din contract. Articolul 4 Obliga]iile Expeditorului

4.1 Obliga]iile preliminare Expeditorul va transmite toate informa]iile solicitate \n scopul execut`rii prezentului contract [i al asigur`rii securit`]ii transporturilor [i a celorlalte opera]iuni prev`zute \n contract, att \n privin]a m`rfurilor, ct [i a locului [i infrastructurii de \nc`rcare. 4.2 |nc`rcarea [i desc`rcarea
(Cf. Anexei 1: Responsabilitatea p`r]ilor) Expeditorul va informa Transportatorul asupra oric`rui eveniment susceptibil s` afecteze executarea obliga]iilor ce \i revin, \n special dac`

provoac` vreo \ntrziere sau are implica]ii asupra transportului/urilor ce fac obiectul contractului. Expeditorul va asigura \ntreaga asisten]` tehnic` [i mijloacele materiale [i umane pe care Transportatorul le-ar putea solicita [i va face \n a[a fel \nct prepu[ii sau mandatarii lui (ale c`ror nume [i func]ii vor fi indicate) s` fie prezen]i la locurile de \nc`rcare [i desc`rcare (la datele [i pentru perioadele de timp comunicate).

4.3 Conformitatea m`rfurilor


Expeditorul va avea grij` ca m`rfurile s` fie, \n toate privin]ele, preg`tite de transport, \n condi]iile stipulate de contract, iar \nainte de transport s` fie \ndeplinite toate obliga]iile care \i revin referitor la declara]ii, autoriza]ii sau plata drepturilor [i taxelor men]ionate la articolul 7. Conform dispozi]iilor articolului 8, Transportatorul va avea dreptul s` suspende sau s` rezilieze orice transport care face obiectul prezentului contract, dac` este cazul, [i contractul \n totalitate dac`, cel trziu cu 24 de ore \naintea decol`rii aeronavei, Expeditorul nu dovede[te luarea tuturor dispozi]iilor pentru executarea obliga]iilor care \i revin \n prezentul contract. Dac` dup` decolarea aeronavei, dintr-o cauz` oarecare, inclusiv un caz de for]` major`, apare evident c` obliga]iile Expeditorului nu vor putea fi \ndeplinite, Transportatorul va putea fie s` schimbe ruta aeronavei spre o destina]ie aleas` de el (inclusiv \ntoarcere la punctul de plecare), fie s`-[i continue zborul pn` la destina]ie. |n acest ultim caz, sau \n cazul \n care neexecutarea obliga]iei de c`tre Expeditor apare dup` aterizarea aeronavei, Transportatorul va putea s` ac]ioneze dup` cum urmeaz`, pe cheltuiala [i riscul Expeditorului: fie s` descarce m`rfurile cu orice mijloace disponibile la fa]a locului, s` le depoziteze [i s` asigure p`strarea \ntr-o manier` ct mai adecvat`, \n func]ie de mijloacele [i infrastructura local`; fie s` readuc` m`rfurile \n aeronav`, spre o ter]` destina]ie, iar acolo s` le descarce, s` le depoziteze [i s` le p`streze. Opera]iunile de desc`rcare, depozitare [i p`strare vor fi f`cute \n numele [i pe cheltuiala Expeditorului care, prin prezentul [contract]* d` mandat expres Transportatorului \n acest scop, \n interesul comun al celor dou` p`r]i, jurisdic]ia [i riscurile privitor la m`rfuri revenind Expeditorului odat` cu \nceperea opera]iunilor de desc`rcare. Transportatorul va notifica imediat m`surile luate Expeditorului, care va fi singurul responsabil de raporturile ulterioare cu persoanele \ns`rcinate cu depozitarea sau paza, cu autorit`]ile locale [i cu to]i ter]ii.

Cheltuielile, taxele [i costurile suportate de Transportator din cauza neprelu`rii m`rfurilor sau a schimb`rii rutei aeronavei, inclusiv toate cheltuielile cu carburantul, vor fi imediat rambursate de Expeditor, precum [i toate desp`gubirile provenind din \ntrzierea sau dezorganizarea activit`]ilor Transportatorului. Pentru mai mult` siguran]`, p`r]ile convin c` Transportatorul nu va fi obligat s` pl`teasc` chiria, onorariile, cheltuielile, drepturile sau orice alte sume necesare pentru a asigura depozitarea, paza sau p`strarea m`rfurilor, dup` desc`rcare, pentru o perioad` mai mare de 48 (patruzeci [i opt) de ore. Articolul 5 Autoriza]ii, drepturi [i taxe

5.1 Cu cel trziu 15 (cincisprezece) zile \naintea datei prev`zute pentru fiecare transport, Expeditorul va trebui s` predea Transportatorului toate documentele necesare stabilirii declara]iilor sau autoriza]iilor de export [i/sau import, sau alte documente sanitare sau de securitate sau de atestare de materiale periculoase avnd leg`tur` cu transportul m`rfurilor, care pot fi solicitate la plecare, la sosire sau \n timpul escalelor. 5.2 Se vor aplica dispozi]iile articolului 8 dac` Transportatorul consider` c` unul dintre documentele justificative avute \n vedere la paragraful 5.1 lipse[te sau este incomplet, putnd compromite efectuarea transportului, desc`rcarea, scoaterea din vam` sau recep]ia m`rfurilor sau, mai general, legalitatea transportului sau securitatea prepu[ilor [i a mandatarilor.
Articolul 6 Calendarul de transport Data fiec`rui transport va fi stabilit` de p`r]i dup` cum urmeaz`:

6.1 fiecare transport va fi efectuat la o dat` cuprins` \ntr-un interval de trei (3) s`pt`mni; 6.2 cu patru (4) luni \naintea primei zile din intervalul de trei s`pt`mni, p`r]ile vor conveni asupra unei perioade de [apte (7) zile, pe durata celor trei s`pt`mni; 6.3 cu cinci (5) s`pt`mni \naintea primei zile din perioada de [apte zile, p`r]ile vor stabili, \n interiorul acestei perioade, data exact` la care se va efectua transportul; 6.4 cu cincisprezece (15) zile \nainte de data stabilit`, p`r]ile vor conveni asupra orei de plecare a aeronavei.
Fiecare parte o va informa pe cealalt` asupra oric`rui eveniment susceptibil s` afecteze calendarul de transport, fie c` evenimentul este sau nu legat de executarea obliga]iilor contractuale anterioare opera]iunii de

transport. |n m`sura posibilului, p`r]ile se vor pune \n prealabil de acord asupra oric`rei cereri de modificare a datelor de transport. Articolul 7 Limitarea responsabilit`]ii [i asigurarea Responsabilitatea Transportatorului este limitat` \n condi]iile prev`zute de Conven]ia de la Var[ovia. Transportatorul garanteaz` m`rfurile pentru o valoare de __________ (convertibili \n euro la data tranzac]iei sau a pronun]`rii hot`rrii tribunalului) pe kilogram de m`rfuri pierdute, deteriorate sau a c`ror sosire a fost \ntrziat`, conform Conven]iei de la Var[ovia. Transportul va fi \nso]it de un certificat de asigurare ad valorem. Dac` Expeditorul acoper` el \nsu[i riscurile, va trebui s` renun]e, att \n nume propriu, ct [i \n numele asiguratorilor lui, la orice recurs \mpotriva Transportatorului [i a asiguratorilor acestuia, \n afar` de cazul unei gre[eli grave sau inten]ionate a Transportatorului. Articolul 8 Neexecutarea [i rezilierea

8.1 Neexecutarea din vina Expeditorului


Neexecutarea [i rezilierea referitoare la un anumit transport a) Dac` Expeditorul nu respect` una dintre obliga]iile sale privind un anumit transport, stipulate \n baza prezentului contract, Transportatorul va fi exonerat de obliga]iile privind transportul pentru care Expeditorul nu [i-a respectat obliga]iile contractuale; \n acest caz, Transportatorul va putea propune Expeditorului o nou` dat` [i noi modalit`]i contractuale, inclusiv financiare, de efectuare a respectivului transport. Va trebui ca noile modalit`]i financiare s` asigure desp`gubirea integral` a Transportatorului pentru pierderile, cheltuielile [i costurile suportate din cauza amn`rii transportului la o dat` ulterioar`; sau b) |n caz de imposibilitate de a propune o nou` dat`, din cauza planului de \nc`rcare al Transportatorului, sau \n caz de refuz, din partea Expeditorului, al propunerii avute \n vedere la paragraful de mai sus, sau dac` \nc`lcarea comis` de Expeditor este att de grav` \nct nu se mai poate lua \n considerare re\nnoirea transportului, Transportatorul va putea declara rezilierea prezentului contract, dar numai \n raport cu transportul care a cauzat nerespectarea obliga]iilor contractuale. |n caz de reziliere, Expeditorul va pl`ti Transportatorului desp`gubiri care s` acopere cheltuielile administrative, de logistic` [i de personal prezentate de Transportator, imobilizarea aeronavei pentru perioada corespunz`toare transportului anulat, costurile de infrastructur` [i c[tigul

nerealizat, aceasta pe baza documentelor justificative pl`tite de Transportator. Daunele-interese sunt destinate s` compenseze direct pierderile, costurile [i c[tigul nerealizat al Transportatorului, \n afara cheltuielilor provocate ter]ilor, pe care Transportatorul i-a expus \nainte de data prev`zut` pentru transport sau pe care \i va expune ca urmare a \ntrzierii sau a anul`rii. Aceste cheltuieli vor fi re-facturate de Transportator Expeditorului [i rambursate de acesta Transportatorului pe baz` de documente justificative. Neexecutarea [i rezilierea referitoare la mai multe transporturi sau obliga]iile generale ale Expeditorului Dac` Expeditorul nu respect` una dintre obliga]iile prev`zute \n prezentul contract, altele dect cele avute \n vedere la articolul 8.1.1, sau dac` \nc`lcarea comis` de Expeditor este att de grav` \nct \mpiedic` continuarea rela]iilor contractuale, Transportatorul va putea declara rezilierea prezentului contract \n totalitate [i pentru toate transporturile prev`zute \n contract, dac` nerespectarea obliga]iilor contractuale de c`tre Expeditor continu` mai mult de cincisprezece (15) zile de la primirea soma]iei trimise de Transportator (prin scrisoare recomandat` cu confirmare de primire) prin care i se cere s` remedieze lipsa. |n acest caz, prezentul contract va fi reziliat odat` cu expedierea de Transportator c`tre Expeditor a unei notific`ri de reziliere avnd \n vedere articolul 8.1.2 (prin fax validat / \nt`rit de scrisoare recomandat` cu confirmare de primire); Expeditorul va pl`ti Transportatorului desp`gubiri care s`-i acopere cheltuielile administrative, de logistic` [i de personal, costurile de infrastructur`, eventualele imobiliz`ri ale uneia sau mai multor aeronave [i c[tigul nerealizat, calculate dup` cum urmeaz`, \n raport cu fiecare transport prev`zut \n prezentul contract: 15% din valoarea transportului, dac` rezilierea survine \ntre data semn`rii contractului [i \nceputul perioadei de patru (4) luni avute \n vedere la articolul 6.2; 35% din valoarea transportului, dac` rezilierea survine \ntre data semn`rii contractului [i \nceputul perioadei de cinci (5) s`pt`mni avute \n vedere la articolul 6.3; 50% din pre]ul transportului, dac` rezilierea survine \ntre data semn`rii contractului [i \nceputul perioadei de cincisprezece (15) zile avute \n vedere la articolul 6.4; 100% din pre]ul transportului, dac` rezilierea survine \n cele cincisprezece (15) zile care preced data stabilit` conform articolului 6,

suma total` pl`tibil` de Expeditor Transportatorului fiind egal` cu sumele de mai sus, pl`tibile \n numele diferitelor transporturi prev`zute \n prezentul contract. Cheltuielile ter]ilor expu[i de Transportator vor fi re-facturate de Transportator Expeditorului [i rambursate de acesta cu documente justificative. Daunele-interese pl`tibile de Expeditor Transportatorului \n baza articolelor 8.1.1 [i 8.1.2 vor fi purt`toare de dobnzi cu o rat` de [rata dobnzii], \ncepnd cu data cererii de plat` a Transportatorului, [i vor fi capitalizate la fiecare dat` \mplinit` pn` la plata integral`.

8.2 Neexecutarea sau \ntrzierea din vina Transportatorului


Dac` Transportatorul este \n incapacitatea de a efectua un transport la data prev`zut` [i \n urm`toarele trei (3) zile, cu excep]ia cazului de for]` major`, Transportatorul va pl`ti Expeditorului o indemniza]ie de \ntrziere \n valoare de ___________ [suma \n litere] euro pentru fiecare zi de \ntrziere, calculat` \ncepnd cu a patra zi, \n limita unei sume maxime de __________ [suma \n litere] euro. Dac` un transport este anulat din vina Transportatorului, sau dac` este \ntrziat cu mai mult de nou` (9) zile, perioad` men]ionat` la articolul 8.2.1, cu excep]ia cazului de for]` major`, Transportatorul va pl`ti Expeditorului o indemniza]ie prev`zut` \n articolul 22 din Conven]ia de la Var[ovia, men]ionat` la articolul 7. Articolul 9 For]a major` a) Apari]ia unui eveniment de for]` major` va duce la suspendarea obliga]iilor p`r]ii afectate de for]a major`, cu condi]ia ca aceasta s` notifice cealalt` parte ct mai repede posibil dup` apari]ia evenimentului. P`r]ile se vor str`dui s` remedieze \ntr-un termen ct mai scurt situa]ia creat` [i se vor pune de acord asupra reprogram`rii transportului afectat de for]a major`, sau asupra ree[alon`rii calendarului de transport, dac` evenimentul este de natur` s` afecteze mai multe transporturi prev`zute \n prezentul contract. b) |n lipsa unui acord \ncheiat \n urm`toarele cincisprezece (15) zile de la data notific`rii evenimentului de for]` major`, fiecare parte va putea anula transportul afectat de evenimentul de for]` major` sau va putea denun]a contractul, f`r` niciun preaviz [i f`r` nicio desp`gubire, dac` evenimentul este de natur` s` afecteze mai multe transporturi prev`zute \n prezentul contract. |n cadrul prezentului contract, p`r]ile convin de comun acord c` urm`toarele fapte constituie evenimente de for]` major`: pentru Transportator, faptul de a nu putea efectua transportul (\n

ciuda str`duin]ei) din cauza neob]inerii autoriza]iei de survolare sau de aterizare pe diferitele situri care privesc transportul sau din cauza neeliber`rii de c`tre Direc]ia General` a Avia]iei Civile (DGAC) a autoriza]iei de zbor; grevele sau alte conflicte sociale.

Articolul 10 Condi]iile de plat` Pre]ul se va achita dup` cum urmeaz`: 20% din valoarea total` a contractului, la data semn`rii prezentului contract, pentru care Transportatorul elibereaz` Expeditorului chitan]`; 30% din valoarea fiec`rui transport, \n ziua fix`rii datei definitive a respectivului transport, a[a cum prevede articolul 6.3; 50% din valoarea fiec`rui transport, \n ziua lucr`toare care precede data transportului. Sumele vor fi achitate prin virament SWIFT, cec bancar sau orice alt` modalitate de plat` care s` asigure transferul de fonduri \n contul Transportatorului \n aceea[i zi cu emiterea ordinului sau cu \nmnarea mijlocului de plat`. Articolul 11 Proprietatea industrial` [i intelectual` Fiecare parte va r`mne proprietara know-how-ului, a cuno[tin]elor, lucr`rilor [i rezultatelor proprii, dobndite anterior prezentului contract, care pot fi sau nu protejate printr-un brevet sau printr-o alt` modalitate, [i care ar putea fi comunicate celeilalte p`r]i pentru nevoile execut`rii prezentului contract. Dac`, pentru nevoile execut`rii prezentului contract, una dintre p`r]i dezvolt` procedee sau tehnici susceptibile de protec]ie industrial` [i/sau intelectual`, aceast` parte va fi singurul titular al drepturilor acordate de lege asupra acestor procedee [i tehnici [i singura abilitat` s` ob]in` protec]ia lor; se stabile[te \n mod expres c` orice procedeu [i brevet rezultat din aplicarea dosarului tehnic va fi proprietatea Transportatorului, oricare ar fi contribu]ia Expeditorului la dezvoltarea lui. Articolul 12 Confiden]ialitatea a) Prezentul contract, anexele [i actele adi]ionale sunt confiden]iale \ntre p`r]i [i reprezentan]ii lor; ele nu vor putea fi divulgate nici m`car par]ial ter]ilor, de c`tre una dintre p`r]i, f`r` acordul prealabil scris al celeilalte p`r]i. Aceast` prevedere nu va fi aplicat` \n caz de comunicare c`tre o autoritate sau ca prob` \n justi]ie. b) Sunt de asemenea confiden]iale informa]iile [i documentele schimbate \ntre p`r]i \n scopul preg`tirii, punerii \n aplicare sau execut`rii prezentului contract [i a obiectului contractului transporturile.

c) Niciuna dintre p`r]i nu va putea face \n vreun fel referire la prezentul contract sau la transporturi, obiectul contractului, \n scopuri publicitare, directe sau indirecte, f`r` acordul prealabil scris al celeilalte p`r]i, acord solicitat prin scrisoare recomandat` cu confirmare de primire. Termenul de publicitate include [i orice fotografie legat` de transporturi, \nc`rcare, desc`rcare, pe orice suport, inclusiv Internet. Dac` partea consultat` nu r`spunde \n urm`toarele cinci zile de la primirea scrisorii recomandate, lipsa r`spunsului va echivala cu acord tacit. Articolul 13 Comunicarea Pentru necesit`]ile prezentului contract, comunicarea \ntre p`r]i se va face prin fax (sau scrisoare recomandat` cu confirmare de primire) adresat persoanelor desemnate ca singurii interlocutori abilita]i ai p`r]ilor. Articolul 14 Legea aplicabil` Prezentul contract [i efectele sale sunt guvernate de legea francez`. Articolul 15 Competen]a Toate litigiile ce decurg din prezentul contract sau care se refer` la el vor fi solu]ionate definitiv conform regulamentului de conciliere [i arbitraj al Camerei de Comer] Interna]ional, de c`tre unul sau mai mul]i arbitri, desemna]i conform acestui regulament, a c`ror hot`rre este obligatorie, f`r` a se recurge la instan]ele judec`tore[ti de drept comun. manire substantielle la rpartition de son capital ou de ses organes de direction ou lorganisation de ses activits ou, plus gnralement, si dune manire quelconque et quelle quen soit la forme juridique, les activits de lExpditeur en rapport avec lesquelles les Transports objet des prsentes ont t contracts deviennent concurrentes de ses activits. Article 3 Obligations du Transporteur

3.1 Obligations prliminaires


Le Transporteur a fourni lExpditeur un dossier technique, contenant linformation de base relative au chargement et au dchargement du matriel et aux caractristiques requises pour linterface, compte tenu des spcificits de lappareil. Le Transporteur tiendra galement compte, dans la mesure des informations communiques par lExpditeur pralablement la signature des prsentes, des spcificits du matriel et de celles des lieux et infrastructures de chargement et de dchargement.

3.2 Chargement et dchargement

Cahier des charges en annexe 1: Responsabilit des parties) La responsabilit du Transporteur ne pourra pas tre recherche pour des dommages survenus au matriel avant la prise en charge lors du chargement, du dchargement, ou mme pendant les oprations de transport, ni pour aucun retard, si la cause du dommage ou du retard est imputable lExpditeur soit quelle soit due une fourniture dinformation incomplte ou inexacte par lExpditeur eu gard aux spcificits du matriel, ou aux spcificits des oprations ou infrastructures de chargement ou de dchargement, soit quelle provienne dune incapacit de lexpditeur dfinir, concevoir ou raliser linterface ou les moyens de chargement et de dchargement lui incombant ou autrement excuter ses obligations aux termes des prsentes.

3.3 Transport
Le Transporteur assurera larrimage et le dsarrimage du matriel et effectuera le ou les transports prvus aux prsentes aux dates et dans les dlais convenus larticle 8 et sous rserve des autres conditions des prsentes. Le Transporteur sera seul responsable, eu gard aux impratifs rglementaires et de scurit, de litinraire, du choix des escales (techniques ou autres) et plus gnralement, de la dcision de prendre lair et de la conduite des oprations de vol.

Article 4 Obligations de lExpditeur

4.1 Obligations prliminaires


LExpditeur fournira toutes les informations requises aux fins de lexcution des prsentes et pour assurer la pleine scurit des transports et de toutes les autres oprations envisages par les prsentes, tant en ce qui concerne le matriel quen ce qui concerne le lieu et infrastructure de chargement.

4.2 Chargement et dchargement


(Cf Annexe 1: Responsabilit des parties.) LExpditeur informera le Transporteur de tout vnement susceptible daffecter lexcution de ses obligations, notamment sil est susceptible den rsulter un retard ou une incidence quelconque sur le ou les transports objet du contrat. LExpditeur fournira toute lassistance technique et les moyens matriels et humains que le Transporteur pourra requrir et, notamment, il fera en sorte que ses prposs ou mandataires (dont les noms et les fonctions seront indiqus) soient prsents sur les lieux de chargement et de dchargement (aux dates et pour les dures communiques).

4.3 Conformit du matriel


LExpditeur devra faire en sorte que le matriel soit tous gards en tat dtre transport de la manire envisage aux prsentes et il devra avoir satisfait, pralablement au transport, toutes ses obligations de dclarations, dautorisations ou de paiement de droits et taxes viss larticle 7. Le Transporteur aura le droit de suspendre ou rsilier tout transport objet des prsentes, et le cas chant de rsilier les prsentes en totalit, conformment aux dispositions de larticle 8 si lExpditeur ne justifie pas au plus tard 1 (un) jour franc avant le dcollage de lappareil avoir pris toute disposition pour excuter ses obligations au titre du prsent contrat. Si, aprs le dcollage de lappareil et pour une raison quelconque, y compris la survenance dun vnement de force majeure, il est manifeste que lesdites obligations de lExpditeur ne pourront pas tre excutes, le Transporteur pourra soit drouter lappareil sur une destination de son choix (y compris le retour de lappareil son point de dpart), soit poursuivre le vol jusquau point de destination. Dans ce dernier cas, ou dans le cas o la dfaillance de lExpditeur nappara\trait quaprs latterrissage de lappareil, le Transporteur pourra, aux frais et risques de lExpditeur:

soit faire dcharger le matriel par tout moyen disponible sur place, lentreposer et en faire assurer la garde matrielle de la manire la plus approprie compte tenu des moyens et de linfrastructure locale; soit ramener le matriel dans lappareil vers une tierce destination et ly faire galement dcharger, entreposer et garder. Lesdites oprations de dchargement, dentreposage et de garde seront effectues au nom et pour le compte de lExpditeur, qui donne dores et dj par la prsente mandat exprs au Transporteur cet effet, dans lintrt commun des deux parties, la garde juridique et les risques du matriel repassant lExpditeur ds le dbut des oprations de dchargement. Le Transporteur notifiera immdiatement les mesures prises lExpditeur, qui sera seul responsable des rapports ultrieurs avec les personnes en charge de lentreposage ou du gardiennage, les autorits locales et tous tiers. Les dpenses, frais et cots subis par le Transporteur en rapport avec la non-rception du matriel ou le droutement de lappareil, y compris tous frais de carburant, seront immdiatement rembourss par lExpditeur, ainsi que tous dommages rsultant de tout retard ou dsorganisation des activits du Transporteur. Pour plus de certitude, les parties conviennent que le Transporteur naura pas dobligation de rgler des loyers, honoraires, frais, droits ou autres sommes quelles quelles soient pour assurer lentreposage, le gardiennage ou la conservation du matriel aprs le dchargement au-del dune priode de quarante-huit (48) heures.

Article 5 Autorisations, droits et taxes

5.1 LExpditeur devra fournir au Transporteur, au plus tard quinze (15) jours francs avant la date prvue pour chaque transport, tous les documents ncessaires ltablissement des dclarations ou autorisations dexportation et/ou dimportation ou autres documents sanitaires ou de scurit ou attestation de matires dangereuses en rapport avec le transport du matriel pouvant tre requis au dpart, larrive ou lors des escales. 5.2 Si le Transporteur estime quun des documents justificatifs viss au paragraphe 5.1 est manquant ou incomplet dune manire pouvant compromettre lexcution du transport, le dchargement, le ddouanement ou la rception du matriel, ou plus gnralement la rgularit du transport ou la scurit de ses prposs et mandataires, les dispositions de lArticle 8 sappliqueront.

Article 6 Calendrier du transport La date de chaque transport sera convenue entre les Parties de la manire suivante:

6.1 chaque transport sera effectu une date comprise dans une priode de trois (3) semaines; 6.2 quatre (4) mois avant le premier jour de ladite priode de trois semaines, les parties conviendront dune priode de sept (7) jours situe dans cette priode de trois semaines; 6.3 cinq (5) semaines avant le premier jour de ladite priode de sept jours, les parties dtermineront lintrieur de cette priode de sept jours la date exacte laquelle le transport devra tre effectu; 6.4 quinze (15) jours avant ladite date, les parties conviendront de lheure du dpart de lappareil.
Chaque partie tiendra lautre partie informe de tout vnement susceptible davoir une rpercussion sur le calendrier du transport, que cet vnement soit relatif ou non lexcution de ses obligations contractuelles antrieures lopration de transport. Dans toute la mesure du possible, elles se concerteront en avance de toute demande de modification des dates des transports. Article 7 Limitation de responsabilit et assurance La responsabilit du Transporteur est limite dans les conditions prvues la convention de Varsovie. Le Transporteur garantit le matriel pour une valeur de __________ (convertibles en euros au jour de la transaction ou du prononc de la dcision de justice) par kilogramme de matriel perdu, endommag, ou dont lacheminement a t retard, conformment la convention de Varsovie. Un certificat dassurance ad valorem sera souscrit par le transport. Si lExpditeur couvre lui-mme les risques, il devra renoncer tant en son nom propre quau nom de ses assureurs tout recours contre le Transporteur et ses assureurs, sauf en cas de faute lourde ou intentionnelle du Transporteur. Article 8 Inexcution et rsiliation

Transporteur sera dcharg de ses obligations au titre du transport raison duquel lExpditeur a viol ses obligations contractuelles et en ce cas: le Transporteur pourra proposer lExpditeur une nouvelle date et de nouvelles modalits contractuelles, y compris financires, pour effectuer ledit transport. Ces nouvelles modalits financires devront permettre de ddommager intgralement le Transporteur des pertes, frais et cots quil aura subis du fait du report du transport une date ultrieure; ou b) en cas dimpossibilit de proposer une nouvelle date en raison du plan de charge du Transporteur, ou en cas de refus par lExpditeur de la proposition vise au paragraphe ci-dessus, ou si la violation commise par lExpditeur est dune gravit telle quelle empche denvisager le renouvellement du transport, le Transporteur pourra prononcer la rsiliation des prsentes, mais seulement en rapport avec le transport qui a donn lieu la violation des obligations contractuelles. En cas de rsiliation, lExpditeur paiera au Transporteur des dommages-intrts destins couvrir les frais administratifs, logistiques et de personnel exposs par le Transporteur, limmobilisation de lappareil pour la priode correspondant au transport annul, les cots dinfrastructure et le manque gagner et ce sur justificatifs pays par le Transporteur. Les dommages-intrts sont destins compenser les pertes, cots et manques gagner directs du Transporteur, lexclusion des frais et dbours de tiers que le Transporteur aura exposs avant la date prvue pour le transport ou quil aurait exposer la suite de son retard ou de son annulation. Ces frais et dbours seront re-facturs par le Transporteur lExpditeur et rembourss par lExpditeur au Transporteur sur justificatifs. Inexcution et rsiliation relatives plusieurs transports ou aux obligations gnrales de lExpditeur Si lExpditeur ne respecte pas lune quelconque de ses obligations prvues aux prsentes autres que celles vises larticle 8.1.1, ou bien si la violation commise par lExpditeur est dune gravit telle quelle empche denvisager la poursuite des relations contractuelles, le Transporteur pourra prononcer la rsiliation des prsentes en totalit et pour tous les transports prvus dans les prsentes, si la violation des obligations contractuelles de lExpditeur se poursuit plus de quinze (15) jours aprs rception dune mise en demeure envoye par le Transporteur (par lettre recommande avec demande davis de rception) davoir remdier sa dfaillance. En ce cas, le prsent contrat sera rsili ds lenvoi par le Transporteur lExpditeur (par fax confirm par lettre recommande avec demande

davis de rception) dune notification de rsiliation visant le prsent article 8.1.2 et lExpditeur payera au Transporteur des dommages-intrts destins couvrir ses frais administratifs, logistiques et de personnels, les cots dinfrastructure, les immobilisations ventuelles dun ou plusieurs appareils, et le manque gagner, calculs de la manire suivante en rapport avec chaque transport prvu aux prsentes: 15% du prix du transport, si la rsiliation survient entre la date de signature et le dbut de la priode de quatre (4) mois vise larticle 6.2; 35% du prix du transport, si la rsiliation survient entre ladite date et le dbut de la priode de cinq (5) semaines vise larticle 6.3; 50% du prix du transport, si la rsiliation survient entre ladite date et le dbut de la priode de quinze (15) jours vise larticle 6.4; 100% du prix du transport, si la rsiliation survient dans les quinze (15) jours prcdant sa date dtermine conformment larticle 6; le montant total payable par lExpditeur au Transporteur en principal tant gal la somme des montants ci-dessus payables au titre des diffrents transports prvus aux prsentes. Les frais et dbours de tiers exposs par le Transporteur seront re-facturs par le Transporteur lExpditeur et rembourss par ce dernier sur justificatifs. Les dommages-intrts payables par lExpditeur au Transporteur au titre des articles 8.1.1 et 8.1.2 porteront intrts au taux de [taux dintrt] compter de la demande de paiement du Transporteur et seront capitaliss chaque date anniversaire jusqu complet paiement.

8.2 Inexcution ou retard du fait du Transporteur


Si, hors la survenance dvnements de force majeure, le Transporteur est dans lincapacit deffectuer un transport la date prvue et dans les trois (3) jours suivant cette date, le Transporteur paiera lExpditeur une indemnit de retard dun montant de ______________ [somme en lettres] euros par jour de retard calcule compter du quatrime jour dans la limite dun montant maximum de ___________ [somme en lettres] euros. Si, hors la survenance dvnements de force majeure, un transport est annul par la faute du Transporteur ou sil est retard au-del de la priode de 9 (neuf) jours vise larticle 8.2.1, le Transporteur paiera lExpditeur lindemnit prvue lArticle 22 de la convention de Varsovie vise larticle 7 ci-dessus. Article 9 Force majeure a) La survenance dun vnement de force majeure entra\nera la suspension des obligations de la partie affecte par la force majeure sous

Les parties sefforceront de remdier la situation ainsi cre dans les meilleurs dlais et se concerteront pour convenir dun report du transport affect par lvnement de force majeure ou dun rchelonnement du calendrier de transport si cet vnement est de nature affecter plusieurs des transports prvus aux prsentes. b) Faute daccord dans les quinze (15) jours suivant la notification de la survenance de lvnement de force majeure, chaque partie pourra, sans pravis ni indemnit de part ni dautre, annuler le transport affect par lvnement de force majeure ou mettre fin au contrat si cet vnement est de nature affecter plusieurs des transports prvus aux prsentes. Daccord exprs entre les parties, constitueront des vnements de force majeure pour les besoins des prsentes: le fait pour le Transporteur (et malgr toute sa diligence) de ne pas pouvoir effectuer le transport en raison de la non-rception dautorisations de survol ou datterrissage sur les diffrents sites concerns par le transport, ou bien en raison de la non-dlivrance par la Direction gnrale de laviation civile (DGAC) de lautorisation du vol; les grves ou autres conflits sociaux. Article 10 Conditions de paiement Le prix sera payable de la manire suivante: 20% du prix total du contrat la date de signature des prsentes, dont le Transporteur donne par les prsentes quittance lExpditeur; 30% du prix de chaque transport au jour de la fixation de la date dfinitive dudit transport de la manire prvue larticle 6.3; 50% du prix de chaque transport le jour ouvrable prcdant le jour du Transport. Lesdites sommes seront payables par virement SWIFT, chque de banque ou tout autre mode de paiement assurant le transfert des fonds sur le compte du Transporteur le jour mme de lordre ou de la remise du moyen de paiement. Article 11 Proprit industrielle et intellectuelle Chacune des parties restera propritaire du savoir-faire, des connaissances, des travaux et rsultats, brevetables ou non ou autrement protgeables ou non, acquis antrieurement aux prsentes et qui pourraient tre communiqus lautre partie pour les besoins de lexcution des prsentes.

Si, pour les besoins de lexcution des prsentes, une partie dveloppe des procds ou techniques susceptibles de protection industrielle et/ou intellectuelle, cette partie sera seule titulaire des droits accords par la loi sur ces procds et techniques et seule habilite en obtenir la protection, tant expressment convenu que tout procd et brevet issu de lapplication du dossier technique figurant sera la proprit du Transporteur quelle que soit la contribution de lExpditeur son dveloppement. Article 12 Confidentialit a) Le prsent contrat et ses annexes et avenants sont confidentiels entre les parties et leurs reprsentants et ne pourront tre divulgus, mme partiellement, des tiers par une partie sans laccord pralable crit de lautre partie. Un tel accord ne sera pas refus en cas de besoin de communication une administration et pour des besoins de preuve en justice. b) Les informations et documents changs entre les parties pour les besoins de la prparation, de la mise en uvre ou de lexcution des prsentes et des transports objet des prsentes, sont galement confidentiels. c) Aucune partie ne pourra faire dune quelconque manire rfrence aux prsentes ou aux transports objet des prsentes des fins de publicit, directe ou indirecte, sans laccord pralable crit de lautre partie qui devra lui tre demand par lettre recommande avec demande davis de rception. Le terme publicit comprend notamment toute photographie en rapport avec les transports, le chargement et dchargement, et sentend de tout support y compris lInternet. Le silence de la partie consulte pendant cinq (5) jours suivant le jour de rception de la lettre recommande prcite vaudra accord de ladite partie consulte. Article 13 Communications Les communications entre les parties pour les besoins des prsentes seront faites par tlcopie (ou par lettre recommande avec demande davis de rception dans certains des articles ci-dessus repris) aux personnes qui seront dsignes comme seuls interlocuteurs habilits des parties. Article 14 Loi applicable Le prsent contrat et ses consquences sont rgis par la loi franaise. Air Transport of Goods Agreement Between ____________, a limited liability company under the laws of France, registered office (France), represented by Mr. _______________________ in his capacity as Managing Director, hereinafter called the Carrier, And ____________, a limited liability company under the laws of ________, registered office, ________________, represented by _________________ in his capacity as CEO, hereinafter called the Sender, It is agreed hereto as follows, Article 1 Air Transport Agreement The present Agreement is an air transport Agreement subject to the provisions of the Convention of Warsaw of 12th October 1929, and its addendum and those provisions of the French Civil Aviation Code. Article 2 Changing Circumstances The present contract is undertaken by each of the contracting parties with due consideration to the person, the expertise and the operational specifications of its contractual counterpart. Consequently: Neither Party cannot cede its rights and obligations to a third Party pursuant to the terms and conditions herein unless with prior consent of its counterpart. This prior Agreement needs to be requested within a reasonable delay and of less than sixty (60) days prior to the next freight transport foreseen in the Air Transport Year Calendar. The Carrier can terminate the present contract without loss of any type to either Party, if the Sender is subject to a merger acquisition, divestment of assets, or equity assignment by court action, management franchise or any measure changing substantially the organization of its equity or its Board of Directors or the conduct of its activities; or, in more general terms, if the activities of the Sender change in any manner or juridical form whatsoever in relation to the contracted services herein and thereby create a conflict of interests to these contractual activities. Article 3 The Obligations of the Carrier

3.1 Preliminary Obligations


The Carrier has provided to the Sender a technical file containing the basic information concerning the loading and unloading of material and the characteristics required for the loading interface bearing in mind the

Airplanes loading specifications. The Carrier shall also take into account the specifications of the material to be loaded; and those of the loading and unloading bays and other infrastructures so long as these have been communicated by the Sender prior to the signing of this contract.

3.2 Loading and Unloading


Ref.: The Specifications Handbook Section 3. Responsibility of the Parties. The responsibility of the Carrier cannot be attributed for damages to the material prior to its hand-over upon loading, unloading or even during the operations of transportation nor for any delay, if the cause of the damage or the delay can be imputed to the Sender either due to the supply of incomplete or inexact information by the Sender regarding the specificity of the loading and unloading operations or infrastructures, or due to the inability of the Sender to define, conceive or carry out the interface or the means of loading and unloading that are incumbent on it to carry out pursuant to the terms of the present contract.

3.3 Air Transport


The Carrier shall ensure the packing and unpacking of the material and shall carry out the sole or several Air Transports foreseen herein on the agreed time delays and dates under article 8 and pursuant to the other conditions herein. The Carrier shall be sole responsible regarding the mandatory legal and security requirements, as well as those of route, choice of technical stopover and more generally of the decision to take-off and the conduct of flight operations. Article 4 The obligations of the Sender

4.1 Preliminary Obligations

The Sender shall supply all the information required for the purposes of the implementation of the terms of this contract and to ensure the full security of the transport, and all the other operations envisaged by the said contract terms regarding the place and infrastructure of the loading.

4.2 Loading and unloading

4.3 The Sender shall inform the Carrier of any event likely to affect the implementation of these obligations namely if a delay or impact arises from them on the shipment(s) as the purpose of this contract.

4.4 The Sender shall supply all the technical assistance, the material and human means that the Carrier may require and, namely, it shall make sure that its officials or mandate-holders (whose names and company roles shall be stated) to be present at the loading and unloading bays (on the days and for the entire duration of the operation as stated). 4.5 The conformity of the material
The Sender shall make sure that the material is in appropriate state of transportation in every respect under the terms and conditions of the present contract; and it should have fulfilled all the custom and excise obligations, and clearances foreseen in Article 7.

4.6 The Carrier shall have the right to suspend or cancel any transportation under the terms and conditions of this contract, and in case of need, to terminate this contract in its entirety pursuant to the provisions of Article 8, if the Sender does not justify to have taken all the provisions necessary to implement its obligations under this present contract within one (1) days prior notice to the take off of the airplane. If after the take-off of the airplane and for any reason whatsoever including the occurrence of an unforeseen event, it is obvious that the said obligations of the Sender cannot be carried out, the Carrier can either reroute the aircraft to a destination of his choice (including the return of the aircraft to its airport of departure) or continue the flight until its final destination. In the latter case, or in the case that the fault of the Sender does not appear until after the landing of the aircraft, the Carrier can do the following at the expense and risk of the Sender: Either unload the material by any means available on the spot, to store it and ensure its safekeeping in the most appropriate manner given the local means and infrastructure available. Either bring back the material to a third destination and also to have it unloaded, stored and guarded. The said unloading, storage and operations shall be carried out in the name and at the expense of the Sender, who authorizes henceforth the explicit mandate to the Carrier to do so, with the legal responsibility for the material being transferred to the Sender from the beginning of the unloading operations. The Carrier shall notify immediately the Sender of the measures taken, the latter being the sole responsible Party of the ulterior relationships with the people in charge of the storage and security arrangements, the local authorities and all third Parties.

The charges, expenses and costs incurred by the Carrier regarding the non-reception of the material and the smooth running of the aircraft including all the aircraft fuel costs, shall be immediately reimbursed by the Sender as well as all the costs arising from any delay or disorganization in the activities of the Carrier. For the purposes of greater reliability, the contracting Parties agree that the Carrier shall not have the obligation to settle the rent, fees, running costs, awards or other outstanding sums whatsoever either to ensure the storage, security or the preservation of the material after unloading beyond the period of 48 (forty-eight) hours. Article 5 Authorizations, Custom and Excise

5.1 The Sender shall supply to the Carrier all the documents necessary for the confection of custom and excise documentation of export and/or import or other necessary supporting documents such as quarantine, sanitary, security or dangerous Air Transport authorizations within fifteen (15) clear working days prior to the date foreseen for each Material to be transported, and which may be required prior to the flight departure, upon arrival or during stop overs. If the Carrier deems that one of the documents in proof foreseen in subarticle 5.1 is missing or incomplete thereby compromising the implementation of the Air Transport operation, its unloading, custom and excise clearance, and its delivery or, in more general terms, the conformity of the material or the reliability of its officials and mandate-holders, the provisions under Article 8 shall apply.
Article 6 Air Transport Calendar The date of each Air Transport shall be agreed between the contracting Parties in the following manner:

6.1 Each air transport shall be carried out on a given date within a three (3) weeks period. 6.2 Four (4) months prior to the first day of the said three-week period, the contracting Parties shall agree on a 7-day period set within that period. 6.3 Five (5) weeks prior to the first day of the said period of seven days, the contracting Parties shall decide within that period of seven days, the exact date on which the Air Transport shall be implemented. 6.4 Fifteen (15) days prior to the said date, the contracting Parties shall agree on the hour of departure of the Aircraft.
Each contracting Party shall keep the other Party informed of any event likely to have a repercussion on the air transport calendar, and directly or

otherwise related to the implementation of the contractual obligations prior to the Air Transport Operation. These provisions shall be set down in pre-emption of any request for modification of the dates of Transport. Article 7 Limited Liability and Insurance The responsibility of the Carrier is limited under the provisions foreseen in the Warsaw Convention. The Carrier insures the material for 250 gold francs, or 16.5837 Special Drawing Rights (convertible into euros on the day of the transaction or the date of the court ruling) for every kilogram of material lost, damaged or whose passage is delayed pursuant to the Warsaw Convention. An ad valorem insurance certificate shall be underwritten for the transport. If the Sender covers the risks itself, it must renounce from any legal action to be taken against the Carrier and its insurers, by either itself and its own insurers except in the case serious or intentional fault by the Carrier. Article 8 Contractual Non-implementation and Termination

8.1 Non-fulfilment by the Sender


8.1.1 Non-fulfilment and termination attributable to an Agreed Air Transport: If the Carrier does not respect any of the obligations relating to an Agreed Air Transport under the present contract, the Carrier shall be exempt of its obligations regarding this Air Transport in question due to the violation of contractual obligations by the Sender. In this case: a) The Carrier may propose to the Sender a new date for the implementation and new contractual provisions including the financial ones in order to implement the said transport. These new financial provisions should enable to reimburse the Carrier for its losses, charges and costs that he has suffered on the postponement of the Air Transport to a later date. Or b) In the event of inability to suggest a new date due to loading plan of the Carrier, or in the event of refusal of the proposal hereunder by the Sender, or if the violation committed by the Sender is of such magnitude that it prevents to renewal of the Air Transport assignment, the Carrier can decide to terminate the terms of this contract but only in relation to the Air Transport shipment which has led to the violation of the binding clauses. In the event of termination, the Sender shall pay the Carrier damages and interests to cover administration, logistics and staff costs assumed by the Carrier, the idle time of the aircraft and the equivalent of the time period corresponding to the duration of the cancellation of the transport, the

infrastructure costs and the lost opportunity based on documents of proof presented thereof and sustained by the Carrier. The damages and interests are designed to compensate for direct losses incurred, costs and lost opportunities of the Carrier notwithstanding the costs and disbursements to third Parties which the Carrier would have incurred prior to the date foreseen for the Air Transport or that he might have to cover after his delay and his cancellation. These costs and disbursements shall be re-billed by the Carrier to the Sender and shall be reimbursed by the Sender to the Carrier on documents of proof presented. 8.1.2 Non-fulfilment and termination related to several Air Transport or to the general obligations of the Sender: If the Sender does not respect any of its obligations under the present terms and conditions besides those in article 8.1.1 or if the violation committed by the Sender is of such magnitude that it prevents continuing a contractual relationship, the Carrier may call for the entire termination of the present contract and for all Air Transport foreseen under it, if the violation of the contractual obligations of the Sender continues for more than fifteen (15) days after receiving formal notice sent to the Carrier (by registered letter and recorded delivery) to rectify his deficient implementation. In this case, the present contract shall be terminated immediately from the emission of a fax by the Carrier to the Sender notifying the termination of the contract under article 8.1.2 and the Sender shall pay the Carrier interest payments earmarked to cover administrative, logistics and staffing costs, the infrastructure support costs, the eventual hangar time of one or several of its airplanes, the lost opportunities calculated in the following manner in relation to each Air Transport foreseen under the terms of this contract: a) 15% of the Air Transport Time, if the termination of contract happens between the date of implementation of the contract and the beginning of the four (4) month period pursuant to article 6.2. b) 35% of the Air Transport Time, if the termination of the contract happens between the said date and the beginning of the five (5) week period pursuant to article 6.3. c) 50% of the Air Transport Time, if the termination of the contract happens between the said date and the beginning of the fifteen (15) days pursuant to article 6.4. d) 100% of the Air Transport Time, if the termination of the contract happens within the fifteen (15) days preceding its agreed date pursuant to article 6. Given that the total payment payable by the Sender to the Carrier is equal to the sum of the amounts due here above and payable for the dif-

ferent Air Transports pursuant to the terms of the contract herein. The fees and disbursements incurred by third Parties on account of the Carrier shall be re-billed by the Carrier to the Sender and reimbursed by the latter on presentation of document of proof. The damages payable by the Sender to the Carrier pursuant to articles 8.1.1 and 8.1.2 shall be with interest set at [interest rate] counting from the request by the Carrier for payment and shall carry quarterly compound interest until its total payment.

8.2 Non-fulfilment or delay attributable to the Carrier: 8.2.1 If, except for the occurrence of force majeure, the Carrier is unable to carry out the Air Transport on the agreed date and within the following three (3) days after this date, the Carrier shall pay the Sender an indemnity payment of _________ [in letters] for delay for each day counting from the fourth day with a maximum indemnity payment of _____. 8.2.2 If, except for the occurrence of force majeure, the Air Transport is cancelled due to the fault of the Carrier or if it is delayed for more than 9 (nine) days pursuant to Article 8.2.1, the Carrier shall pay the Sender an indemnity payment pursuant to Article 22 of the Warsaw Convention applicable, in turn, to Article 7 here above.
Article 9 Force Majeure The occurrence of a force majeure event shall carry the suspension of contractual obligations of the Party affected by the force majeure on the condition that this Party forewarns the other Party as quickly as possible after the occurrence of the event. The contracting Parties shall endeavor best efforts to rectify the engendered situation as quickly as possible, and shall agree to act together to draft a report on the Air Transport affected by the event as force majeure or to reschedule the Air Transport Calendar if this event is likely to affect several Air Transport foreseen in the present contract. Unless an Agreement is drafted within fifteen (15) days upon the notification of the event as force majeure, each Party may cancel the Air Transport affected by the event as force majeure or terminate without prior notice by either Party or indemnity arising thereof, or terminate the contract if this event of force majeure is likely to affect several Air Transport foreseen by this contract. With the explicit Agreement of both Parties, the following events constitute force majeure for the purposes of this contract: The fact that the Carrier (and despite all its diligence) cannot carry out the Air Transport due to the non-reception of flight path or land-

ing authorizations at the indicated different sites, or else due to the non-delivery by the Direction Gnrale de lAviation Civile (DGAC) (French Civil Aviation Authority). Union strikes or other form of strike action.

Article 10 Conditions of Payment The price shall be payable in the following manner: 20% of the total price of the contract on the date of implementation of the present contract and for which the Carrier gives the Sender its due receipt. 30% of the price of each transport on the day that the definitive date of the said transport is agreed on pursuant to Article 6.3; 50% of the price of each transport on the working day preceding the transport. All sums are payable by SWIFT bank transfer, Bankers cheque or any other means of payment that ensures the transfer of funds to the account of the Carrier on the very day of the banking order or the remittance of the means of payment. Article 11 Industrial and Intellectual Property Each Party shall remain the proprietor of its know-how, implementing knowledge, of studies undertaken and their results, which can be brevetted at will or that can be otherwise protected also at will; and acquired prior to the present contract and which could be communicated to the other Party for the purposes of the implementation of the present contract. If, for the purposes of the implementation of the present contract, a Party develops the procedures and techniques likely to come under Industrial and/or Intellectual Property law, this Party shall be sole beneficiary of the rights granted by law on these processes and techniques; as well as the sole Party entitled to request its patent with the explicit Agreement that all the processes and brevets arising from the application of the technique in question shall be the property of the Carrier whatever the form of contribution made by the Sender to its development. Article 12 Confidentiality The present contract and its annexes and additional clauses are confidential endorsement between the Parties and their representatives, and cannot be divulged, not even partially, to third Parties by a Party without prior written Agreement of the other Party; and which shall not be denied in the case of need to communicate it to an administration and for the purposes of proof in court actions.

The information and documents exchanged between the Parties for the purposes of preparation; the drafting or the implementation of the present contracting terms and the Air Transport as the purpose of this contract are equally confidential. No Party can make any reference whatsoever to the terms of this contract or to Air Transports and the purpose of this contract for the purposes of direct or indirect publicity without the prior written Agreement of the other Party, which needs to be requested by registered letter with recorded delivery. The term publicity consists mainly of any photograph with connection to loading or unloading Air Transport and includes any such Internet technology. The silence of the consulted Party for five (5) days following reception of the aforementioned recorded delivery amounts to the consent of the aforementioned consulted Party. Article 13 Communication Communication between the Parties for the purposes of the present contract shall be by fax machine (or recorded letter with registered delivery with reference to several Articles mentioned here above) to those people who are nominated by the Parties and designated as their sole accredited representatives. Article 14 Applicable Law This contract and its consequences shall be subject to French Law. Article 15 Competence Any dispute arising out or in connection with this Agreement shall be settled without recourse to the courts, in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce, by one or more arbitrators designed in conformity with those Rules, the awards being final and binding. The arbitrator or arbitrators shall have power to rule on their own competence and on the validity of the Agreement to submit to arbitration.
