LICENSE AGREEMENT CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT.

"Software" includes any upgrades, modified versions, updates, additions and copies of the Software. "Yo u" means the person or company who is being licensed to use the Software. "We" and "us" means InfoWorks Technology Company. We hereby grant you a nonexclusive, non-transferable, limited license to use one copy of the Easy Photo Movie Maker on any single computer, provided the Softwar e is in use on only one computer at any time and only for licensee's internal bu siness operations. The Software is "in use" on a computer when it is loaded int o temporary memory (RAM) or installed into the permanent memory of a computer--f or example, a hard disk, CD-ROM or other storage device. We remain the owner of all right, title and interest in the Software and Documentation. You may either: make one copy of the Software for backup or archival purposes or transfer the Software to a single hard disk, provided you keep the original sol ely for backup or archival purposes. You may not: copy the Software except to make archival or backup copies as prov ided above, modify or adapt the Software or merge it into another program, rever se engineer, disassemble, decompile or make any attempt to discover the source c ode of this Software, place the Software onto a server so that it is accessible via a public network such as the Internet, or sublicense, rent, lease or lend an y portion of the Software or Documentation. This software, and all accompanying files, data and materials, are distributed " AS IS" and with no warranties of any kind, whether express or implied. The user must assume the entire risk of using the program. This disclaimer of warranty c onstitutes an essential part of the agreement. Our entire liability will be limited exclusively to refund of purchase price. I n addition, in no event shall we, or our principals, shareholders, officers, emp loyees, affiliates, contractors, subsidiaries, or parent organizations, be liabl e for any incidental, consequential, or punitive damages whatsoever relating to the use of Easy Photo Movie Maker, or your relationship with us.
