OFFICIAL RULES
1. As defined herein, the term applicant (“Applicant”) shall mean and refer to all of the individual owners of the
business enterprise described in the Competition Official Business Plan Application Form (“Application Form”) where
a separate legal entity (e.g., a corporation, LLC, LLP, partnership, etc.) has not been formed to operate such business
enterprise. If an entity has been formed to operate the business enterprise described in the Application Form, the term
Applicant shall mean and refer to the entity and all of the individual owners of such entity. The Application Form must
designate the name of the single business enterprise that will be the payee of the grant if Applicant is adjudged a
winner of such grant. Such designation may be changed only with the prior written consent of each individual Appli-
cant named in the Application Form. (Should the business enterprise become insolvent, have change in ownership, or go
into receivership prior to the awarding of the grant, Applicant becomes ineligible and said grant will be forfeited by the
Applicant.) Each individual Applicant is hereafter referred to jointly and severally as “Applicant,” and the Application
Form shall be signed by all of the persons who are included in such definition.

2. The Miller Brewing Company Urban Entrepreneurs Series Business Plan Competition (“Competition”) provides
eligible Applicants with an opportunity to compete for one (1) $50,000 business grant or one (1) of up to four (4)
$25,000 business grants (each a “Business Grant”) and is open to all current and aspiring entrepreneur Applicants who
meet the following criteria and submit a business plan (“Business Plan”) for a start-up, early stage venture, buy-out, or
expansion of an existing business enterprise not exceeding five years in business as of December 1, 2008. At least fifty
percent of the ownership of Applicant must be held by owners (a) who are at least 21 years of age and no older than 35
years of age on December 1, 2008, (b) who are legal U.S. residents, residing in the United States and (c) who have not
previously been awarded a business grant from the OE 800 Making It Real Business Grant Competition, the Recycling
Black Dollars Making It Real Business Grant Competition sponsored by Miller Brewing Company, the Recycling Black
Dollars Urban Entrepreneurs Series Business Grant Competition, or the Miller Urban Entrepreneurs Series Business
Plan Competition. The business enterprise may not be a franchisee as defined under applicable state or federal franchise
disclosure laws. Applicant is not eligible to participate in the Competition where Applicant or Applicant’s immediate
family is an employee of “Sponsor” (as defined herein) or of Flowers Communications Group, or their respective parent,
subsidiary, or affiliated companies; where Applicant has an ownership interest in, or is an establishment that is or will be,
during the Competition judging process, a licensed retailer of beer or fermented malt beverages; or where Applicant is a
panelist or speaker at a Competition seminar or a judge of the Competition.

3. For ease of reference, the Application Form and the Business Plan are sometimes collectively referred to herein as
“the Application.” THE APPLICATION AND APPLICANT SHALL ADHERE TO ALL OF THESE OFFICIAL RULES
(“RULES”) AND APPLICATION FORM REQUIREMENTS, AND THE FAILURE TO DO SO MAY DISQUALIFY
THE APPLICATION FROM CONSIDERATION. The Rules incorporate by reference all of the information and require-
ments contained in the other forms and materials to be submitted by Applicant including, without limitation, the Ap-
plication form. No consideration or payment is required. Applicant is not required to attend a seminar sponsored by the
Atlanta Business League, Chicago Urban League, Detroit Urban League, Greater Harlem Chamber of Commerce, Greater
Dallas Hispanic Chamber of Commerce, Milwaukee Urban League, Recycling Black Dollars, Urban League of Greater
Dallas and North Central Texas, or the University of Wisconsin - Milwaukee to submit an Application and participate in
the Competition. Sponsor shall have the sole discretion to waive, interpret and apply the Rules, and all decisions by the
judges and Sponsor shall be final and binding.

4. Applicant, including any persons named in the Application Form, may not submit or be a participant in more than
one Application.

5. An Application shall contain 6 original copies of the following duly executed items that comply with the Rules: (a)
the Application Form, (b) the Business Plan. c) Photo IDs of all owners and d) Resumes of all owners. All information
contained in the submitted Application Form and Business Plan shall be truthful and complete, and each page of the
Application Form and Business Plan shall contain the name of Applicant.

6. The Business Plan, which shall be an original work of Applicant, shall describe what Applicant proposes to do with
regard to a start-up, early stage venture, buy-out or expansion of an existing business, and shall clearly include with
regard to the proposed business enterprise (a) an executive summary, (b) an overview describing the entire business
concept (including implementation), (c) a table of contents, (d) a description of the products or services to be included
in the business enterprise, including a description of marketing, actual or potential competition, operating procedures,
performance claims, market survey results (if any), and intellectual property (if applicable), (e) the business enterprise
risk factors, (f) a summary of financial data which shall include a yearly projected income statement, balance sheet, cash
flow statement, and funds required or to be used (including loans), which projections shall be for a period of three years;
if currently in business, include historical data (g) any other supporting documentation that Applicant wishes to include
as part of the Business Plan, and (h) any tangible samples of work that has or will be produced under the business enter-
prise. A Business Plan that describes any unlawful business activity, that involves a product, service or business enter-
prise that is anti-ethical to the spirit of the Competition, or that would tend to hold the Sponsor and/or Applicant up to
public ridicule or disrepute, will not be eligible for consideration. Sponsor and its agencies reserve the right to eliminate
any such Business Plan from consideration at any stage in the Competition.

7. The Business Plan text shall be no less than 15 pages, and no more than 30 pages, in length (typed with no smaller
than 12-point type, and double-spaced with at least one-inch top, bottom and side margins). Financial data not exceeding
12 pages shall be included as an appendix to the Business Plan. The Business Plan shall be submitted on 81⁄2” x 11” pa-
per, and shall be spiral, velo or similarly bound (report covers, fastening folders, ring binders, paper clips and staples will
not be accepted). PLEASE NOTE: ALL PAPER MATERIALS INCLUDING THE OFFICIAL APPLICATION FORM,
MUST BE BOUND WITHIN THE ENTRY.

8. The Application must be submitted to and received by Flowers Communications Group, at 303 E. Wacker, Drive,
Suite 1000, Chicago, IL 60601, (telephone number 312-228-8800) with all delivery and postage charges prepaid, via
mail or by courier (including Fed Ex, UPS, USPS, etc.) no later than 5:00 p.m. (CST) on Monday, December 1, 2008.
Applications may not be sent by e-mail or facsimile. Sponsor will not send a confirmation of receipt to Applicant, and
Sponsor shall not be responsible for any Applications which are damaged, lost, incomplete, misdirected, postage due or
not received for whatever reason. APPLICATIONS AND BUSINESS PLANS WILL NOT BE RETURNED.

9. Applications will initially be judged separately by regional judges in the following “Judging Regions”: West, Mid-
west, Southwest, Midsouth and Northeast. All Applications will be assigned to one of such regions for judging purposes,
and the regional designation by Sponsor shall be in its sole discretion and shall be final and binding, with an effort being
made to assign such Applications to a region that is geographically proximate to the state from which the Application
originates. Business Plans will undergo a review of eligibility after which all Business Plans that comply with the Rules
will be forwarded for regional judging in the indicated or assigned Judging Regions, and the judges of each Judging region
may select up to, but no more than five (5) Semi-Finalists (each a “Semi-Finalist) Business Plans, then up to, but no
more than three (3) Finalists Business Plans (each a “Finalist”) based on the “Judging Criteria” stated in Paragraph 10
of these Rules. Each Finalist will be notified by mail sent to the address indicated in the Application and will be required
to participate in an Oral Interview Preparation Webinar, give an in-person, oral interview with a national judging panel
of their Business Plan (maximum of 20 minutes) in Chicago, Illinois at a time and on a date to be designated. Finalists
will be solely responsible for all costs incurred in traveling to and from Chicago, Illinois for their oral interview. These
Finalists will be judged nationally and one winner (each a “Winner”) may be selected for each Business Grant by the
national judging panel. All judges will be selected by Sponsor in its sole discretion. Judges may request, at their discre-
tion, clarification or additional information from Applicants as they deem appropriate. Finalists may be asked to provide
additional copies of Business Plan. No substitute winner will be chosen if a Winner is determined to be ineligible to re-
ceive the Grant. National Judges may select more than one (1) Winner from a Judging Region. Sponsor is not obligated
to award any Business Grant if the judging criteria in Rule 10 is not met, or the judges in their sole discretion, do not
select Semi-Finalists, Finalists and/or Winners.

10. All evaluations to determine the Finalists will utilize a point-scoring system that will be recorded and totaled to as-
sist the judges in the determination process. If ties exist, the judges will be polled to determine the Finalists. Once Finalists
have been determined, all evaluations will utilize a similar point-scoring system that will be recorded and totaled to assist
the judges in determining the Winner. If ties exist, the judges will be polled to determine the Winner.

All applications will be judged on the following “Judging Criteria” to determine Finalists:

I. Evaluation Criteria for the Written Business Plan (50% of total)

• Executive Summary (10% of 50%): Clear, exciting, and effective as a stand-alone overview of the plan;
includes brief description of each section of the plan; can be read in five minutes.

• Company Overview (5% of 50%): Presents a vision, history, current status, strategy, goals, missions and
objectives of the business.

• Products or Services (10% of 50%): Describes the key features and benefits, current stage of
development, position, and competitive advantages of the product or service.

• Market Analysis (10% of 50%): Presents the growth trends and key driving forces of the industry;
identifies the key characteristics and needs of the target market(s); assesses the competitive environment;
demonstrates market acceptance for the product or service.

• Operations (10% of 50%): Addresses the marketing, production, R&D, personnel, administrative, and
financial strategies for the business.

• Management (10% of 50%): Backgrounds and roles of key individuals; history and ability to work as an
effective team; personnel needs; organizational structure.

• Cash Flow Statement (10% of 50%): Presents a realistic assessment of cash requirements - inflows and
outflows - over a projected three year period; cash flows are consistent with operating and marketing
strategies outlined in body of plan; cash flow information is detailed by month for first year; quarterly for
second and third years.

• Income Statement (5% of 50%): Demonstrates realistic and attractive income potential of the business;
the income statement is consistent with the operating and marketing strategies outlined in the body of the
plan; income statement information is detailed for month for first year; quarterly for second and
third years.

• Balance Sheet (5% of 50%): Presents a realistic assessment of the working capital and fixed asset
requirements of the business; appropriately reflects the projected capital structure of the business;
balance sheet information is projected annually for first three years.

• Funds Required/Used (5% of 50%): Clear and concise presentation of amount, timing, type and use of
funds required for venture.

• Risk Factors (10% of 50%): Realistically identifies the major internal and external critical risks that
could threaten the business and presents viable contingency plans to address these issues.

• Thoroughness, creativity, and clarity (10% of 50%): Assesses how complete and thorough the plan was
written; the creativeness and clarity.

II. Viability of Company (50% of total)

All applications will be judged on the following “Judging Criteria” to determine Winners:

I. Evaluation Criteria for the Written Business Plan (40% of total)

II. Viability of Company (40% of total)

III. The Oral Presentation (20% of total)

11. Sponsor will ask the judges and consultants to retain in confidence all information in the Business Plan that is iden-
tified as being proprietary and confidential, where such information is not and does not become public, or is not otherwise
required to be disclosed by law, which obligation shall expire 2 years after the receipt of the Application. Applicant agrees
that neither Sponsor, nor its consultants, judges, or co-sponsor community-based organizations, nor any employees, of-
ficers or directors of any of the foregoing (collectively, the “Competition Entities”) assume or shall be held responsible
for any liability whatsoever for any disclosures of Business Plan information which may be made (whether inadvertently
or otherwise) by any judge, staff, consultant, co-sponsor or other individual connected with, participating in, reviewing,
hearing, or receiving information from or in connection with the Competition.

12. Up to and no more than one (1) winner may be selected to receive one Business Grant in the amount of $50,000,
and up to and no more than four (4) winners may receive one Business Grant in the amount of $25,000 each less any
amount required to be withheld by law, payable to the individual or business enterprise designated in the Application.
Applicant should consult its tax advisor as to the taxability of the receipt of such Business Grant as winners are solely
responsible for the reporting and payment of any federal, state and local taxes. It is anticipated that such winners, if any,
may be selected no later than April 30, 2009. Such Business Grants are non-assignable and non-transferable, and are to
be used in accordance with the Business Plan to further the success of the business enterprise described in the Applica-
tion of each Winner and each Finalist. Sponsor also shall have the right, but not the obligation, to present smaller in-kind
awards to Winner and/or Finalists.

13. The Competition Entities shall have no liability to Applicant with regard to the Business Plan or comments, feed-
back or suggestions made to Applicant regarding such Business Plan, and the Competition Entities’ sole liability shall be
to award up to one (1) $50,000 Business Grant, up to four (4) $25,000 Business Grants as described in these Rules, or
such lesser amount where no complying Applications are received for or assigned to one or more of the Judging Regions
listed above, or if the judges in their sole discretion determine that no Business Grants shall be awarded. In no event will
the Competition Entities be liable for any incidental, consequential, special, punitive, or other damages, claims, or actions
arising out of or in connection with the Competition.

14. For good and valuable consideration, the receipt, adequacy and legal sufficiency of which each Applicant hereby
acknowledges, each Applicant hereby grants to Sponsor and its community-based co-sponsor organization the right, but
not the obligation, to use Applicant’s name, voice, likeness, information about the Business Plan, and biography for any
and all promotional purposes related to the Competition, future similar competitions, and Sponsor’s or its co-sponsors’
sponsorship of such competitions, in any and all media throughout the Universe in perpetuity without further compensa-
tion and without further approval, and Applicant shall cooperate in allowing Sponsor and its co-sponsors to obtain such
likenesses and information.

15. Applicant may request a copy of these Rules and the Application materials and may request information about the
Competition no later than Monday, November 17. Application and Rules are available at www.MillerBrewing.com and
www.millermues.com. Applicant may obtain a list of the Competition Winners by sending such request in a self-addressed,
stamped envelope with appropriate postage, to Flowers Communications Group, 303 E. Wacker Drive, Suite 1000, Chi-
cago, Illinois 60601. A request for a list of Winners must be received within 60 days (or by May 16, 2009), after such
Winners, if any, have been chosen. General information regarding the Competition also may be obtained by calling 1-877-
493-4400 or by logging on to www.MillerBrewing.com or millermues.com.

16. GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION,
VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE RULES AND THE RIGHTS AND OBLIGA-
TIONS OF APPLICANTS, SPONSOR, FLOWERS COMMUNICATIONS GROUP, OR ANY OF THE COMPETITION
ENTITIES IN CONNECTION WITH THE COMPETITION SHALL BE GOVERNED BY AND CONSTRUED IN AC-
CORDANCE WITH THE INTERNAL LAWS OF THE STATE OF WISCONSIN WITHOUT GIVING EFFECT TO ANY
CHOICE OF LAW OR CONFLICT OF LAW PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTH-
ER STATE’S LAWS. EACH APPLICANT IRREVOCABLY AGREES THAT THE STATE AND FEDERAL COURTS
LOCATED IN MILWAUKEE, WISCONSIN SHALL HAVE EXCLUSIVE JURISDICTION OVER ANY SUIT OR OTH-
ER PROCEEDING ARISING OUT OF, RELATING TO OR BASED UPON THE COMPETITION OR THESE OFFICIAL
RULES, AND EACH APPLICANT HEREBY WAIVES ANY CLAIM THAT IT IS NOT SUBJECT PERSONALLY TO
THE JURISDICTION OF SAID COURTS OR THAT ANY SUCH SUIT OR OTHER PROCEEDING IS BROUGHT IN
AN INCONVENIENT FORUM OR IMPROPER VENUE.

f. Applicant has not and will not commit any misrepresentation or deception in entering the Competition,
submitting the Application, or in the claiming of the grant.

g. For good and valuable consideration, the receipt, adequacy, and legal sufficiency of which Applicant
hereby acknowledges, Applicant (including each individual owner thereof) agrees to the use of his, her or
its name, voice, likeness, information about the Business Plan, and biography for the purposes and in the
manner described in the Rules.

h. Applicant will notify Sponsor of any changes in Business Plan or in any of the other materials and
information previously submitted where such changes occur prior to the awarding of the Competition grants.

i. Applicant agrees to return any grant received by it upon demand if Applicant has failed to comply with
the Rules.

j. Applicant is a U. S. citizen and legal resident, residing in the United States.
