COMPLETE OFFICIAL RULES FOR THE Why I Love Rocky Point PHOTO CONTEST THAT BEGINS JANUARY 2, 2012

AT 9:00 AM. A Photography Contest Organized and Sponsored by Sonoran Resorts Sales Group through their websites www.sonoranresorts.mx and www.whyiloverockypoint.com NO PURCHASE OR PAYMENT OF ANY KIND IS REQUIRED TO ENTER THIS CONTEST OR TO VOTE ON THE PHOTOS ENTERED. 1. WHAT IS THE CONTEST ALL ABOUT? The Why I Love Rocky Point photo contest (the Contest) is open to photographers (Participants) of all levels (subject to the few restrictions described below) to submit up to three of their own photos taken in Rocky Point that best depict why they love our beautiful sea side resort destination. The Contest gives Participants the opportunity to put their favorite photos, with story backgrounds, in competition with others, while giving everyone the opportunity to vote on which photo they think is the best depiction of why the Participant loves Rocky Point. The person with the winning photograph will receive $1,000 in cash and other prizes. There will also be great prizes for at least 2nd and 3rd place.

2. WHO MAY PARTICIPATE IN THE CONTEST? The Contest is open to anyone with a qualifying photo (see details of a qualifying photo below) EXCEPT the following: If you are under 18 years old when you send in your Submission. If you are an agent or employee of Sonoran Resorts or their subsidiaries, advertisers, promotion agencies and website providers and web masters (Affiliates) or if you are a family member or living in the same household (whether related or not) with an agent or employee of Sonoran Resorts or their affiliates. 3. DO I HAVE TO BUY SOMETHING TO ENTER? NO. No purchase of any kind is necessary to enter, win or vote in this contest

4. DO I HAVE TO ENTER A PHOTO TO VOTE ON THE PHOTO ENTRIES? No. Everyone is eligible to vote in this Contest. Voting will be by 1 to 5 Stars (5 being the best). You are allowed one vote per photo and you may vote for as many photos as you wish but only one vote per photo. You may visit the website as many times as you wish to view the new or unrated photo submissions and vote for the ones you have not voted on yet.

5. WHEN WILL THE CONTEST RUN? The Submission (not to be confused with voting) period for the Contest will begin on Monday January 2, 2012 at 9:00 A.M. Rocky Point Time (which is the same as Arizona time), and end at Midnight on Wednesday February 29. (The "Entry Period").

6. HOW MANY PHOTOS CAN I SUBMIT AND HOW DO I SUBMIT PHOTOS TO THE CONTEST? You may submit up to a maximum of 3 photos in this competition. (See photo criteria, on size and content in (8) below.) Photos will only be accepted via the Photo Contest Entry Form that will become available on January 2nd, 2012 at 9:00 A.M. on both the www.sonoranresorts.mx and the www.whyiloverockypoint.com websites. Fill that form out completely, following instructions on how to successfully insert your photo(s).

7. WHEN AND HOW CAN I VOTE ON PHOTOS? Voting will begin on Monday January 2, 2012 at 10:00 A.M. and run until Midnight Wednesday March 7, 2012 Photo voting formats will be available on both the www.sonoranresorts.mx and www.whyiloverockypoint.com websites. You may vote on any or all photos submitted to the Contest. However, you may only vote on a photo one time. To vote, you will be required to enter your email address. To avoid fraudulent votes being cast on your behalf, after each voting session you will receive a confirmation email. Clicking on the link in the email(s) will cast your vote(s). Voting will be by the Star rating system of 1 to 5 stars with 5 stars being the top rating. Each time you visit the website throughout the contest you will be able to vote on all new photos submitted. If the system prevents you from voting on a photo, it simply means you have already voted on that photo. All votes are final and unchangeable once you have clicked on the desired number of stars under a photo and you will not be able to vote on that photo again.

8. PRIZES First prize will be determined by the total number of Stars assigned to a photo. Each voter will have the opportunity to assign from 1 to 5 stars to a photo. Anyone, including Participants, may cast votes following the voting procedures outlined in (7) above. First Prize winner will receive $1,000 U.S. dollars, 2 VIP Tickets to the Peasco Palooza Concert in Rocky Point on March 17, 2012 and accommodations (for up to 4 persons) in a luxury oceanfront condominium at one of the Sonoran Resorts. Please check back with the websites often as new prizes will be announced for 2nd and 3rd place winners.

Please note that all prizes are non exchangeable and no reimbursements will be available in the event the winner(s) cannot claim their prizes or travel to Rocky Point in order claim or utilize any prizes.

9. WHAT ARE THE RULES AND CRITERIA FOR SUBMITTING PHOTOGRAPHS? You may submit up to 3 original photographs (Submissions) of any location in Rocky Point taken by you (Participant) that best represent why you love Rocky Point. By submitting the photo you are declaring that you are the photographer of that photograph and that you have written permission (Release) from any and all recognizable persons appearing in the photograph to enter the photo in the contest and that they comply with all the requirements, rules, terms and conditions of submitting a photo to this contest. The limit of Submissions per Participant is three photos. You may not submit any further additional photos. If the system detects an attempt to submit additional photos by any means, you will be disqualified and all your photos will be removed from the site. You may submit photos beginning at 9:00 A.M. on Monday January 2, 2012 until Midnight on Wednesday February 29, 2012 by following the links and instructions on either www.sonoranresorts.mx or www.whyiloverockypoint.com .You will be required to provide your full name, a valid email address, the name of your photo plus a description or story about it if desired, your current age (you must be 18 years or older at the time you submit your photo(s)), your phone number where you can be reached in the event you are eligible for a prize as determined at the end of the Contest. Your name and email address will never be shared, sold or otherwise provided or used for commercial purposes unless you are a prize winner. In the event you should win or become eligible for a prize, by accepting the prize you are authorizing Sonoran Resorts to use your first name, photo, city and state and biographical information for any legitimate promotional purpose we deem beneficial in our sole discretion. Photos must be submitted in JPEG format with a minimum size of 600 X 400 and a minimum size of 2MB. Photos may be submitted in color or black and white. Sonoran Resorts retain the right to reject photos deemed unqualified to represent the contest on line. Such reasons may include, but are not limited to poor focus, over processing, exceeding the size limitations, or that contain lewd or socially unacceptable images or subjects or other reasons as listed in (9) below. Such rejections will be at the sole discretion of Sonoran Resorts. If such non-compliance and rejection is determined to be inadvertent such as unacceptable focus or processing, you may be contacted and allowed to submit a replacement photo.

10. CONTENT RESTRICTIONS Your Submission must NOT contain images that are or contain: Copyrighted, trademarked, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material; Material that is hateful, tortuous, defamatory, slanderous or libelous; Gratuitous violence or dangerous stunts; Real weapons of any kind; Illegal drug use; Nudity, lewd or vulgar behavior; Material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any other basis protected by Federal, State, or Local Law, Ordinance, or Regulation

11. RIGHTS AND PERMISSIONS By participating in the Contest, all entrants (Participants) agree to be bound by these Official Rules and the decisions of Sonoran Resorts are final and made in their sole discretion. By submitting a photo (the Submission) in the Contest, you grant Sonoran Resorts a perpetual, non-exclusive, worldwide, royalty-free, irrevocable, fully and freely assignable and sub-licensable license to any rights you have in the Submission - including, but not limited to, the rights to use, display, publish, reproduce, distribute, modify, prepare and sell derivative works based upon the Submission (or any part thereof) online and offline in any form, media or technology now known or hereafter devised without attribution or compensation to the contestant, his or her successors or assigns, or any other entity. By submitting a photo in the Contest, Participants represent they have obtained permission (Release) signed by all recognizable persons featured in the Submission to enter the photograph in this Contest. The Winner will additionally be required to execute an Affidavit of Eligibility, a Liability Release and a Publicity Release (Affidavit/Release). The Affidavit/Release must be returned by the date and/or time indicated within the Affidavit/Release. If the potential Winner fails to return the Affidavit/Release within that time or if an entrant is found to be ineligible, or if he/she does not comply with the Official Rules, then the potential Winner will be disqualified and an alternate winner will be selected. Except where prohibited by law, the Winners entry and acceptance of the Prize constitutes permission for Sonoran Resorts to use said Winners name, photograph, likeness, statements, biographical information, voice, and city and state address on a worldwide basis, and in all forms of media, in perpetuity, without further compensation. Any personal information collected through the Contest is for contest use only. First names only will be displayed on the contest websites with Submissions.

During the registration process you will be required to confirm that you agree to be bound by these Official Rules. Any Submission that includes content that is deemed inappropriate, indecent, obscene or otherwise does not comply with the Content Restrictions listed in Section 6 above, as determined by Sonoran Resorts in its sole discretion, will not be eligible. Sonoran Resorts may prohibit an entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sonoran Resorts representatives. In case of dispute as to the identity of any entrant, entry will be declared made by the authorized account holder of the email address submitted at time of entry. Authorized Account Holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g.,business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. The potential Winner may be requested to provide proof that such Winner is the authorized account holder of the email address associated with the winning entry.

12. LIMITATIONS OF LIABILITY Sonoran Resorts is not responsible for lost, late, misdirected, undeliverable or incomplete Online Entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or Online Entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, or faulty transmissions, or for any other problems or technical malfunctions. If for any reason the Contest is not capable of running as planned by reason of infection by virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of the Sonoran Resorts, may corrupt or effect the administration, security, fairness, integrity or proper conduct of this Contest, Sonoran Resorts reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest, and select the winner for the Contest from the entries received prior to the action taken or in other such manner as deemed fair and appropriate by Sonoran Resorts. Participants, by participating in the Contest, hereby waive and release, and agree to hold harmless, the provider(s) of the prize(s) and Sonoran Resorts and their parents, subsidiaries, affiliates, and distributors, and all of their respective officers, directors, employees, representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to

person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in the Contest, or their participation in the Contest, or their participation in any Contest or prize related activity, or any travel related to the Contest or any travel for any prize related activity. Participants also further acknowledge that Sonoran Resorts and other sponsors, the prize providers, and their respective parents, subsidiaries, affiliates, and distributors, and all of their respective officers, directors, employees, representatives and agents, have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law relative to any prize or this Contest including but not limited to quality, condition or fitness for a particular purpose. The Contest is governed by the Sonoran Resorts privacy policy, which is available on the Web Site. All applicable federal, state and local laws and regulations apply.
