Motorola Mobility is comprised of Motorola, Inc.s former Mobile Devices and Home businesses. Motorola Mobility Holdings, Inc.

is a provider of innovative technologies, products and services that enable a broad range of mobile and wireline digital communication, information and entertainment experiences. The subject of this presentation is the brand new Motorola Mobility company. My presentation will be in 4 main parts. Firstly Id like begin by explaining two concepts: radio and cellular network, secondly Ill talk about the milestones in history of Motorola and Ill be introducing the new company, Thirdly well move on to trends of business, and finally Im going to tell you the financial highlights focused in major segment of the company.

Motorola has had an important role in developments within the field of radio-communications: electromagnetic waves and experimentation; wireless communication and technical development; and radio broadcasting and commercialization. Many of Motorola's products have been radio-related. The usage of the word "radio" takes many forms, including radio broadcasting (distribution of audio) Radio is the transmission of signals through free space by modulation of electromagnetic waves with frequencies below those of visible light. Electromagnetic radiation travels by means of oscillating electromagnetic fields that pass through the air and the vacuum of space without wires: wireless). The term "radio" is based on the verb to radiate and often refers to the actual device or chip, whereas "wireless" refers to the system and/or method used for radio communication. A cellular network is a wireless network distributed over land areas called cells (cells like honeycomb of bees), each one equipped with low-power radio antennas. When joined together these cells provide radio coverage over a wide geographic area, allowing the user to be mobile. Cells are interconnected through a central exchange and when the mobile phone moves from nears the edge of the cell site's radio coverage area, the central computer switches the phone to a new cell without interrupting a call

Id like to start by explaining that Motorola's success in cellular had its roots in the company's earlier research, the company was a radio communications pioneer. Motorola had a mobility mindset dedicated to making communications available where and how people needed them.

Sep 25, 1928 Paul V. Galvin and his brother, Joseph, incorporated Motorola's founding company Galvin Manufacturing Corporation in Chicago, Illinois, USA. Nov 1, 1928 first product was a 1928 battery eliminator. This power converter allowed battery-powered radios to run on household electricity. The company's first customer was Sears, Roebuck and Co., which sold battery eliminators to consumers. Jan 1, 1930 introduced the Motorola radio, one of the first commercially successful car radios. Company founder Paul V. Galvin created the brand name Motorola for the car radio linking "motor" (for motorcar) with "ola" (which implied sound). Thus the Motorola brand meant sound in motion. Its first Motorolabranded car radio was followed soon after by radios for public safety officers. Jan 1, 1940 Galvin Manufacturing Corporation engineers developed the Handie-Talkie SCR536 portable two-way radio. This handheld radio became a World War II icon.

Oct 1, 1943 Galvin Manufacturing Corporation (later Motorola) designed the world's first FM portable twoway radio, the SCR300 backpack model, for the U.S. Army Signal Corps. Weighing 35 pounds (15.9 kg), the "walkie-talkie" radio had a range of 10 to 20 miles (16-32 km). More two-way radios for public safety and businesses, and entertainment radios for consumers -- many of them portable -- were among the products the company made during the 1940s through the 1960s.

Apr 1, 1947 Galvin Manufacturing Corporation became Motorola, In. After its conception, the Motorola logo underwent several changes reflecting popular culture throughout its first decades 1947 Motorola's first television, the 1947 Golden View model, was affordable and popular. More than 100,000 units sold in one year.

1960 The 1960 Motorola Astronaut television, a 19-inch model, was the world's first large-screen, transistorized, cordless portable television. 1963 Motorola developed the world's first truly rectangular color picture tube for television in a joint venture with National Video Corporation. The tube quickly became the industry standard.

Apr 3, 1973 Motorola demonstrated a prototype DynaTAC (DYNamic Adaptive Total Area Coverage) portable radiotelephone cellular system. A low-power handset was a fundamental element of the system. Sep 21, 1983 The world's first commercial handheld cellular phone, the Motorola DynaTAC phone, received approval from the U.S. Federal Communications Commission on September 21, 1983. The 28ounce (794-gram) phone became available to consumers in 1984. After more than 10 years and a US$100 million investment, Motorola's commitment produced an innovative portable technology that revolutionized the communications industry and changed the lives of people around the world. 1995 Motorola introduced the world's first two-way pager, the Tango two-way personal messaging pager. It allowed users to receive text messages and e-mail, and reply with a standard response. It also could be connected to a computer to download long messages.

1996 When introduced in 1996, Motorola's StarTAC wearable cellular telephone was the world's smallest and lightest. It weighed just 3.1 ounces (88 grams).

2002 Motorola's SURFboardAE SBG1000 cable modem gateway was the world's first to combine a highspeed cable modem router with an ethernet switch and wireless home gateway. It enabled cable TV subscribers to use their cable connection to share Internet access and to network multiple computers wirelessly. Jan 4, 2011 Motorola, Inc. splits into two separate companies: Motorola Mobility, Inc. and Motorola Solutions, Inc. Shares of Motorola Mobility, Inc. began trading on the New York Stock Exchange (NYSE) under the ticker symbol MMI.

Separation from Motorola, Inc. On January 4, 2011 (the Distribution Date), Motorola Mobility Holdings, Inc. became an independent, publicly traded company as a result of Motorola, Inc.s distribution of its shares of Motorola Mobility to Motorola, Inc. stockholders. Our common stock began trading regularway under the ticker symbol MMI on the New York Stock Exchange on January 4, 2011. Motorola, Inc. changed its name to Motorola Solutions, Inc. (hereinafter, our Former Parent) effective on separation.

Motorola Mobility
The Companys integrated products and platforms deliver rich multimedia content, such as video, voice, messaging and Internet-based applications and services to multiple screens, such as mobile devices, televisions and personal computers (multi-screens).

Our product portfolio primarily includes mobile devices, wireless accessories, set-top boxes and video distribution systems, and wireline broadband infrastructure products and associated customer premises equipment. We operate our business in two segments, our Mobile Devices segment and our Home segment. Our 2 businesses have complementary core strengths and synergies in intellectual property, technology, design, distribution and operator and carrier relationships, which together with a global brand uniquely position us to capitalize on emerging opportunities.

We believe we are well positioned to enable the evolving digital lifestyle by delivering multi-screen experiences across multiple types of devices. Previously separate industries like the wireless, media, the Internet and computing industries are increasingly interacting with each other, creating consumer demand for new devices, applications and services This convergence is enabling new digital lifestyles, as demonstrated by the following key trends, including:

Adoption of wireless and wired broadband Internet connectivity; Increased use of social networking across multiple devices; Growth of online and mobile video; and Widespread use of online and mobile commerce. These digital lifestyles are characterized by new engagement models. Consumers want to: Communicate using voice, text, instant messaging, email, social networking and blogs; Rapidly access information through broadband connectivity anywhere and anytime; Consume and interact with entertainment and media content; Use one device for both business and personal applications; Capture and share user generated content, such as photos and videos; and Purchase goods and services through online and mobile commerce. These are the Key drivers of mobile device growth. The mobile device is evolving from a voice-only communications device to a multi-function device with features like digital still camera, video camera, music player, organizer, email and calendars, Internet browsing and gaming. Consumers desire for mobile data and their evolving communication patterns will continue to drive the demand for devices with enhanced, personalized mobile experiences, including easy access to the Internet, content and applications on a real-time basis.

Financial Highlights The combined financial statements have been derived from the consolidated financial statements and accounting records of our Former Parent, principally representing the Mobile Devices and Home business segments, using the historical results of operations, and the historical basis of assets and liabilities of the Mobile Devices and Home business segments. The historical financial statements include allocations of certain of our Former Parents general corporate expenses. Management believes the assumptions and methodologies underlying the allocation of general corporate expenses from our Former Parent are reasonable and under GAAP(generally accepted accounting principles).

We sell our products globally and in 2010 our net revenues were $11.5 billion. We have approximately 19,000 employees and we operate in approximately 40 countries, with major facilities in the U.S., China, Brazil and Taiwan. Our direct customers are large, leading telecommunications and cable operators. We also sell our products through retailers and distributors. We are strongly committed to research and development and we have a broad portfolio of approximately 17,000 granted patents and approximately 7,500 pending patent applications worldwide.

Mobile Devices segment

We operate our business in two segments. The Mobile Devices segment is focused on mobile wireless devices and related products and services. This segments net revenues were $7.8 billion in 2010, representing 68% of Motorola Mobilitys combined net revenues. The Home segment is focused on technologies to provide video entertainment services to consumers by enabling subscribers to access a variety of interactive digital television services. This segments net revenues were $3.6 billion in 2010, representing 32% of Motorola Mobilitys combined net revenues.

The Mobile Devices segment is a provider of mobile devices and related products and services designed to deliver mobile communications, such as voice, messaging, push-to-talk and video, and to deliver mobile Internet access and content, including multimedia, social networking, navigation and other mobile applications. Mobile Devices net revenues represented 68% of Motorola Mobilitys combined net revenues in 2010.

Our Products We design, manufacture and sell a range of mobile devices encompassing multiple network technologies. Our product portfolio of mobile devices includes smartphones (which are wireless phones with advanced Internet browsing and application capabilities), feature phones (which are wireless phones with limited Internet browsing and application capabilities), voice-centric phones (which are primarily used for calls and text messaging), and media tablet devices (also known as slates) (media tablets) that offer enhanced multimedia and functionality to the end user. We also provide complementary mobile software, services, and accessories and license our extensive portfolio of intellectual property. We market our products globally to mobile network operators and carriers (collectively wireless carriers) and consumers through direct sales, retailers, and distributors. Our current strategy is to concentrate our mobile devices portfolio on smartphones and to use third-party and/ or open-source operating systems and associated application ecosystems, predominantly the Google Android operating system (a royalty-free open-source platform) and marketplace, in our wireless products Our Industry In 2010, total industry shipments of wireless handsets increased from an economically weakened level in 2009. In 2010, our two largest markets by locale of end customer were North America, accounting for 65% of net revenues(About two-thirds of revenue comes from the US), and Latin America, accounting for 16% of net revenues
