The legal agreement set out below governs your use of the Spin Chimp software. If you do not agree to these terms, do not use the Software.
4.2 At the end of the Licence Period a new Licence Fee may be payable. The Supplier may grant any new Licence on terms and conditions it chooses, and which differ from previous Licences held by the Customer. 5. SUBSCRIPTION PERIOD
Commencement Date means the date of delivery of the Software to Customer under clause 4. Confidential Information means any information concerning the Software, the Source Code, the customers, employees, business processes or intellectual property of a party in any form and any other information which is clearly identified as confidential by a party. Customer means the person or entity entering into this agreement with the Supplier. Documentation means operation manuals and user instructions provided by Supplier in relation to the use and application of the Software. Error includes any error in the Software affecting the Softwares performance. Licence means the licence of the Software granted in accordance with clause 3. Licence Fee means the software purchase fee. Subscription Fee means the yearly subscription fee. New Release means a new version of the Software incorporating new or additional functionality released after the Commencement Date, which are made available by the Supplier to licencees of the Software or to the public generally, and for which an additional charge may be imposed. Purpose means the purpose for which the Software may be used, as specified in Schedule 1. Software means but is not limited to all executables, dlls, graphic/image, text files and the object code of the software identified in Schedule 1, any modifications authorised by Supplier, Updates and New Releases, together with the Documentation. Source Code means the source code of: (a) (b) (c) (d) the software identified in Schedule 1; any modifications authorised by Supplier; any Updates; and any New Releases.
5.1 Supplier agrees to provide access to the Synonym Database for a period of one (1) year duing the licence period commencing upon payment of the Subscription Fee, after which, access to the Synonym Database will expire. 5.2 Customer may chose to continue access to the Synonym Database by opting to pay the Subscription Fee at the commencement of each one (1) year period from delivery of the Software. 5.3 At any time the customer may terminate access to the Synonym Database for any year Customer nominates or for the remainder of the Licence Period by opting not to pay the relevant year and/or years Licence Fee. 6. 6.1 Fee. 7. ACCEPTANCE Customer is deemed to accept the Software upon payment of the Licence COPYING
7.1 Customer must not copy or reproduce the Software by any means or in any form without Supplier's prior consent. 8. 8.1 MODIFICATIONS AND ENHANCEMENTS Customer must not:
(a) modify, alter, enhance or adapt the Software or merge all or part of the Software with any other software, without the Supplier's prior consent; or (b) reverse assemble, reverse compile or decompile the Software.
8.2 Supplier may from time to time develop New Releases. Supplier may offer any such New Release to Customer at the same time it is offered to other licencees of the Software or to the public generally. Additional fees may be imposed by Supplier in respect of New Releases. Supplier is under no obligation to develop or release any specific New Release. 9. 9.1 (a) (b) (c) USE OF THE SOFTWARE Customer must ensure and warrants that the Software is used only: by the Customer; for the Purpose; in accordance with local laws and statutes of the customer; and
Subscription means access to the Synonym Database granted in accordance with clause 5. Supplier means Aktura Technology Pty Ltd. Synonym Database means a localised client side copy of a word and phrase database used by the Software. Updates means any patch or update to the Software excluding updates to the Synonym Database released after the Commencement Date in relation to the correction of errors or other minor changes to improve the operation of the Software and which are made generally available by Supplier (at no additional cost) to licencees of the Software who are receiving Maintenance Services. PART 2 - LICENCE 2. 2.1 3. TRIAL PERIOD This product does not offer a free trial period GRANT OF LICENCE
(d) in accordance with the normal operating procedures set out in the Documentation or otherwise notified to it by Supplier. 9.2 Any transfer of the Software to alternate equipment is at the sole risk and expense of Customer. 9.3 Customer must take all reasonable measures to ensure the Software is protected at all times from: (a) (b) unauthorised copying, modification, access, use or disclosure; and damage or destruction.
9.4 Customer acknowledges that the Software may incorporate technical means of enforcing the terms of this Agreement. 9.5 Customer must not rent, lease or lend the Software to any other person.
3.1 Supplier grants to Customer a non-exclusive licence to use the Software (including access to the Synonym Database in accordance with Clause 4). 3.2 4. This Licence is subject to the terms and conditions of this Agreement. LICENCE PERIOD
9.6 By installing the Software, Customer accepts that they will be automatically included in the Aktura Technology e-mail mailing list. This list will be used to inform the user of software updates and special promotions. The user may unsubscribe from the mailing list at any time. 9.7 The Software cannot be returned for a refund. There are no refunds on installation services or any Software that has been installed, downloaded, or emailed to you, except in accordance with clauses 15 and 17 of this Agreement. PART 3 - MAINTENANCE 10. MAINTENANCE SERVICES
4.1 Supplier agrees to provide the licensed Software for a period of three (3) years from payment of the Licence fee.
10.1 Supplier agrees to provide the following maintenance services in respect of the Software: (a) (b) provide email assistance about the use of the Software; identify and rectify bugs or Errors reported by Customer in the Software.
15.2 Supplier is not liable to Customer under clauses 15.1 and 15.2 in respect of any infringement arising directly or indirectly from: (a) use or operation of the Software in a manner that does not comply with the Documentation or any other operating procedures notified by Supplier or in a manner that is otherwise in breach of this Agreement; (b) unauthorised copying, modification, adaptation or translation of the Software; (c) use or operation of the Software in combination with equipment, software, materials or services not authorised by Supplier; or (d) information provided to Supplier by Customer to enable Supplier to develop, modify or alter the Software, and Customer indemnifies Supplier in respect of all losses, costs, expenses and demands arising from any infringement caused by the aforesaid. 15.3 Customer must promptly notify Supplier of any alleged infringement by Customer and must provide reasonable assistance to Supplier in relation to the conduct of any defence to, or the negotiation of any settlement of, an infringement claim. 15.4 Subject to clause 17.2, this clause 15 sets out the sole remedies available to Customer for breach of the warranty in clause 15.1. 16. WARRANTIES
(c) provide a copy of any Update for the Software at the time such Update becomes generally available to licencees of the Software. The Supplier is under no obligation to make any specific Update. 11. MAINTENANCE AVAILABILITY
11.1 Supplier must respond to requests for Maintenance Services as soon as reasonably practicable, but does not warrant that it will be capable of receiving, processing or acting on a request for any Maintenance Services. 11.2 Where Updates or New Releases are provided to or acquired by Customer, Supplier must continue to provide the Maintenance Services in respect of the prior version or release of the Software for the period of two (2) months. PART 4 FEES AND PAYMENT 12. FEES AND PAYMENT
12.1 The Licence Fee payable by the Customer is for a Licence Period of three (3) years and is payable in advance in order to be granted a licence to use the Software. 12.2 The Subscription Fee payable by Customer is for a subscription period of one (1) year and is payable in accordance with Clause 5.1. 12.3 Supplier may increase the Subscription Fee (except any amount paid as an upfront fee) at any time to reflect a change in Suppliers applicable standard rates. Supplier must give Customer at least 30 days notice of any proposed variation to the Subscription Fee. PART 5 - GENERAL 13. CONFIDENTIALITY
16.1 Customer expressly agrees that its use of, or inability to use, the Software is at its sole risk. The Software delivered to the Customer through the service is provided "as is" and "as available" for Customers use. 16.2 (a) (b) Supplier does not warrant that: the Software is Error free; use of the Software will be uninterrupted;
13.1 Customer must keep the Confidential Information of Supplier secret and confidential and must not: (a) disclose such Confidential Information to any person.
(c) the Software will meet Customer's requirements or be fit for any purpose, other than as may be specified in writing between Supplier and Customer; (d) the Software will provide any function not specified in the Documentation. 17. 17.1 (a) LIABILITY Supplier: makes no warranties other than those expressly set out in this Agreement;
(b) use or allow it to be used for any purpose, except in the following circumstances: (i) if such use or disclosure is in accordance with the terms of this Agreement or the prior written consent of the other party; or (ii) if required by law.
13.2 Customer and Supplier acknowledge that any disclosure to third parties of Confidential Information may cause immediate and irreparable harm to the owner of the disclosed Confidential Information. Each party agrees to take all reasonable steps and the same precautions to protect the Confidential Information of Supplier from disclosure to third parties as with its own proprietary and confidential information. 14. OWNERSHIP OF INTELLECTUAL PROPERTY RIGHTS
(b) excludes from this Agreement all other warranties, conditions and terms implied by statute, general law or custom, except for any implied condition or warranty, the exclusion of which would contravene any statute or cause this clause to be void (Non-excludable Condition). 17.2 Suppliers liability to Customer for breach of:
(a) any Non-excludable Condition (other than one implied by section 69 of the Trade Practices Act 1974 (Cth)) is limited to the re-supply of the services or payment of the cost of re-supplying the services. (b) any other express condition or warranty of this Agreement, is limited to refunding the amount of any Licence Fee paid by Customer. 17.3 Supplier shall use reasonable efforts to protect information submitted by Customer in connection with the Software, but Customer agrees that its submission of such information is at its sole risk, and Supplier hereby disclaims any and all liability to Customer for any loss or liability relating to such information in any way. 17.4 Subject to clause 17.2, Supplier is not liable to Customer:
All right, title and interest in and to the Software, together with all copies, modifications, alterations, enhancements or adaptations are the property of, or vest on creation in, the Supplier and the Customer acknowledges that: (a) it has no rights of ownership in the same; and
(b) it must execute all documents and do all things that are reasonably necessary to vest in or assign to Supplier, any intellectual property rights in any modifications, alterations, enhancements or adaptations to the Software. 15. INFRINGEMENTS OF INTELLECTUAL PROPERTY RIGHTS
15.1 If Supplier is held by a court of competent jurisdiction to have infringed a third partys copyright in Australia or if Supplier reasonably determines that the performance of its obligations under this Agreement may constitute such infringement, then Supplier may at its own expense: (a) modify the Software so that it becomes non-infringing;
(a) in contract for consequential or indirect damages including, without limitation, for loss of data, revenue or good will or for claims by third parties and whether or not such damages were forseeable or contemplated; (b) in negligence for acts or omissions of Supplier , its employees, contractors and agents arising out of or in connection with this Agreement. 17.5 Notwithstanding anything contained in the preceding sub-clauses, this Agreement does not exclude or limit in any way the application of any statutory provision (including a provision of the Trade Practices Act 1974 (Cth)) where to do so would: (a) contravene that statute; or
(b) if sub-clause (a) cannot be accomplished on terms reasonable to Supplier, remove any infringing work from the possession of Customer and refund the Licence Fee previously paid by Customer.

and the provisions of this Agreement are deemed excluded or modified (as the case may be) to the extent of any inconsistency with such statutory provision. 18. INDEMNITY
If Supplier stores a copy of the Source Code on Customers equipment, Customer will have no right to access, modify or otherwise use the Source Code for any purpose. No provision in this Agreement will be interpreted to give Customer any such rights. 24. GENERAL
By using the service, Customer agrees to indemnify and hold Supplier, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of Customers breach of this agreement, Customers use of the Software, Customers breach of any laws or statutes, or to the extent permitted by law, any action taken by Supplier as part of its investigation of a suspected violation of this agreement or as a result of its finding or decision that a violation of this agreement has occurred. 19. TERMINATION
24.1 Variations and Waivers: Supplier reserves the right at any time to modify this Agreement and to impose new or additional terms or conditions on your use of the Software. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Software will be deemed acceptance thereof. 24.2 Merger: The covenants, conditions, provisions and warranties in this Agreement are not merged or extinguished by the termination or expiry of this Agreement. 24.3 Severability: Any part of this Agreement that is prohibited by or rendered unlawful or unenforceable under any law actually applied by a court of competent jurisdiction is severed from this Agreement and, to the extent possible, without modification to the remaining provisions of this Agreement which will continue to operate. 24.4 Governing Law: Agreement. The law of Queensland, Australia governs this
19.1 Either party may terminate this Agreement with immediate effect by giving written notice to the other party if: (a) the other party breaches a material obligation of this Agreement and fails to remedy such breach within five (5) days of receiving notice requiring it to do so; 19.2 Termination of this Agreement is without prejudice to:
(a) any rights, obligations or causes of action which have accrued or arisen in favour of any party before the date of termination; (b) any other rights or causes of action of a party at law.
19.3 On termination of the Agreement for any reason whatsoever, Customer will be immediately denied access to the Software. 19.4 Supplier reserves the right to modify, suspend, or discontinue the Software(or any part or content thereof) at any time with or without notice to Customer, and, to the full extent permitted by law, Supplier will not be liable to you or to any third party should it exercise such rights. 20. ASSIGNMENT AND SUBCONTRACTING
24.5 Priority of Interpretation: The Schedules form part of this Agreement but the clauses of the Agreement prevail to the extent of any inconsistency between the clauses of the Agreement and the clauses of the Schedules. 24.6 Interpretation:
A) words importing the singular include the plural and vice versa and words importing one gender include all genders, any reference to person includes body corporate; SCHEDULE 1 AGREEMENT DETAILS Software (Clause 1) Spin Chimp Purpose (Clause 1) Solely for Customers to create or edit rich text and plain text files for the purpose of generating multiple articles from a single source.
20.1 Customer may not assign or sub-contract any of its rights and obligations under this Agreement without the consent of Supplier. 20.2 Supplier may assign or sub-contract any of its rights and obligations under this Agreement at any time. 21. FORCE MAJEURE
A party is not in breach of this Agreement nor liable to the other party for a delay or failure to perform an obligation (other than an obligation to pay money) resulting from events or circumstances beyond the partys reasonable control. 22. NOTICES
