CLOVER MARKET SELLER RULES AND REGULATIONS (MODIFIED 2/20/12)

Seller agrees to read and abide by the following Rules and Regulations and any subsequent modifications or amendments. Failure to comply is a material breach of this Agreement and will result in the immediate revocation of any space in favor of another seller. COMPLIANCE WITH LAWS Seller agrees to comply with all federal, state, and local laws, rules, and regulations and ordinances. Seller agrees to conduct activities at the Clover Market so as not to endanger any person or damage any property. IMDEMNIFICATION AND HOLD HARMLESS Seller agrees to forever indemnify, save and hold Clover Market LLC, Janet G. Long, Justin K. Long, Elements Design LLC, the Township of Lower Merion, The Ardmore Initiative, Ardmore Banking Advisors, Sovereign Bank, and all affiliated agents, officials, representatives, beneficiaries, employees, and volunteers harmless from and against any and all claims, damages, injuries, liabilities, losses, suits, costs, and expenses (including attorney's fees) for anything and everything whatsoever arising from or out of Seller's participation at the Clover Market. VOLUNTARY CONTRACT Seller exercises any rights under this agreement at Seller's own risk and knowingly and voluntarily assumes all risks attendant to such use, including without limitation, the risk of property damage and personal injury or death to Seller, to any of Seller's officials, agents, representatives, employees, or volunteers. DISPLAY REQUIREMENTS Each seller will receive a 10 x 10 space. Electricity is available for food sellers only. Seller displays are expected to be neat, clean, and professional in keeping with the upscale nature of the Market. Sellers are responsible for their providing all of their own display items including: TENTS A single 10 x 10 tent (maximum size) is recommended due to the rain or shine weather policy. Tents must be EZ-Up, Caravan, or equivalent. Tents must be weighted at all four corners (at least 40 lbs per tent leg). White tents are strongly preferred for consistency with other sellers and for best display of merchandise. TABLES Sellers should provide table(s) for any smaller items. Tables must be covered and completely skirted with a fire retardant fabric. Seller items (packing materials, bags,

personal items) may be placed underneath tables as long as the table covering completely conceals them. PRICING Sellers must post prices for all products for sale. Sellers may not display or sell other items which have not been previously approved to be sold at the Market. BUSINESS NAME Sellers must identify their booths with their business name (sign not to exceed 10 SF and should be affixed to tent or table). MARKET HOURS The Market will be open from 10 am - 5 pm, rain or shine. SPACE ASSIGNMENTS Space assignments will be emailed to all confirmed sellers on the Friday afternoon before the Sunday market. The space assignments WILL fluctuate from week and specific space requests can not be taken given the size of the Market. SELLER SETUP AND BREAKDOWN TIMES Seller setup is from 7:30 am -9:45 am. Sales may not begin before 10 am (no early birds). The seller area will be completely closed to all vehicle traffic from 9:30 am 5 pm. Any seller who arrives past 9:30 am will need to park temporarily offsite and walk in all goods no exceptions. Failure to comply with setup times may result in prohibition from selling at future markets. Sellers may NOT break down until after the close of market at 5 pm, and all items must be completely moved out by 6 pm. Sellers may not operate outside of the designated parking lot (e.g. on adjacent streets or sidewalks) unless by permission of market management and merchandise may not spread out substantially beyond the tent into the aisles or to the next seller. SITE APPEARANCE AND CLEANUP Seller areas must be kept neat and clean at all times. Sellers are responsible for cleaning their own area completely at the end of the market and removing all trash, boxes, packing materials, and unsold goods. Garbage cans and dumpsters at the event are for patron and adjacent business use only and may not be used for any trash disposal. Sellers should bring their own trashcan(s) and broom. Violators will be subject to a cleaning fee and prohibited from selling at future events. SELLER VEHICLE PARKING Seller vehicles will be parked outside of the vendor areas during the open hours of the sale. Sellers will be directed regarding parking options by Clover Market LLC when space assignments are distributed prior to each Market. When loading out, sellers should have all merchandise fully packed before moving vehicles into the seller areas. SELLER CANCELLATIONS/NO SHOWS Refunds and credits are not given for seller cancellations. If a seller must cancel after paying the vendor fee, he/she must email the Clover Market (theclovermarket@gmail.com) so that another seller may be pulled from the waitlist. No shows forfeit their right to participate in future shows. Vendors can not sell their space to another vendor if they are unable to participate.

WEATHER CANCELLATIONS BY CLOVER MARKET LLC If the Market is cancelled in its entirety by Clover market LLC due to severe weather, a credit may be given for a future market date. Refunds will not be given. Severe weather includes persistent heavy rain, dangerously heavy wind, lightning, or any other weather condition that would jeopardize safety. PERSONAL/WEATHER EMERGENCY DURING OPEN MARKET The only exceptions to the early breakdown are for personal or weather emergency in which case seller vehicles MUST be escorted from the lot by a Clover Market LLC representative or the parking lot must be cleared and closed down to all patrons. This is an important safety precaution and failure to comply will result in prohibition from selling at future markets. FOOD AND BEVERAGE SALES Food and beverage sales must occur from a table and/or from a tent and are only permitted for sellers previously approved by Clover Market LLC. Food sales from a vehicle are prohibited. SIGNAGE Sellers may not prop or hang any merchandise, banners, or boards on any sign, light post, wall, building, or tree in the market area or along the street. Sellers should not display or advertise items which have not been approved to be sold. Sellers should identify their booths with their business name (sign not to exceed 10 SF affixed to tent or table, not freestanding), and must post prices for all products for sale. LOWER MERION TOWNSHIP LICENSE & MERCANTILE TAX Lower Merion Twp. requires (and will audit for compliance) that all sellers complete two items: ANNUAL BUSINESS LICENSE ($20): The form Application for License/Registration New Business should be filled out at the $20 fee paid to the Twp. immediately once participation is confirmed using the link below. Seller must be able to provide license for review upon request. If Seller already has an existing business in the Township, they do not need to pay for a separate license. MERCANTILE TAX: This tax is applicable for any Seller grossing over $750.00 at the Market in the calendar year. If so, Seller is required to file and pay tax on gross receipts on a calendar year basis by filing a Mercantile Tax Return due April 15. The tax will amount to $1.50 per $1,000 sold. SALES TAX Sellers are solely responsible for obtaining and maintaining a current PA sales tax ID number and collecting all taxes on taxable sales. PUBLIC SAFETY Sellers must exercise caution in parking and loading vehicles and should check vehicles and selling areas to ensure items brought to the Market (tables, boxes, trash cans, etc.) pose no hazard to pedestrians or motorists. Sellers must secure tents by weights. The access lane between seller aisles must be maintained at all times, and sellers must keep the buffer space between sellers (side to side) open to allow for easy pedestrian access. The location of the seller should not interfere with access to adjacent buildings, sellers, or pedestrian circulation at the site. Tents must be minimum of 20 feet from any building.

PROTECTION OF PROPERTY Neither Ardmore Initiative nor Clover Market LLC assumes any responsibility whatsoever to ensure the safety of Sellers property from damage, theft, fire, malicious mischief, accident, wind, rain, or other. The Seller is charged with the responsibility of protecting their own property at all times during the event and obtaining the appropriate liability insurance (recommended) to protect these items. MUSIC Music may be played at seller tents (electricity is not available in the parking lot) as long as it is maintained at a reasonable level and does not disrupt adjacent sellers or interfere with Lower Merion Township noise ordinances. No amplification equipment of any kind is permitted for sellers. SELLER CONDUCT & PROHIBITED ITEMS Sellers will work professionally, cooperatively, and reasonably with customers, market staff and volunteers, and The Ardmore Initiative in resolving any issues or complaints. No alcohol, illegal substances, or weapons are allowed at any time. FOOD AND BEVERAGE SALES Food and beverage sales are subject to separate approval from Clover Market LLC, and the Montgomery County Health Department. Clover Market LLC will ensure that permits are obtained from the Montgomery Country Health Department; however, sellers must read and follow all Country rules and regulations regarding food sales. OTHER SIGNAGE Sellers may not prop or hang any merchandise, banners, or boards on any sign, light post, wall, building, or tree in the market area or along the street. FIRE SAFETY MEASURES No tanks, cooking or heating equipment shall be permitted unless approved by the Fire Marshal. No open flames shall be permitted. No parking in driveways, fire lanes or access lanes. Tents and table coverings must use fire retardant fabrics. Smoking is prohibited per Township regulations. TERMINATION OF LICENSE If the Clover Market LLC's right to operate the market is terminated, then Seller's right to operate shall also terminate. Sellers only recourse is the recovery of any rental fees paid in advance. ORGANIZER STATEMENT Clover Market LLC is solely responsible for the operation, management, and administration of the market. Clover Market employees or their designees are authorized to make operational and administrative decisions including assignment of spaces at the market, enforcement of these market rules, and collection of market fees. Violation of the rules may result in reassignment of market position or loss of permission to sell at the Market. The organizer reserves the right to remove at any time, without refund or recourse, any seller who misrepresents him or herself or their products or in the opinion of the organizer is objectionable, inappropriate, or detrimental to the quality of the Market.
