ADDENDUM

KNOW ALL MEN BY THESE PRESENTS: This Deed is entered into in Quezon City, Philippines this 14th day of February, 2012, by and between: BIG E FOOD CORPORATION, a corporation duly organized and existing under the laws of the Philippines, with principal office at 91 Sampaloc St. Meycauayan, Bulacan,represented herein by its President, ERNESTO VERGEL DE DIOS hereinafter referred to as CLIENT -andEXCEL QUALITY, INC., a corporation duly organized and existing in accordance with the laws of the Philippines with principal office at CMI Building, 315 Commonwealth Avenue, Quezon City, represented herein by its President & CEO, MICHAEL D. NAVARRO. (Hereinafter referred to as the CONTRACTOR) WITNESSETH: WHEREAS, the CLIENT and the CONTRACTOR entered into a SERVICE AGREEMENT whereby the CONTRACTOR shall provide Business Process Outsourcing Services to BIG E FOOD CORPORATION for an agreed fee dated November 09, 2011. WHEREAS, the parties by this addendum hereby agree that the CONTRACTOR shall bill an additional costing for every visit/encounter by the CONTRACTOR in VisMin Area. NOW THEREFORE, for and in consideration of the foregoing premises, the parties have agreed to the following stipulations, to wit: 1. The CLIENT shall pay the CONTRACTOR a COST PER VISIT (Before VAT) in the amount of TWO HUNDRED FIFTY PESOS (Php250.00) 2. Transportation expenses shall also be billed to client based on actual cost plus a TEN (10%) PERCENT Administrative Fee and VAT 3. The frequency of the payment of the contract price herein agreed to shall be the same with the terms of payment embodied in the original and principal contract dated November 09, 2011. 4. It is finally agreed that the mutual covenants and stipulations stated and agreed herein shall form as an addendum or supplement contract to the service agreement dated November 09, 2011 and all applicable stipulations stated in the Service Agreement are hereby adopted and shall therefore form part of this addendum.
