IntheeventofanyinconsistencybetweentheGeneralTermsandthesespecificterms,thesespecificterms andconditionsshallprevail. 1. 1.1 Supply of Service TheServicemustbetakenfortheFixedTermspecifiedontheOrderFormorintheCustomers Proposal,followingwhichtheServicewillcontinueunlessterminatedinaccordancewiththeAgreement. 1.2 TheCustomermustregisteratleastonefixedtelephonelineofanotherservicesupplier(FixedLine Supplier).IfitislaterdiscoveredthattheCustomerwasnotauthorisedtoregisterthefixedlinethendu mayterminatetheServicewithimmediateeffect. 1.3 dushalluseitsreasonableendeavourstosupplytheServiceinaccordancewiththetimelines.du provisionstheServicerelyingontheFixedLineSuppliersotheremaybedelaysiftheFixedLineSupplier experiencestechnicalproblems.duisnotliableiftheFixedLineSupplierrefusesto,orisunableto, completetheServiceactivation. 1.4 Untiltheautomaticre-routingofcallsisactivated,theCustomermaymanuallyrouteitscallsbydialling 08888beforemakingthecall.Onceactivated,allcallsoutsidetheCustomerslocalarea,withanationalor internationalprefixortoamobilenumber,willautomaticallyberoutedthroughdu.Allremainingcallswillbe routedthroughtheFixedLineSupplier.IftheCustomerchangesitsfixedtelephonenumberthenthisService willtransfertothenewfixedtelephonenumber. 1.5 Supplementaryserviceslikecallwaiting,callforwardingandcallbarringwillcontinuetobeprovidedby theFixedLineSupplier.CallbarringwillonlyapplytocallsroutedthroughtheFixedLineSupplier.The CustomercanchoosetorouteitscallsthroughtheFixedLineSupplierbyusingtheiroverridecode. 2. Charges, Invoicing and Payment 2.1 TheCustomerwillberesponsibleforthepaymentofallcallsmadeusingtheServicefromtheregistered fixedline.TheCustomershallpaytheChargeslistedinthemostrecentTariffGuide.TheCustomer remainsresponsibletotheFixedLineSupplierforrentalpaymentsforthefixedline. 2.2 AllpaymentsshallbemadeinUAEDirhams(AED)unlessspecifiedandagreedbybothpartiesinadvance. 2.3 TheCustomermustpayallChargesthataresubjectofaninvoicefromduinfullwithin30daysofthe invoicedate(exceptwhereavalidbillingdisputeisraisedbytheCustomer)byanyofthewayslistedon theinvoice.AninvoicefromdushallbedeemedtobeacceptedbytheCustomeriftheCustomerdoes notprovideawrittenobjectiontodubeforetheendofthirty(30)daysaftertheduedateoftheinvoice. 2.4 TheCustomermustpayallundisputedinvoiceswithoutset-offorcounterclaim,freeandclearofany withholdingordeduction. 3. Customer Obligations 3.1 TheCustomermust: 3.1.1 provideduandanyemployee,agent,affiliateorcontractorofduandanythirdpartywithall informationandassistancethatpersonmayreasonablyrequiretodesign,arrange,test,commission andmaintaintheService; 3.1.2 procureallpermissions,licences,waivers,consents,registrationsandapprovalsnecessaryfororreasonably
considereddesirablebydutodeliver,installandprovidetheServiceattheCustomerspremises; 3.1.3 participateinanytestingproceduresthatmaybereasonablyrequestedbyduoranyagent,affiliateor contractorofduoranythirdpartyoperator;and 3.1.4 takeallreasonablestepstopreventfraudulent,improperorillegaluseoftheService. 4. Liability and Fault Reporting 4.1 TheCustomershouldreportanyfaultsintheServicebycallingduCustomerCare.duwillinvestigateallfaults reportedtoitandusereasonableendeavourstorestorenormaloperationassoonaspossible. 4.2 IfthereisafaultwiththefixedlinetheCustomershouldcontacttheFixedLineSuppliertoarrangerepair. 4.3 duwillhavenoliabilityforanyfaultsorinterruptionsintheServiceoranyinabilityoftheCustomertoaccess theServicewherethisiscausedby: 4.3.1 afailureoftheCustomertoperformitsobligationsunderClause3aboveortheGeneralTermsand Conditions; 4.3.2 anyfailure,inadequacyorincompatibilityof,orin,anyequipment/serviceprovidedbytheCustomerorathird partythatconnectstotheServiceorthedunetwork;or 4.3.3 anyequipmentprovidedbytheCustomerthatconnectstotheduNetwork. 4.4 duisnotresponsibleforanyfraudulentactivityontheCustomersPABXoranyunauthorisedcallsmade. 5. Term and Termination 5.1 IftheCustomerdecidesnottohaveitscallsautomaticallyroutedthroughdu,thentheCustomercancontact itsduAccountManageroritsFixedLineProvidertohavetheautomaticroutingdeactivated.TheCustomer canstillroutecallsthroughdubydialling08888beforemakingitscall. 5.2 TheServicewillremaininforcefortheFixedTermunlessterminatedinaccordancewiththeAgreement.On expiryoftheFixedTermtheAgreementwillcontinueunlessterminatedbyeitherPartyon30dayswritten notice. 5.3 EitherPartymayterminatetheServiceimmediately,inwholeorinpart,bygivingnoticetotheotherPartyif: 5.3.1 theotherPartyisinmaterialbreachoftheAgreementand,ifthebreachiscapableofremedy,suchParty failstoremedythebreachwithinthirty(30)daysafterreceiptofwrittennoticerequestingthebreachtobe remedied;or 5.3.2 theotherPartymakesageneralarrangementoragreementwithitscreditors,orappliestoacourtforgeneral protectionfromitscreditors,orabankruptcyorothersimilaractionisfiledagainsttheParty,oraresolutionis passedbyitforitswinding-upordissolution, oranadministrationorderismadeinrelationtoitsassetsorareceiverisappointedoveranyofitsassets,or anyanalogouseventoccursunderthelawsofthePartyscountryofincorporation. 5.4 TerminationorexpirationoftheServiceshallbewithoutprejudicetorightsorobligationsofacontinuingnatureand thoseexpectedtocomeintoforceuponterminationorexpiration. 5.5 UponterminationoftheServicetheCustomermustpaytodualloutstandinginvoices.
