INTRODUCTION OF TOPIC
23
SECURITIES
The definition of 'Securities' as per the Securities Contracts Regulation Act (SCRA), 1956, includes instruments such as shares, bonds, scrips, stocks or other marketable securities of similar nature in or of any incorporate company or body corporate, government securities, derivatives of securities, units of collective investment scheme, interest and rights in securities, security receipt or any other instruments so declared by the Central Government.
Further, it performs an important role of enabling corporate, entrepreneurs to raise resources for their companies and business ventures through public issues.
24
Transfer of resources from those having idle resources (investors) to others who have a need for them (corporate) is most efficiently achieved through the securities market. Stated formally,
Securities markets provide channels for reallocation of savings to investments and entrepreneurship. Savings are linked to investments by a variety of intermediaries, through a range of financial products, called 'Securities'
SEBI
The Securities and Exchange Board of India (SEBI) is the regulatory authority in India established under Section 3 of SEBI Act, 1992. SEBI Act, 1992 provides for establishment of Securities and Exchange Board of India (SEBI) with statutory powers for:-
25
(a) Protecting the interests of investors in securities (b) Promoting the development of the securities market and (c) Regulating the securities market. Its regulatory jurisdiction extends over corporate in the issuance of capital and transfer of securities, in addition to all intermediaries and persons associated with securities market. SEBI has been obligated to perform the aforesaid functions by such measures as it thinks fit. In particular, it has powers for: Regulating the business in stock exchanges and any other securities markets Registering and regulating the working of stock brokers, sub-brokers etc. Promoting and regulating self-regulatory organizations Prohibiting fraudulent and unfair trade practices. Calling for information from, undertaking inspection, conducting inquiries and audits of the stock exchanges, intermediaries, self - regulatory organizations, mutual funds and other persons associated with the securities market.
26
While the corporate and government raise resources from the securities market to meet their obligations, it is households that invest their savings in the securities market
27
28
CAPITAL MARKET
The capital market is the market for securities, where companies and governments can raise long-term funds. It is a market in which money is lent for periods longer than a year. [1] The capital market includes the stock market and the bond market. Financial regulators, such as the U.S. Securities and Exchange Commission (SEC), oversee the capital markets in their designated countries to ensure that investors are protected against fraud.
The capital markets consist of the primary market and the secondary market. The primary markets are where new stock and bonds issues are sold (underwriting) to investors. The secondary markets are where existing securities are sold and bought from one investor or speculator to another, usually on an exchange (e.g. the New York Stock Exchange).
Some of the important money market instruments are Treasury bills, federal funds, negotiable certificate of deposits, commercial paper, bankers acceptance, future instrument, option instrument.
29
PRIMARY MARKET
The primary market is that part of the capital markets that deals with the issuance of new securities. Companies, governments or public sector institutions can obtain funding through the sale of a new stock or bond issue. This is typically done through a syndicate of securities dealers. The process of selling new issues to investors is called underwriting. In the case of a new stock issue, this sale is an initial public offering (IPO). Dealers earn a commission that is built into the price of the security offering, though it can be found in the prospectus.
30
5. The primary market performs the crucial function of facilitating capital formation in the economy. 6. The new issue market does not include certain other sources of new long term external finance, such as loans from financial institutions. Borrowers in the new issue market may be raising capital for converting private capital into public capital; this is known as "going public."
31
SECONDARY MARKET
The secondary market, also known as the aftermarket, is the financial market where previously issued securities and financial instruments such as stock, bonds, options, and futures are bought and sold. The term "secondary market" is also used to refer to the market for any used goods or assets, or an alternative use for an existing product or asset where the customer base is the second market For example, corn has been traditionally used primarily for food production and feedstock, but a second- or third- market has developed for use in ethanol production.
32
With primary issuances of securities or financial instruments, or the primary market, investors purchase these securities directly from issuers such as corporations issuing shares in an IPO or private placement, or directly from the federal government in the case of treasuries. After the initial issuance, investors can purchase from other investors in the secondary market.
The secondary market for a variety of assets can vary from fragmented to centralized, and from illiquid to very liquid. The major stock exchanges are the most visible example of liquid secondary markets - in this case, for stocks of publicly traded companies. Exchanges such as the New York Stock Exchange, Nasdaq and the American Stock Exchange provide a centralized, liquid secondary market for the investors who own stocks that trade on those exchanges. Most bonds and structured products trade over the counter, or by phoning the bond desk of ones broker-dealer.
Secondary marketing is vital to an efficient and modern capital market.[citation needed] In the secondary market, securities are sold by and transferred from one investor or speculator to another. It is therefore important that the secondary market be highly liquid (originally, the only way to create this liquidity was for investors and speculators to meet at a fixed place regularly; this is how stock exchanges originated, see (History of the Stock Exchange). As a general rule,
33
the greater the number of investors that participate in a given marketplace, and the greater the centralization of that marketplace, the more liquid the market.
Accurate share price allocates scarce capital more efficiently when new projects are financed through a new primary market offering, but accuracy may also matters in the secondary market because: (1) price accuracy can reduce the agency costs of management, and make hostile takeover a less risky proposition and thus move capital into the hands of better managers. (2) accurate share price aids the efficient allocation of debt finance whether debt offerings or institutional borrowing.
34
Companies engaged in investment, leasing, finance, hire purchase, amusement parks etc., and companies listed on any other recognized stock exchange in India are not eligible for listing on OTCEI. Also, listing is granted only if the issue is fully subscribed to by the public and sponsor.
OTCEI is promoted by the Unit Trust of India, the Industrial Credit and Investment Corporation of India, the Industrial Development Bank of India, the Industrial Finance Corporation of India and others and is a recognised stock exchange under the SCR Act.
35
Benefits:
1. The OTCEI has set up a national, automated screen based and ringless
stock market. It helps companies raise finance from the capital market in a cost effective manner and provides a convenient and effective avenue of capital market investment for investors at large.
2. While the other recognised stock exchanges require that in order to have
its securities listed the company should have an issued capital of not less than Rs. 3 crores out of which normally 25% is to be offered to the public, the minimum issued equity share capital of a company for eligibility for listing on the OTCEI is Rs 30 lacs. 3. Listing on OTCEI is advantageous to companies because of the high liquidity of these securities, which is a result of compulsory market making, improved
4. Access and speed of transactions resulting from the extensive network of
same with the sponsors (who are members of the OTCEI) and save unnecessary issue expenses by placing their securities with the sponsors who will in turn off load the securities to the public. This mechanism is now popularly known as a bought out deal.
6. OTCEI's wide computerized net work will be spread all over India and will
make investment easier. All deals will be entered into through remote terminals which will be connected to the mainframe computer of the
36
OTCEI. The exchange will enable transactions to be completed quickly and investors can settle the deals across the counter within a few days. The exchange will also provide liquidity to investors as every scrip listed on the OTCEI will have at least two makers who will continuously give two way quotes.

To ensure continuity of business, NSE has built a full fledged BCP site operational for last 7 years.

BSE is the first stock exchange in the country which obtained permanent recognition (in 1956) from the Government of India under the Securities Contracts (Regulation) Act 1956. BSE's pivotal and pre-eminent role in the development of the Indian capital market is widely recognized. It migrated from the open outcry system to an online screen-based order driven trading system in 1995. Earlier an Association Of Persons (AOP), BSE is now a corporatised and demutualised entity incorporated under the provisions of the Companies Act, 1956, pursuant to the BSE (Corporatisation and Demutualisation) Scheme, 2005 notified by the Securities and Exchange Board of India (SEBI). With demutualisation, BSE has two of world's best exchanges, Deutsche Brse and Singapore Exchange, as its strategic partners.
Over the past 133 years, BSE has facilitated the growth of the Indian corporate sector by providing it with an efficient access to resources. There is perhaps no major corporate in India which has not sourced BSE's services in raising resources from the capital market.
Bombay Stock Exchange is the oldest stock exchange in Asia with a rich heritage, now spanning three centuries in its 133 years of existence. What is now

ONLINE TRADING
Online trading or E-broking was introduced in India in the summer of 2000, order placement on internet was allowed. Previously, orders were left with the brokers and confirmation on the price and quantity of the shares were received end of the day. Initially online trading was not well received by investors as well as the broker community in India. Once investors started recognizing the advantages of
trading online it flourished rapidly. Online trading India is the internet based investment activity that involves no direct involvement of the broker. There are many leading online trading portals in India along with the online trading platforms of the biggest stock houses like the National stock exchange and the Bombay stock exchange.
43
Benefits
1. Commissions
One of the biggest benefit of trading stocks online is the reduced stock broker commissions youll be expected to pay.
2. Control
When you use a broker in the real world you may find that your broker will not agree to execute a trade, believing your decision to buy or sell the stock in question is flawed. When you trade stock online this is no longer a problem, your broker has no input as to when you buy and sell stock .
3. Portfolio
In the real world some brokers will not buy certain stock for example, some penny stocks. This may limit the stock you are able to have as part of your investment portfolio. However, when you trade online, subject to availability, you can trade in any stock - on any stock exchange , you want
44
4. Information
With the use of computer software programs, you can use stock charts, technical indicators and real time stock prices to help you make the investment decision you want to make, when you want to make it.
5. Time
One of the essential elements about trading stock is the time it takes to execute the trade, as this can mean the difference between making a profit and making a loss. In the real world you have to phone your broker and ask him to sell/buy the stock. The broker then phones the trader, who gives the broker the price. The broker than tells you the price and you either agree to buy/sell or not to. If you agree to buy/sell, the trader then phones the order through to the trader. Online you push your mouse over a cursor and press buy/sell. A much quicker sell.
6. Volume
Assuming you are happy paying the commission, you can trade as large or small as you want over the Internet. In the real world, most brokers require a minimum buy/sell that is out of the reach of most individual traders.
TRADER
In finance, a trader is someone who buys and sells financial instruments such as stocks, bonds and derivatives .Traders are either professionals working in a financial institution or a corporation, or individual investors, or day traders. They buy and sell financial instruments traded in the stock markets, derivatives
45
markets and commodity markets, comprising the stock exchanges, derivatives exchanges and the commodities exchanges
DAY TRADING
Day trading refers to the practice of buying and selling financial instruments within the same trading day such that all positions are usually closed before the market close for the trading day. Traders that participate in day trading are called active traders or day traders. Some of the more commonly day-traded financial instruments are:
Stocks Stock options Currencies a host of futures contracts such as equity index futures, interest rate futures, and commodity futures.
Day trading used to be the preserve of financial firms and professional investors and speculators. Many day traders are bank or investment firm employees working as specialists in equity investment and fund management. However, with the advent of electronic trading and margin trading, day trading has become increasingly popular among casual, at home traders.

companies and then buy stock in the one that you feel will go up. Because they are sound good companies.
2. Offline stock trading In this RM provide tips and recommendation on shares of company to the
customer regarding various fluctuation in market. Basically they provide advisory and decision is wholly in the hands of customer whether to trade or not. This method is helpful for beginners or for those customers who have little knowledge of share market.
48
DEMAT ACCOUNT
Demat account allows us to buy, sell and transact shares without the endless paperwork and delays. It is also safe, secure and convenient. Demat refers to a dematerialised account.
Just as you have to open an account with a bank if you want to save your money, make cheque payments etc, you need to open a demat account if you want to buy or sell stocks. So it is just like a bank account where actual money is replaced by shares. We have to approach the DPs (remember, they are like bank branches), to open a demat account. Lets say your portfolio has 100 of Satyam, 200 of IBM and 120 of TCS shares. All these will show in your demat account. So you dont have to possess any physical certificates showing that you own these shares. They are all held electronically in your account. As you buy and sell the shares, they are adjusted in your account. Just like a bank passbook or statement, the DP will provide you with periodic statements of holdings and transactions.
Nowadays, practically all trades have to be settled in dematerialised form. Although the market regulator, the Securities and Exchange Board of India (SEBI), has allowed trades of upto 500 shares to be settled in physical form, nobody wants physical shares any more. So a demat account is a must for
49
trading
and
investing.
The demat account reduces brokerage charges, makes pledging/hypothecation of shares easier, enables quick ownership of securities on settlement resulting in increased liquidity, avoids confusion in the ownership title of securities, and provides easy receipt of public issue allotments.
It also helps you avoid bad deliveries caused by signature mismatch, postal delays and loss of certificates in transit. Further, it eliminates risks associated with forgery, counterfeiting and loss due to fire, theft or mutilation. Demat account holders can also avoid stamp duty (as against 0.5 per cent payable on physical shares), avoid filling up of transfer deeds, and obtain quick receipt of such benefits as stock splits and bonuses.
50
Demat Benefits
The benefits are enumerated below:1. A safe and convenient way to hold securities; 2. Immediate transfer of securities; 3. No stamp duty on transfer of securities; 4. Elimination of risks associated with physical certificates such as bad delivery, fake securities, delays, thefts etc. 5. Reduction in paperwork involved in transfer of securities; 6. Reduction in transaction cost; 7. No odd lot problem, even one share can be sold; 8. Nomination facility; 9. Change in address recorded with DP gets registered with all companies in which investor holds securities electronically eliminating the need to correspond with each of them separately; 10. Transmission of securities is done by DP eliminating correspondence with companies; 11. Automatic credit into demat account of shares, arising out of
bonus/split/consolidation/merger etc. 12. Holding investments in equity and debt instruments in a single account

When Dhirubhai embarked on his first business venture, he had a seed capital of barely US$ 300 (around Rs 14,000). Over the next three and a half decades, he converted this fledgling enterprise into a Rs 60,000 crore colossusan achievement which earned Reliance a place on the global Fortune 500 list, the first ever Indian private company to do so. Dhirubhai is widely regarded as the father of Indias capital markets. In 1977, when Reliance Textile Industries Limited first went public, the Indian stock market was a place patronized by a small club of elite investors which dabbled in a handful of stocks. Undaunted, Dhirubhai managed to convince a large number of first-time retail investors to participate in the unfolding Reliance story and put their hard-earned money in the Reliance Textile IPO, promising them, in exchange for their trust, substantial return on their investments. It was to be the start of one of great stories of mutual respect and reciprocal gain in the Indian markets. Under Dhirubhais extraordinary vision and leadership, Reliance scripted one of the greatest growth stories in corporate history anywhere in the world, and went on to become Indias largest private sector enterprise. Throughout this amazing journey, Dhirubhai always kept the interests of the ordinary shareholder uppermost in mind, in the process making millionaires out of many of the initial investors in the Reliance stock, and creating one of the worlds largest shareholder families
