Dear PRODUCER: Attached you will find a checklist, drafted for your convenience, which reflects the 5-phase

licence fee drawdown schedule outlined in your Long-form Licence Agreement (the Agreement.) Each list itemizes documents that DISCOVERY requires during the production process of the abovementioned project. The 5 phases have been broken out into the following categories: 1.) 2.) 3.) 4.) 5.) Business Affairs Deliverables (Pre-license/Execution) Commencement of Principal Photography Delivery of Rough Cut Delivery of Broadcast Master Delivery of Final Materials

While these items will be listed in detail in your long form Discovery License Agreement, we have included them here for your convenience to remind you, as you move through the production process, what DISCOVERY requires for approvals and to trigger your payments. Please note that these lists are non-exhaustive, and by no means replace the deliverables listed in your long form Agreement, therefore, please reference your Agreement as well. PHASE 1 BUSINESS AFFAIRS DELIVERABLES The following documentation (both in short form and long form) is required to be delivered to Business Affairs as soon as reasonably possible, but in any event prior to the execution of the Agreement, unless otherwise indicated.

Copy of final budget, in addition to revised budgets as and when revised. Copy of Financing Plan Copy of Cash Flow Copy of Production Schedule Copies of all Short Form and Long Form Production Financing Agreements and all necessary documentation to satisfy Proof of Full Financing, including but not limited to:

Broadcast Licence Agreements (long form as applicable) Distribution agreements (long form as applicable) CTF-LFP (long form as applicable) CTF-EIP (long form as applicable) All other funding agency agreements (long forms when available) Interim and/or gap financing agreements Federal and Provincial tax credit calculations

Copies of all applicable Co-production and Joint Venture Agreements Copy of the application for an Advance Ruling from Telefilm in connection with the International Treaty Co-production certification together with receipt of the corresponding documentation submitted by the foreign co-producers to the competent authorities in the United Kingdom (as applicable) Articles of Incorporation for parent company(ies) and single purpose company(ies) (as applicable) Copies of all Chain Of Title documentation including assignments and underlying rights agreements as applicable Completion Guarantee as per recognised industry standards and practices naming Discovery as a beneficiary. Both Draft and Execution copies. Copies of all insurance policies, covering all aspects related to the production, naming 2953285 Canada Inc. c.o.b. Discovery Channel, its parent, subsidiary, related and affiliated companies and their officers, directors and employees and Discoverys licensees and assigns as additional insureds Copy of Assumption of Risk Releases in a form satisfactory to Discovery (if applicable). Essential Element Insurance (if applicable).

NOTE: All business affairs required documentation should be sent to the attention of the assigned business affairs person.

PHASE 2 COMMENCEMENT OF PRINCIPAL PHOTOGRAPHY


Title clearance report for the title of the Series/Program A copy of Errors and Omissions Insurance naming 2953285 Canada Inc. c.o.b. Discovery Channel, its parent, subsidiary, related and affiliated companies and their officers, directors and employees and Discoverys licensees and assigns as additional insureds with coverage commencing no later than first day of principal photography and continuing for the entire term of the licence period. Advanced Ruling from Telefilm in connection with the International Treaty Co-production pertaining to the Series/Program (as applicable) Key Creative Approvals, including but not limited to the following:
DISCOVERY KEY CREATIVE APPROVALS Please submit resumes and, where applicable, demo reels, for each of the following for approval (unless pre-approved): Producers including Executive, Associate and Line Producers Director - demo reel Narrator Writer Director of Photography Editor Music Composer Unit Publicist OTHER CREATIVE APPROVALS Script approval - Please submit each stage of the script Opening Graphics Production locations

NOTE: All creative points listed above must be submitted to and approved by the assigned Executive Producer. PHASE 3 ROUGH CUT PHASE

DVD copy of the Rough Cut w/ burn-in time code (to be sent to the attention of the assigned Executive Producer) or via another method as approved by the Executive Producer, i.e. FTP site A copy of the CRTC application for Canadian content certification of the production by no later than the last day of principal photography or Copy of the CAVCO Part A certificate (as applicable) Application for the final approval certifying that the Series/Program is an International Treaty Co-Production, together with receipt of the corresponding documentation submitted by the foreign co-producers to the competent authorities in the United Kingdom (as applicable) Copy of the then current Cost Report, by no later than delivery of the rough cut of the first episode of the Series Promotion and publicity material

PHASE 4 BROADCAST MASTER PHASE

Copy of the closed caption version of Broadcast Master in the Beta SX and/or HD format as outlined in the agreement with Textless elements at end of tape or on a separate textless Beta SX tape Two (2) DVDs of each episode Press Kit including: Two (2) one half-inch (1/2) VHS videocassette copies of the Publicity Master; One complete press kit provided both as a hard copy and saved electronically on disk or CD ROM (PC based and preferably in MS Word). The press kit must include: Logline, short description, and long description of the program; complete biographies of all principal actors, hosts, leads, guest stars and key creative personnel associated with the productions; summary of the production company and a final complete production list of cast and crew credits for the program, and a minimum of 24 high-resolution jpeg Production Stills correctly numbered and captioned, provided on CD Rom (PC format), professionally scanned (ideally drum scanned) at no less than 300 dpi at a size of no less than 4"x6", of all Principal actors in character a selection of head shots and group shots of all hosts, principal actors, and guest stars in character, reflecting different scenes and locations. A Certificate of Errors and Omissions Insurance Certificate without exclusions for the entire term of the licence period, on one certificate. Final approval from Telefilm certifying the Series as an International Treaty Co-production.

PHASE 5 FINAL MATERIALS


Copy of the final 3rd Party Audited Cost Report or review engagement report CRTC certification number or Copy of the CAVCO B certificate (as applicable) Copies of any other outstanding materials as required by Discovery and referenced in the Agreement, for each Program/Episode, i.e.: o o A program log including overall running time and commercial break positioning; One (1) copy of each final produced script, and one (1) copy of each of the synopsis, the logline, the cast and crew list and the final as produced credits, on disk or CD ROM; o Complete and accurate music cue sheets including, with respect to each musical composition, its title, duration of use, composer, publisher and performing rights society.
