CONSTITUTION AND BY LAWS OF THE SPECIAL TROOPS BATTALION CUP AND FLOWER FUND SECTION I CONSTITUTION

ARTICLE I - NAME AND AUTHORITY The name of the Independent Private Organization will be the 1st Special Troops Battalion Cup and Flower Fund and is established pursuant to the provisions (Type 3) of 2.2 AR 210-1 at Fort Bliss, Texas. The Fund is operated financially self-sustaining, non-governmental organization by individuals acting exclusively outside the scope of any official capacity as officer, employees or agents of the Government. ARTICLE II - PURPOSE AND OBJECTIVE The purpose and objective of the Fund is to provide a benevolent society for the senior leaders of the Special Troops Battalion, which will promote the spirit of comradeship, inspire enthusiasm, devotion, espirit de corps, and recognize the achievements of its members. Also, maintaining the Fund will provide revenue for the purchase of gifts and/or mementos for certain significant occasions and provide each assigned senior member with a specially designed memento of his/her tour in the STB. Significant occasions and activities include, but are not necessarily limited to: a. Babies born to members and their Families during their period of assignment to the Battalion. b. Hospitalization of member or spouse. c. Departure of a senior member (E7+) from the STB. d. Death in a member's immediate family. ARTICLE III - MEMBERSHIP Section 1. All Officers, Warrant Officers, the Command Sergeant Major, Sergeant Major, Unit First Sergeants, Platoon Sergeants, and affiliated contracted civilian employees are eligible for membership in the Fund.

Section 2. Newly assigned Officers, Warrant Officers, Command Sergeants Major, Sergeants Major, Unit First Sergeants, Platoon Sergeants, and affiliated contracted Civilian employees, after their assignment, will be offered member in the Fund by their respective council members and by the Funds Custodian/Recorder. Membership dues will be paid within 90 days of arrival the unit or activation of the Constitution and By Laws. Section 3. Membership will be terminated by orders transferring or relieving a member from assignment or attachment to the STB. Membership may also be terminated by the written request of a member to the president or custodian. Section 4. Personnel not desiring to participate will acknowledge their intent in writing to the president or custodian within 90 days of being assigned to the battalion. ARTICLE IV - COUNCIL AND SELECTION OF OFFICERS Section 1. The Fund shall exist only with the consent of the Battalion Commander. The Council shall be responsible to the Battalion Commander for the administration of the Fund in accordance with current Army Regulations, Command Policies and the Constitution of the Fund. Section 2. The management, administration, and operation of the Fund are vested in and will be conducted by the Council, which will consist of the following members: President: Custodian Members: Battalion Executive Officer with one vote Battalion S-1 Officer without a vote Commanders or designated representatives each with one vote

Section 3. Any organization attached to the Battalion may participate in the Fund when the majority of the officers in the attached organization vote appropriately. They will select one individual to serve on the council. Section 4. A member of the Fund, not the Battalion Commander, will audit the fund at least quarterly and upon change of Custodian/Recorder. A semiannual statement of net worth will be rendered to the Battalion Commander and an annual statement will distributed to the general membership. ARTICLE V - MEETING Section 1. Regular meetings of the general membership will be held quarterly at time and place determined by the Fund.

Section 2. Special meetings of the general membership may be called at such times and places as the Fund may determine or may be called by written petition of at least 20% of the membership of the Council. Section 3. The presence of the simple majority of members in good standing shall constitute a quorum for the purpose of conducting business at a special or regular meeting of the general membership. ARTICLE VI - AMENDMENTS This Constitution and By Laws may be amended upon the affirmative vote of a majority of members present at a special or regular meeting of the members where a quorum (as defined Article V) is present. Also, Amendments may be submitted in writing, to the Council by any member of the Fund. The custodian will provide a copy of any proposed amendment to each member of the council at least two weeks before the meeting at which it's to be considered. The Council will convene a special meeting of the General Membership to vote (two-thirds) upon all proposed amendments, which shall become effective upon approval by the Battalion Commander. ARTICLE VII - ORGANIAZTION a. The fund will be composed of the general membership and administrative body called the Council. General membership will consist of those officers and DA Civilians assigned to the Battalion who desire to participate in the fund. The fund Council will be selected from the general membership. b. The president of the Council will be the Battalion Executive Officer who will serve as presiding officer of the Council. An alternate president will be appointed for a temporary period should the president be absent for more than 30 days. c. The Battalion Adjutant will serve as the Fund custodian and principal financial and accounting assistant to the Council. d. The Council will meet a minimum of a once each quarter; however, a meeting of the Council may be called at the custodian/president's discretion. The council will meet on all spending matters for purposes other than stated in Article III, sup-paragraph a-d. ARTICLE VIII - ADOPTION This Constitution is adopted subject to the approval of an affirmative vote of a majority of those persons eligible for membership and with the approval of the Battalion Commander.

ARTICLE IX - DISSOULTION Section 1. The Fund shall be automatically dissolved: a. by affirmative majority vote of the members in good standing present at a meeting attended by at least two-thirds of the members. b. by inactivation of the Battalion. c. or, by the direction of the Battalion Commander. Section 2. Upon dissolution, unless otherwise directed by the Battalion commander, the members of the Council shall continue in office and perform the duties of their respective offices until all debts of the Fund are liquidated and all property and residual assets have been disposed of in accordance with existing regulations and policies. Section 3. Upon dissolution and after all liabilities have been satisfied, any residual assets of the Fund shall be contributed to a charitable organization designated by the Council. SECTION II BY LAWS

ARTICLE I - AUTHORIZED INCOME Section 1. Membership will be $100.00 per member. Section 2. Each member unit (company/battery) will commit to raise $150.00 each year for the Fund. Fund-raising activities may include, but are not limited to, car washes, bake sales, leadership activities, etc. Section 3. The fund will host raffles at all social functions. All profits will be placed in the account Section 4. The Fund will collect the 15% value added tax on all social functions and the proceeds will be placed in the account. ARTICLE II - AUTHORIZED EXPENDITURES Section 1. The membership fee of $100.00 will be used toward the purchase of a departure gift for the individual member. Section 2. The Fund will purchase appropriate mementos for

births and individual events for members of the fund. Section 3. The Fund will purchase flowers or plants for arriving and departing spouses. Section 4. The Fund will pay for routine expenses involving the administration of the Fund such as postage, money orders, and gift-wrapping. Section 5. The Fund will purchase other items and services not specifically mentioned above when authorized by the Council and to defray expenses of social functions as determined by the Council, provided they are beneficial to the majority of the membership of the Fund. Other purchases may de deemed necessary by the Council to insure the Fund is solvent after a reconciliation of the Funds financial status. Section 6. The Council may authorize the purchases in quantity of the standard items above as long as the per item cost does not exceed $35.00 or an amount agreed upon by the council, per item. ARTICLE III - DUTIES OF OFFICERS Section 1. President The President will preside at all meetings of the Council and the general membership. He will be responsible to ensure the Fund is responsible to the needs and desires of the general membership; review financial statements, and inventories. He will ensure that all required records are maintained, and that required audits are performed. Also, he will ensure, when necessary, yearly audits are conducted IAW AR 210-1. Section 2. Custodian/Recorder The Custodian will be responsible for the administration of the Fund within the requirements of Army Regulations and this Constitution. He will reside at all meetings of the Council in the place of the President and will prepare and distribute the quarterly statement of Net Worth; receive, distribute, and account for monies and other assets in accordance with applicable regulation, and directives. He will prepare minutes of the general membership and all Council meetings for inclusion in the Funds records. Section 3. Council Members. The council members will represent their organization at all quarterly meetings of the Fund. They will ensure all purchases not specifically authorized by the Constitution and By Laws are in the best interest of the general membership. They will monitor the budget of the Fund and ensure the Fund

neither accumulates a balance in excess of that authorized by the Constitution nor creates an obligation in excess of the Funds ability to pay. a. Members of the Council will be specified in Section I, article V. Interim members may be appointed by the custodian/president to fill vacancies pending the appointment of a representative staff member. b. Duties of the Council are to be carried out at a special meeting include: (1) Interpret the Constitution and By Laws of the Fund. (2) Approve expenditures of all monies authorized by the By Laws, monitor and approve the monthly financial statement and assess fees as required. (3) Ensure all records, property, and assets of this Fund are properly maintained IAW 210-1 and any applicable supplements. (4) In general, direct the activities enumerated IAW the Constitution and By Laws. ARTICLE IV - FINANCIAL ASSISTANCE The Fund is not an instrument of the United States Government. It is selfsustaining and will not receive financial assistance from United States Army or non-appropriated funds. ARTICLE V - EQUAL OPPORTUNITY The Fund fully supports FORSCOM and Fort Bliss policy on equal opportunity, and will not discriminate in membership eligibility on the basis of race, color, religion, national origin or gender. ARTICLE VI - EFFECTIVE DATE OF CONSTITUTION AND BY LAWS With the approval and adoption by an affirmative vote of two-thirds of the general membership, this Constitution with its By Laws becomes effective on the day that is approved by the Battalion Commander, 1st Special Troops Battalion.
