OPEN PUBLIC MEETING STATEMENT: This meeting is being held in conformity to the Open Public Meetings Act N.J.S.A. 10:4-6 et. seq. Proper public notice of the meeting was published in the local papers on June 9 and June 10, 2012. If any Board member or member of the public in attendance believes that the meeting is in violation of the Open Public Meetings Act, the Hoboken Board of Education requests that they make a statement at this time. The Board wishes to make those in attendance aware that this meeting is being recorded on video and will be broadcast by the Board at a later date on CATV Channel 77. The Hoboken Board of Education is committed to preserving the decorum of the public process and is mindful that we live in the electronic age of computers, cell phones and other electronic communications devices. RESOLUTION No. FI-0027-11-12 SUBJECT: APPROVAL OF FOOD SERVICES MANAGEMENT COMPANY CONTRACT RESOLVED, that the Hoboken Board of Education hereby rewards the school food service contract for the 2012-2013 school year to Sodexo Management, Inc., Weatogue, Connecticut; and BE IT FURTHER RESOLVED that the fees for the said contract include a flat management fee of $12,510.90 per month based on conditions and assumptions stipulated in the proposed contract on file in office of the School Business Administrator/Board Secretary remaining in effect; and BE IT FURTHER RESOLVED that Sodexo Management, Inc. guarantees a breakeven bottom line of the operational financial report for the 2012-2013 school year, with no subsidy to the bottom line by the LEA. In the event that the costs of operating the Food Service Program exceed total revenues (from all sources), Sodexo Management, Inc. will be responsible for any losses (shortfalls) incurred but in no event shall the reimbursement obligation exceed the amount of Sodexo Management, Inc.s Management Fee, ($125,109.00) with said guaranteed breakeven based on the conditions and assumptions remaining in effect for the school year in accordance with the proposed contract on file in office of the School Business Administrator/Board Secretary. The fees shall consist of general support services and management fee. General support services allowances will equal to $69,257.00 for the 2012-2013 contract year, payable in ten equal installments of $6,925.70, September through June, computed at the end of each accounting period and prorated for any partial accounting. Partial accounting period shall be defined as a period of time less than one month. The district shall pay Sodexo a management fee in an amount equal to $55,852.00 per year, payable in ten equal installments of $5,585.20, September shall be calculated at the end of each accounting period during the school year and prorated for any partial accounting period. Partial accounting period shall be defined as period of time less than one month; and BE IT FURTHER RESOLVED that the prices for student lunches during the 2012-2013 school year shall remain $3.00 at the elementary schools and $3.50 at the high school with the adult lunch price at $4.00, and that the district shall continue to offer a Universal Breakfast program to all students at no cost.

b. Record of daily attendance; c. Descriptions of student progress according to the system of student evaluation used in the school district; d. History and status of physical health compiled in accordance with State regulations, including results of any physical examinations given by qualified school district employees; e. RESOLUTION No. FI-0044-11-12 SUBJECT: APPROVAL OF ADOPTION OF CODE OF ETHICS RESOLVED, that the Hoboken Board of Education adopt the following Code of Ethics as per N.J.S.A. 18A:12-21 et seq. and By-law 9271. The members of the Hoboken Board of Education recognize that they hold authority not as individuals but as members of the Board. In order to make a clear public statement of its philosophy of service to the pupils of the district, the Board adopts this code of ethics: a. I will uphold and enforce all laws, rules and regulations of the State Board of Education, and court orders pertaining to schools. Desired changes shall be brought about only through legal and ethical procedures.
b. I will make decisions in terms of the education welfare of children and will seek to develop and maintain public schools which meet the individual needs of all children regardless of their ability, race, creed, sex or social standing.

I will recognize that authority rests with the Hoboken Board of Education and will make no personal promises nor take any private action that may compromise the Board. f. I will refuse to surrender my independent judgment to special interest or partisan political groups or to use the schools for personal gain or for the gain of friends.
g. I will hold confidential all matters pertaining to the schools which, if disclosed, would needlessly injure individuals or the schools. In all other matters, I will provide accurate information and, in concert with my fellow Board members, interpret to the staff the aspirations of the community for its schools. h. I will vote to appoint the best-qualified personnel available after consideration of the recommendation of the chief administrative officer. i. j. I will support and protect school personnel in proper performance of their duties. I will refer all complaints to the chief administrative officer and will act on the complaints at public meetings only after failure of an administrative solution.
The Board shall see that all members of the Board receive training in understanding and adhering to this code of ethics and shall discuss it annually at a regularly scheduled public meeting. Each member shall sign documentation that he/she has received a copy of it and has read and understood it.
