Many of 18 those seniors were turned away by the Secretary because she did not believe they had 19 actually lost any of the money they claim to have lost. In essence, the Secretary did not 20 believe those seniors were victims at all, even though the California Attorney General had 21 already prosecuted Senior Care Advocates, Inc. for fraud and even though a federal court 22 had already entered judgments in favor of all the seniors. 23 2. 24 claims of more than 280 of the 480 victims, while agreeing to compensate the other 203 25 seniors only a fraction of the value of their losses. To make matters worse, even the 203 26 seniors the Secretary has agreed to pay have not received the restitution promised. 27 Meanwhile, the Secretary is in charge of a fund designed to help victims of corporate fraud 28 -7Complaint for Order Directing Payment out of the VCFC Fund and for Damages

When more than 500 California senior citizens were tricked by a California

After two years of bureaucratic delay, the Secretary ultimately denied the

1 which has taken in almost $15 million from corporate registration fees and had paid out 2 only a tiny fraction of that amount to victims. 3 3. By this action, the plaintiffs seek to require the Secretary to pay restitution, as

4 required by the statutes and regulations governing the Fund, to the 282 victims and to pay 5 the outstanding restitution owed the other 203 claims. 6 7 8 4. PARTIES, VENUE AND JURISDICTION All 480 Plaintiffs are natural persons over the age of 18 years. Pursuant to

9 C.C.P. 422.40, all of those plaintiffs are listed in the caption. Pursuant to that same 10 section, the caption form for all subsequent pleadings will include only the first parties on 11 each side, with an appropriate indication of other parties. 12 5. At the time when all the wrongful acts as alleged herein were committed, all

13 Plaintiffs were residents of various counties throughout all of California, ranging from 14 Humboldt County in the north to San Diego County in the South. For example, plaintiff 15 Lawrence Nier was at all relevant times, a resident of Los Angeles County whose claim for 16 $13,775 the Secretary denied on November 17, 2011. Mr. Niers dealings with Senior 17 Care Advocates, Inc. (SCA) occurred at his home in Los Angeles County and he signed 18 a contract with SCA at his home. 19 6. Plaintiff Robert Rendon was, at all relevant time, a resident of Los Angeles

20 County whose claim for $6,000. Mr. Rendon accepted an offer of restitution from the 21 Secretary on March 29, 2012, but has yet to receive the full amount of that restitution. Mr. 22 Rendons dealings with Senior Care Advocates, Inc. (SCA) occurred at his home in Los 23 Angeles County and he signed a contract with SCA at his home. 24 7. Because of the large number of plaintiffs, it would be impractical to list them

25 all individually in this complaint. Exhibit A to this complaint lists all of the plaintiffs that are 26 parties to the First Cause of Action. Defendant Debra Bowen is the Secretary of State of California and is

2 charged by statute with administering the Victims of Corporate Fraud Compensation Fund 3 (the"Fund"). The regulations implementing the Fund, specifically including California Code 4 of Regulations 22512, authorize an action against the Secretary of State seeking an order 5 requiring payment out of the Fund. The Secretary of State is sued in her official capacity 6 only. 7 9. Defendants DOES 1 through 100, inclusive, are sued herein under fictitious

8 names. Their true names and capacities are unknown to Plaintiffs. When their true names 9 and capacities are ascertained, Plaintiffs will amend this Complaint by inserting their true 10 names and capacities. Plaintiffs are informed and believe and thereon allege that each of 11 the fictitiously named Defendants are responsible in some manner for the occurrences 12 herein alleged, and that the Plaintiffs' damages were proximately caused by those 13 Defendants. (All the defendants are hereafter sometimes collectively referred to herein as 14 "Defendants.") 15 10. Plaintiffs are informed and believe and thereon allege that, at all times

HISTORY OF THE FUND The Victims of Corporate Fraud Compensation Fund was established by the

3 Legislature starting in 2003. Corporations Code 1502.5 created the Fund and gave 4 authority to administer it to the Secretary of State. That same section also empowered the 5 Secretary to "adopt regulations regarding the administration of the fund and the eligibility of 6 victims to receive compensation from the fund." 7 14. It is funded by a five-dollar ($5) disclosure fee paid by corporations when

8 filing the annual statement required by Corporations Code 1502(a). One-half of the five9 dollar ($5) fee is deposited into the Fund. That money in the fund is to be used for the sole 10 purpose of providing restitution to the victims of a corporate fraud. To achieve that 11 purpose, the Legislature mandated that the money in the fund be continuously 12 appropriated to the Secretary of State for the purposes authorized by the statute. 13 15. The portion of the disclosure fee that goes into the Fund generates

14 approximately $1.5 million annually. From its inception in 2003, that fee has generated 15 approximately $15 million. Despite the continuous appropriation of the fee into the Fund, 16 and despite the statutory mandate that the Fund be used solely for the purpose of 17 providing restitution to victims of corporate fraud, when plaintiffs filed their claims with the 18 Secretary in 2010, less than $100,000 had been paid out of the fund to victims in its 8-year 19 existence; less than 1% of the money collected for victim's restitution. The money in the 20 Fund simply accumulated, unspent on any victims of corporate fraud, until the State 21 "borrowed" $10 million from the fund as part of the 2010 budget. That money has never 22 been repaid. 23 24 25 16. THE CLAIMS SUBMITTED BY THE PLAINTIFFS On May 14, 2010, these elderly plaintiffs submitted their claims to the Fund.

26 All of those claims arose from dealings with Senior Care Advocates, Inc., a company that 27 was run for many years by well-known Roseville-based attorney and Medi-Cal "specialist" 28 James Walker. - 10 Complaint for Order Directing Payment out of the VCFC Fund and for Damages

While Senior Care Advocates promised to help individuals "qualify" for

2 Medi-Cal, the truth is there is no such thing as "qualifying" for Medi-Cal. An individual is 3 either eligible for Medi-Cal or is not eligible, depending on their financial situation and 4 disposing of assets or other methods of "qualifying" suggested by Senior Care Advocates 5 are not permissible. 6 18. Senior Care Advocates was able to prey on the fear of elderly individuals

7 who were told that they would lose everything, be kicked out of their house and would 8 never be able to afford any kind of assisted living facility unless they "qualified" for 9 Medi-Cal through Senior Care Advocates. 10 19. The cost of that qualifying was, in many cases, more than $20,000 per

11 individual. Senior Care Advocates sold their various scam services for many years to 12 thousands of victims. 13 20. Eventually, the Attorney General launched an investigation of Senior Care

14 Advocates and found that Walker, through his company, had engaged in unfair business 15 practices, including misrepresentation that services were worth "more than their true 16 nominal value" and available "for life." 17 21. No criminal charges were filed and Walker did not admit any wrongdoing, but

18 a permanent injunction and final judgment reached in May 2008 restricted the way he did 19 business. Walker was assessed a civil penalty of $165,000, payable monthly over three 20 years, and an additional fine of up to $110,000 if his income exceeded a certain amount. 21 Walker stopped paying the civil penalty in November 2008, and he never made enough to 22 qualify for the additional fine. 23 22. Walker and Senior Care Advocates shortly followed shortly thereafter with a

24 bankruptcy filing. All of the elderly claimants here were listed by Senior Care Advocates 25 as creditors on the bankruptcy filing. Because any claims those claimants might have 26 would be discharged in bankruptcy, all of them joined together in four separate lawsuits 27 filed in the bankruptcy court against Senior Care Advocates. Senior Care Advocates had 28 no assets at this point and did not defend the lawsuits. - 11 Complaint for Order Directing Payment out of the VCFC Fund and for Damages

Ultimately, the Chief Judge of the Bankruptcy Court for the Eastern District of

2 California, Judge Klein, issued default judgments for all 500 or so claimants and 3 specifically found that fraud had occurred: "I am satisfied that the debtor, through its 4 agents, did make material representations to the plaintiffs, that the representations were 5 false (and) that the debtor's purpose in making the misrepresentations was to deceive the 6 creditor in each case." 7 24. Judge Klein later found that neither Senior Care Advocates nor Walker

8 individually had any assets to satisfy any of the judgments against them (there were a 9 large number of creditors in addition to these claimants, including, for example, Senior 10 Care Advocates, Inc.'s landlord, several suppliers, a former attorney, etc.). 11 25. Once the fraud judgments had been issued and there were no assets to pay

12 those judgments, these plaintiffs submitted their claims for restitution under the Fund to the 13 Secretary of State for compensation under the VCFCF. The claims were promptly rejected 14 as incomplete on a variety of grounds. From that point forward, the plaintiffs provided 6 15 additional submissions to the Secretary, consisting of many thousands of pages of 16 documents, all gathered at great time and expense. 17 26. Ultimately, the Secretary separated the claims into two different categories.

18 The first group includes the 282 plaintiffs listed on Exhibit A. For those plaintiffs, the 19 Secretary simply denied the claims on the dubious grounds that those 282 plaintiffs failed 20 to provide adequate documentation of out-of-pocket loss. The Secretary insisted that all 21 480 plaintiffs, many of whom wrote checks more than 10 years ago, provide both the front 22 AND BACK of the checks they wrote to prove that they were negotiated or provide other 23 proof of actual loss such as a credit card statement or a bank statement showing the 24 payemnt. 25 27. Not only is this ludicrous position nowhere supported by the regulations, it

26 flies in the face of the bankruptcy court's finding that each of the plaintiffs had been 27 damaged in the amounts sought. 28 /// - 12 Complaint for Order Directing Payment out of the VCFC Fund and for Damages

It also suggests that the plaintiffs' applications to the Secretary, which were

2 submitted under the penalty of perjury, were fraudulent. Because the vast majority of the 3 plaintiffs submitted several additional statements over the ensuing months in support of 4 their applications to the Secretary, again under the penalty of perjury, it further suggests 5 that those plaintiffs repeatedly perjured themselves in statements to the Secretary about 6 their losses. 7 29. The second group includes the 203 plaintiffs listed on Exhibit B. For those

8 plaintiffs, the Secretary made offers of restitution for some portion of their losses. All but 9 two of those plaintiffs accepted the Secretary's offers. The average amount owed to each 10 of the 203 plaintiffs is approximately $9,000. Despite offering to pay restitution to the 11 group of 203 plaintiffs, and despite the acceptances of those offers by those 203 plaintiffs, 12 none of those plaintiffs have yet been paid all of the restitution due them, and a number of 13 those plaintiffs have not been paid anything. Apparently there is no money available in the 14 Fund, despite its nature as a continuously appropriated Fund, and the Secretary is unable 15 to determine when any additional money will be available to pay the 203 plaintiffs the 16 money that is owed them. 17 18 19 20 21 30. FIRST CAUSE OF ACTION Pursuant to C.C.R. 22512 for an Order Directing Payment Out of the Victims of Corporate Fraud Compensation Fund (By Plaintiffs listed on Exhibit A Only) Plaintiff incorporates by reference the allegations of paragraphs 1 through

22 29, inclusive, above. 23 31. The 282 plaintiffs in this cause of action have all submitted claims to the

The 282 plaintiffs in this cause of action have completed all of the

2 requirements of C.C.R. 22501 to qualify for payment from the Fund. 3 33. The 282 plaintiffs in this cause of action have complied with all of the notice

4 requirements of C.C.R. 22503 to qualify for payment from the Fund. 5 34. On or after November 15, 2011, the Secretary of State issued a final decision

6 denying the applications of all of the 282 plaintiffs in this cause of action pursuant to 7 C.C.R. 22508. 8 35. Pursuant to C.C.R. 22512, the 282 plaintiffs in this cause of action allege

9 that the Secretary of State wrongfully denied their claims and hereby apply for an Order 10 Directing Payment Out of the Victims of Corporate Fraud Compensation Fund based upon 11 the grounds and in the amounts set forth in those plaintiffs applications to the Secretary of 12 State. 13 36. In prosecuting this action for the enforcement of important rights affecting the

14 public interest, Plaintiffs seeks to recover their attorneys' fees under (I) 1021.5 of the 15 Code of Civil Procedure, and/or (ii) the "common fund" doctrine available to a prevailing 16 plaintiff who confers a benefit on the general public. 17 18 19 20 21 37. SECOND CAUSE OF ACTION For Violation of Elder Financial Protection under Welfare and Institutions Code 15610.07; (By Plaintiffs listed on Exhibit B Only) Plaintiff incorporates by reference the allegations of paragraphs 1 through

22 36, inclusive, above. 23 38. All of the plaintiffs herein are "elders" over 65 years of age at the time of the

As a further direct, legal and 6 proximate result of Defendants' conduct, Plaintiff has incurred and will continue to incur 7 attorneys' fees and related expenses in an amount to be proven at trial and are entitled to 8 recover those fees under Welfare and Institutions Code 15657. 9 Prayer 10 WHEREFORE, Plaintiffs pray for judgment as follows:
