Infrastructure Strategy and Planning Workshop for Cloud Computing

1. Scope of Work
The Infrastructure Strategy and Planning Workshop for Cloud Computing (Services) will facilitate a structured assessment of your Information Technology (IT) infrastructure and services and help you identify potential areas for use of cloud computing.

Facilities and Hours of Coverage


a. b. The Services will be performed on-site at your location as stated in the contract form, and off-site, at IBM location(s). IBM will provide Services under this SOW during normal business hours, 8:00 to 18:00 Monday through Friday, except national holidays, unless otherwise specified. In some cases, you will provide access to your locations outside normal business hours, as mutually agreed between you and IBM.

Services Coordination
IBM Services Coordination Responsibilities The purpose of this activity is to provide a Services specialist who will be IBMs focal point during performance of the Services. The Services specialist will: a. b. c. establish and maintain communications through your Point of Contact, as defined in the section entitled Your Point of Contact Responsibilities below; review and administer a Project Change Control Procedure with your Point of Contact, as defined in this SOW; and coordinate and manage the technical activities of IBMs assigned personnel.

Completion Criteria: This is an ongoing activity that will be considered complete at the end of the Services. Deliverable Materials: None

Your Point of Contact Responsibilities


Prior to the start of the Services, you will designate a person ("your Point of Contact"), to whom all communications relative to the Services will be addressed and who will have the authority to act on your behalf in all matters regarding this SOW. Your Point of Contact will: a. b. c. d. e. f. complete and return any customer questionnaires or checklists within five days of your receipt, if applicable; serve as the interface between IBMs project team and all of your departments participating in the Services; attend status meetings; obtain and provide applicable information, data, consents, decisions and approvals as required by IBM to perform the Services, within two business days of IBMs request; help resolve Services issues, and escalate issues within your organization, as necessary; and administer the Project Change Control Procedure with the IBM Services specialist.

3.2.1

Your General Responsibilities IBM's performance is dependent upon your management and fulfillment of your responsibilities under this SOW and the Agreement specified below, at no charge to IBM. Any delay in performance of your responsibilities may result in additional cost and/or delay of the completion of the project covered by this SOW, and will be handled in accordance with the Project Change Control Procedure. You will: a. make appropriate personnel available to assist IBM in the performance of IBMs responsibilities;

provide safe access, suitable office space, supplies, furniture, high speed connectivity to the Internet, and other facilities for IBMs personnel while working at your location; ensure that current maintenance and license agreements are in place with applicable vendors for those products and services upon which IBM is relying to provide the Services described herein; allow IBM, at the completion of the Services, to cite your company's name and the general nature of the Services IBM performed for you to other potential customers; prior to making your facilities, software, hardware, networks or other similar resources available to IBM, promptly obtain any licenses or approvals necessary for IBM or its subcontractors to use, access and modify such resources to the extent necessary for IBM to perform the Services, including the development of any Materials. IBM will be relieved of its obligations to the extent your failure to promptly obtain such licenses or approvals adversely affect IBMs ability to perform its obligations. If a third party asserts a claim against IBM as a result of your failure to promptly obtain these licenses or approvals, you agree to reimburse IBM for any costs and damages that IBM may reasonably incur in connection with such claim; be responsible for the content of any database, the selection and implementation of controls on its access and use, backup and recovery and the security of the stored data. This security will also include any procedures necessary to safeguard the integrity and security of software and data used in the Services from access by unauthorized personnel; and be responsible for the identification and interpretation of any applicable laws, regulations, and statutes that affect your existing application systems or programs that IBM will have access to during the Services. It is your responsibility to assure that the systems and programs meet the requirements of those laws, regulations and statutes.

Infrastructure Strategy and Planning Workshop for Cloud Computing


IBM Responsibilities Activity 1 - Workshop Delivery The purpose of this activity is to help you identify potential areas that would lend themselves to cloud computing and to create an initial roadmap of the work needed to reach the capability required for cloud computing in those areas. This activity is conducted through a workshop, although interviews may also be used to supplement and gather information. Task 1 - Gather Data and Prepare for Workshop IBM will: a. b. c. d. conduct a pre-workshop review with your Point of Contact to gather information about your organization; prepare the IBM workshop material(s) based on the information IBM received about your organization, as specified in the Scope of Work section; provide advice and guidance on the appropriate functional roles to attend the workshop. work with you to determine if interviews are required to gather information during this activity, and if required, determine the functional roles of the participants that you may select for up to three onehour interviews.

Task 2 - Conduct Workshop and Interviews IBM will: a. conduct a two-day workshop, for the participants you selected, to cover the following topics: (1) Strategic Alignment Analysis: (a) (b) (2) (a) (b) (3)

determine IT provider relationship profile and implications; review IT priorities; identify areas where the introduction of cloud technology is feasible; determine likely benefit areas and priorities;

review current IT workload characteristics; assess your current implementation, and determine an appropriate future state; discuss Cloud readiness; assign priority and estimated effort to closing each IT gap; review overall enabling program; and

Prioritization of IT Enhancements:

conduct up to three one-hour interviews with the participants you selected, if required.

Task 3 - Analyze and Assess Information IBM will: a. b. c. d. e. f. document comments made during the workshop that IBM determines to be important input for the assessment; review the data gathered during the workshop and any interviews that may have been conducted; process the data gathered using an IBM assessment tool; analyze the data gathered and the assessment results; identify and prioritize potential opportunities for the improvement of your IT infrastructure and services and a high level roadmap; and document the assessment results, findings, conclusions, potential opportunities for improvement and recommendations in a Cloud Strategy and Roadmap Report.

Task 4 - Present Report IBM will: a. conduct a meeting for up to two hours with your Point of Contact and the meeting participants that you select, to: (1) (2) (3) b. c. review the Cloud Strategy and Roadmap Report; help you determine whether or not the prioritization of the potential improvement opportunities, as documented in the Cloud Strategy and Roadmap Report, meets your requirements; and update Cloud Strategy and Roadmap Report if the prioritization of the improvements opportunities are changed during the meeting;

finalize the Cloud Strategy and Roadmap Report; and deliver the Cloud Strategy and Roadmap Report to your Point of Contact.

Completion Criteria: This activity will be complete when IBM has presented the Cloud Strategy and Roadmap Report to your Point of Contact. Deliverable Materials: 3.3.2 Cloud Strategy and Roadmap Report Your Responsibilities You agree to: a. b. c. d. e. f. fill out the pre-engagement questionnaire prior to work commencing; submit any requests for modifications to the project scope using the Project Change Control Procedure; work with IBM to identify your personnel who will participate in the two-day workshop, in any interviews, as required; provide IBM with a list of your personnel you select to participate in the review of Cloud Strategy and Roadmap Report as described in the IBM task, Present Report; return any IBM workshop materials and other information not designated as deliverable Materials in this SOW to IBM following the completion of the IBM task, Present Report; and ensure the participation of all your required personnel during the Services.

Deliverable Materials
The deliverable Materials, identified as Type II Materials, resulting from the completion of the Services are: Cloud Strategy and Roadmap Report

5.

Estimated Schedule
The Services will be performed consistent with the estimated schedule specified in the contract form. IBM and you both agree to make reasonable efforts to carry out our respective responsibilities in order to achieve the estimated schedule.

6.

Completion Criteria
IBM will have fulfilled its obligations for the Services described in this SOW when any one of the following first occurs: a. b. IBM delivers the deliverable Materials; or the Services are terminated in accordance with the provisions of the Agreement identified below.

7.

Charges
The charge for the Services described in this SOW, exclusive of applicable taxes, is as stated in the contract form. Unless otherwise stated in the contract form, if travel is required, you are responsible for all actual and reasonable travel and living expenses incurred by IBMs personnel during the performance of the Services. You will be invoiced as specified in the contract form. Invoices are payable upon receipt. Late payment fees may apply. You agree to pay by electronic funds transfer (to an account specified by IBM) or other means acceptable to IBM.

Other Terms and Conditions


IBM Intellectual Capital
IBM will be using preexisting IBM proprietary intellectual capital (the "IBM assessment tool") during this engagement to perform the IBM responsibilities. The IBM assessment tool and associated documentation are not provided to you under the terms of this engagement. The IBM assessment tool and associated documentation remain the property of IBM.
