Service Subscription Agreement: Channel Management System (CMS) only

This Service Subscription Agreement is entered into between DirectWithHotels Ltd. (DWH) and the Hotel Partner seeking to secure more direct bookings online because direct is most profitable & online is todays way to book travel.

DWH commitments:
1. Provide web-based, password-protected Hotelier Interface (i.e. extranet) to manage all Online Travel Agency (OTA) channels that (a) the DirectWithHotels CMS connects to (see www.directwithhotels.com/channels); and (b) the Hotel Partner is contracted with, with working username and password for extranet access; Automatic adjustment of inventory across all channels when a booking is made via any of the connected channels, with all available inventory bookable by any channel, any time; Access to real-time performance reports per channel (revenue, gross profit and bookings); Access to video tutorials for staff to learn how to use and take advantage of the Hotelier Interface; Provide a centralized helpdesk for hotel support (hotelsupport@directwithhotels.com); Provide Service Level Agreement of 99% uptime (not including scheduled maintenance). Online marketing, on-page and off-page, to drive quality traffic to the hotel website; Mobile adaptive advertising website with Google, Yahoo! & Microsoft Bing paid advertising; Hotel website audit & optimization for search engine ranking; Hotel website content management to improve conversion (usability, promotions, etc.); Integration of Google Map into Hotel Website; Facebook Like button integration to Hotel website & booking facility for Hotel Facebook page

NOT INCLUDED with this service:

Win/Win Pricing
A simple, flat US$99 per month. Should the Hotel Partner choose to upgrade this subscription to full service, the DirectWithHotels team will commit to delivering a minimum 25% more direct bookings online within 6 months; this requires the full set of online marketing and conversion optimization services for the standard 10% performance-based service fee, and a waiving of the US$99 per month.

Terms

No lock-in contracts, no commitments; The US$99 monthly fee will be invoiced quarterly and collected via wire transfer; The Hotel Partner and its staff are 100% responsible for their use of the CMS; DirectWithHotels can make no guarantee on the reliability of the Online Travel Agency systems it connects to, nor any other aspect of the technology given the interdependencies that exist; Given (3) and (4), should losses of any kind arise from the use of any of DirectWithHotels services, under any circumstances, for any given period of time, the maximum liability owing to the Hotel Partner under any ruling, legal or otherwise, shall not exceed 1 (one) months service fee for the month in which the issue first occurred.
