Având în vedere prevederile O.U.G. nr.11/2020 privind Stocurile de urgență medicală, precum
și unele măsuri aferente instituirii carantinei, potrivit căreia Oficiul Naţional pentru Achiziţii
Centralizate în calitate de instituție abilitată urmează să deruleze, în numele și pentru
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă în regim de urgenţă, procedura de negociere fără
publicare prealabilă pentru urmatoarele produsele din Anexa la ordonanţă:

VI. Modalitatea de atribuire a contractelor subsecvente – conform art. 118 alin. (1) lit.
a) din Legea nr. 98/2016, cu modificările şi completările ulterioare.
Contractele subsecvente vor fi atribuite fără reluarea competiţiei, iar încheierea,
implementarea şi monitorizarea acestora cade în sarcina Departamentului pentru Situaţii de
Urgenţă (DSU) din cadrul Ministerului Afacerilor Interne (MAI), prin Inspectoratul General
pentru Situaţii de Urgenţă (IGSU) conform art. 5 alin. (4) din OUG nr. 11/2020.
Condiţiile obiective în funcţie de care se stabileşte care dintre operatorii economici, parte la
acordul-cadru, vor furniza produsele:
Având în vedere necesitatea constituirii în regim de urgenţă a stocurilor medicale, DSU
din cadrul MAI prin IGSU va încheia contracte subsecvente, cu unul, mai mulţi sau toţi
operatorii economici parte din acordul-cadru;
Condiţii de selecţie a operatorilor economici parte din acordul-cadru pentru încheierea
contractelor subsecvente: în funcţie de poziţia obţinută în cadrul clasamentului realizat
în urma aplicării criterului de atribuire a acordului-cadru, în ordine descrescătoare, până
la atingerea nivelului cantitativ maxim al acordului-cadru sau în funcţie de cantităţile
identificate de achizitor, dar fără depăşirea cantităţii maxime ofertate de fiecare operator
economic, după cum urmează:
(a) Contractul subsecvent se va încheia cu operatorul economic clasat pe locul 1
semnatar al acordului-cadru;
(b) În cazul în care ofertantul clasat pe locul 1 se află în imposibilitatea furnizării
integrale/ parțiale sau nu a ofertat întreaga cantitate a produselor care fac
obiectul acordului cadru, DSU din cadrul MAI prin IGSU va încheia un contract
subsecvent cu/şi cu ofertantul clasat pe locul următor pentru diferența cantității
de produse până la concurența cantităților maxime prevăzute în Documentația
de Atribuire.
(c) În mod similar se va proceda la încheierea contractelor subsecvente cu ceilalţi
Promitenţi-Furnizori, în ordinea poziţiei din clasament, până la atingerea nivelului
maxim prevăzut în Documentația de Atribuire, după caz.
Astfel, pot exista situaţii în care unii Promitenţi-Furnizori, parte ai acordului-cadru să nu fie
nevoie să livreze întreaga cantitate ofertată în cadrul propunerii tehnico-financiare finale
depuse, deoarece prin selectarea Promitenţilor-Furnizori, în ordinea descrescătoare din
clasament, se atinge nivelul maxim cantitativ pentru produsul care se achiziţionează. Dacă se
atinge nivelul maxim în condiţiile de mai sus, pot exista şi situaţii în care unii Promitenţi-
Furnizori, deşi sunt parte din acordul cadru, să nu li se solicite de către DSU din cadrul MAI
prin IGSU încheierea de contracte subsecvente.
DSU din cadrul MAI prin IGSU odată cu notificarea fiecărui Promitent-Furnizor în vederea
încheierii contractului subsecvent, va comunica cantitatea care va face obiectul contractului
subsecvent, cu respectarea pragului maxim cantitativ ofertat.
Promitenţii-Furnizori sunt obligaţi ca în termen de maximum 2 zile lucrătoare de la data primirii
notificării să se prezinte la sediul DSU din cadrul MAI prin IGSU pentru semnarea contractului
subsecvent. În caz contrar, se va considera că Promitentul-Furnizor nu are capacitatea de a
susţine implementarea contractului subsecvent.
Promitentul-Furnizor se obligă să răspundă solicitării DSU din cadrul MAI prin IGSU de a
încheia contractul subsecvent.

Dacă acesta refuză semnarea contractului subsecvent sau nu mai are capacitatea de a
răspunde solicitărilor din partea DSU din cadrul MAI prin IGSU de a încheia contractul
subsecvent în condiţiile asumate prin ofertă, Promitentul-Furnizor în termen de 1 zi lucrătoare
de la constatarea situaţiei informează DSU din cadrul MAI prin IGSU asupra incapacităţii de a
livra produsele şi va suferi consecințele prevăzute în acordul-cadru pentru neîndeplinirea
obligațiilor în sarcina lui, după cum urmează:
(1) Promitentul-Furnizor în culpă datorează daune-interese DSU din cadrul MAI prin
IGSU calculate ca urmare a diferenţei rezultate dintre preţul unitar în euro fără TVA
prevăzut în acordul-cadru şi preţul unitar în euro fără TVA la care DSU din cadrul MAI
prin IGSU va achiziţiona efectiv respectiva cantitate de produse ce face obiectul
contractului subsecvent.
(2) Daunele-interese datorate conform pct. (1) vor fi plătite de către Promitentul-Furnizor
în termen de maximum 30 de zile de la data înștiințării primite din partea DSU din cadrul
MAI prin IGSU conform documentației justificative.
(3) Acordul-cadru şi contractul subsecvent se desfiinţează de plin drept, fără punere în
întârziere, fără acţiune în justiţie şi fără nicio altă formalitate prealabilă cu plata de
daune-interese, calculate conform celor de mai sus.
(4) DSU din cadrul MAI prin IGSU va emite document constatator pentru neîndeplinirea
obligaţiilor contractuale conform art. 166 alin. (5) din H.G. nr. 395/2016, cu modificările
şi completările ulterioare.
(5) În acest caz, DSU din cadrul MAI prin I.G.S.U solicită Promitentului-Furnizor situat
pe locul următor să încheie contractul subsecvent.
Contractele subsecvente se vor încheia de IGSU pe perioada de valabilitate a acordului-cadru
cu Promitentul-Furnizor semnatar al acordului-cadru.
Pentru nerespectarea termenului de livrare în perioada de derulare a contractului subsecvent
sunt aplicabile următoarele:
(a) Daunele-interese vor fi considerate penalități şi vor fi plătite de către Promitentul-Furnizor
în cuantumul stabilit de dobânda legală penalizatoare, aplicată la valoarea produselor
nelivrate, pentru fiecare zi de întârziere, în conformitate cu prevederile art. 4 din Legea nr.
72/2013 privind măsurile pentru combaterea întârzierii în executarea obligaţiilor de plată a
unor sume de bani rezultând din contracte încheiate între profesionişti şi între aceştia şi
autorităţi contractante.

a) Motive de excludere:
Cerinţa nr. 1
Ofertanții, asociații, subcontractanţii nu trebuie să se regăsească în situațiile prevăzute
de dispozițiile art. 164, art. 165 alin. (1) şi art. 167 (1) din Legea nr. 98/2016, cu
modificările și completările ulterioare.
Modalitatea prin care poate fi demonstrată îndeplinirea cerinței:
Ofertantul va completa și semna prin reprezentantul legal sau printr-o persoană împuternicită
în acest sens de reprezentantul legal:
Formularul nr. 3 - Declaraţie privind neîncadrarea în situațiile prevăzute la art. 164 din
Legea nr. 98/2016, cu modificările şi completările ulterioare.
Formularul nr. 4 - Declaraţie privind neîncadrarea în situațiile prevăzute la art. 165 alin.
(1) şi art. 167 alin.(1) din Legea nr. 98/2016, cu modificările şi completările ulterioare.
Formular nr. 5 - Declarație privind partea/părţile din contract care sunt îndeplinite de
subcontractanţi şi specializarea acestora -dacă este cazul.

3.Alte informaţii:
- Orice document emis în altă limbă decât limba română va fi însotit de traducerea în
limba română/engleză (pentru ofertanții străini) asumată prin semnare și ștampilare de
către reprezentantul legal al ofertantului.
- Perioada minimă de valabilitate a ofertei este de 45 de zile calendaristice.

Veti întocmi oferta tehnică în conformitate cu specificațiile Caietului de sarcini, iar aceasta va
fi înregistrată, semnată și ștampilată de reprezentantul legal al operatorului economic sau
daca este cazul, de persoanele împuternicite de către acesta, prin completarea
Formularului nr.11;
Propunerea tehnică va avea caracter ferm şi obligatoriu din punct de vedere al
conţinutului pe întreaga perioada de valabilitate a ofertei. Elementele propunerii tehnice
se vor prezenta detaliat, complet şi cu toate caracteristicile care definesc solicitările din
Caietul de sarcini și anexa acestuia. De asemenea, se vor anexa la oferta tehnică toate
documentele justificative care susţin cele asumate prin aceasta.
NOTĂ:
Modul de prezentare a propunerii tehnice:
Aveti obligația de a elabora și prezenta Propunerea Tehnică astfel încât să respecte
specificațiile minime precizate în documentație.
Se vor asuma cerintele din Propunerea tehnică din documentație, din care să rezulte
concordanța cu specificațiile tehnice prevăzute.
Pentru fiecare cerință este obligatorie detalierea modalitatii de indeplinire in coloana
„Informații prezentate în propunerea tehnică pentru demonstrarea îndeplinirii cerinței
minime/specificatia tehnica a produsului care demonstreaza îndeplinirea cerintei” –
Formularul 12.
Daca oferta nu satisface corespunzător specificațiile tehnice minime solicitate în Caietul
de Sarcini va fi considerata NECONFORMA.
(1) Propunerea tehnică va fi întocmită respectând cerinţele din specificaţiile tehnice prin
prezentarea Formularului de propunere tehnică nr. 12 reprezentând un tabel de
conformitate prin care se vor prezenta îndeplinirea cerinţelor minime obligatorii solicitate
prin specificaţiile tehnice. Produsele ofertate trebuie să respecte fiecare cerinţă minimală
obligatorie precizata în specificaţiile tehnice.
Nu se acceptă menţiuni precum „ok, „da”, ofertanţii trebuie să descrie în mod
concret îndeplinirea cerinţelor minimale stabilite prin specificaţiile tehnice.

Modalitatea de calcul a punctajului pentru primul factor de evaluare „prețul unitar în euro
fără TVA ofertat (PU)”:
Descriere:
Factorul de evaluare este prețul unitar în euro fără TVA ofertat şi va include toate costurile
aferente livrării produsului, complet echipat astfel cum este menţionat în specificaţiile tehnice,
inclusiv transport sau alte costuri complementare.
Punctajul se acordă astfel:
a) Pentru cel mai scăzut dintre prețurile unitare în euro fără TVA se acordă punctajul
maxim alocat, respectiv 30 puncte;
b) Pentru celelalte prețuri unitare ofertate în euro fără TVA punctajul PU(n) se
calculează proporțional, astfel:
PU(n) = (Preț unitar minim ofertat în euro fără TVA/ Preț unitar n) x 70
unde Preț unitar n - prețul unitar în euro fără TVA, ofertat de respectivul ofertant pentru care se
calculează punctajul

The procurement is completed by: concluding a framework agreement with all economic
operators who have submitted admissible tenders, without resuming competition between
economic operators who are party to the framework agreement, in the order of the ranking
resulting from the application of the award criterion.

V. Duration of implementation: The framework agreement will be valid until the date
declared by the World Health Organization for lifting the state of emergency but no later than
the date of award by the O.N.A.C. of the open tender procedure.
VI. The manner of awarding the subsequent contracts - according to art. 118 para. (1) lit.
a) of Law no. 98/2016, with subsequent amendments and completions.
Subsequent contracts will be awarded without resumption of competition, and their conclusion,
implementation and monitoring is the responsibility of the Department for Emergency
Situations (DSU) within the Ministry of Internal Affairs (MIA), through the General Inspectorate
for Emergency Situations (IGSU) according to art. 5 para. (4) of GEO no. 11/2020.
The objective conditions according to which it is established which of the economic operators,
party to the framework agreement, will supply the products:
Considering the need for the emergency establishment of medical stocks, the DSU
within the Ministry of Interior through IGSU will conclude subsequent contracts, with
one, more or all economic operators party to the framework agreement;
Conditions for the selection of economic operators part of the framework agreement for
concluding subsequent contracts: depending on the position obtained in the ranking
achieved following the application of the criterion for awarding the framework
agreement, in descending order, until reaching the maximum quantitative level of the
framework agreement or depending on the quantities identified by the purchaser, but
without exceeding the maximum quantity offered by each economic operator, as
follows:
a) The subsequent contract shall be concluded with the economic operator ranked
1st signatory to the framework agreement;
b) If the tenderer ranked 1st is unable to supply in full / in part or has not tendered
the full quantity of products covered by the framework agreement, the DSU within
the MIA through IGSU will conclude a subsequent contract with / and the tenderer
ranked next for the difference in the quantity of products up to the maximum
quantities provided in the Award Documentation.
c) Similarly, the subsequent contracts will be concluded with the other Promising-
Suppliers, in the order of the position in the ranking, until the maximum level
provided in the Award Documentation is reached, as the case may be.
Thus, there may be situations in which some Promising-Suppliers, part of the framework
agreement do not need to deliver the full amount offered in the final technical-financial
proposal submitted, because by selecting Promising-Suppliers, in descending order of
rankings, the maximum quantitative level for the product to be purchased. If the maximum level
is reached in the above conditions, there may be situations in which some Promising-
Suppliers, although they are part of the framework agreement, are not required by the DSU
within the MIA through IGSU to conclude subsequent contracts.
DSU within the Ministry of Interior through IGSU, together with the notification of each
Promise-Supplier in order to conclude the subsequent contract, will communicate the quantity
that will be the object of the subsequent contract, respecting the maximum quantitative
threshold offered.
The Promising-Suppliers are obliged that within maximum 2 working days from the date of
receiving the notification to appear at the DSU headquarters within the Ministry of Interior
through IGSU for signing the subsequent contract. Otherwise, it will be considered that the
Promising-Supplier does not have the capacity to support the implementation of the
subsequent contract.

The Promising-Supplier undertakes to respond to the request of DSU within the Ministry of
Interior through IGSU to conclude the subsequent contract.
If he refuses to sign the subsequent contract or no longer has the capacity to respond to
requests from DSU within the Ministry of Interior through IGSU to conclude the subsequent
contract under the conditions assumed by the offer, the Promising-Supplier within 1 working
day from the situation informs DSU from within the MIA through IGSU on the inability to deliver
the products and will suffer the consequences provided in the framework agreement for non-
fulfillment of its obligations, as follows:
(1) The Promising-Supplier at fault owes damages to DSU within the MIA through IGSU
calculated as a result of the difference between the unit price in euro without VAT
provided in the framework agreement and the unit price in euro without VAT at which
DSU within the MIA through IGSU will actually purchase the respective quantity of

(2) The damages due according to point (1) shall be paid by the Promise-Supplier within
maximum 30 days from the date of notification received from DSU within the Ministry of
Interior through IGSU according to the supporting documentation.
(3) The framework agreement and the subsequent contract shall be automatically
terminated, without delay, without legal action and without any other formality prior to
the payment of damages, calculated according to the above.
(4) DSU within the Ministry of Interior through IGSU shall issue a finding document for
non-fulfillment of the contractual obligations according to art. 166 para. (5) of H.G. no.
395/2016, with subsequent amendments and completions.
(5) In this case, DSU within the Ministry of Interior through I.G.S.U requests the
Promising-Supplier located on the next place to conclude the subsequent contract.
Subsequent contracts will be concluded by IGSU for the period of validity of the framework
agreement with the Promising Supplier signing the framework agreement.
For non-compliance with the delivery deadline during the subsequent contract period, the
following are applicable:
(a) The damages will be considered penalties and will be paid by the Promising-Supplier in the
amount established by the penalizing legal interest, applied to the value of the undelivered
products, for each day of delay, in accordance with the provisions of art. 4 of Law no. 72/2013
on measures to combat the delay in the execution of obligations to pay sums of money
resulting from contracts concluded between professionals and between them and contracting
authorities.

The technical proposal will be firm and binding in terms of content for the entire period of

How to present the technical proposal:
You have the obligation to elaborate and present the Technical Proposal so as to comply with the

All documentation will be presented in Romanian / English (for foreign bidders). All
documents issued in a language other than Romanian will be accompanied by the
translation into Romanian / English (for foreign bidders) assumed by signing and
stamping by the legal representative of the bidder.

How to calculate the score for the second evaluation factor "delivery time for the quantity
offered (TL)"
Description:
The delivery time will be expressed in calendar days.
The delivery term offered will not exceed the maximum delivery term of 60 calendar days from
the conclusion of the subsequent contract. Exceeding the maximum delivery time leads to the
declaration of non-conformity of the offer.
The delivery term offered will run from the date of entry into force of the subsequent
contract.
The bidder is not obliged to bid the entire quantity that is the subject of the purchase
but will submit a bid only for the quantity it can deliver, but not less than 100,000 pcs,
within the delivery term offered and under the conditions established by the technical
specifications.
Note 1: If a tenderer offers different delivery times for different quantities, then the score will be
calculated by applying the weighted average as follows:

(b) the negotiations will take place individually, with each bidder separately in any of the
following ways: telephone, videoconferencing through WhatsApp applications, Skype.
(c) The bidder will indicate in the Submission Letter the way in which he can participate in the

(d) The round of negotiations with the tenderers will have as object mainly the two evaluation

1. Introducere
Caietul de sarcini face parte integrantă din documentația de atribuire și constituie ansamblul
cerințelor pe baza cărora se elaborează de către fiecare ofertant propunerea tehnică și
financiară.
Caietul de sarcini conține, specificații tehnice. Acestea definesc, după caz și fără a se limita la
cele ce urmează, caracteristici referitoare la nivelul calitativ, tehnic și de performanță ale
produselor solicitate.
În cadrul acestei proceduri, Oficiul Național pentru Achiziții Centralizate, denumit și ONAC,
îndeplinește rolul de Autoritate contractantă în numele şi pentru Departamentul pentru Situaţii
de Urgenţă (D.S.U.) din cadrul Ministerului Afacerilor Interne (M.A.I.), prin Inspectoratul
General pentru Situaţii de Urgenţă (I.G.S.U.), respectiv Autoritate contractantă în cadrul
acordului-cadru.
Scopul prezentei secțiuni a Documentației de Achiziție, respectiv orice activitate descrisă într-
un anumit capitol din Caietul de Sarcini și nespecificată explicit în alt capitol, trebuie
interpretată ca fiind menționată în toate capitolele unde se consideră de către Ofertant că
aceasta trebuia menționată pentru asigurarea îndeplinirii obiectului acordului-cadru.
Cerinţele impuse vor fi considerate ca fiind minime şi obligatorii. Oferta care nu respectă
cerințele minime obligatorii prevăzute în Caietul de sarcini va fi considerată neconformă şi va fi
respinsă.
Specificațiile tehnice care indică un anumit producător, o anumită origine sau un anumit
procedeu ori care se referă la mărci, brevete, tipuri, la o origine sau la o producție specifică

Toate produsele oferite trebuie să fie noi, nefolosite. Prin sintagma ”toate produsele/tuturor
produselor” se întelege ”toate produsele aferente acestei achiziții.
Observații:
1. Propunerea tehnică se va elabora în sensul asumării și detalierii cerințelor din caietul de
sarcini, respectiv propunerea tehnică prezentată.
2. Simpla copiere a specificațiilor tehnice NU presupune întocmirea propunerii tehnice.
Oficiul Național pentru Achiziții Centralizate (denumit în continuare O.N.A.C.) este, conform
art. 3 lit.bbb) din Legea nr. 98/2016, unitate de achiziţii centralizate care furnizează activităţi de
achiziţie centralizate şi, după caz, activităţi de achiziţie auxiliare.
În conformitate cu prevederile art. 4 alin. (2) lit. b) din O.U.G. nr. 11/2020 privind Stocurile de
urgenţă medicală, precum şi unele măsuri aferente instituirii carantinei, O.N.A.C. a fost
desemnat să achiziţioneze în regim de urgenţă echipamentele şi consumabilele prevăzute în
Anexa la ordonanţă, prin procedură de negociere fără publicarea prealabilă, până la atingerea
nivelului maxim, pentru acoperirea necesităţilor de produse stocuri de urgenţă medicală,
inclusiv a scannerelor termice.
Prezentul caiet de sarcini cuprinde ansamblul specificaţiilor tehnice minime privind furnizarea
produselor care fac obiectul procedurii de atribuire, cerințe pe baza cărora Ofertantul va
elabora și depune, în cadrul ofertei sale, propunerea tehnică și propunerea financiară.

3.5 Extensibilitate/Modernizare
Nu este cazul, fiind produse cu utilizare scurtă, de unică folosință.
3.5.1 Garanție
Produsele vor trebui să fie acoperite de un termen de valabilitate pentru cel puțin 4 ani de la
data livrării sau minim 1/2 din termenul de valabilitate acordat de producător pentru fiecare
produs în cadrul Anexei nr. 1 a prezentului caiet de sarcini.
3.5.2 Livrare, ambalare, etichetare, transport și asigurare pe durata transportului
3.5.2.1. Produsele achiziţionate vor face parte din domeniul privat al statului și vor fi
administrate de către Inspectoratul General pentru Situații de Urgență.
3.5.2.2. Termenul de livrare ofertat va curge de la data semnării contractului subsecvent de
către ambele părţi sau, după caz, de la data intrării în vigoare a contractului subsecvent.
3.5.2.3. Livrarea produselor se va realiza în localitatea Mizil, jud. Prahova, unde Inspectoratul
General pentru Situații de Urgență are spațiul de depozitare. Adresa exactă se va pune la
dispoziția ofertantului/ofertanților câștigător/câștigători, în cadrul contractului subsecvent.
3.5.2.4. Pentru nerespectarea termenului de livrare/ a cantităților agreate în perioada de
derulare a contractului subsecvent se vor percepe daune-interese conform prevederilor art.16
din acordul-cadru și art.18 din contractul subsecvent.
3.5.2.5. Produsele vor fi livrate cantitativ și calitativ în locația și în locul indicate de D.S.U. din
cadrul M.A.I. prin I.G.S.U.
3.5.2.6. Livrarea se va asigura pe cheltuiala ofertantului semnatar al acordului-cadru și al
contractului subsecvent, iar contravaloarea tututor costurilor va fi inclusă în prețul ofertat.
3.5.2.7. Ofertantul semnatar al contractului subsecvent va ambala și eticheta produsele
furnizate astfel încât să prevină orice daună sau deteriorare în timpul manipulării și
transportului acestora către destinația stabilită.
3.5.2.8. Dacă este cazul, ambalajul trebuie prevăzut astfel încât să reziste, fără limitare,
manipulării accidentale, expunerii la temperaturi extreme, sării și precipitațiilor din timpul
transportului.

4.1. Conform prevederilor art.5 alin.(1) din O.U.G. nr.11/2020, Departamentul pentru Situaţii de
Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de
Urgenţă și Ministerul Sănătății pun la dispoziția ONAC: necesitățile, valoarea estimată pentru
fiecare produs în parte, specificațiile tehnice și specialiștii care vor acorda suport tehnic pe
toată perioada de organizare și derulare a procedurilor de atribuire, precum și persoanele care
vor face parte din comisiile de evaluare.
5. Verificarea și recepția produselor
5.1. În situaţia în care la recepţie, comisia de recepţie desemnată de D.S.U. din cadrul M.A.I.
prin I.G.S.U. are suspiciuni privind calitatea produselor, aceasta îşi rezervă dreptul de a solicita

1. Introduction
The specifications are an integral part of the award documentation and constitute the set of
requirements on the basis of which each tenderer draws up the technical and financial
proposal.
The specifications contain technical specifications. They shall define, as appropriate and not
limited to the following, characteristics relating to the quality, technical and performance level
of the products requested.
Within this procedure, the National Office for Centralized Procurement, also called ONAC,
fulfills the role of Contracting Authority on behalf of and for the Department for Emergency
Situations (DSU) within the Ministry of Internal Affairs (MAI), through the General Inspectorate
for Emergency Situations (IGSU ), respectively the Contracting Authority within the framework
agreement.
The purpose of this section of the Procurement Documentation, respectively any activity
described in a certain chapter of the Specifications and not explicitly specified in another
chapter, must be interpreted as being mentioned in all chapters where it is considered by the
Bidder that it should be mentioned to ensure compliance. framework agreement.
The requirements will be considered as minimum and mandatory. The tender that does not
comply with the minimum mandatory requirements set out in the Specifications will be

only for easy identification of the characteristics of the products to be produced. be acquired
and do NOT have the effect of favoring or eliminating certain economic operators. These
specifications will always be considered as "or equivalent".
All products offered must be new, unused. The phrase “all products / all products” means “all
products related to this purchase.

The National Office for Centralized Procurement (hereinafter referred to as O.N.A.C.) is,
according to art. 3 letter bb) of Law no. 98/2016, centralized procurement unit that provides
centralized procurement activities and, as the case may be, ancillary procurement activities.
In accordance with Art. 4 para. (2) lit. b) of the O.U.G. no. 11/2020 on Emergency Medical
Stocks, as well as some measures related to the establishment of quarantine, O.N.A.C. was
appointed to purchase as a matter of urgency the equipment and consumables provided in the
Annex to the ordinance, through the negotiation procedure without prior publication, until the
maximum level is reached, to cover the needs of emergency medical stock products, including
thermal scanners.
This specification contains all the minimum technical specifications for the supply of products
subject to the award procedure, requirements on the basis of which the tenderer will draw up
and submit, within his tender, the technical proposal and the financial proposal.
This document is also annexed to the Framework Agreement concluded between the O.N.A.C.
on behalf of and for the D.S.U. within the M.A.I., through I.G.S.U. and the successful bidder (s)

On 02.07.2020, the General Inspectorate for Emergency Situations, by address no. 117115
/02.07.2020, requested O.N.A.C. to initiate procurement procedures for a quantity of 1,750,000
sets of Overalls, including hood and shoe protection in order to achieve the stock of medical
reserve, according to the quantities approved by GEO 11/2020.
2.3 Information on the benefits anticipated by the Contracting Authority
The acquisition will increase the capacity to intervene in preventing and combating infections
with 2019-nCoV, D.S.U. within the M.A.I., through the I.G.S.U. providing the necessary stocks
of protection products for personnel who will come into contact with persons suspected of
being infected.

2.6.1 O.N.A.C. has been designated as the institution empowered to organize and carry out
award procedures with a view to concluding framework agreements until the maximum level is
reached, to cover the needs of emergency medical stock products. O.N.A.C. will sign the
framework agreements on behalf of and for the D.S.U. within the M.A.I. through I.G.S.U. and
will make available to the I.G.S.U. the assigned framework agreements, according to the
provisions of art. 5 paragraph (3) of the O.U.G. no.11 / 2020.
2.6.2 D.S.U. within the M.A.I., through I.G.S.U. will monitor the framework agreements and
conclude subsequent contracts.
3. Description of the requested products
3.1 Description of the current situation
The analysis carried out by the representatives of the Ministry of Internal Affairs, the Ministry of
Health and the Ministry of National Defense reveals the lack or insufficiency of these products
necessary for the medical staff from the medical units designated to receive persons
suspected of infection with 2019-nCoV.
3.2 The general objective to which the supply of products contributes
The purchase will ensure that people in designated units receive, interact with and supervise
people suspected of being infected with 2019-nCoV, thus helping to prevent the further spread
of the infection.
3.3 The specific object to which the supply of products contributes
The specific objective associated with the supply of products covered by the framework
agreement is to cover the needs for emergency medical stock products.

3.5.2.7. The tenderer signing the subsequent contract will pack and label the products supplied
in such a way as to prevent any damage or deterioration during handling and transport to the
intended destination.
3.5.2.8. Where appropriate, the packaging must be designed to withstand, without limitation,
accidental handling, exposure to extreme temperatures, salt and precipitation during transport.
3.5.2.9. In determining the size and weight of the packaging, the tenderer signing the
subsequent contract will take into account, where appropriate, the distance from the final
destination of the products supplied.
3.5.2.10. Transport and all associated costs are the sole responsibility of the tenderer.
3.5.2.11. The products will be insured against loss or damage during transport and caused by
any external factor, at the expense of the supplier.
3.5.2.12. The bidder signing the subsequent contract is responsible for the delivery of the
products within the assumed term.
3.5.2.13. If the technical specifications of the delivered products do not correspond to the
characteristics in the Specifications, as well as those provided in the Technical Proposal, the
bidder has the obligation to replace that product with a compliant product within 5 working days
and pay the full D.S.U. within the M.A.I. through I.G.S.U. on performing the test.
3.5.3 Ancillary operations
This is not the case, as there are no specific requirements for the installation of the purchased
products.

3.6 Duties and responsibilities of the Parties
3.6.1 O.N.A.C. has the following obligations:
a) to make available to the D.S.U. within the M.A.I. through I.G.S.U. within 1 working day from
the signing, the concluded framework agreement, as well as the necessary documents in order
to conclude the subsequent contracts by him;
b) to transmit to the D.S.U. within the M.A.I., by I.G.S.U., within 1 working day from the date of
signature by the parties, the additional documents concluded to the framework agreement, if
applicable;
c) to publish in the SEAP the contact document sent by the D.S.U. within the M.A.I., through
the I.G.S.U .;
d) to update in the SEAP the ascertaining document according to the information transmitted
by the D.S.U. within the M.A.I., through I.G.S.U.
3.6.2 D.S.U. within the M.A.I. through I.G.S.U. has the following obligations:
a) to purchase and pay the price agreed in the subsequent contract, as established in the
Framework Agreement;
b) to receive the products supplied within the agreed deadlines and to verify the existence
of the documents accompanying the delivered products.

c) D.S.U. within the M.A.I. through I.G.S.U. disposes and approves the minutes of
qualitative and quantitative reception of the supplied products;
d) to receive the products supplied, within the agreed term, according to the standards and
/ or performances presented in the technical proposal, annexed to the contract and in
accordance with the requirements of the specifications;
e) not to conclude with another economic operator that is not part of the framework
agreement concluded by the O.N.A.C. or under conditions other than those laid down in
the terms of the framework agreement, for the duration of the framework agreement, a
subsequent contract having as its object the purchase of the products covered by the
framework agreement;
f) to notify the Supplier regarding the intention to conclude a subsequent contract with the
specification of the firm quantities that will be subject to it;
g) to verify the establishment of the performance guarantee;
h) to monitor the development of the framework agreement, as well as the implementation
of the subsequent contract;
i) to verify the existence of all the supporting documents necessary for making the
payments;
j) to follow the observance of the delivery terms established by the framework agreement;
k) to pay to the Supplier the price of the products purchased according to the terms and
conditions provided in the framework agreement and the subsequent contracts;
l) to verify the performance of the subcontracted parts of the subsequent contract, if
applicable;
m) to verify the manner of making payments directly to subcontractors, if applicable;
n) to issue ascertaining documents containing information regarding the fulfillment or, as
the case may be, the non-fulfillment of the contractual obligations by the Supplier;
o) to transmit in electronic format to the O.N.A.C. updated information on the finding
document issued by DSU within the Ministry of Interior through IGSU for non-fulfillment
of contractual obligations by the Provider and, if applicable, for possible damages,
within 3 days from the moment of acknowledging that the factual situation underlying
the issuance that document must be amended for objective reasons.
g) has the obligation to supply the products, packaged, marked and labeled according to
the provisions of the legislation in force.
4. Documentation to be provided D.S.U. within the M.A.I., through the I.G.S.U. in
connection with the product

4.1. According to the provisions of art.5 paragraph (1) of the O.U.G. no.11 / 2020, the
Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations and the Ministry of Health make available to
ONAC: the needs, the estimated value for each product, the technical specifications and the
specialists who will provide support technically throughout the organization and conduct of the
award procedures, as well as the persons who will be part of the evaluation commissions.
5. Verification and receipt of products
5.1. In the event that at the reception, the reception commission appointed by the D.S.U. within
the M.A.I. through I.G.S.U. has suspicions regarding the quality of the products, it reserves the
right to request an assessment of the conformity of a product (selected by the commission) by
an accredited body (accredited laboratory) in the field. The costs of the evaluations will be
borne by the Supplier. Also, the Supplier will replace, at its own expense, the complete /
equipment tested.
5.2 D.S.U. within the M.A.I. through I.G.S.U. undertakes to receive the products supplied within
the agreed deadlines. The purchaser disposes and approves the minutes of qualitative and
quantitative acceptance of the supplied products.
5.3 D.S.U. within the M.A.I. through I.G.S.U. may notify the Supplier of the need to review /
reject the minutes of qualitative and quantitative acceptance of the products requested by the
specifications, within 5 working days from the date of their receipt. The request for review /
rejection will be motivated, with written comments.
The purchaser has the right to terminate the subsequent contract when the products are
rejected twice in a row for quality reasons.
5.4 Confirmation by D.S.U. within the M.A.I. through I.G.S.U. of the fact that the products have
been delivered completely and comply with the technical specifications in the specifications
and the technical proposal is made by the D.S.U. within the M.A.I. through I.G.S.U. of a report
of quantitative and qualitative acceptance which will be communicated to the Supplier for
signature.
5.5 If within 3 days of the communication of the minutes of receipt to the Supplier it does not
transmit its approval or refusal, D.S.U. within the M.A.I. through I.G.S.U. has the right to
consider the tacit agreement on those mentioned in the minutes of receipt.
5.6 The products will be received at the delivery address mentioned in the subsequent
contract.
5.7 D.S.U. within the M.A.I., through the I.G.S.U. has the obligation to check the conformity of
the delivered products in order to ensure the conformity with the provisions of this specification
and of the technical offer.
5.8 The receipt of the supplied products is finalized by drawing up and signing the minutes of
quantitative and qualitative acceptance of the product / products signed, without objections, by
both parties based on the following documents:
a) the quality and guarantee certificate
b) notice to accompany the goods, if applicable;
c) any other documents required in the technical specifications

6.2. Invoices will be sent in original to the address specified by the D.S.U. within the M.A.I.,
through the I.G.S.U.
6.3. The bill will be issued after signing by the D.S.U. within the M.A.I., through the I.G.S.U. of
the quality acceptance report, accepted, after delivery of the products to the final destination.
6.4. The minutes of the qualitative receipt will accompany the invoice and represent the
necessary element for making the payment, together with the other supporting documents
provided above.
6.6 Payments in favor of the Supplier will be made within 30 days from the date of issuance of
the original tax invoice and all supporting documents .
7. The legal framework governing the relationship between the D.S.U. within the M.A.I.,
through the I.G.S.U. and Supplier (including in the fields of environment, social and
labor relations)
7.1 Law no. 98/2016 on public procurement, with subsequent amendments and completions;
7.2 Government Emergency Ordinance no. 46/2018 on the establishment, organization and
operation of the National Office for Centralized Procurement;

application of the provisions regarding the award of the public procurement contract /
framework agreement from Law no. 98/2016 on public procurement, as subsequently
amended and supplemented,

the establishment, organization and functioning of the National Office for Centralized

2.3 On delivery, the manufacturer must provide a declaration of conformity under his own
responsibility stating that the products are identical to those certified.
3. QUALITY ASSURANCE
The manufacturer must have implemented a quality assurance system in accordance with the
SR EN ISO 9001 standard or equivalent.
4. GENERAL ORGANIZATION, COMPONENT
4.1 The protective coverall will be provided with a hood and shoe protection. The hood and
shoe protection can be integrated or separated but they are part of the complete;
5. TECHNICAL-OPERATIONAL CHARACTERISTICS
5.1. The product will be disposable
5.2. The coverall must ensure minimum protection at type 3B in accordance with SR EN
14126;
5.3. The protective suit must provide protection for viruses: at least class 4 according to ISO
16604;
5.4. The protective suit must be impermeable to water and organic liquids (including in the
form of aerosols, at a pressure of more than 2 bar); alternatively, the coverall must provide
protection against penetration of blood and body fluids using the minimum level 3 synthetic
blood method according to ISO 16603.
5.5. The protective suit must:
5.5.1 to ensure freedom of movement
5.5.2 to present the hood with elastic and the flap for closing the chin
5.5.3 to close with a zipper covered with a plate that does not allow infectious agents to
penetrate through the zipper material
5.5.4 the foot protection should be continuous (the protective sock / boot should be made of
the same material and included in the coverall) or by additional attachment.
6. FINAL REQUIREMENTS
6.1. When presenting the product in front of the negotiating commission, samples of it will be
presented.
6.2. Instructions for use and storage in Romanian will be presented in printed format and on
electronic / optical support.
6.3. Each product must be accompanied, on receipt, by an instruction sheet drawn up in
accordance with the provisions on the establishment of the essential safety requirements for
personal protective equipment and the conditions for placing it on the market for the product.
6.4. In the event that at the reception, the reception commission of the D.S.U. within the M.A.I.,
through the I.G.S.U. has suspicions regarding the quality of the products, it reserves the right
to request an assessment of the conformity of a complete / equipment (selected by the
commission) by an accredited body (accredited laboratory) in the field.

În prezentul acord-cadru următorii termeni vor fi interpretați astfel:
a) Acord-cadru – reprezintă prezenta înțelegere scrisă între Promitentul-Achizitor în
numele şi pentru Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului
Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă și Promitentul -
Furnizor prin care se stabilesc elementele și condițiile esențiale care vor guverna
contractele subsecvente ce urmează a fi încheiate de către Departamentul pentru Situaţii
de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru
Situaţii de Urgenţă în baza prevederilor acordului-cadru, precum şi toate anexele sale.
b) Caiet de sarcini – documentul cuprinzând în detaliu specificațiile tehnice ale produselor
care fac obiectul acordului-cadru, astfel încât să corespundă necesităţii Departamentului
pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul
General pentru Situaţii de Urgenţă.
c) Caz fortuit – eveniment care nu poate fi prevăzut și nici împiedicat de către cel care ar fi
fost chemat să răspundă dacă evenimentul nu s-ar fi produs.
d) Conflict de interese – orice situaţie influenţând capacitatea Promitentului-Furnizor de a
exprima o opinie obiectivă și imparțială sau care îl împiedică pe acesta, în orice moment,
să acorde prioritate intereselor Departamentului pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă/
O.N.A.C./ Ministerul Sănătății.
e) Contract subsecvent de furnizare – actul juridic încheiat între Departamentul pentru
Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General
pentru Situaţii de Urgenţă în calitate de „Achizitor” și furnizorul de produse, în calitate de
„Furnizor”;
f) Data semnării și data intrării în vigoare – înseamnă data semnării prezentului acord-
cadru de către ultima dintre părțile semnatare, respectiv data de la care prezentul acord-
cadru va începe să producă efecte juridice între părți.
g) Documentația de atribuire – reprezintă totalitatea documentelor achiziției care cuprind
cerințele, criteriile, regulile și alte informații necesare pentru a asigura operatorilor
economici o informare completă, corectă și explicită cu privire la cerințe sau elemente
ale achiziției, obiectul contractului și modul de desfășurare a procedurii de atribuire,

3. INTERPRETARE
3.1 În prezentul acord-cadru, cu excepţia unei prevederi contrare exprese, cuvintele la forma
singular vor include forma de plural şi viceversa, acolo unde acest lucru este permis de
context.
3.2 Clauzele şi expresiile vor fi interpretate prin raportare la întregul acord-cadru, respectiv
contractele subsecvente.

5.DOCUMENTELE ACORDULUI-CADRU
5.1 Documentele acordului-cadru sunt:
a) propunerea financiară a fiecare Promitent-Furnizor şi clasamentul rezultat în urma aplicării
criteriului de atribuire --- Anexa nr. ........
b) caietul de sarcini, inclusiv, dacă este cazul, clarificările şi/sau măsurile de remediere aduse
până la depunerea ofertelor ce privesc aspectele tehnice şi financiare – Anexa nr....;

7. CANTITATEA ESTIMATĂ
7.1 Cantitatea estimată maximă care ar putea fi solicitată de către Departamentul pentru
Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru
Situaţii de Urgenţă pe durata întregului acord-cadru este de 1.750.000 seturi[se va completa
cantitatea maximă care poate fi achiziţionată pe produsul care face obiectul acordului-cadru].
7.2. Cantitatea maximă ofertată de fiecare Promitent-Furnizor este:
7.3 Cantităţile maxime prevăzute la art. 7.1 sunt estimative, urmând a fi achiziționate în funcţie
de necesităţile Ministerului Afacerilor Interne - Departamentul pentru Situații de Urgenţă, prin
Inspectoratul General pentru Situaţii de Urgenţă şi de fondurile bugetare alocate cu această
destinaţie și suplimentate în funcție de modificările legislative incidente care pot surveni.
8. DURATA ACORDULUI-CADRU
8.1 Acordul-cadru va fi valabil până la data declarată de Organizaţia Mondială a Sănătăţii
pentru ridicarea stării de urgenţă dar nu mai târziu de data atribuirii de către O.N.A.C. a
procedurii de licitație deschisă.
9. GARANŢIA DE BUNĂ EXECUŢIE
9.1 Garanţia de bună execuţie este în procent de 5 % din valoarea fără TVA a fiecărui contract
subsecvent. Cuantumul garanţiei de bună execuţie va fi stabilit la încheierea contractelor
subsecvente de către Departamentul pentru Situaţii de Urgenţă, din cadrul Ministerului
Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă.
9.2 Garanția de bună execuție a contractului subsecvent se constituie de către Promitentul-
Furnizor în termen de 5 zile lucrătoare de la semnarea contractului subsecvent de către
ambele părți în conformitate cu prevederile art. 40 alin. (1) din H.G. nr. 395/2016 pentru
aprobarea Normelor metodologice de aplicare a prevederilor referitoare la atribuirea
contractului de achiziție publică/sectorială/acordului-cadru din Legea nr. 98/2016 privind
achizițiile publice, cu modificările și completările ulterioare.
9.3 Perioada de valabilitate a garanției de bună execuție va fi egală cu durata contractului
subsecvent, la care se adaugă 14 zile.
9.4 Restituirea garanției de bună execuție se face în termen 14 zile de la data îndeplinirii de
către Promitentul-Furnizor a obligațiilor asumate prin contractul subsecvent, dacă
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin

Inspectoratul General pentru Situaţii de Urgenţă nu a ridicat, până la acea dată, pretenții
asupra acesteia, conform art. 42 alin. (1) din H.G. nr. 395/2016, cu modificările şi completările
ulterioare.
10. ATRIBUIREA CONTRACTELOR SUBSECVENTE
10.1 Contractele subsecvente vor fi atribuite fără reluarea competiţiei şi se vor încheia de către
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă, cu operatorii economici semnatari ai
acordului cadru.
10.2 Condiţiile obiective în funcţie de care se stabileşte care dintre operatorii economici, parte
la acordul-cadru va furniza produsele:
(1) Având în vedere necesitatea constituirii în regim de urgenţă a stocurilor medicale,
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă va încheia contracte subsecvente, cu
unul, mai mulţi sau toţi operatorii economici parte din acordul-cadru;
(2) Condiţii de selecţie a operatorilor economici parte din acordul-cadru pentru încheirea
contractelor subsecvente: în funcţie de poziţia obţinută în cadrul clasamentului realizat
în urma aplicării criterului de atribuire a acordului-cadru, respectiv în ordine
descrescătoare, până la atingerea nivelului cantitativ maxim al acordului-cadru sau în
funcţie de cantităţile identificate de achizitor, dar fără depăşirea cantităţii maxime
ofertate de fiecare operator economic, după cum urmează:
(a) Contractul subsecvent se va încheia cu operatorul economic clasat pe locul 1
semnatar al acordului-cadru;
(b) În cazul în care ofertantul clasat pe locul 1 se află în imposibilitatea furnizării
integrale / parțiale sau nu a ofertat întreaga cantitate a produselor Departamentul
pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul
General pentru Situaţii de Urgenţă va încheia un contract subsecvent cu/ și cu
ofertantul clasat pe locul următor pentru diferența cantității de produse până la
atingerea cantităților maxime prevăzute în Anexa la OUG nr. 11/2020, cantităţi care
au fost dublate prin Hotărârea nr. 12/18.03.2020 a Comitetului Naţional pentru
Situaţii Speciale de Urgenţă coroborată cu Caietul de Sarcini.
(c) În mod similar se va proceda la încheierea contractelor subsecvente cu ceilalţi
Promitenţi-Furnizori, în ordinea poziţiei din clasament, până la atingerea nivelului
maxim prevăzut la art. 7.1 sau art. 7.3, după caz.
(3) Astfel, pot exista situaţii în care unii Promitenţi-Furnizori, parte ai acordului-cadru să nu
fie nevoie să livreze întreaga cantitate ofertată în cadrul propunerii tehnico-financiare
finale depuse, deoarece prin selectarea Promitenţilor-Furnizori, în ordinea
descrescătoare din clasament, se atinge nivelul maxim cantitativ pentru produsul care
se achiziţionează. Dacă se atinge nivelul maxim în condiţiile de mai sus, pot exista şi
situaţii în care unii Promitenţi-Furnizori, deşi sunt parte din acordul-cadru, să nu li se
solicite de către Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului
Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă încheierea de
contracte subsecvente.

10.3 Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă are obligaţia să îl notifice pe Promitentul-
Furnizor/Promitenţii-Furnizori pentru încheierea contractului subsecvent indicând cantitatea
care va face obiectul contractului subsecvent, cu respectarea pragului maxim cantitativ ofertat
şi totodată va avea în vedere, ca prin contractele subsecvente încheiate, să nu se depăşească
nivelul maxim prevăzut pentru produsul respectiv de la art. 7.1 sau art. 7.3, după caz.
10.4. Promitentul-Furnizor este obligat ca în termen de maximum 2 zile lucrătoare de la data
primirii notificării să se prezinte la sediul Inspectoratul General pentru Situaţii de Urgenţă
pentru semnarea contractului subsecvent. În caz contrar, se va considera că Promitentul-
Furnizor nu are capacitatea de a susţine implementarea contractului subsecvent.
10.5. Clauzele prevăzute în prezentul acord - cadru se vor aplica în mod corespunzător şi
contractelor subsecvente ce urmează a se încheia, cu excepţia acelor clauze care se referă
sau sunt aplicabile exclusiv prezentului acord – cadru.
10.6. Elementele/condiţiile care rămân neschimbate pe întreaga durată a acordului-cadru sunt
obligaţiile pe care operatorul economic şi le-a asumat prin propunerea tehnică, clauzele
contractuale şi preţul ofertat.
11. OBLIGAŢIILE PROMITENTULUI-ACHIZITOR ŞI ALE DEPARTAMENTULUI PENTRU
SITUAŢII DE URGENŢĂ DIN CADRUL MINISTERULUI AFACERILOR INTERNE PRIN
INSPECTORATUL GENERAL PENTRU SITUAŢII DE URGENŢĂ
11.1 Promitentul – Achizitor în numele şi pentru Departamentul pentru Situaţii de Urgenţă din
cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă
pune la dispoziţia Inspectoratului General pentru Situaţii de Urgenţă în termen de o zi
lucrătoare de la semnare, o copie a acordului-cadru încheiat cu Promitenţii-Furnizori, precum
şi orice alte documente necesare în vederea încheierii contractelor subsecvente.
11.2 Încheierea contractelor subsecvente se realizează de către Departamentul pentru Situaţii
de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii
de Urgenţă conform art. 5 alin. (4) din OUG nr. 11/2020, acesta având următoarele obligaţii:
(1) să notifice Promitentul-Furnizorul cu privire la intenția de a încheia un contract
subsecvent cu precizarea cantităților ferme care vor face obiectul acestuia;
(2) să achiziţioneze produsele care fac obiectului acordului-cadru, conform contractelor
subsecvente încheiate;
(3) să recepţioneze din punct de vedere cantitativ şi calitativ produsele furnizate
conform contractelor subsecvente încheiate;
(4) să plătească Promitentului – Furnizor preţul produselor achiziționate și recepționate
conform termenelor și condițiilor prevăzute în acordul-cadru și contractele subsecvente.
12. OBLIGAŢIILE PROMITENTULUI-FURNIZOR
12.1 Promitentul-Furnizor se obligă să răspundă la notificarea transmisă de Departamentul
pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General
pentru Situaţii de Urgenţă, precizată la art. 11.2 alin. (1).
12.2 Promitentul-Furnizor se obligă în baza contractelor subsecvente încheiate cu Promitentul-
Achizitor să furnizeze produsul/ produsele care face/ fac obiectul prezentului acord-cadru în

de Urgenţă calculate ca urmare a diferenţei rezultate dintre preţul ofertat de acesta în baza
acordului-cadru şi preţul la care Departamentul pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă va
achiziţiona efectiv întreaga cantitate a produselor ce fac obiectul contractului subsecvent.
(b) Daunele-interese datorate conform alin. (1) vor fi plătite de către Promitentul-Furnizor în
termen de maximum 30 de zile de la data înștiințării primite din partea Departamentului
pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General
pentru Situaţii de Urgenţă conform documentației justificative.
(c) Acordul-cadru şi contractul subsecvent se desfiinţează de plin drept, fără punere în
întârziere, fără acţiune în justiţie şi fără nicio altă formalitate prealabilă cu plata de daune-
interese, calculate conform celor de mai sus.
(d) Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă va emite document constatator pentru
neîndeplinirea obligaţiilor contractuale conform art. 166 alin. (5) din H.G. nr. 395/2016, cu
modificările şi completările ulterioare.
2) Pentru nerespectarea termenului de livrare în perioada de derulare a contractului
subsecvent sunt aplicabile următoarele:
(b) Daunele-interese vor fi considerate penalități şi vor fi plătite de către Promitentul-Furnizor
în cuantumul stabilit de dobânda legală penalizatoare, aplicată la valoarea produselor
nelivrate, pentru fiecare zi de întârziere, în conformitate cu prevederile art. 4 din Legea nr.
72/2013 privind măsurile pentru combaterea întârzierii în executarea obligaţiilor de plată a
unor sume de bani rezultând din contracte încheiate între profesionişti şi între aceştia şi
autorităţi contractante.
(c) Acordul-cadru şi contractul subsecvent se desfiinţează de plin drept, fără punere în
întârziere, fără acţiune în justiţie şi fără nicio altă formalitate prealabilă cu plata de daune-
interese, calculate conform celor de mai sus;
(d) Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă va emite document constatator pentru
neîndeplinirea obligaţiilor contractuale conform art. 166 alin. (5) din H.G. nr. 395/2016, cu
modificările şi completările ulterioare.
16.3 În cazul prevăzut la art. 16.2, alin.(1) Departamentul pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă, în termen
de 5 zile lucrătoare de la constatarea situaţiei informează Promitentul-Achizitor şi solicită
Promitentului-Furnizor situat pe locul următor să încheie contractul subsecvent.
16.4 În cazul în care Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor
Interne, prin Inspectoratul General pentru Situaţii de Urgenţă, din vina sa exclusivă, nu îşi
onorează obligaţiile de plată în termenul convenit, atunci Promitentul-Furnizor are dreptul de a
solicita plata dobânzii legale penalizatoare, aplicată la valoarea plăţii neefectuate, în
conformitate cu prevederile art. 4 din Legea nr. 72/2013 privind măsurile pentru combaterea
întârzierii în executarea obligaţiilor de plată a unor sume de bani rezultând din contracte
încheiate între profesionişti şi între aceştia şi autorităţi contractante.

16.5 Nerespectarea obligaţiilor asumate prin contractul subsecvent de către una dintre părţile
semnatare, în mod culpabil, dă dreptul părţii lezate de a cere rezilierea acestuia unilateral şi de
a pretinde plata de daune-interese.
16.6 Încălcarea prevederilor art. 12, art. 14.7, art. 16.1-16.5, art. 22, art. 23, art. 27, art. 31 din
prezentul acord-cadru dă dreptul Departamentului pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă la
aplicarea pactului comisoriu, reglementat de art. 1553 alin. (2), teza finală din Legea nr.
287/2009 privind Codul Civil, republicată, cu modificările şi completările ulterioare, acordul-
cadru desfiinţându-se de plin drept, fără punere în întârziere, fără acţiune în justiţie şi fără nicio
altă formalitate prealabilă cu plata de daune-interese.
17. OBIECTUL, PREŢUL ȘI VALOAREA CONTRACTELOR SUBSECVENTE
17.1 Promitentul-Furnizor se obligă să încheie contractele subsecvente cu Departamentul
pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General
pentru Situaţii de Urgenţă pentru produsele care fac obiectul acordului-cadru.
17.2 Preţurile unitare ale produselor care fac obiectul contractelor subsecvente sunt cele
rezultate în urma finalizarii procedurii de achiziţie prin atribuirea acordului-cadru astfel cum
sunt stipulate la art. 6.1.

19.1 Promitentul-Furnizor are obligaţia de a livra produsele care fac obiectul contractului
subsecvent la adresele indicate în caietul de sarcini în termenul ofertat de la data intrării în
vigoare a contractului subsecvent.
19.2 Promitentul-furnizor are obligaţia să respecte condițiile de livrare și transport prevăzute în
caietul de sarcini.
19.3 Livrarea produselor se consideră încheiată în momentul în care sunt îndeplinite
prevederile clauzelor de recepţie a produselor.
20. RECEPŢIA CANTITATIVĂ ŞI CALITATIVĂ A PRODUSELOR
20.1 Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă sau reprezentantul său are obligația de a
efectua recepția cantitativă şi calitativă a produselor achiziționate și are dreptul de a inspecta
produsele pentru a verifica conformitatea lor cu documentele prevăzute la pct. 5.1.
20.2 Recepţia produselor se va face la adresa de livrare pusă la dispozitie de catre
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă, respectiv localitatea Mizil, jud. Prahova.
20.3 Confirmarea de către Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului
Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă a faptului că produsele
au fost livrate total și corespund cu specificațiile tehnice din caietul de sarcini și propunerea
tehnică se face prin întocmirea de către Departamentul pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă a unui
proces-verbal de recepție cantitativă și calitativă care va fi comunicat Promitentului-Furnizor
pentru semnare, dacă acesta nu este prezent la livrarea produselor.
20.4 Dacă în termen de 3 zile de la comunicarea procesului verbal de recepție către
Promitentul-Furnizor acesta nu transmite aprobarea sau infirmarea lui, Departamentul pentru
Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru
Situaţii de Urgenţă are dreptul de a considera acordul tacit asupra celor menționate în procesul
verbal de recepție.
20.5 Recepţia cantitativă şi calitativă a produselor se efectuează la livrarea acestora şi constă
în efectuarea următoarelor operaţiuni:
a) recepţia cantitativă reprezintă inspectarea şi verificarea prin numărarea produselor
furnizate;
b) recepţia calitativă în vederea verificării conformităţii produselor furnizate cu specificaţiile din
propunerea tehnică va fi efectuată de către Departamentul pentru Situaţii de Urgenţă din
cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă pe
baza documentelor prezentate de Promitentul-Furnizor astfel cum sunt solicitate în caietul de
sarcini.
20.6 Prevederile clauzelor 20.1 - 20.5 nu îl vor absolvi pe Promitentul-Furnizor de obligaţia
asumării garanţiilor sau altor obligaţii prevăzute în contract.
21. GARANŢIA ACORDATĂ PRODUSELOR
21.1 Promitentul - Furnizor are obligaţia de a garanta că produsele furnizate sunt noi,
nefolosite.

21.2 Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă are dreptul de a notifica imediat Promitentului
- Furnizor, în scris, orice plângere sau reclamaţie ce apare în legătură cu această garanţie.
21.3 La primirea unei astfel de notificări, Promitentul - Furnizor are obligaţia de a remedia
situaţia în cel mai scurt timp posibil, dar nu mai mult de 2 zile calendaristice.
21.4 Dacă Promitentul - Furnizor, după ce a fost înştiinţat, nu reuşeşte să remedieze situaţia în
perioada convenită, Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor
Interne, prin Inspectoratul General pentru Situaţii de Urgenţă are dreptul de a se aproviziona
de la alt furnizor, pe riscul şi pe cheltuiala Promitentului - Furnizor şi fără a aduce niciun
prejudiciu oricăror altor drepturi pe care Departamentul pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă le poate
avea faţă de Promitentul - Furnizor.
21.5 Promitentul - furnizor este obligat la repararea integrală a oricărui prejudiciu cauzat
Departamentului pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă de calitatea necorespunzătoare a produselor.
22. CESIUNEA
22.1 În prezentul acord-cadru este permisă cesiunea drepturilor și obligațiilor născute din acest
acord-cadru, numai cu acordul prealabil scris al Promitentului-Achizitor în numele şi pentru
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă și în condițiile Legii nr. 98/2016, cu
modificările şi completările ulterioare.
22.2 Promitentul -Furnizor are obligaţia de a nu transfera total sau parțial obligațiile sale
asumate prin contract, fără să obțină, în prealabil, acordul scris al Promitentului-Achizitor în
numele şi pentru Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor
Interne, prin Inspectoratul General pentru Situaţii de Urgenţă.
22.3 Încălcarea prevederilor art. 22.1 și art. 22.2 dă dreptul Promitentului-Achizitor în numele şi
pentru Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă la aplicarea pactului comisoriu reglementat de
art.1553 alin. (2) teza finală din Legea nr. 287/2009 privind Codul civil, republicată cu
modificările ulterioare, acordul-cadru desfiinţându-se de plin drept, fără punere în întârziere,
fără acţiune în justiţie şi fără nicio altă formalitate prealabilă.
22.4 Cesiunea nu va exonera Promitentul-Furnizor de nicio responsabilitate privind garanția
sau orice alte obligații asumate prin acordul-cadru.
22.5 Promitentul-Furnizor este obligat să notifice Promitentul-Achizitor în numele şi pentru
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă cu privire la intenția de a cesiona drepturile
sau obligațiile născute din acest acord-cadru. Cesiunea va produce efecte doar dacă toate
părțile convin asupra acesteia.
22.6 În cazul în care drepturile și obligațiile Promitentului-Furnizor stabilite prin acest acord-
cadru sunt preluate de către un alt operator economic, ca urmare a unei succesiuni universale
sau cu titlu universal în cadrul unui proces de reorganizare, Promitentul-Furnizor poate să
cesioneze oricare dintre drepturile și obligațiile ce decurg din acordul-cadru, inclusiv drepturile
la plată, doar cu acceptul prealabil scris din partea Promitentului-Achizitor în numele şi pentru
Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă. În astfel de cazuri, Promitentul-Furnizor

Departamentului pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă această situație în termenul prevăzut la art.
23.2, aceasta dă dreptul Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului
Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă de a rezilia contractul
subsecvent cu notificare prealabilă și fără acordul Promitentului-Furnizor.
23.4 Promitentul-Furnizor are obligaţia de a respecta prevederile legale în domeniul achizițiilor
publice cu privire la evitarea conflictului de interese. Promitentul-Furnizor nu are dreptul de a
angaja sau de a încheia orice alte înțelegeri privind furnizarea de produse, direct ori indirect, în
scopul îndeplinirii acordului-cadru, cu persoane fizice sau juridice care au fost implicate în
procesul de verificare/evaluare a ofertelor depuse în cadrul procedurii de atribuire ori
angajați/foști angajați ai Promitentului-Achizitor, pe parcursul unei perioade de cel puțin 12
(douăsprezece) luni de la încheierea acordului-cadru, sub sancțiunea rezoluțiunii/rezilierii
contractului respectiv.
24.INSOLVENȚĂ ȘI FALIMENT
24.1 În cazul deschiderii unei proceduri generale de insolvență împotriva Promitentului-
Furnizor, acesta are obligația de a notifica Promitentul-Achizitor în termen de 3 (trei) zile de la
deschiderea procedurii.
24.2 Promitentul-Furnizor are obligația de a prezenta Promitentul-Achizitor în termen de 10
(zece) de zile de la notificare, o analiză detaliată referitoare la incidența deschiderii procedurii
generale de insolvență asupra contractului subsecvent și asupra livrărilor și de a propune
măsuri, acționând ca un furnizor diligent.
24.3 În cazul în care Promitentul-Furnizor intră în stare de faliment, în proces de lichidare sau
se află într-o situație care produce efecte similare, Promitentul-Furnizor este obligat să
acționeze în același fel cum este stipulat la clauza 24.1 din prezentul acord-cadru.
24.4 Nicio astfel de măsură propusă conform celor stipulate la clauza 24.2 din prezentul acord-
cadru, nu poate fi aplicată, dacă nu este acceptată, în scris, de Promitentul-Achizitor.
25.SUSPENDAREA ACORDULUI-CADRU
25.1 În cazul în care executarea acordului-cadru este viciată de erori substanţiale sau nereguli
sau de fraudă, Promitentul-Achizitor în numele şi pentru Departamentul pentru Situaţii de
Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de
Urgenţă va suspenda executarea acordului-cadru.
25.2 În cazul suspendării/ sistării temporare a acordului-cadru, durata acestuia se va prelungi
automat cu perioada suspendării/ sistării.
26. ÎNCETAREA ACORDULUI- CADRU
26.1 Prezentul acord-cadru încetează de drept prin ajungerea la termen sau la momentul la
care toate obligațiile stabilite în sarcina părților au fost executate.
26.2 Acordul-cadru poate înceta şi în următoarele cazuri:
(a) prin acordul de voinţă al părţilor semnatare;

(b) prin rezilierea de către o parte ca urmare a neîndeplinirii sau îndeplinirii în mod
necorespunzător a obligaţiilor asumate prin prezentul acord – cadru de către cealaltă parte
în conformitate cu dispoziţiile art. 16.5 şi art. 16.6.;
(c) forţă majoră/caz fortuit, în condițiile art. 28;
(d) la finalizarea prin atribuire a procedurii de licitatie deschisă conform prevederilor O.U.G. nr.
11/2020,
(e) la data stipulata la art. 8.
27. DENUNŢAREA UNILATERALĂ
27.1 Promitentul-Achizitor în numele şi pentru Departamentul pentru Situaţii de Urgenţă din
cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă îşi
rezervă dreptul de a denunţa acordul-cadru, printr-o notificare scrisă adresată Promitentului-
Furnizor, fără nicio compensaţie, dacă împotriva acestuia din urmă este pronunțată o decizie a
Curții Europene de Justiție prin care se constată încălcarea gravă a obligațiilor ce rezultă din
legislația europeană.
27.2 Promitentul-Achizitor în numele şi pentru Departamentul pentru Situaţii de Urgenţă din
cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă îşi
rezervă dreptul de a denunţa acordul-cadru, printr-o notificare scrisă adresată Promitentului-
Furnizor, fără nicio compensaţie, dacă acesta se regăsește într-una din situațiile de excludere
prevăzute de Legea nr. 98/2016 privind achizițiile publice, cu modificările și completările
ulterioare.

(2) Orice document scris trebuie înregistrat atât în momentul transmiterii, cât şi în
momentul primirii.
(3) Comunicările între părţi se pot face şi prin fax sau e-mail, cu condiţia confirmării în
scris a primirii comunicării.
29.2. Prezentul acord-cadru poate fi modificat prin acordul scris al Promitent-Achizitor în
numele şi pentru Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor
Interne, prin Inspectoratul General pentru Situaţii de Urgenţă şi al Promitent-Furnizorului, în
condiţiile legislaţiei în vigoare.
30. PRELUCRAREA DATELOR CU CARACTER PERSONAL
30.1 Colectarea, prelucrarea și stocarea/arhivarea datelor cu caracter personal se vor realiza
în conformitate cu prevederile Regulamentului nr. 679/2016, precum și cu respectarea
legislației naționale în materie, realizării scopului acordului-cadru, precum și în scop statistic.
30.2 Datele cu caracter personal, așa cum sunt clasificate în Regulamentul (UE) 679 / 2016,
vor fi prelucrate în acord cu legislația menționată pe toată perioada contractuală, inclusiv pe
perioada de verificare și urmărire a obiectivelor contractuale, în scopul și temeiul legal pentru
care s-a perfectat prezentul acord-cadru.
30.3 Părțile semnatare vor lua măsuri tehnice și organizatorice adecvate, potrivit propriilor
atribuții și competențe instituționale, în vederea asigurării unui nivel corespunzător de
securitate a datelor cu caracter personal, fie că este vorba despre prelucrare, reprelucrare sau
transfer către terți ori publicare pe surse publice interne sau externe.
30.4 Părțile contractuale vor asigura potrivit propriilor atribuții și competențe instituționale toate
condițiile tehnice și organizatorice pentru păstrarea confidențialității, integrității și disponibilității
datelor cu caracter personal.
30.5 Părțile contractuale se vor informa și notifica reciproc cu privire la orice încălcare a
securității prelucrării datelor cu caracter personal din prezentul acord-cadru, în vederea
adoptării de urgență a măsurilor tehnice și organizatorice ce se impun și în vederea notificării
Autorității Naționale de Supraveghere a Prelucării Datelor cu Caracter Personal (ANSPCDCP),
conform obligațiilor ce decurd din prevederile Regulamentului (UE) 679 / 2016.
30.6 Părțile contractuale, prin reprezentații desemnați să prelucreze datele cu caracter
personal din actualul acord-cadru și acte adiționale, în îndeplinirea scopului principal sau
secundar al prezentului acord-cadru sau al actelor adiționale, vor întocmi evidențele
activităților de prelucrare conform art. 30 din Regulementul (UE) 679 / 2016, precum și a
consimțământului persoanelor vizate făcând dovada acestora în scris și format electronic ori
de câte ori vor fi solicitate de către ANSPDCP.
31. CLAUZA DE CONFIDENȚIALITATE
31.1 Promitentul - Furnizor se obligă prin semnarea prezentului acord-cadru să efectueze
toate diligențele și să se asigure de păstrarea confidențialității privind adresa de livrare sau alte
date cu caracter confidențial aduse la cunoștință de către Departamentul pentru Situaţii de
Urgenţă din cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de
Urgenţă la semnarea contractului subsecvent.
31.2 Promitentul – Furnizor se obligă să păstreze confidențialitatea atât pe toată perioada
derulării contractului subsecvent, cât și după încetarea acestuia.

31.3 Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă este obligat să comunice Promitentului
-Furnizor orice aspect referitor la caracterul confidențial privind adresele de livrare sau alte
aspecte aflate sub incidența caracterului confidențial și să se asigure de respectarea acestor
prevederi de către Promitentul - Furnizor.
32. SOLUŢIONAREA LITIGIILOR
32.1. Părţile contractante vor depune toate eforturile pentru a rezolva pe cale amiabilă, prin
tratative directe, orice situație litigioasă apărută în legătură cu îndeplinirea acordului-cadru.
32.2. În termen de maximum 5 zile de la apariţia unui potențial litigiu, părţile se vor notifica
reciproc în scris asupra conduitei adoptate, precum şi cu privire la soluţiile propuse pentru
rezolvarea acestuia. Fiecare parte are obligaţia de a răspunde în termen de 5 zile de la
cererea transmisă de cealaltă parte referitor la soluţionarea pe cale amiabilă a disputei. În
cazul în care vor considera necesar, părţile se pot întâlni în scopul soluţionării aspectelor
divergente.
32.3. Dacă după 5 zile de la începerea acestor tratative directe, părţile nu reuşesc să rezolve
în mod amiabil o divergenţă referitoare la acordul-cadru, fiecare parte poate solicita ca disputa
să se soluţioneze de către instanţele judecătoreşti competente, potrivit dispozițiilor legale în
vigoare.
33. LEGEA APLICABILĂ
33.1. Legea care guvernează acest acord-cadru şi în conformitate cu care acesta este
interpretat este legea română.
34. DISPOZIŢII FINALE
34.1. Prezentul acord-cadru a fost încheiat în ……… exemplare originale, câte un exemplar
pentru fiecare parte semnatară.

2. DEFINITIONS
In this Framework Agreement the following terms shall be interpreted as follows:
a) Framework Agreement - represents the present written agreement between the Promising
Purchaser on behalf of and for the Department for Emergency Situations within the Ministry of
Internal Affairs, through the General Inspectorate for Emergency Situations and the Promising
- Supplier establishing the essential elements and conditions that will govern the subsequent
contracts to be concluded by the Department for Emergency Situations within the Ministry of
Internal Affairs, through the General Inspectorate for Emergency Situations based on the
provisions of the framework agreement, as well as all its annexes.
b) Specifications - the document containing in detail the technical specifications of the products
that are the subject of the framework agreement, so as to correspond to the need of the
Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations.

c) Fortuitous event - an event that cannot be foreseen or prevented by the person who would
have been called to answer if the event had not occurred.
d) Conflict of interest - any situation influencing the Promisor-Supplier's ability to express an
objective and impartial opinion or which prevents him, at any time, from giving priority to the
interests of the Department for Emergency Situations within the Ministry of Internal Affairs,
through the General Inspectorate for Emergency Situations / ONAC / Ministry of Health.
e) Subsequent supply contract - the legal act concluded between the Department for
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations as “Purchaser” and the supplier of products, as “Supplier”;
f) Date of signature and date of entry into force - means the date of signature of this
Framework Agreement by the last of the signatory Parties, respectively the date from which
this Framework Agreement will take effect between the Parties.
g) Award documentation - represents the totality of the procurement documents containing the
requirements, criteria, rules and other information necessary to provide economic operators
with complete, correct and explicit information on the requirements or elements of the
procurement, the object of the contract and the procedure award, including technical
specifications, proposed contractual conditions, formats for submission of documents by
tenderers, information on applicable general obligations.
h) Force majeure - is any external event, unpredictable, absolutely invincible and unavoidable
independent of the control of the parties, which is not due to their fault, which could not be
foreseen at the time of concluding the framework agreement and which makes it impossible for
one of the parties and includes calamities, strikes, or other disruptions of industrial activity,
actions of a public enemy, wars, whether declared or not, blockades, insurrections, riots,
epidemics, landslides, earthquakes, storms, lightning, floods, spills, civil turmoil , explosions
and any other similar unpredictable events beyond the control of the parties and which could
not be avoided by taking appropriate due diligence measures.
i) In writing - represents any communication in written form, regardless of the method of
transmission (fax, mail / courier, e-mail), accompanied by the acknowledgment of receipt.
j) Place of delivery - is the final destination, respectively the address specified in the award
documentation where the Promising-Supplier must deliver the product / products.
k) Offer - the legal act by which the Promisor-Supplier has expressed its will to engage, from a
legal point of view, in this framework agreement and includes the financial proposal, the
technical proposal as well as other documents that have been mentioned in the
documentation. award.
l) Penalty - the amount of money payable by one of the contracting parties to the other party in
case of non-fulfillment of the obligations of the subsequent contract, in case of non-fulfillment
of a part of the subsequent contract or of late fulfillment of the obligations, as established by
the documents of the subsequent contract.
m) Damage - the damage caused to the Department for Emergency Situations within the
Ministry of Internal Affairs, through the General Inspectorate for Emergency Situations by the
Promise-Supplier due to non-execution / improper execution or delay of the obligations
established in its task by the subsequent contract.

n) Promising - Purchaser - signatory party to the framework agreement - O.N.A.C. in the name
and for the Department for Emergency Situations within the Ministry of Internal Affairs, through
the General Inspectorate for Emergency Situations, according to the provisions of art. 4 para.
(2) of GEO no. 11/2020.
o) Promising - Supplier - signatory of the framework agreement, which undertakes to supply
the products subject to subsequent contracts concluded with the Department for Emergency
Situations within the Ministry of Internal Affairs, through the General Inspectorate for
Emergency Situations under the terms and conditions of the agreement- framework, as well as
its annexes, in accordance with the specifications and the tender.
p) Financial proposal - tender document containing information on prices, tariffs and other
financial and commercial conditions necessary to meet the conditions specified in the award
documentation.
q) Technical proposal - tender document prepared on the basis of the technical specifications
in the specifications established by the Department for Emergency Situations within the
Ministry of Internal Affairs, through the General Inspectorate for Emergency Situations
r) Standard - a technical specification, adopted by a recognized standardization body, for
repeated or continuous application, and may be one of the following:
o International standard - a standard adopted by an international standardization body,
o European standard - a standard adopted by a European standardization organization,
o Harmonized standard - a European standard adopted on the basis of a request from
the Commission for the application of Union harmonization legislation,
o National standard - standard adopted by a national standardization body;
o Professional standards - professional requirements related to the quality of the result
of the supply of the product / products that would be observed by any diligent Promising
Supplier who has the knowledge and experience of an expert supplying products and
which the Promising Supplier is obliged to comply in providing any and all products
included in this Framework Agreement, if and as appropriate;
s) Quantitative and qualitative reception - activity that ends with the elaboration of the report of
quantitative and qualitative reception concluded at the delivery address of the products, which
confirms / refutes their supply according to the specifications and the technical offer.
t) Delivery term - represents the term in which the Promising-Supplier must deliver the
products, according to the terms assumed in the subsequent contracts and those specified in
the submitted bid in relation to the requirements of the award documentation.
u) The total estimated value of the framework agreement - the value calculated on the basis of
the unit prices in euro and of the maximum estimated quantities, according to the financial
proposal within the submitted offer.
v) Final delivery destination - the location specified by the Ministry of Internal Affairs -
Department for Emergency Situations, through the General Inspectorate for Emergency
Situations in subsequent contracts;
w) Hidden defect - the qualitative deficiency of a delivered product that was not known and
could not be known by the Promiser - Purchaser through the usual means of verification.
x) Days - calendar days, except for the situations in which it is expressly provided that they are
working days.

3. INTERPRETATION
3.1 In this framework agreement, unless expressly provided otherwise, words in the singular
form shall include the plural form and vice versa, where the context so permits.
3.2 The clauses and expressions will be interpreted in relation to the entire framework

3.3 In case of contradictions between the provisions of the framework agreement clauses and
the procurement documents, the specific rules established by the procurement documents
shall apply.

6.1 The unit price offered by each Promising Provider is detailed in the assumed financial
proposal which is set out as an annex to this Framework Agreement, an integral part of this
Framework Agreement.
6.2 The unit price is expressed in euro, excluding VAT and includes all expenses incurred in
their delivery to the final destination, including handling and transport.
6.3 The total estimated value of the framework agreement, calculated on the basis of the unit
prices in euro without VAT offered and of the maximum quantities offered by each bidder is:

7. ESTIMATED QUANTITY
7.1 The maximum estimated quantity that could be requested by the Department of
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations during the entire framework agreement is 1,750,000 sets [the
maximum quantity that can be purchased on the product covered by the framework
agreement].

7.3 The maximum quantities provided in art. 7.1 are estimates, to be purchased according to
the needs of the Ministry of Internal Affairs - Department for Emergency Situations, through the
General Inspectorate for Emergency Situations and the budgetary funds allocated for this
purpose and supplemented according to incidental legislative changes that may occur.
8. DURATION OF THE FRAMEWORK AGREEMENT
8.1 The Framework Agreement shall be valid until the date declared by the World Health
Organization for the lifting of the state of emergency but not later than the date of award by the
O.N.A.C. of the open tender procedure.
9. GUARANTEE OF GOOD PERFORMANCE
9.1 The performance guarantee is 5% of the VAT-free value of each subsequent contract. The
amount of the performance guarantee will be established at the conclusion of the subsequent

contracts by the Department for Emergency Situations, within the Ministry of Internal Affairs,
through the General Inspectorate for Emergency Situations.
9.2 The guarantee of good execution of the subsequent contract is constituted by the
Promising-Supplier within 5 working days from the signing of the subsequent contract by both
parties in accordance with the provisions of art. 40 para. (1) of H.G. no. 395/2016 for the
approval of the Methodological Norms for the application of the provisions regarding the award
of the public / sectoral procurement contract / framework agreement from Law no. 98/2016 on
public procurement, with subsequent amendments and completions.
9.3 The period of validity of the performance guarantee will be equal to the duration of the
subsequent contract, plus 14 days.
9.4 The return of the performance guarantee is made within 14 days from the date of fulfillment
by the Promise-Supplier of the obligations assumed by the subsequent contract, if the
Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations did not raise , until that date, claims on it,
according to art. 42 para. (1) of H.G. no. 395/2016, with subsequent amendments and
completions.

(3) Thus, there may be situations in which some Promising-Suppliers, part of the
framework agreement do not need to deliver the entire amount offered in the final
technical-financial proposal submitted, because by selecting Promising-Suppliers, in
descending order , the maximum quantitative level for the product to be purchased is
reached. If the maximum level is reached in the above conditions, there may be situations
in which some Promising-Suppliers, although part of the framework agreement, are not
required by the Department for Emergency Situations within the Ministry of Internal
Affairs, through the Inspectorate General for Emergency Situations concluding
subsequent contracts.
10.3 The Department for Emergency Situations within the Ministry of Internal Affairs, through
the General Inspectorate for Emergency Situations has the obligation to notify the Promising-
Supplier / Promising-Suppliers for the conclusion of the subsequent contract indicating the
quantity that will be the subject of the subsequent contract, respecting the maximum
quantitative threshold offered and at the same time will take into account, that through the
subsequent contracts concluded, not to exceed the maximum level provided for the respective
product from art. 7.1 or art. 7.3, as appropriate.
10.4. The Promising Supplier is obliged to present himself at the headquarters of the General
Inspectorate for Emergency Situations for the signing of the subsequent contract within a
maximum of 2 working days from the date of receipt of the notification. Otherwise, it will be
considered that the Promising-Supplier does not have the capacity to support the
implementation of the subsequent contract.
10.5. The clauses set out in this Framework Agreement shall apply accordingly to subsequent
contracts to be concluded, except for those clauses which relate to or are applicable
exclusively to this Framework Agreement.
10.6. The elements / conditions that remain unchanged throughout the framework agreement
are the obligations that the economic operator has assumed through the technical proposal,
the contractual clauses and the price offered.
11. OBLIGATIONS OF THE PROMISING-PURCHASER AND THE DEPARTMENT FOR
EMERGENCY SITUATIONS WITHIN THE MINISTRY OF INTERNAL AFFAIRS THROUGH
THE GENERAL INSPECTORATE FOR EMERGENCIES
11.1 Promising - Purchaser on behalf of and for the Department for Emergency Situations
within the Ministry of Internal Affairs, through the General Inspectorate for Emergency
Situations makes available to the General Inspectorate for Emergency Situations within one
working day of signing, a copy of the agreement- framework concluded with the Promisors-
Suppliers, as well as any other documents necessary in order to conclude the subsequent
contracts.

11.2 The conclusion of the subsequent contracts is performed by the Department for
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations according to art. 5 para. (4) of GEO no. 11/2020, having the
following obligations:
(2) to purchase the products covered by the framework agreement, in accordance with
the subsequent contracts concluded;
(3) to receive from a quantitative and qualitative point of view the products supplied
according to the subsequent concluded contracts;
(4) to pay to the Promiser - Supplier the price of the products purchased and received
according to the terms and conditions provided in the framework agreement and the
subsequent contracts.

12.9 The Promising Supplier will ensure the transport of the products to the delivery address
indicated in the specifications at his own risk.
12.10 The Promising Supplier has the obligation to supply the products, packaged, marked
and labeled according to the provisions of the legislation in force.
12.11 Ensuring the products during delivery, handling and transport to the final destination
(delivery address) is the responsibility of the Promise-Supplier.
13. ASSOCIATION OF ECONOMIC OPERATORS, if applicable
13.1 Each partner is individually and jointly and severally liable to the Department for
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations being considered to have common and individual obligations for the
execution of the subsequent contract.
13.2 The members of the association understand and confirm that the leader established by
the association agreement is appointed by the association to act on his behalf and is
authorized to engage the association under the subsequent contract.
13.3 The members of the association understand and confirm that the leader of the association
is authorized to receive orders from the Department for Emergency Situations within the
Ministry of Internal Affairs, through the General Inspectorate for Emergency Situations and to

14. SUBCONTRACTORS, if applicable

15.1 The products to be supplied under each subsequent contract concluded following this
framework agreement will be in accordance with the standards referred to by the Promising
Supplier in its technical proposal.

(d) The Department for Emergency Situations within the Ministry of Internal Affairs,
through the General Inspectorate for Emergency Situations, shall issue a finding document
for non-fulfillment of the contractual obligations according to art. 166 para. (5) of H.G. no.
395/2016, with subsequent amendments and completions.
2) For non-compliance with the delivery term during the subsequent contract, the following are
applicable:
(a) The damages will be considered penalties and will be paid by the Promising-Supplier in the
amount established by the penalizing legal interest, applied to the value of the undelivered
products, for each day of delay, in accordance with the provisions of art. 4 of Law no. 72/2013
on measures to combat the delay in the execution of obligations to pay sums of money
resulting from contracts concluded between professionals and between them and contracting
authorities.
(b) The framework agreement and the subsequent contract shall be terminated automatically,
without delay, without legal action and without any other formality prior to the payment of
damages, calculated in accordance with the above;
(c) The Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations, shall issue a finding document for non-
fulfillment of the contractual obligations according to art. 166 para. (5) of H.G. no. 395/2016,
with subsequent amendments and completions.
16.3 In the case provided in art. 16.2, paragraph (1) The Department for Emergency Situations
within the Ministry of Internal Affairs, through the General Inspectorate for Emergency
Situations, within 5 working days from the finding of the situation informs the Promising-
Purchaser and requests the Promising-Supplier located on the next place to concludes the
subsequent contract.
16.4 If the Department for Emergency Situations within the Ministry of Internal Affairs, through

16.5 Failure to comply with the obligations assumed by the subsequent contract by one of the
signatory parties, culpably, gives the injured party the right to request its unilateral termination
and to claim the payment of damages.
16.6 Violation of the provisions of art. 12, art. 14.7, art. 16.1-16.5, art. 22, art. 23, art. 27, art.
31 of this framework agreement entitles the Department for Emergency Situations within the
Ministry of Internal Affairs, through the General Inspectorate for Emergency Situations to the
application of the commission pact, regulated by art. 1553 para. (2), the final thesis from Law
no. 287/2009 on the Civil Code, republished, with subsequent amendments and completions,
the framework agreement being automatically abolished, without delay, without legal action
and without any other formality prior to the payment of damages.
17. SUBJECT MATTER, PRICE AND VALUE OF SUBSEQUENT CONTRACTS

17.1 The Promising Supplier undertakes to conclude the subsequent contracts with the
Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations for the products that are the object of the
framework agreement.
17.2 The unit prices of the products that are the object of the subsequent contracts are those
resulting from the completion of the procurement procedure by awarding the framework
agreement as stipulated in art. 6.1.

20.1 The Department for Emergency Situations within the Ministry of Internal Affairs, through
the General Inspectorate for Emergency Situations or its representative has the obligation to
carry out quantitative and qualitative acceptance of purchased products and has the right to
inspect products to verify their compliance with the documents provided in point 5.1.
20.2 The products will be received at the delivery address provided by the Department for
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations, respectively Mizil locality, Prahova county.
20.3 Confirmation by the Department for Emergency Situations within the Ministry of Internal
Affairs, through the Inspectorate General for Emergency Situations that the products have
been delivered in full and comply with the technical specifications in the specifications and the
technical proposal is made by the Department for Emergency Preparedness. Emergency
Situations within the Ministry of Internal Affairs, through the General Inspectorate for

right to consider the agreement tacit on those mentioned in the minutes of receipt.
20.5 The quantitative and qualitative acceptance of the products is performed upon their
delivery and consists in performing the following operations:
a) the quantitative acceptance represents the inspection and verification by counting the
supplied products;
b) the qualitative reception in order to verify the conformity of the supplied products with the
specifications of the technical proposal will be performed by the Department for Emergency
Situations within the Ministry of Internal Affairs, through the General Inspectorate for
Emergency Situations based on the documents submitted by the Promising Supplier as
requested in the specifications.
20.6 The provisions of clauses 20.1 - 20.5 shall not absolve the Promising Supplier from the
obligation to assume the guarantees or other obligations provided in the contract.
21. PRODUCT WARRANTY
21.1 Promising - Supplier has the obligation to guarantee that the products supplied are new,
unused.
21.2 The Department for Emergency Situations within the Ministry of Internal Affairs, through
the General Inspectorate for Emergency Situations has the right to immediately notify the
Promisee - Supplier, in writing, of any complaint or claim arising in connection with this
warranty.
21.3 Upon receipt of such notification, the Promiser - Supplier has the obligation to remedy the
situation as soon as possible, but not more than 2 calendar days.
21.4 If the Promise - Supplier, after being notified, fails to remedy the situation within the
agreed period, the Department for Emergency Situations within the Ministry of Internal Affairs,
through the General Inspectorate for Emergency Situations has the right to source from

another supplier, at the risk and expense of the Promiser - Supplier and without prejudice to
any other rights that the Department for Emergency Situations within the Ministry of Internal
Affairs, through the General Inspectorate for Emergency Situations may have against the
Promiser - Supplier.
21.5 The promisor - supplier is obliged to fully repair any damage caused to the Department
for Emergency Situations within the Ministry of Internal Affairs, through the General
Inspectorate for Emergency Situations of inadequate quality of products.
22. ASSIGNMENT
22.1 This framework agreement allows the assignment of rights and obligations arising from
this framework agreement, only with the prior written consent of the Promising Purchaser on
behalf of and for the Department of Emergency Situations within the Ministry of Internal Affairs,
through the General Inspectorate for Emergency Situations and under the conditions of Law
no. 98/2016, with subsequent amendments and completions.
22.2 The Promising Supplier has the obligation not to transfer in whole or in part its obligations
under the contract, without obtaining, in advance, the written consent of the Promising
Purchaser on behalf of and for the Department of Emergency Situations within the Ministry of
Internal Affairs, through the General Inspectorate for Emergency Situations.
22.3 Violation of the provisions of art. 22.1 and art. 22.2 gives the right to the Promisor-
Purchaser in the name and for the Department for Emergency Situations within the Ministry of
Internal Affairs, through the General Inspectorate for Emergency Situations to the application
of the commission pact regulated by art.1553 par. (2) the final thesis from Law no. 287/2009
on the Civil Code, republished with subsequent amendments, the framework agreement being
automatically abolished, without delay, without legal action and without any other prior
formality.
22.4 The assignment will not relieve the Promise-Supplier of any liability regarding the
guarantee or any other obligations assumed by the framework agreement.
22.5 The Promising-Supplier is obliged to notify the Promising-Purchaser on behalf of and for
the Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations regarding the intention to assign the rights or
obligations arising from this framework agreement. The assignment will take effect only if all
parties agree to it.
22.6 If the rights and obligations of the Promising Provider established by this framework
agreement are taken over by another economic operator, as a result of a universal or universal
succession in a reorganization process, the Promising Provider may assign any of the rights
and obligations arising from the framework agreement, including payment entitlements, only
with the prior written consent of the Promising Purchaser on behalf of and for the Department
of Emergency Situations within the Ministry of Internal Affairs, through the General
Inspectorate for Emergency Situations. In such cases, the Promising Provider must provide the
Promising Purchaser on behalf of and for the Department of Emergency Situations within the
Ministry of Internal Affairs, through the Inspectorate General for Emergency Situations
information on the identity of the entity to which it assigns rights.
22.7 Any right or obligation assigned by the Promising Provider without prior authorization from
the Promising Purchaser on behalf of and for the Department of Emergency Situations within
the Ministry of Internal Affairs, through the General Inspectorate for Emergency Situations is
not enforceable against the Promising Purchaser in the name also for the Department for
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations.

22.8 In case of transmission / taking over of the obligations by the Promise-Supplier, the
notification generates the initiation of the novation between the two parties, provided that the
requirements established by art. 221 para. (1) lit. d) point (ii) of Law no. 98/2016, with
subsequent amendments and completions for:
(i) the economic operator who takes over the rights and obligations of the Promising Provider
from this framework agreement, who fulfills the qualification criteria initially established,
respectively in the framework of the procedure resulting from this framework agreement,
(ii) this Framework Agreement, provided that such amendment does not entail any other
substantial changes to the Framework Agreement,
(iii) The Promisor-Purchaser in the name and for the Department for Emergency Situations
within the Ministry of Internal Affairs, through the General Inspectorate for Emergency
Situations, but not for the purpose of circumventing the application of the award procedures
provided by Law no. 98/2016, with subsequent amendments and completions.
22.9 In case of early termination of the framework agreement, the Promising-Main Supplier
assigns to the Promising-Purchaser on behalf of and for the Department of Emergency
Situations within the Ministry of Internal Affairs, through the General Inspectorate for
Emergency Situations the contracts concluded with subcontractors.
22.10 If the supporting third party has not complied with its obligations under the firm
commitment of support, the Promise-Supplier's claim on the supporting third party is assigned
as security to the Promising Purchaser on behalf of and for the Emergency Department within
the Ministry of Internal Affairs, through the General Inspectorate for Emergency Situations.
23. CONFLICT OF INTEREST
23.1 The Promising Purchaser on behalf of and for the Department of Emergency Situations
within the Ministry of Internal Affairs, through the General Inspectorate for Emergency
Situations and the Promising Supplier shall take all necessary measures to prevent or remove
any conflict of interest that has or may had the effect of compromising the execution of
subsequent contracts to be concluded on the basis of this framework agreement, objectively
and impartially.
23.2 Conflicts of interest may arise, in particular, as a result of economic interests, political or
national affinities, kinship or affinity ties or any other common ties or interests. In the event of a
potential conflict of interest, the Promising Supplier shall notify the Promising Purchaser in
writing on behalf of and for the Department of Emergency Situations within the Ministry of
Internal Affairs, through the General Inspectorate for Emergency Situations within 5 days of
this situation.
23.3 If the Promisor - supplier is in a situation of conflict of interest or in a situation which,
although not considered a conflict of interest, has the effect of compromising the performance
of the subsequent contract and knowingly or unintentionally does not disclose To the
Department for Emergency Situations within the Ministry of Internal Affairs, through the
General Inspectorate for Emergency Situations this situation within the term provided in art.
23.2, it entitles the Department for Emergency Situations within the Ministry of Internal Affairs,
through the General Inspectorate for Emergency Situations to terminate the subsequent
contract with prior notification and without the consent of the Promiser-Supplier.
23.4 The Promising Supplier has the obligation to comply with the legal provisions in the field
of public procurement regarding the avoidance of conflict of interests. The Promising Supplier

has no right to enter into or conclude any other agreements regarding the supply of products,
directly or indirectly, for the purpose of fulfilling the framework agreement, with natural or legal
persons who have been involved in the process of verification / evaluation of submitted bids.
within the award procedure or employees / former employees of the Promisor-Purchaser,
during a period of at least 12 (twelve) months from the conclusion of the framework
agreement, under the sanction of termination / termination of the respective contract.
24. INSOLVENCY AND BANKRUPTCY
24.1 In case of opening a general insolvency procedure against the Promising-Supplier, he
has the obligation to notify the Promising-Acquirer within 3 (three) days from the opening of the
procedure.
24.2 The Promising-Supplier is obliged to present to the Promising-Purchaser within 10 (ten)
days from the notification, a detailed analysis regarding the incidence of opening the general
insolvency procedure on the subsequent contract and on the deliveries and to propose
measures, acting as a diligent supplier.
24.3 If the Promising Provider goes bankrupt, is in liquidation or is in a situation that produces
similar effects, the Promising Provider is obliged to act in the same way as stipulated in clause
24.1 of this agreement. framework.
24.4 No such measure proposed in accordance with the provisions of clause 24.2 of this
Framework Agreement may be applied unless it is accepted in writing by the Promising
Purchaser.
25. SUSPENSION OF THE FRAMEWORK AGREEMENT
25.1 If the execution of the framework agreement is vitiated by substantial errors or
irregularities or fraud, the Promising Purchaser on behalf of and for the Department of
Emergency Situations within the Ministry of Internal Affairs, through the General Inspectorate
for Emergency Situations will suspend the execution of the agreement. framework.
25.2 In case of temporary suspension / termination of the framework agreement, its duration
will be automatically extended with the period of suspension / termination.
26. TERMINATION OF THE FRAMEWORK AGREEMENT
26.1 This Framework Agreement shall terminate by right on time or at the time when all the
obligations imposed on the Parties have been fulfilled.
26.2 The framework agreement may also be terminated in the following cases:
by the agreement of the signatory parties;
(b) by the termination by a Party of a failure to fulfill or improperly fulfill the obligations
assumed by this Framework Agreement by the other Party in accordance with the provisions of
Art. 16.5 and art. 16.6 .;
(c) force majeure / fortuitous event, under the conditions of art. 28;
(d) upon completion by award of the open tender procedure in accordance with the provisions
of O.U.G. no. 11/2020,
(e) the date stipulated in art. 8.

27.1 The Promising Purchaser on behalf of and for the Department of Emergency Situations
within the Ministry of Internal Affairs, through the General Inspectorate for Emergency
Situations reserves the right to terminate the framework agreement, by written notification to
the Promising Provider, without any compensation, if a decision of the European Court of
Justice is found against the latter, finding a serious breach of the obligations arising from
European law.
27.2 The Promising Purchaser on behalf of and for the Department of Emergency Situations
within the Ministry of Internal Affairs, through the General Inspectorate for Emergency
Situations reserves the right to terminate the framework agreement, by written notification to
the Promising Supplier, without any compensation, if he finds himself in one of the situations of
exclusion provided by Law no. 98/2016 on public procurement, with subsequent amendments
and completions.

29.2. This framework agreement may be amended by written agreement of the Promising
Purchaser on behalf of and for the Department of Emergency Situations within the Ministry of
Internal Affairs, through the General Inspectorate for Emergency Situations and of the
Promising Provider, under the legislation in force.
30. PROCESSING OF PERSONAL DATA
30.1 The collection, processing and storage / archiving of personal data will be carried out in
accordance with the provisions of Regulation no. 679/2016, as well as in compliance with the
relevant national legislation, the achievement of the purpose of the framework agreement, as
well as for statistical purposes.
30.2 Personal data, as classified in Regulation (EU) 679/2016, will be processed in
accordance with the said legislation throughout the contractual period, including the period of
verification and pursuit of contractual objectives, for the purpose and legal basis for which this
Framework Agreement has been completed.
30.3 The signatory parties will take appropriate technical and organizational measures,
according to their own institutional responsibilities and competencies, in order to ensure an
adequate level of security of personal data, whether it is processing, reprocessing or transfer
to third parties or publication on internal public sources. or external.
30.4 The contracting parties will ensure, according to their own institutional attributions and
competencies, all the technical and organizational conditions for maintaining the confidentiality,
integrity and availability of personal data.
30.5 The Contracting Parties shall inform and notify each other of any breach of the security of
the processing of personal data in this Framework Agreement, in order to urgently adopt the
necessary technical and organizational measures and to notify the National Authority for the
Supervision of Processing. Personal Data (ANSPCDCP), according to the obligations deriving
from the provisions of Regulation (EU) 679/2016.
30.6 The contractual parties, through representatives designated to process personal data
from the current framework agreement and additional acts, in fulfilling the main or secondary
purpose of this framework agreement or additional acts, shall prepare the records of
processing activities according to art. 30 of Regulation (EU) 679/2016, as well as the consent
of the data subjects by proving their proof in writing and in electronic format whenever they will
be requested by ANSPDCP.
31. CONFIDENTIALITY CLAUSE
31.1 Promising - Supplier undertakes by signing this framework agreement to perform all due
diligence and to ensure the confidentiality of the delivery address or other confidential data
disclosed by the Department of Emergency Situations within the Ministry of Internal Affairs, by
General Inspectorate for Emergency Situations when signing the subsequent contract.
31.2 The Promising - Supplier undertakes to maintain confidentiality both during the
subsequent contract and after its termination.
31.3 The Department for Emergency Situations within the Ministry of Internal Affairs, through
the General Inspectorate for Emergency Situations is obliged to communicate to the Promise-
Supplier any aspect regarding the confidentiality of delivery addresses or other matters under
the confidentiality and to ensure compliance these provisions by the Promiser - Supplier.

2. DEFINIŢII
În prezentul contract subsecvent următorii termeni vor fi interpretaţi astfel:
y) Achizitor și furnizor - părțile contractante, așa cum sunt acestea denumite în
prezentul contract;
z) Act Adițional - document prin care se modifică termenii și condițiile prezentului contract
subsecvent, în condițiile Legii nr. 98/2016 privind achizițiile publice, cu modificările și
completările ulterioare.
aa) Caiet de sarcini - documentul cuprinzând în detaliu specificațiile tehnice ale
produselor care fac obiectul contractului subsecvent.
bb) Caz fortuit - Eveniment care nu poate fi prevăzut și nici împiedicat de către cel
care ar fi fost chemat să răspundă dacă evenimentul nu s-ar fi produs.
cc) Contract subsecvent - actul juridic încheiat între achizitor și furnizorul de
produse în calitate de furnizor.
dd) Conflict de interese – orice situaţie influenţând capacitatea furnizorui de a
exprima o opinie obiectivă și imparțială sau care îl împiedică pe acesta, în orice
moment, să acorde prioritate intereselor achizitorului.
ee) Data semnării - înseamnă data semnării prezentului contract de către ultima
dintre părțile semnatare.
ff) Data intrării în vigoare – este data prezentării dovezii de constituire a garanției de
bună execuție.
gg) Defecte - sunt orice defecte constatate la recepția cantitativă și calitativă a
produselor sau ca urmare unui raport de încercare/ expertiză tehnică efectuat(ă) pentru
verificarea specificaţiilor tehnice ale produselor livrate în corespondenţă cu specificaţiile
cuprinse în caietul de sarcini/ propunerea tehnică și /sau de legislaţia incidentă.

hh) Forță majoră este orice eveniment extern, imprevizibil, absolut invincibil și
inevitabil independent de controlul Părților, care nu se datorează greșelii sau vinei
acestora, care nu putea fi prevăzut în momentul încheierii Acordului-cadru și care face
imposibilă îndeplinirea obligațiilor de către una dintre Părți și include calamități, greve,
sau alte perturbări ale activității industriale, acțiuni ale unui inamic public, războaie, fie
declarate sau nu, blocade, insurecții, revolte, epidemii, alunecări de teren, cutremure,
furtuni, trăsnete, inundații, deversări, turbulențe civile, explozii și orice alte evenimente
similare imprevizibile, mai presus de controlul Părților și care nu ar putea fi evitate prin
luarea măsurilor corespunzătoare de diligență.
ii) În scris - reprezintă orice comunicare în formă scrisă, indiferent de modalitatea de
transmitere (fax, poștă/ curierat, e-mail), însoțită de confirmare de primire.
jj) Locul livrării - este destinaţia finală, respectiv adresa precizată în documentaţia de
atribuire unde Furnizorul trebuie să livreze produsul/produsele.
kk)Ofertă – actul juridic prin care Furnizorul şi-a manifestat voința de a se angaja, din
punct de vedere juridic, în acest contract subsecvent și cuprinde propunerea financiară,
propunerea tehnică precum și alte documente care au fost menționate în documentația
de atribuire.
ll) Oficiul Naţional pentru Achiziţii Centralizate (O.N.A.C.) - parte semnatară a
acordului-cadru în numele și pentru Departamentul pentru Situaţii de Urgenţă din cadrul
Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de Urgenţă.
mm) Penalitate – suma de bani plătibilă de către una dintre părțile contractante către
cealaltă parte în caz de neîndeplinire a obligațiilor din contractul subsecvent, în caz de
neîndeplinire a unei părți a contractului subsecvent sau de îndeplinire cu întârziere a
obligațiilor, astfel cum s-a stabilit prin documentele contractului subsecvent.
nn) Prejudiciu – paguba produsă Departamentului pentru Situaţii de Urgenţă din
cadrul Ministerului Afacerilor Interne, prin Inspectoratul General pentru Situaţii de
Urgenţă de către Furnizor prin neexecutarea/ executarea necorespunzătoare ori cu
întârziere a obligațiilor stabilite în sarcina sa prin contractul subsecvent.
oo) Propunerea financiară - document al ofertei care cuprinde informaţiile
referitoare la preţuri, tarife şi alte condiţii financiare şi comerciale necesare îndeplinirii
condiţiilor specificate în documentaţia de atribuire.
pp) Propunerea tehnică - document al ofertei elaborat pe baza cerințelor tehnice din
caietul de sarcini.
qq) Standard - specificație tehnică, adoptată de un organism de standardizare recunoscut,
pentru aplicare repetată sau continuă, și poate fi unul dintre următoarele:
o Standard internațional- standard adoptat de un organism de standardizare
internațional,
o Standard european - standard adoptat de o organizație de standardizare europeană,
o Standard armonizat - standard european adoptat pe baza unei solicitări din partea
Comisiei pentru aplicarea legislației de armonizare a Uniunii,
o Standard național - standard adoptat de un organism de standardizare național;
o Standarde profesionale - cerințele profesionale legate de calitatea rezultatului
furnizării produsului / produselor care ar fi respectate de către orice Furnizor diligent
care posedă cunoștințele și experiența unui expert care furnizează produse și pe
care Furnizorul este obligat să le respecte în furnizarea oricărui și tuturor produselor
incluse în prezentul contract subsecvent, dacă și după cum este cazul;
rr) Recepție cantitativă și calitativă - activitate care se finalizează cu întocmirea
procesului verbal de recepţie cantitativă și calitativă încheiat la adresa de livrare a
produselor, prin care se confirmă/ infirmă furnizarea produselor conform ofertei.

3. INTERPRETARE
3.1 În prezentul contract subsecvent, cu excepţia unei prevederi contrare exprese, cuvintele la
forma singular vor include forma de plural şi vice versa, acolo unde acest lucru este permis de
context.
3.2 Clauzele şi expresiile vor fi interpretate prin raportare la întregul acord-cadru, respectiv
contractul subsecvent.
6. CANTITATEA PRODUSELOR
6.1 Cantitatea produselor care urmează a fi livrată în baza contractului subsecvent este:

9. AJUSTAREA PREŢULUI
9.1 Pe parcursul îndeplinirii contractului subsecvent preţurile unitare sunt ferme şi nu se
ajustează.

alt stat sau de o societate de asigurări, în condiţiile legii, care devine anexă la contractul
subsecvent.
11.4 Garanţia de bună execuţie va fi irevocabilă şi va prevedea că plata garanţiei de bună
execuţie se va executa necondiţionat, respectiv la prima cerere a achizitorului, pe baza
declaraţiei acestuia cu privire la culpa Furnizorului.
11.5 Garanţia de bună execuţie a unei asocieri sau a unui consorţiu va fi emisă în numele
asocierii sau consorţiului.
11.6 Achizitorul are dreptul de a emite pretenţii asupra garanţiei de bună execuţie, oricând pe
parcursul derulării contractului în limita prejudiciului creat, dacă Furnizorul nu îşi îndeplineşte
obligaţiile asumate prin prezentul contract. Anterior emiterii unei pretenţii asupra garanţiei de
bună execuţie, Achizitorul are obligaţia de a notifica acest lucru Furnizorului, precizând
totodată obligaţiile care nu au fost respectate și modul de calcul al prejudiciului.
11.7 În situația executării garanției de bună execuție, parțial sau total, Furnizorul are obligația
de a reîntregi garanția în cauză, raportat la restul contractului subsecvent rămas de executat.
11.8 Achizitorul se obligă să restituie garanţia de bună execuţie, în cel mult 14 zile de la data a
îndeplinirii de către Furnizor a tuturor obligaţiilor asumate prin contractul subsecvent şi a
furnizării întregii cantităţi a produselor care fac obiectul contractului subsecvent şi/sau de la
plata facturii finale, dacă nu e ridicată nicio pretentie, până la acea dată, asupra acesteia.
13.OBLIGAŢIILE ACHIZITORULUI
13.1 Achizitorul poate încheia contracte subsecvente până la atingerea pragului cantitativ
maxim al produselor prevăzute la art. 7.1 din Acordul - Cadru sau până la finalizarea atribuirii
de către ONAC a procedurii de licitaţie deschisă în condiţiile prevăzute în acordul-cadru.
13.2 Achizitorul se obligă să achiziţioneze şi să plătească preţul convenit în prezentul contract
subsecvent.
13.3 Achizitorul se obligă să recepţioneze produsele furnizate în termenele convenite.
13.4 Achizitorul se obligă să colaboreze cu Furnizorul şi să pună la dispoziţia acestuia
informaţiile pe care acesta le consideră necesare pentru îndeplinirea contractului subsecvent.
13.5 Achizitorul se obligă să achiziţioneze si să recepţioneze produsele furnizate, în termenul
convenit, conform standardelor şi/sau performanţelor prezentate în propunerea tehnică, anexă
la prezentul contract subsecvent și în concordanță cu cerințele caietului de sarcini

17.1 Produsele care vor fi furnizate în baza contractului subsecvent vor fi în conformitate cu
standardele la care Furnizorul a făcut referire în propunerea sa tehnică.
17.2 Când nu este menţionat niciun standard sau reglementare aplicabilă se vor respecta
standardele sau alte reglementări autorizate în ţara de origine a produselor.

18.3 În cazul prevăzut la art. 18.2, alin.(1) Achizitorul, în termen de 5 zile lucrătoare de la
constatarea situaţiei informează ONAC şi solicită Furnizorului situat pe locul următor să
încheie contractul subsecvent.
18.4 În cazul în care Achizitorul, din vina sa exclusivă, nu îşi onorează obligaţiile de plată în
termenul convenit, atunci Furnizorul are dreptul de a solicita plata dobânzii legale
penalizatoare, aplicată la valoarea plăţii neefectuate, în conformitate cu prevederile art. 4 din
Legea nr. 72/2013 privind măsurile pentru combaterea întârzierii în executarea obligaţiilor de
plată a unor sume de bani rezultând din contracte încheiate între profesionişti şi între aceştia şi
autorităţi contractante.
18.5 Nerespectarea obligaţiilor asumate prin prezentul contract subsecvent de către una dintre
părţile semnatare, în mod culpabil, dă dreptul părţii lezate de a cere rezilierea acestuia
unilateral şi de a pretinde plata de daune-interese.
18.6 Încălcarea prevederilor art. 14, art. 19.1, art. 20.1, art. 22, art. 30 din prezentul contract
subsecvent dă dreptul Achizitorului la aplicarea pactului comisoriu, reglementat de art. 1553
alin. (2), teza finală din Legea nr. 287/2009 privind Codul Civil, republicată, cu modificările şi
completările ulterioare, contractul subsecvent desfiinţându-se de plin drept, fără punere în
întârziere, fără acţiune în justiţie şi fără nicio altă formalitate prealabilă cu plata de daune-
interese.
19.CESIUNEA
19.1 În prezentul contract subsecvent este permisă cesiunea drepturilor și obligațiilor născute
din acest contract subsecvent, numai cu acordul prealabil scris al Achizitorului și în condițiile
Legii nr. 98/2016, cu modificările şi completările ulterioare.
19.2 Furnizorul are obligaţia de a nu transfera total sau parțial obligațiile sale asumate prin
contract, fără să obțină, în prealabil, acordul scris al Achizitorului.
19.3 Încălcarea prevederilor art. 19.1 și art. 19.2 dă dreptul Promitentului-Achizitor în numele şi
pentru Departamentul pentru Situaţii de Urgenţă din cadrul Ministerului Afacerilor Interne, prin
Inspectoratul General pentru Situaţii de Urgenţă la aplicarea pactului comisoriu reglementat de
art.1553 alin. (2) teza finală din Legea nr. 287/2009 privind Codul civil, republicată cu
modificările ulterioare, contractul subsecvent desfiinţându-se de plin drept, fără punere în
întârziere, fără acţiune în justiţie şi fără nicio altă formalitate prealabilă.
19.4 Cesiunea nu va exonera Furnizorul de nicio responsabilitate privind garanția sau orice
alte obligații asumate prin contractul subsecvent.
19.5 Furnizorul este obligat să notifice Achizitorul cu privire la intenția de a cesiona drepturile
sau obligațiile născute din acest acord-cadru. Cesiunea va produce efecte doar dacă toate
părțile convin asupra acesteia.
19.6 În cazul în care drepturile și obligațiile Furnizorului stabilite prin acest contract subsecvent
sunt preluate de către un alt operator economic, ca urmare a unei succesiuni universale sau
cu titlu universal în cadrul unui proces de reorganizare, Furnizorul poate să cesioneze oricare
dintre drepturile și obligațiile ce decurg din contractul subsecvent, inclusiv drepturile la plată,
doar cu acceptul prealabil scris din partea Achizitorului. În astfel de cazuri, Furnizorul trebuie
să furnizeze Achizitorul informații cu privire la identitatea entității căreia îi cesionează
drepturile.
19.7 Orice drept sau obligație cesionat de către Furnizor fără o autorizare prealabilă din partea
Achizitorului nu este executoriu împotriva Achizitorului.
19.8 În cazul transmiterii/preluării obligațiilor de către Furnizor, notificarea generează inițierea
novației între cele două părți, cu condiția respectării cerințelor stabilite prin art. 221 alin. (1) lit.
d) pct. (ii) din Legea nr. 98/2016, cu modificările şi completările ulterioare pentru:

(i) operatorul economic ce preia drepturile și obligațiile Furnizorului din acest acord-cadru,
care îndeplinește criteriile de calificare stabilite inițial, respectiv în cadrul procedurii din care a
rezultat prezentul contract subsecvent,
(ii) prezentul contract subsecvent, cu condiția ca această modificare să nu presupună alte
modificări substanțiale ale contractului subsecvent,
(iii) Achizitor, dar să nu se realizeze cu scopul de a eluda aplicarea procedurilor de atribuire
prevăzute de Legea nr. 98/2016, cu modificările şi completările ulterioare.
19.9 În cazul încetării anticipate a contractului subsecvent, Furnizorul principal cesionează
Achizitorului contractele încheiate cu subcontractanţii.
19.10 În cazul în care terțul susținător nu și-a respectat obligațiile asumate prin angajamentul
ferm de susținere, dreptul de creanță al Furnizorului asupra terțului susținător este cesionat cu
titlu de garanție, către Achizitor.
21.1 (1) Furnizorul are obligaţia de a ambala produsele pentru ca acestea să reziste, fără
limitare, la manipularea dură din timpul transportului, tranzitului şi expunerii la temperaturi
extreme, la soare şi la precipitaţiile care ar putea să apară în timpul transportului, în aşa fel
încât să ajungă în bună stare la adresa de livrare.
(2) În cazul ambalării greutăţilor şi volumelor în cutii, furnizorul va lua în considerare, unde este
cazul, distanţa mare până la adresa de livrare a produselor şi absenţa facilităţilor de
manipulare în toate punctele de tranzit.
21.2 În situația în care produsele sunt ambalate și transportate pe paleți de lemn (tip euro-
palet), Achizitorul are obligația de a gestiona și depozita acest ambalaj până la restituirea către
Furnizor.
21.3 Gestionarea ambalajelor, respectiv paleţii de lemn, se va realiza de Furnizor în
conformitate cu Legea nr. 249/2015 privind modalitatea de gestionare a ambalajelor și a
deșeurilor de ambalaje și OMSC nr. 192/2014 (art. 25); este în sarcina Furnizorului
îndeplinirea obiectivelor și obligațiilor stabilite prin O.U.G. nr. 196/2005 privind Fondul pentru
Mediu.

22.1 Furnizorul are obligaţia de a livra produsele care fac obiectul contractului subsecvent în
termen de maxim .........[se va completa la data semnării contractului subsecvent], la

22.2 În situația în care Achizitorul își modifică adresa de livrare, în cadrul aceleiași localități,
Furnizorul se obligă să livreze produsele, la noua adresă comunicată de Achizitor, fără costuri
suplimentare.
22.3 Furnizorul are obligaţia să respecte condițiile de livrare și transport prevăzute în caietul de
sarcini.
22.4 Livrarea produselor se consideră încheiată în momentul în care sunt îndeplinite
prevederile clauzelor de recepţie a produselor.
22.5 Orice depăşire a termenului maxim de livrare specificat la art. 22.1 dă dreptul Achizitorului
de a aplica penalităţi de întârziere, în procent de 1% pe zi din valoarea produselor nelivrate.
22.6 În cazul livrărilor parţiale, se va considera că obligaţia de livrare a fost îndeplinită integral
în momentul în care toate produsele din cadrul tranşei respective au fost livrate şi recepţionate
cantitativ şi calitativ în conformitate cu art. 23.

24.1 În cazul deschiderii unei proceduri generale de insolvență împotriva Furnizorului, acesta
are obligația de a notifica Achizitorul în termen de 3 (trei) zile de la deschiderea procedurii.
24.2 Furnizorul are obligația de a prezenta Achizitorului, în termen de 10 (zece) de zile de la
notificare, o analiză detaliată referitoare la incidența deschiderii procedurii generale de
insolvență asupra contractului subsecvent și asupra livrărilor și de a propune măsuri,
acționând ca un furnizor diligent.
24.3 În cazul în care Furnizorul intră în stare de faliment, în proces de lichidare sau se află într-
o situație care produce efecte similare, Furnizorul este obligat să acționeze în același fel cum
este stipulat la clauza 24.1 din prezentul contract subsecvent.
24.4 Nicio astfel de măsură propusă conform celor stipulate la clauza 24.2 din prezentul
contract subsecvent, nu poate fi aplicată, dacă nu este acceptată, în scris, de Achizitor.
25.1 În cazul în care executarea contractelor subsecvente este viciată de erori substanţiale,
nereguli sau de fraudă, Achizitorul va suspenda executarea contractului subsecvent cu
înștiințarea prealabilă a Furnizorului.
25.2 În cazul suspendării/sistării temporare a furnizării produselor, durata contractului
subsecvent se va prelungi automat cu perioada suspendării/sistării.
26.1 Prezentul contract subsecvent încetează de drept prin ajungere la termen sau la
momentul la care toate obligațiile stabilite în sarcina părților au fost executate.
26.2 Achizitorul își rezervă dreptul de a rezoluționa/rezilia contractul subsecvent, fără însă a fi
afectat dreptul de a pretinde plata unor daune sau alte prejudicii, dacă:
(i) Furnizorul nu se conformează, în perioada de timp, conform notificării emise de către
achizitor, prin care i se solicită remedierea neconformității sau executarea obligațiilor
care decurg din prezentul contract subsecvent;
(ii) Furnizorul subcontractează părți din contractul subsecvent fără obţinerea acceptului din
partea ONAC;
(iii) are loc orice modificare organizațională care implică o schimbare cu privire la
personalitatea juridică a furnizorului, cu excepția situației în care asemenea modificări
sunt realizate prin act adițional la prezentul contract subsecvent, cu respectarea
dispozițiilor legale;
(iv) devin incidente oricare alte incapacități legale care să împiedice executarea contractului
subsecvent;
(v) Furnizorul eșuează în a furniza/menține/prelungi/reîntregi/completa garanțiile solicitate
prin contractul subsecvent;
(vi) la momentul atribuirii contractului subsecvent, Furnizorul se află în una dintre situațiile
care ar fi determinat excluderea sa din procedura de atribuire;
(vii) în situația în care contractul subsecvent nu ar fi trebuit să fie atribuit furnizorului
deoarece au fost încălcate grav obligațiile care rezultă din legislația europeană
relevantă iar această împrejurarea fost constatată printr-o decizie a Curții de Justiție a
Uniunii Europene;
(viii)în cazul în care împotriva Furnizorului se deschide procedura falimentului şi nu sunt
respectate prevederile art. 24;

(ix) Furnizorul a săvârșit nereguli sau fraude în cadrul procedurii de atribuire a contractului
subsecvent sau în legătură cu executarea acestuia, ce au provocat o vătămare
Achizitorului.
26.3 Furnizorul poate rezoluționa/rezilia contractul subsecvent fără însă a fi afectat dreptul de
a pretinde plata unor daune sau alte prejudicii, în cazul în care:
(i) Achizitorul a comis nereguli sau fraude în legătură cu executarea contractului
subsecvent care au provocat o vătămare Furnizorului.
(ii) Achizitorul nu își îndeplinește obligațiile de plată a produselor furnizate din culpa sa în
condițiile stabilite prin prezentul contract subsecvent.
26.4 Rezoluțiunea/rezilierea contractului subsecvent în condițiile pct. 26.2 și pct. 26.3 intervine
cu efecte depline, fără a mai fi necesară îndeplinirea vreunei formalități prealabile și fără a mai
fi necesară intervenția vreunei instanțe judecătorești și/sau arbitrale.
26.5 Prevederile prezentului contract subsecvent în materia rezoluțiunii/rezilierii contractului se
completează cu prevederile în materie ale Codului Civil în vigoare.
26.6 În cazul în care Furnizorul nu transmite garanția de bună execuție în perioada specificată,
contractul subsecvent este rezoluționat/reziliat de drept, fără obligația de notificare sau
îndeplinire a oricărei formalități de către Achizitor.
28. COMUNICĂRI
28.1 (1) Orice comunicare între părţi, referitoare la îndeplinirea prezentului contract
subsecvent, trebuie să fie transmisă în scris.
(2) Orice document scris trebuie înregistrat atât în momentul transmiterii, cât şi în
momentul primirii.
(3) Comunicările între părţi se pot face şi prin fax sau e-mail, cu condiţia confirmării în
scris a primirii comunicării.

aaa) Subsequent contract - the legal act concluded between the purchaser and the supplier
of products as a supplier.
bbb) Conflict of interest - any situation that influences the ability of the supplier to express an
objective and impartial opinion or that prevents him, at any time, from giving priority to the
interests of the purchaser.
ccc) Date of signature - means the date of signature of this contract by the last of the
signatory parties.
ddd) Date of entry into force - is the date of presentation of the proof of the guarantee of
good execution.

fff) Force majeure is any external, unpredictable, absolutely invincible and unavoidable event

proposal as well as other documents that were mentioned in the award documentation.

o Harmonized standard - a European standard adopted on the basis of a request from the
Commission for the application of Union harmonization legislation,

u) Delivery term - represents the term in which the supplier must deliver the products,

v) The value of the subsequent contract is calculated on the basis of the quantities covered
by it and the unit prices offered following the award of the framework agreement.
w) The value of the invoice - represents the amount paid to the Supplier by the purchaser in

3. INTERPRETATION
3.1 In this subsequent contract, unless expressly provided otherwise, words in the singular
form shall include the plural form and vice versa, where the context so permits.
3.2 The clauses and expressions will be interpreted in relation to the entire framework
agreement, respectively the subsequent contract.
4.1 The object of the subsequent contract is the supply of products Complete coveralls,
including hood and shoe protection (to be completed at the signing of the subsequent
contract).
4.2 The supplier undertakes to supply the products to the delivery address indicated in
accordance with the obligations assumed by the documents provided in art. 5.1.
4.3 The purchaser undertakes to purchase the products referred to in point 4.1 and to pay the
price agreed in this subsequent contract.

6. QUANTITY OF PRODUCTS
6.1 The quantity of products to be delivered under the subsequent contract is:

8.1 Payments to be made under the subsequent contract shall be made only after receipt of
the invoice from the Supplier and approval of the minutes of quantitative and qualitative
acceptance without objection by the Purchaser for the products supplied.
8.2 The payment of the equivalent value of the supplied products is made, by bank transfer,
based on the invoice issued by the Supplier for the amount to which he is entitled according to
the contractual provisions.
8.3 Payment for products purchased and received under the conditions provided in the
specifications and in art. 23 shall be performed by the Purchaser in accordance with the
provisions of art. 6 of Law no. 72/2013 on measures to combat the delay in the execution of
obligations to pay sums of money resulting from contracts concluded between professionals
and between them and contracting authorities, within 30 calendar days from the date of receipt
and registration of the invoice at the Purchaser's premises and quantitative and qualitative
reception of products.
8.4 If the invoice has incorrect elements and / or calculation errors identified by the Purchaser
and revisions, additional clarifications or other supporting documents from the Supplier are
required, the 30-day period for the payment of the invoice is suspended. The rescheduling is
made from the moment of fulfilling the formal and substantive conditions of the invoice.
9. PRICE ADJUSTMENT
9.1 During the performance of the subsequent contract, the unit prices are firm and do not
adjust.

11.2 The period of validity of the performance guarantee will be equal to the duration of the
subsequent contract plus 14 days.
11.3 The performance guarantee is constituted in accordance with the provisions of art. 40
para. 1 of H.G. no. 395/2016 for the approval of the Methodological Norms for the application
of the provisions regarding the award of the public / sectoral procurement contract / framework
agreement from Law no. 98/2016 on public procurement, as subsequently amended and
supplemented, by bank transfer or by a guarantee instrument issued by a credit institution in
Romania or another state or by an insurance company, in accordance with the law, which
becomes an annex to the subsequent contract.
11.4 The performance guarantee will be irrevocable and will provide that the payment of the
performance guarantee will be executed unconditionally, respectively at the first request of the
purchaser, based on his declaration regarding the fault of the Supplier.
11.5 The performance guarantee of an association or consortium will be issued on behalf of
the association or consortium.
11.6 The Purchaser has the right to issue claims on the performance guarantee, at any time
during the performance of the contract within the limit of the damage created, if the Supplier
does not fulfill its obligations under this contract. Prior to issuing a claim on the performance
guarantee, the Purchaser has the obligation to notify this to the Supplier, specifying at the
same time the obligations that have not been complied with and the method of calculating the
damage.
11.7 In the event of the execution of the performance guarantee, in part or in full, the Supplier
has the obligation to complete the guarantee in question, compared to the rest of the
subsequent contract remaining to be executed.
11.8 The Purchaser undertakes to return the performance guarantee, within 14 days from the
date of fulfillment by the Supplier of all obligations assumed by the subsequent contract and
the supply of the entire quantity of products subject to the subsequent contract and / or
payment of the invoice final, if no claim is raised, until that date, on it.
13.1 The purchaser may conclude subsequent contracts until the maximum quantitative
threshold of the products provided in art. 7.1 of the Framework Agreement or until the
completion of the award by ONAC of the open tender procedure under the conditions provided
in the framework agreement.

13.2 The Purchaser undertakes to purchase and pay the price agreed in this subsequent
contract.
13.3 The purchaser undertakes to receive the products supplied within the agreed deadlines.
13.4 The Purchaser undertakes to cooperate with the Supplier and to make available to it the
information it deems necessary for the performance of the subsequent contract.
13.5 The Purchaser undertakes to purchase and receive the products supplied, within the
agreed term, according to the standards and / or performances presented in the technical
proposal, annexed to this subsequent contract and in accordance with the requirements of the
specifications.

17.1 The products to be supplied under the subsequent contract will be in accordance with the
standards referred to by the Supplier in its technical proposal.
17.2 When no applicable standard or regulation is mentioned, the standards or other
regulations authorized in the country of origin of the products shall be observed.

(d) The purchaser will issue a finding document for the non-fulfillment of the contractual
obligations according to art. 166 para. (5) of H.G. no. 395/2016, with subsequent amendments
and completions.
2) For non-compliance with the delivery term during the subsequent contract period, the
following are applicable:
(a) The damages will be considered penalties and will be paid by the Promising-Supplier in the
amount established by the penalizing legal interest, applied to the value of the undelivered
products, for each day of delay, in accordance with the provisions of art. 4 of Law no. 72/2013
on measures to combat the delay in the execution of obligations to pay sums of money
resulting from contracts concluded between professionals and between them and contracting
authorities.
(b) The subsequent contract shall be automatically terminated, without delay, without legal
action and without any other formality prior to the payment of damages, calculated in
accordance with the above;
(c) The purchaser will issue a finding document for non-fulfillment of the contractual obligations
according to art. 166 para. (5) of H.G. no. 395/2016, with subsequent amendments and
completions.
18.3 In the case provided in art. 18.2, paragraph (1) The Purchaser, within 5 working days
from the finding of the situation, informs ONAC and requests the Supplier located on the next
place to conclude the subsequent contract.
18.4 If the Purchaser, through his sole fault, does not honor his payment obligations within the
agreed term, then the Supplier has the right to request the payment of the penal legal interest,
applied to the value of the unpaid payment, in accordance with the provisions of art. 4 of Law
no. 72/2013 on measures to combat the delay in the execution of obligations to pay sums of
money resulting from contracts concluded between professionals and between them and
contracting authorities.
18.5 Failure to comply with the obligations assumed by this subsequent contract by one of the
signatory parties, culpably, gives the injured party the right to request its unilateral termination
and to claim the payment of damages.
18.6 Violation of the provisions of art. 14, art. 19.1, art. 20.1, art. 22, art. 30 of this subsequent
contract gives the Purchaser the right to apply the commission agreement, regulated by art.
1553 para. (2), the final thesis from Law no. 287/2009 on the Civil Code, republished, with
subsequent amendments and completions, the subsequent contract being automatically
terminated, without delay, without legal action and without any other formality prior to the
payment of damages.
19.ASSIGNMENT
19.1 In this subsequent contract, the assignment of the rights and obligations arising from this
subsequent contract is allowed, only with the prior written consent of the Purchaser and under
the conditions of Law no. 98/2016, with subsequent amendments and completions.
19.2 The Supplier has the obligation not to transfer in whole or in part its obligations assumed
by the contract, without obtaining the prior written consent of the Purchaser.
19.3 Violation of the provisions of art. 19.1 and art. 19.2 gives the right to the Promisor-
Purchaser in the name and for the Department for Emergency Situations within the Ministry of

19.4 The assignment will not relieve the Supplier of any liability regarding the guarantee or any
other obligations assumed by the subsequent contract.
19.5 The Supplier is obliged to notify the Purchaser of the intention to assign the rights or
obligations arising from this framework agreement. The assignment will take effect only if all
parties agree to it.
19.6 If the rights and obligations of the Supplier established by this subsequent contract are
taken over by another economic operator, as a result of a universal or universal succession in
a reorganization process, the Supplier may assign any of the rights and obligations that arise
from the subsequent contract, including payment entitlements, only with the prior written
consent of the Purchaser. In such cases, the Supplier must provide the Purchaser with
information on the identity of the entity to which it assigns the rights.
19.7 Any right or obligation assigned by the Supplier without prior authorization from the
Purchaser is not enforceable against the Purchaser.
19.8 In case of transmission / taking over of the obligations by the Supplier, the notification
generates the initiation of the novation between the two parties, provided that the requirements
established by art. 221 para. (1) lit. d) point (ii) of Law no. 98/2016, with subsequent
amendments and completions for:
(i) the economic operator taking over the rights and obligations of the Supplier from this
framework agreement, which fulfills the qualification criteria initially established, respectively in
the framework of the procedure resulting from this subsequent contract,
(ii) this subsequent contract, provided that such amendment does not imply other substantial
changes to the subsequent contract,
(iii) Purchaser, but not to be made in order to circumvent the application of the award
procedures provided by Law no. 98/2016, with subsequent amendments and completions.
19.9 In case of early termination of the subsequent contract, the main Supplier assigns to the
Purchaser the contracts concluded with the subcontractors.
19.10 If the supporting third party has not complied with its obligations under the firm support
undertaking, the Supplier's claim over the supporting third party is assigned as security to the
Purchaser.

(2) In the case of packing weights and volumes in boxes, the supplier shall take into account,
where appropriate, the long distance to the delivery address of the products and the absence
of handling facilities at all transit points.
21.2 In case the products are packaged and transported on wooden pallets (euro-pallet type),
the Purchaser has the obligation to manage and store this packaging until the return to the
Supplier.
21.3 The management of the packaging, respectively the wooden pallets, will be performed by
the Supplier in accordance with Law no. 249/2015 on the management of packaging and
packaging waste and WHO no. 192/2014 (art. 25); it is the responsibility of the Supplier to fulfill
the objectives and obligations established by the O.U.G. no. 196/2005 on the Environment
Fund.

23.6 If on receipt or during the subsequent contract it is found that the products that are the
subject of the subsequent contract or, as the case may be, of the order note do not meet the
technical specifications, the purchaser has the right to reject them and the supplier has the
obligation to replace non-compliant products, with other compliant ones, in maximum 5
calendar days from the date of rejection.
23.7 In the event that at the reception, the reception commission appointed by the D.S.U.
within the M.A.I. through I.G.S.U. has suspicions regarding the quality of the products, it
reserves the right to request the conformity assessment of a product (selected by the
commission) by an accredited body (accredited laboratory) in the field. The costs of the
evaluations will be borne by the Supplier. The Supplier will also replace, at its own expense,
the product under test.
21.8. The provisions of clauses 23.1 - 23.7 shall not absolve the Supplier from the obligation to
assume the guarantees or other obligations provided in the contract.
24.1 In case of opening a general insolvency procedure against the Supplier, he has the
obligation to notify the Purchaser within 3 (three) days from the opening of the procedure.
24.2 The Supplier is required to submit to the Purchaser, within 10 (ten) days of notification, a
detailed analysis of the impact of the opening of the general insolvency proceedings on the
subsequent contract and deliveries and to propose measures, acting as a diligent supplier .
24.3 If the Supplier goes bankrupt, is in liquidation or is in a situation that produces similar
effects, the Supplier is obliged to act in the same way as stipulated in clause 24.1 of this
subsequent contract.
24.4 No such measure proposed in accordance with the provisions of clause 24.2 of this
subsequent contract, may be applied, unless accepted in writing by the Purchaser.
26.1 This subsequent contract terminates by right at the time or at the time when all the
obligations imposed on the parties have been fulfilled.
26.2 The purchaser reserves the right to terminate / terminate the subsequent contract, without
prejudice to the right to claim damages or other damages, if:
(i) the Supplier fails to comply, within the time period, with the notification issued by the
purchaser requesting that the non-compliance be remedied or that the obligations arising from
this subsequent contract be fulfilled;
(ii) the Supplier subcontracts parts of the subsequent contract without obtaining the approval of
ONAC;
(iii) there is any organizational change that involves a change in the legal personality of the
supplier, unless such changes are made by an addendum to this subsequent contract, in
compliance with legal provisions;

(iv) any other legal incapacities that prevent the performance of the subsequent contract
become incidents;
(v) The Supplier fails to provide / maintain / extend / reinstate / supplement the warranties
required by the subsequent contract;
(vi) at the time of the award of the subsequent contract, the Supplier is in one of the situations
that would have led to its exclusion from the award procedure;
(vii) where the subsequent contract should not have been awarded to the supplier because the
obligations under the relevant European legislation have been seriously infringed and this
circumstance has been established by a decision of the Court of Justice of the European
Union;
(viii) if the bankruptcy procedure is opened against the Supplier and the provisions of art. 24;
(ix) The Supplier has committed irregularities or fraud in the procedure for the award of the
subsequent contract or in connection with its performance, which have caused injury to the
Purchaser.
26.3 The Supplier may terminate / terminate the subsequent contract without, however,
affecting the right to claim damages or damages, if:
(i) The Purchaser has committed irregularities or fraud in connection with the performance of
the subsequent contract which have caused injury to the Supplier.
(ii) The purchaser does not fulfill its obligations to pay for the products supplied through its own
fault under the conditions established by this subsequent contract.
26.4 The termination / termination of the subsequent contract under the conditions of points
26.2 and point 26.3 intervenes with full effects, without the need to fulfill any prior formality and
without the need for the intervention of any court and / or arbitration.
26.5 The provisions of this subsequent contract regarding the termination / termination of the
contract shall be completed with the relevant provisions of the Civil Code in force.
26.6 If the Supplier does not transmit the performance guarantee within the specified period,
the subsequent contract is terminated / terminated by law, without the obligation to notify or
complete any formality by the Purchaser.
27.5 If force majeure / fortuitous event acts or is deemed to act for a period longer than 15
days, each party shall have the right to notify the other party of the full termination of this
subsequent contract, without either party being able to claim from the other. damages.
27.6 The Fortuit case will mean any event that cannot be foreseen by the parties or prevented
by them and that determines their impossibility to fulfill their contractual obligations, this being
accompanied by a detailed report that will explain and justify the event that determined the

28.1 (1) Any communication between the parties regarding the performance of this subsequent
contract must be sent in writing.
(2) Any written document must be registered both at the time of transmission and at the
time of receipt.
(3) Communications between the parties may also be made by fax or e-mail, provided
that the receipt of the communication is confirmed in writing.

other party regarding the amicable settlement of the dispute. If they deem it necessary, the
parties may meet for the purpose of resolving divergent matters.
31.3 If, after 5 days from the commencement of these direct negotiations, the parties fail to
settle amicably a dispute concerning the subsequent contract, each party may request that the
dispute be settled by the competent courts, in accordance with the legal provisions in force.
