produse in afara teritoriului emise de :

-alti beneficiari ai francizorului

8.1 The beneficiary wont promote the distribution of the products outside the territory and wont sell
similar products but he can deliver orders outside the territory to :
-consummers

-another franchisor’s beneficiaries

XII. CESIUNEA CONTRACTULUI

12.1. Părţile contractante nu vor putea cesiona drepturile şi obligaţiile prevăzute de

prezentul contract unei terţe persoane fără acordul expres, dat în scris de cedent.

12.2. Acordul prevăzut la alineatul precedent trebuie comunicat de cesionar în termen de

................. zile de la data când cedentul i-a cerut acest acord; în caz contrar se prezumă că

cesionarul nu a consimţit cesiunea contractului.

XII. Assignment of the contract

12.1 The parties can’t assign the contract to a third partie without an express agreement .

12.2 The agreement of the preceding paragraph must be communicated by the assignee in ….. days
since the assignor asked him to do that. Otherwise is presumed that the assignor did not consent the
assignment.

XIII. Forta majora

13.3. Dacă în termen de .................. (zile, ore) de la producere, evenimentul respectiv nu

încetează, părţile au dreptul să-şi notifice încetarea de plin drept a prezentului contract

fără ca vreuna dintre ele să pretindă daune-interese.

13. Major force

XIV. CONSECINŢE ALE ÎNCETĂRII EFECTELOR CONTRACTULUI

14.1. În cazul încetării efectelor prezentului contract, beneficiarul este obligat:

· să restituie, pe cheltuiala sa, francizorului toate produsele aflate în stoc care nu au fost

integral plătite;

· să plătească toate sumele datorate francizorului, chiar dacă asemenea sume au o

scadenţă ulterioară datei încetării contractului.

XIV. Consequences of the termination of the effects of the contract

14.1 In case of termination the effects of this contract¸ the beneficiary is required:

- to return on his money to the franchisor all the products in in stock which haven’t been totally payed

-to pay all the amounts to the franchisor, even if the amounts have a maturity after the date of
termination of the contract
