administrator – CRISTIAN ANDREI, în calitate de
SUBCONTRACTOR, pe de o parte,
și
HEINEN & HOPMAN MAR S.R.L., cu sediul social
în Galați, Calea Prutului nr. 146, cod poștal 800205,
județul Galați, telefon 0236448222, e-mail:
info@ro.heinenhopman.com, înregistrată la Oficiul
Registrului Comerțului de pe lângă Tribunalul Galați
sub nr. J17/591/2002, CIF RO 14761893, cont nr.
RO92INGB0010000042578911, deschis la ING
București, reprezentată legal de administrator - Gert
Willem Hofmans, în calitate de BENEFICIAR, pe de
altă parte,
denumite în mod individual “Partea” și împreună
“Părțile”.
Părțile, de comun acord, au convenit încheierea
prezentului Act adițional la Contractul de prestări
servicii nr. 155 din 14.03.2023 (“Contractul”), după
cum urmează:
PUNCTUL 1
După art. 7 din Contract se introduce art. 7^1
NECONCURENȚA cu următorul conținut:
7^1.1. Părțile de comun acord au convenit ca pe
perioada de valabilitate a Contractului și pentru o
perioadă de 24 luni de la data încetării Contractului,
indiferent din ce motiv, atât Beneficiarul, cât și
Subcontractorul se obligă să nu angajeze, în mod
direct sau indirect prin afiliați sau interpuși sau prin
persoane juridice în care calitatea de asociat/acționar
sau administrator este deținută de către Beneficiar sau,
după caz, de către Subcontractor, salariați, colaboratori
sau consultanți profesionali ai prezentelor Părți.
7^1.2. Termenele prezentate în art.7^1.1 se aplică în
cazul salariaților, colaboratorilor sau consultanților
profesionali care aveau un contract de
muncă/colaborare/consultanță în vigoare la data la care

mail adress: office@sistemehvac.ro, represented by
Cristian Andrei in the capacity of Administrator,
hereinafter referred to as SUBCONTRACTOR.
And
Heinen & Hopman, having the registered office in Cal
ea Prutului, no146, zip code 800205, Galati County, tele
phone no.: 0236448222, e-mail address:
info@ro.heinenhopman.com, VAT registration number
RO 14761893 and Trade Register number J17/591/2002
and account no. RO92INGB0010000042578911,
opened at ING Bank Bucharest branch, represented by
Geert Willem Hofmans in the capacity of Administrator,
hereinafter referred to as BENEFICIARY,
referred to individually as the "Party" and collectively
as the "Parties".
The parties, by mutual agreement, have agreed to
conclude this additional Act to the Service Contract no.
155 of 14.03.2023 (“the Contract”), as follows:
POINT 1
After art. 7 of the Contract, is inserted art. 7^1
named NON-COMPETITION with the following
content:
7^1.1. The parties mutually agreed that for the period
of validity of the Contract and for a period of 24
months after termination date of the Contract, no
matter the reason, both the Beneficiary and the
Subcontractor undertake not to employ, directly or
indirectly through affiliation or interposed or through
legal entities in which the capacity of
associate/shareholder or administrator is held by the
Beneficiary or by the Subcontractor, employees,
collaborators or professional consultants of the present
Parties.
7^1.2. The time limits presented in art..7^1.1 apply to
employees, collaborators or professional consultants
who had an employment/collaboration/consultancy
contract in force on the date the Parties concluded this

Părțile au încheiat prezentul contract, anume
14.03.2023.
7^1.3. În situația în care Părțile, interpușii sau afiliații
acesora nu respectă obligația mai sus menționată,
aceștia vor fi ținuți răspunzători în solidar la plata unor
daune corespunzătoare prejudiciului suferit în sumă
fixă 100.000 Euro (osutămiieuro) pentru fiecare
salariat, colaborator sau consultant profesional angajat
direct sau indirect. Daunele sunt plătibile în lei la
cursul de schimb valutar afișat de BNR din ziua plății
și nu exonerează Părțile de plata oricăror alte sume pe
care legea si/sau Contractul le conferă.
7^1.4. Încălcarea obligației de neconcurență poate fi
dovedită prin orice mijloc de probă.
PUNCTUL 2
Toate celelalte prevederi ale Contractului rămân
neschimbate.
Prezentul Act Adițional a fost încheiat azi, 20.04.2023,
în 2 (două exemplare), câte 1 exemplar pentru fiecare
Parte. Prevederile Actului Adițional sunt aplicabile de
la data semnării Contractului.

contract, namely 14.03.2023.
7^1.3. In the event that the Parties, intermediaries or
affiliates do not comply with the above-mentioned
obligation, they will be held jointly and severally liable
for the payment of damages corresponding to the
damage suffered in a fixed amount of 100,000 Euros
(onehundredthousandeuros) for each employee,
collaborator or professional consultant directly or
indirectly employed. Damages are payable in lei at the
exchange rate displayed by the BNR on the day of
payment and do not exempt the Parties from paying
any other amounts that the law and/or the Contract
confers.
7^1.4. Breach of the non-compete obligation can be
proven by any means of evidence.
POINT 2
All other provisions of the Contract remain unchanged.
This Additional Act was concluded today, 20.04.2023,
in 2 (two copies), 1 copy for each Party. The
provisions of the Additional Act are applicable from
the date of signing the Contract.
