Subiectul II.
(a)- Under art. 1550 and 1553 of the Romanian Civil Code, termination of a contract
determined by such clause, named commissary pact, must meet certain conditions in
order to be effective. There are four conditions which such clause should fulfill:
Transparency
Such clause should be clearly stipulated in the contract, so the other
parties are aware of its existence and implications.
The obligee must act in good faith when resorting to such clause.
The breach should be of certain significance.
The obligee must inform the other parties when resorting to the
clause. Such duty should be considered fulfilled when a proper formal
notification is sent.
In the present case the courts might rended such clause as invalid due to the fact
that it would be imposed to four different Romanian companies, and would entail each
one’s liability for the actions of another company. The breach of one company is not to be
considered attributable to other different company. However, the assesment is made case
to case.
(b)- A clause stating that the statute of limitation for the exercise of the claims grounded
on the contract should be of 3 years under art. 2517 of the Romanian Civil Code. Parties to
an agreement may decide how long after an event has occurred they can start legal
proceedings. The parties may also set out on which occasions such time period should
start, be suspended or interrupted. However, the parties will not be allowed to transform,
either directly or indirectly, an unlimited term into a limited one, nor vice versa. A clause
limiting the exercise of the claims grounded on the contract parties is not allowed to set a
limit for a period of less then a year or for a period of more then ten years (with certain
exceptions to be mentioned).

In cazul neindeplinirii unei obligatii comerciale de plata a unei sume de bani, exista
o limita in stabilirea cuantumului despagubirilor iar limita este determinată fie de parti, fie
de lege conform art. 1535 NCC. Daunele-interese moratorii sunt datorate de către debitor,
pentru întârzierea acestuia în executarea obligației. Daunele se datorează de la scadență
până în momentul plății, dupa cum spuneam fie în cuantumul convenit de părți sau, în
lipsă, în cel prevăzut de lege, fără a trebui să dovedească vreun prejudiciu. În acest caz,
debitorul nu are dreptul să facă dovada că prejudiciul suferit de creditor ca urmare a
întârzierii plății ar fi mai mic drept sanctiune. Dacă, înainte de scadență, debitorul datora
dobânzi mai mari decât dobânda legală, daunele moratorii sunt datorate la nivelul
aplicabil înainte de scadență iar daca nu sunt datorate dobânzi moratorii mai mari decât
dobânda legală, creditorul are dreptul, în afara dobânzii legale, la daune-interese pentru
repararea integrală a prejudiciului suferit.
Rata dobânzii legale remuneratorii se stabilește la nivelul ratei dobânzii de referinţă
a Băncii Naţionale a României, care este rata dobânzii de politică monetară stabilită prin
hotărâre a Consiliului de administraţie al Băncii Naţionale a României. În raporturile
dintre profesioniști, dobânda legală penalizatoare se stabilește la nivelul ratei dobânzii de
referinţă plus 8 puncte procentuale.
